2 CONTRACT CARRIER AGREEMENT This agreement is made in the year 2009 on this day of by and between, YOUR COMPANY Thereafter called "Carrier", and AKERS FREIGHT FORWARDING hereafter called "Forwarder/Shipper". BACKGROUND FACTS A. Carrier is an interstate for-hire contract motor carrier of property and is ready, willing, and able to perform interstate transportation services for the Forwarder/Shipper under the terms and conditions of this Agreement. B. The Forwarder/Shipper is engaged in the freight of all types business and desires to engage the services of Carrier for the transportation of Forwarder/Shipper's products. TERMS AND CONDITIONS In consideration of the facts mentioned above, good and valuable consideration, and the promises set out below, the parties do hereby agree: (1) The Carrier agrees to transport the goods of the Forwarder/Shipper subject to its authority as a contract carrier. In the event the Carrier holds dual authority as a common carrier, it is understood that this agreement relates only to its authority as a contract carrier. Carrier will meet the Forwarder/Shipper s distinct needs by providing: customized contract rates; expedited pickup and delivery services; specialized equipment such as dry vans, refrigerated trailers and flat beds; and, additional cargo insurance, when applicable. The Carrier also agrees not to solicit/contact Forwarder/Shipper's customers nor solicit Forwarder/Shipper customers that are first introduced to Carrier or freight is first tendered to carrier from customer by Forwarder/Shipper. (2) Forwarder/Shipper agrees to tender Carrier a minimum of one truckload or consolidated truckload shipment every three months for the term of the contract. (3) Carrier will charge for the above transportation service, and Forwarder/Shipper agrees to pay, on the basis of the rates agreed to by the parties and set forth in Schedule A hereto attached, or, in the absence of Schedule A, as negotiated prior to each shipment and acknowledged by Carrier. Forwarder/Shipper will be the only party liable for freight charges. (4) Carrier agrees not to co-broker any shipment tendered by Forwarder/Shipper without prior consent of Forwarder/Shipper. 3 PAGE 2 (continued) (5) Carrier will secure and keep in force during the term of this agreement insurance as follows: public liability, property damage, and workmen's compensation with financially sound and reliable companies in sufficient amounts to meet the requirements of federal and state laws and regulations. (6) Carrier will secure and assume up to $100,000 primary cargo liability insurance. Any amounts in excess will be communicated to Carrier prior to the tender of freight to Carrier. (7) No additional funds or payments of fees are due Carrier by virtue of any tariff, schedule or circular of any kind not specifically provided for in this agreement. Furthermore, Carrier shall present any claims for undercharges to Forwarder/Shipper within six months of the date of shipment. If the undercharge claim is not timely presented, i.e., within six months, neither Forwarder/Shipper nor its third party customer shall be liable for any undercharges. Carrier further agrees to look solely to the Forwarder/Shipper for the exclusive remedy on undercharge claims. Carrier agrees not to contact Forwarder/Shipper's third party customer in regard to any undercharge claim. In the event that Carrier contacts Forwarder/Shipper's customers in violation of this Agreement, Carrier will be deemed to have breached this Contract and Forwarder/Shipper will hold the Carrier liable for tortuous interference with Forwarder/Shipper customer relationships. (8) Carrier shall be liable for all losses or damage of every kind, howsoever caused by the Carrier, to property transported while such property is in the custody or control of Carrier or its agent, except only where loss, damage, or delay results from acts of God, civil disorder, or compliance with governmental authority. (9) Carrier shall perform its obligations under this Agreement as an independent contractor and not as an agent or employee of Forwarder/Shipper. The hiring, terms of employment, and discharge of employees and/or agents performing transportation services hereunder shall be in the sole and exclusive control and responsibility of the Carrier. (10) During the term of this agreement, and for a period of one year after its termination, Carrier shall not solicit traffic from any shipper, consignor, consignee, or third party customer of Forwarder/Shipper where: (1) the availability of such traffic first became known by Carrier as a result of Forwarder/Shipper effort, or (2) where the traffic of the shipper, consignor, consignee, or third party customer of the Forwarder/Shipper was first tendered to the Carrier by the Forwarder/Shipper. In the event the Carrier breaches this agreement for any reason, and/or solicits freight from the Forwarder/Shipper's customers, and obtains traffic from such customers, the Carrier agrees to pay Forwarder/Shipper as liquidated damages a commission of 10% of the transportation revenue received on the movement of the traffic by the Carrier, for a period of one year. Forwarder/Shipper also reserves all other rights and remedies against the Carrier for breach, and/or solicitation of Forwarder/Shipper's freight. Carrier Initial Date

4 PAGE 3 (continued) (11) It is further agreed that this contract shall continue in force for one year and, thereafter, shall be automatically continued on a month-to month basis. Should either party desire to terminate this contract, 30 days written notice shall be required. In witness whereof the parties have executed this agreement on the date first written above. 5 AKERS FREIGHT FORWARDING SERVICE AGREEMENT This is to serve as confirmation to any interested parties that the carrier shown below does not, and will not, engage in the practice of hauling solid waste materials in the same equipment that may be utilized to haul food products. This agreement is made specifically to Akers Freight Forwarding with the intention of protecting the interest of its shipper clientele and the general public.
