1 Mr. Michael W. Herald worked for Stantec as an environmental, health and safety consultant until 2010, and continues to work closely with Stantec on various projects through his own company Blackbird EHS Consulting Services Inc. For over 24 years, he has primarily been involved in leading, participating and managing hundreds of environmental, health and safety (EHS) audits and management system assessments world-wide. He has worked for many industries and government agencies and has conducted ISO registration and surveillance audits for an international registration body. Mr. Herald is an Environmental Management Systems Lead Auditor (EMS[LA]), Certified Environmental Auditor (CEA), and Canadian Registered Safety Professional (CRSP) in Canada and a trained US EPA Asbestos Building Inspector and Asbestos Project Designer. He is also currently on the Board of Directors of the Auditing Association of Canada (AAC) and past president of the Environmental Managers Association of BC (EMA of BC). EDUCATION BA Environmental Studies, BA Political Science, University of California, Santa Barbara 1987 PROFESSIONAL DESIGNATIONS Environmental Management Systems Lead Auditor (EMS(LA)), Canada Certified Environmental Auditor (CEA), Canada Canadian Registered Safety Professional (CRSP), Canada PROJECT EXPERIENCE Environmental Compliance Audit of the Liquid Waste Division (Role- Project Involved in compliance audits of a Regional District s Liquid Waste Division. The Division operated four treatment plants and several pumping facilities on Vancouver Island. Environmental Audit of National Energy Board (NEB) Regulated Crude Oil Pipeline (Role- Project Manager, Lead Auditor) Handled an environmental audit of an oil pipeline and associated aboveground support equipment (compressor stations and storage terminals) from Edmonton, AB to the middle of Saskatchewan. The objective of the audit was to identify areas for improvement with regards to compliance with environmental regulations, as well as compliance with company environmental policies and procedures and good management practices. An additional objective was to encourage two-way exchange of information for ideas and suggestions between the Corporate Safety and Environment Department and the field operations. Environmental Compliance Audits of Aviation Fuel Handlers (Role- Project Lead auditor in an environmental compliance audit of fuel handlers at an international airport. The audit compared the operations of five fuel handlers to existing environmental regulations and a Canadian Code of Practice. Site visits were conducted at each location including the jet fuel bulk storage terminals. Environmental Compliance Audits of Petroleum and Chemical Facilities (Role-Auditor) Participated in over 14 environmental compliance audits for a large international petroleum company as part of their internal compliance auditing program. Audits were conducted at refineries, bulk terminals, pipelines, and oil fields in California, Texas and New Mexico, USA. Also conducted environmental compliance audits in Texas of a large chemical plant and three sour gas facilities. Environmental Compliance Audits of EPS Manufacturing Facilities (Role-Project Manager, Audit Team Member) Lead auditor of two environmental compliance audits in BC of Expanded Polystyrene (EPS) facilities. The company offered a wide range of services for builders, architects and specifiers. One facility prepared insulated structural wood panels with EPS for building. Panels were assembled by gluing the EPS to wood boards and then pre-cut to the specified size in the manufacturing facility on computer-controlled machines. Compliance Audit of Fertilizer Manufacturer (Role-Audit Team Member) Participated on a health and safety compliance audit of a nitrogen fertilizer manufacturing facility in Saskatchewan. The facility contained nitric acid, urea, and anhydrous ammonia plants and loading/unloading operations. Specifically responsible for auditing compliance in the areas of Hazard Identification & Control and Work Operations and Equipment. EMS Gap Analysis and Environmental Compliance Audit of a Beverage Manufacturer (Role- Project Handled an EMS gap analysis and environmental compliance audit of a large beverage manufacturer in British Columbia. The audit team consisted of two other

2 individuals and the scope included an ISO gap analysis and verifying compliance with waste, air and water federal, provincial and local regulations. EMS Gap Analysis and Compliance Audit of Truck Manufacturer (Role-Project Handled an EMS gap analysis and environmental compliance audit of an international custom heavy-duty truck manufacturer. The gap analysis was conducted to compare the current management of the company's main manufacturing facility to standards found in ISO The compliance audit was done to evaluate adherence to local, provincial and federal laws and regulations. Findings of the audit were presented to senior management. Environmental Compliance Audits of Research and Development Laboratories (Role- Project Manager, Audit Team Leader) Two EHS compliance audits at a hydrogen fuel research and manufacturing facility in British Columbia. The audits covered all facets of EH&S at the facility, which handles several flammable and toxic hazardous materials and has a unique and proprietary manufacturing process. EHS Compliance Audits of Research and Development Laboratories (Role- Project Manager, Audit Team Leader) Involved on several EHS compliance audits at a high voltage testing laboratory in British Columbia. The laboratory provides testing, consulting and research services to the electric and natural gas industries, their customers and suppliers, and operates electrical and natural gas equipment testing facilities, chemical, metallurgical and civil laboratories, and a pilot hydrogen generation plant and fuelling facility. HSEMS Audits of Research and Development Laboratories (Role- Project Manager, Auditor) Assisted in the development and implementation of a health, safety and environmental management system (HSEMS) based on the requirements found in ISO14001 and OHSAS for two Canadian marine research institutions on Vancouver Island, BC. Responsible for leading the initial gap analysis, identifying and ranking health, safety and environmental aspects, conducting employee awareness training, and reviewing draft system procedures. EHS Compliance Audits of Electric Utility (Role- Project Manager, Audit Team Leader) Handled an integrated environmental, health and safety (EHS) Compliance Assessment for a large electric utility in British Columbia. The project scope included six dam sites and hydro-electric generating facilities. Was particularly responsible for covering health and safety aspects of: confined space, fall protection, tools and equipment, PPE, lock-out, chemical substances, transportation of workers, and prime contractor issues. Compliance Audit of Aquarium (Role- Project Manager, Audit Team Leader) Handled an environmental compliance audit of large aquarium facility located in Vancouevr, BC. The audit was done to support the evaluation of compliance as part of their EMS. Gold Mine Remediation and Reclamation (Role- Project Handled an EHS management systems audit of a gold mine remediation and reclamation project in the Northwest Territories. The remediation contractor was obligated to develop and implement an integrated EHS management system as part of their long term reclamation of the abandoned mine EMS Audit of the Construction Division of an Electric Utility (Role Project Manager, -Lead Auditor) Handled an audit of the EMS of the construction division of a major electric utility company. The division was in charge of field installation and repairs of electrical equipment across the province. The audit included conducting 37 separate interviews of corporate and staff personnel at several sites. EMS Audit of Materials Management Division of an Electric Utility (Role- Project Handled an audit of the EMS materials management division of a major electric utility company. Each component and element of the division s EMS was tested and reported. The audit was designed to identify the components or elements of the EMS that currently existed, those that did not, and to suggest possible improvements. The audit examined how well the division plans, executes and checks its activities. The audit reviewed the division s EMS structure against the all the requirements of the corporate EMS and ISO The audit included conducting 27 separate interviews of corporate and staff personnel at several sites. EMS Gap Analysis of the Generation Division of an Electric Utility (Role- Project

3 For another electric utility company, handled a EMS gap analysis in advance of a certification audit to be conducted by the Canadian Electricity Association. Audit activities included review of documentation for consistency with stated requirements, observations of work practices, and interviews with management and staff to understand the degree to which provisions of the EMS were addressed. EMS Audit of Solid Waste and Recycling (Role- Project Handled an EMS audit of a large city s Solid Waste and Recycling Services Department in Alberta. The audit was done in preparation of registration to ISO which was obtained by the department. EMS Audit of a Large Pulp and Paper Mill (Role-Auditor) Conducted the EMS component of an audit at a pulp and paper mill located on Vancouver Island. In addition to completing this review, critiqued company's overall audit program and made recommendations for improvement to senior management. ISO Surveillance Audits at Saw Mills (Role- Auditor) Completed two audits at saw mills located in British Columbia. The mills were registered to ISO 14001, and these audits were the first surveillance audits conducted at each mill. Particularly responsible for reviewing aspects, objective and targets, and internal and external communication. EMS Audit of a PCB Waste Transformer Oil Processing Facility (Role- Project Handled an EMS audit for the waste oil division of a major electric utility in British Columbia. The facility had over 1 million litres of oil storage and was the main processing facility for liquid and solid PCB containing materials. The audit was done to verify that the operation met the requirements of ISO14001 in order to maintain the facility s registration. EMS Audit of a Major University (Role- Project Handled the EMS of a large university in British Columbia. The university had established a formal management system including the internal auditing of all campus programs identified as having an impact on the university's environmental program. Health & Safety Audit at Manufacturing Plant, Mexico City, Mexico (Role- Project Manager, Auditor) Served as day-to-day leader and auditor on a health and safety audit of a personal care products manufacturing plant. The plant operated 24 hours a day and employed 3,500 personnel. Responsible for covering the areas of emergency response, hearing conservation, respiratory protection, and material handling equipment. Occupational Hygiene Baseline Assessments, Saudi Arabia (Role-Auditor) Completed occupational hygiene baseline assessments at three refineries and a distribution center. The assessments were conducted to review each facility's policies and programs, and recommendations for improvement were presented. Specifically responsible for reviewing the areas of personal protective equipment, emergency response, and exposure characterization. Health & Safety Compliance Audit, Vancouver, BC (Role- Project Was Lead Auditor in a comprehensive health and safety compliance audit of a bakery. Audit criteria included regulations and guidelines published by the Workers Compensation Board of BC. The bakery had several significant worker accidents and injuries and was out-ofcompliance with many requirements. An Action Plan was developed to assist the client in improving health and safety performance at the facility. Health & Safety Management/Technical Program Review, South Africa (Role-Auditor) Participated in an intensive review for a large hard rock mining company. The assessment focused on identifying strengths and weakness of particular safety programs in such areas as personal protective equipment, explosives handling, fire safety, and ventilation systems. Conducted interviews with mine managers/ supervisors in order to evaluate effectiveness of management of such programs. Types of mines and associated processing facilities visited included gold, coal, manganese, platinum, and chrome. Health, Safety and Loss Control Compliance Audit (Role-Auditor) Conducted a comprehensive health, safety and loss control compliance audit of a cogeneration power plant located in Massachusetts, USA. The assessment consisted of a review of 28 individual health and safety programs at the facility and an evaluation of the effectiveness of the facility's management of health, safety and loss control issues. As well as serving as Team Leader, was responsible for review of the facility's

4 compliance in the areas of hearing conservation, respiratory protection, personal protective equipment, and HAZWOPER. Hazards Identification Analysis, Santa Barbara, CA (Role-Consultant) Assisted in the preparation of a hazards identification analysis for crude oil treating and gas processing facilities. The hazard analysis involved familiarity with oil and gas processing equipment, accident probabilities, and release modelling for vapor dispersion, overpressure, and flammable hazards. Health & Safety Hazards Assessment (Role-Consultant) Completed a Health and Safety Hazards Assessment for a crude oil pipeline located in Alberta. Reviewed operations and company policies to develop a list of worker and public safety hazards and controls in place to reduce level of risk. Industrial Hygiene Technician, Mississippi, USA (Role- Technician) Responsible for preparing and conducting exposure monitoring on refinery workers for substances such as benzene, toluene, xylene, metals, dust, and asbestos at a large refinery. Personal samples were sent to analytical laboratories and the data was entered into the company's exposure monitoring database. Risk Management and Prevention Program (RMPP) (Role-HAZOP Documentation) Assisted in the preparation of a Risk Management and Prevention Program (RMPP) for a large refinery and chemical plant in Los Angeles, CA and a wastewater treating facility in Santa Barbara, CA. Participated in the HAZOP of each facility's material processes, and performed equipment reviews for areas, which contained Acutely Hazardous Materials (AHMs). Documented a HAZOP for a Large Refinery, Santa Maria, CA (Role-HAZOP Documentation) The HAZOP included the Process Water System, coking section, coker unit, and offsites. This was in support of the refinery's Improvement and Modernization Project. TRAINING AND PRESENTATIONS Prepared and delivered a one-day regulatory review training course for City of Edmonton employees who were part of the city s EMS Team. Presented a 2-day workshop on Environmental Management Systems (EMS) and ISO to an international mining company (client: Teck Cominco) Guest Speaker at an Insight conference on the topic of EMS, Vancouver, BC Developed and delivered a workshop titled Compliance Auditing Skills and Techniques during the 2004 Canadian Environmental Auditing Association (CEAA) Annual Technical Conference. Co-instructor for over eight 4-day courses entitled Safety Management Systems (SMS) taught to Transport Canada (TC) Aviation Inspectors who will enforce the new SMS regulations. The first part of the course focused on the theory of SMS, while the second half covered Transport Canada s SMS model and the skills and techniques of assessing an SMS (client: Transport Canada) Principle instructor for several 3-day Environmental Auditing and Canadian Regulations courses held through the Jacques Whitford Training Institute (JWTI) in Vancouver, BC. (Attendees included among others: University of British Columbia, Simon Fraser University, Public Works and Government Services Canada, BC Hydro, Corporation of Delta, and CN Rail.) Principle instructor for 3-day Advanced EH&S Auditing course held for the internal audit team of an international gas company, Vancouver, BC (client: Methanex) Conducted 2-day refresher training for environmental auditors of an international forest products company, Vancouver, BC (client: Weyerhaeuser) Principle instructor for an intensive 4-day course entitled Environmental Issues taught through the Building Owners and Managers Association (BOMA) in Halifax, NS (Attendees from various property management organizations across Canada.) Guest speaker at the Environmental Managers Association (EMA) of British Columbia on the topic of Environmental Auditing Certified WHMIS and Transportation of Dangerous Goods instructor, Canada (internal to Jacques Whitford)
