2 Feast Fertilizer Program All Feast Fertilizer (N-P-K-S) products comprise the Feast Fertilizer Program The Conklin AgroVantage Program covers all Independent Business Owners (IBOs), Preferred and Wholesale Customers, and Commercial Purchasers (collectively, Customers ) purchasing Conklin s Feast Fertilizers and AgroVantage Companion products. The Conklin AgroVantage Program is comprised of the Feast Fertilizer and AgroVantage Companion Products. Price change notifications will be made via VoiceLink and eblast to IBO . All prices are FOB manufacturing facility. Price Stabilization: All fertilizer ordered and paid for between October 1 and December 31, 2012 AND shipped by March 29, 2013 will be guaranteed the price at time of order. Orders shipped after March 29, 2013 will be priced at the then current price or the price at time of order, whichever is greater. Orders placed are non-cancellable to ensure Price Stabilization. For Freight Program information refer to (requires log in) All orders not shipped before July 31, 2013, will be cancelled and payment will become part of the general deposit account of the customer and may be used toward the purchase of any Conklin products. For shipping and storage guidelines refer to Feast Fertilizer Shipping & Storage Guidelines (see page 6) John Deere Credit financing options are available. Product shipment and/or pickup must be scheduled with the Distribution Department at least three (3) days in advance. Feast Bulk Fertilizer Bulk Truckload Fertilizer pickup quantities at each manufacturing location are as follows: Shakopee, MN; Italy, TX; Middle Point, OH 500 total gallons per pickup, with a minimum of 250 gallons per formula filled into a 500 gallon container (may combine multiple orders). Centralia, IL; Red Oak, IA - 1,000 total gallons per pickup, with a minimum of 250 gallons per formula filled into a 1,000 gallon container (may combine multiple orders). Minimums are total combined gallons per shipment and minimum container size. All fertilizer formulas ordered must be filled into individual containers unless ordered as Custom Blend. If Conklin arranges transportation, a freight rate will be procured prior to shipping. All freight charges must be prepaid on a separate order prior to the truck scheduling. Multiple drop shipments may be subject to additional charges and out-of-mileage charges. Freight surcharges are subject to change at any time. Commercial trucks may not be equipped with meters. A customer may make their own arrangements for freight-collect transportation. When shipping freight-collect, customer is responsible for negotiating the freight rate and paying the carrier s invoice. 2

5 Feast Fertilizer Custom Blending Feast Fertilizer Custom Blending Program allows growers to customize and maximize inputs for the specific needs of their soil and plants based upon soil and tissue testing. Guidelines: Custom blend fertilizer is available from Shakopee, MN only. Custom blends are for bulk shipment only with a minimum of 2,500 gallons. Blended fertilizer will be filled at one time and on one truck. Custom blend fertilizer will be manufactured for delivery to the following states: IA, ND, NE, MI, MN, MO, and SD. Custom blend fertilizers for the above states are blends of existing Conklin Feast N-P-K, sulfur (Side-Kick) and chelated micronutrient products. Shipment to states other than those listed above is prohibited. Custom blend fertilizer manufactured for delivery into Wisconsin will be comprised of Conklin Feast N-P-K and sulfur (Side-Kick) only. Shipment of blends consisting of any other material into WI is prohibited. Pricing: Custom blend pricing will be calculated as follows: Feast N-P-K and sulfur (Side-Kick) components will be priced at the then current bulk price. If 250 gallons or more of a single chelated micronutrient component per shipment is ordered, bulk pricing will be used; if less than 250 gallons is ordered of a single chelated micronutrient component per shipment, the largest packaged price per gallon will be used (Mini-Bulk price: B, Zn, Mn, & Ca; drum price: Cu; 5 gallon price: Fe & Mg). A blending fee of $0.05 per gallon will be added to the order. Ordering: Custom blend fertilizer is ordered through Conklin Sales Center and scheduled through the Conklin Distribution Department by the individual quantity of component fertilizers and micronutrients. The Custom Blend Order form must be ed to orders@conklin.com or faxed to prior to placing your order. Custom blend fertilizer orders consist of one order and are placed in one customer account. Shipping: Custom blend fertilizer must be scheduled and confirmed with a minimum lead time of five business days. Scheduled pickup of custom blend fertilizers will be closely monitored. Pickup times must be adhered to. Custom blend analysis will be documented on the bill of lading and fertilizer invoice. Components will be listed in both pounds and gallons individually on the bill of lading. Storage & Stability: Conklin will not accept liability for the stability of each blend, the customer accepts full responsibility for custom blend fertilizer stability. Conklin will not accept liability for the condition of on farm fertilizer storage or containment facilities. Custom blend fertilizer is not compatible for over winter storage. Refer to Feast Fertilizer Shipping & Storage Guidelines The AgroVantage System limits the amount of Feast Fertilizers and micronutrients that can be applied in starter and foliar applications. It is important to make certain that these limits are not exceeded. 5

6 Feast Fertilizer Shipping & Storage Guidelines To ensure fertilizer grades shipped and stored over winter maintain the high quality and integrity of Feast Fertilizer the following shipping and storage guidelines are in effect: Shipping Guidelines: Prior to fertilizer being loaded at manufacturing facility, shipper will sign a release stating that the shipping vessel is free of contaminants. If shipper is unable to provide a wash out certificate or sign a waiver of liability, Conklin may refuse to pump into the vessel. Conklin recommends collecting retains prior to pumping off shipping vessel to on farm storage containers. If retain from shipping vessel does not appear clear and within Conklin specification range, do not unload fertilizer into storage containers. Ensure all lines, pumps, filters and tanks are free of contaminants. Feast Fertilizer is incompatible with UAN solution except for Feast w6S. Never ship fertilizer in a vessel that has hauled UAN solution and has not received a thorough wash out. Feast Fertilizer must be shipped as ordered in separate compartments. Customer is responsible for arranging multiple compartment vessels for transportation of multiple grades. Blending in shipment vessel at time of pickup at manufacturing facility is a violation of State Fertilizer Registration Laws. Storage Guidelines: Conklin has engineered Feast Fertilizers to be as cold weather tolerant as chemically possible. Conklin will not accept liability for product defects resulting from storing Feast Fertilizers specified as NOT compatible for over winter storage. Over winter storage is defined as storing fertilizer through the months of November, December, January and February. Feast Fertilizers compatible for over winter storage: w2S Feast Fertilizers NOT compatible for over winter storage, regardless of ship date: Any Feast Fertilizer not listed above including custom blends. Proper procedures for handling Feast Fertilizers that are compatible for over winter storage: Ensure all storage containers and equipment are designed to tolerate freezing temperatures and the expansion associated with freezing aqueous solutions. Fertilizer will freeze solid at low temperatures. Upon thawing, thoroughly agitate Feast Fertilizer to ensure a homogenous solution. Acceptable materials for storage include: fiberglass, stainless steel and polyethylene. Pumps, pipes and fittings should be made of stainless steel, poly propylene, CPVC, epoxy, Kynar and vinyl-reinforced flexible tubing such as Mayon or Tygon. The use of brass, bronze, aluminum or cast iron is not recommended for wetted parts. 6

The Conklin Manager must specify the placement of the Sales and Service Commission when ordering fertilizer. A Manager has the option to have this commission deducted from any single bulk truckload (4,000 gallon minimum) order at the time of order placement. Attend Pro Ag 1 or 2 as a discount option or audit Pro Ag 1 or 2 Training in the past 5 years. Pro Ag Training applies only to orders placed in the qualified customer s account at time of full payment. Purchase AgroVantage Product from August 1, 2012 until April 30, 2013 with wire transfer, check or PAC and receive a $0.05 discount. Order and pay for fertilizer by November 9, 2012 and ship fertilizer by December 7, 2012 and an additional $0.05 per gallon rebate will be paid to the placed by manager upon shipment. 8 High Volume Incentive Rebate Bulk Provides incentive to maximize fertilizer sales volumes Field managers who Purchase and Ship: 1. A minimum of 20,000 gallons between August 1, 2012 and January 11, 2013 will receive $0.10 per gallon rebate from January 14th through the remainder of the program year. OR 2. 40,000 or more gallons between August 1, 2012 and January 11, 2013 will receive $0.15 per gallon rebate from January 14th through the remainder of the program year. Fertilizer purchases qualify for either the Early Shipping Rebate or the High Volume Incentive Rebate, whichever is greater. Attend AgroVantage Field Day and Purchase: 1. A minimum of $4,000 of Feast fertilizer, AgroVantage Companion products and/or Crop Input Units by December 31, 2012 and receive a $0.02 per gallon discount on Feast fertilizer until July 31, OR 2. As Magnify LST is sensitive to both hot and cold temperatures, Conklin typically begins shipping Magnify LST in mid to late March depending upon temperature. This is done to avoid freezing the product. Due to this temperature sensitivity, Conklin will not be responsible for back order freight for shipments scheduled before temperature allow safe shipments. 10

Certified Crop Advisor (CCA) : Certified Crop Advisors (CCA) are eligible to receive a 2% discount on all AgroVantage Companion Product purchases. To receive this discount, you are required to send in your CCA card annually for verification.
