IF THE VESSEL, WHETHER IN FREE PRATIQUE OR NOT, IS FOUND BY THE SHIPPER NOT TO BE READY IN ANY OTHER RESPECT TO LOAD AFTER ITS BERTHING, THE SPECIFIC GROUNDS ON WHICH THE VESSEL IS FOUND NOT TO BE READY TO LOAD, SHALL BE RECORDED IN THE STATEMENT OF FACTS AND THE LAYTIME SHALL NOT BE DEEMED TO HAVE COMMENCED UNTIL THE VESSEL IS IN FACT READY TO LOAD IN ALL RESPECTS. (v) TURN TIME / LAYTIME COMMENCEMENT : LAYTIME (I.E. LOADING TIME) SHALL COMMENCE 24 (TWENTY FOUR) HOURS AFTER THE TIME AT WHICH MASTER S NOR IS SERVED & ACCEPTED, WHETHER THE VESSEL IS IN BERTH OR NOT AND IN FREE PRATIQUE OR NOT, UNLESS THE LOADING OF THE MATERIALS SOONER COMMENCED, IN WHICH EVENT LAYTIME SHALL COUNT FROM THE ACTUAL TIME OF COMMENCEMENT OF LOADING. ANY TIME LOST BY THE VESSEL IN WAITING FOR BERTH SHALL ALSO COUNT AS LOADING TIME. IF THE VESSEL ARRIVES AND COMMENCES LOADING BEFORE THE AGREED LAYCAN, THEN, THE LAYTIME SHALL COMMENCE FROM THE TIME OF COMMENCEMENT OF LOADING. (vi) VESSEL AGE: THE AGE OF THE NOMINATED / PERFORMING VESSEL SHOULD BE PREFERABLY LESS THAN 15 (FIFTEEN) YEARS OF AGE BUT UNEXCEEDING 18 (EIGHTEEN) YEARS. IN ANY CASE, VESSELS WITH AGE IS OR DURING THE VOYAGE WILL BE ABOVE 18 (EIGHTEEN) YEARS SHALL NOT BE NOMINATED. (vii) VESSEL ACCEPTANCE BY SHIPPER (SUPPLIER): THE VESSEL NOMINATION MADE BY THE VESSEL OWNER IS SUBJECT TO SHIPPER S APPROVAL AND ACCEPTANCE OF THE VESSEL IN ACCORDANCE WITH THE LOAD PORT REGULATIONS. 2 ANY VESSEL WHICH IS NOMINATED MAY (AND, IF SHIPPER SO REQUIRES BY NOTICE IN WRITING, SHALL) BE VETTED PRIOR TO ACCEPTANCE AT SHIPPER S COST. ASSESSMENT SHALL BE UNDERTAKEN BY SHIPPER S PREFERRED MARINE COMPANY AND IN ACCORDANCE WITH SHIPPER S MARINE VETTING CRITERIA. THE VESSEL OWNER SHALL PROVIDE ALL RELEVANT INFORMATION REQUIRED BY SHIPPER / CHARTERER, ANY RELEVANT TERMINAL OPERATOR AND / OR THE VESSEL MARINE COMPANY FOR THE PURPOSE OF CARRYING OUT SUCH VETTING. IN ALL CIRCUMSTANCES WHERE IT IS RECOMMENDED BY THE MARINE VETTING COMPANY, THE VESSEL IS OR DURING THE VOYAGE WILL BE OVER 15 (FIFTEEN) YEARS OF AGE, VESSEL VETTING SHALL BE EFFECTED BY WAY OF A PHYSICAL INSPECTION OF THE VESSEL TO BE UNDERTAKEN BY SHIPPER S PREFERRED MARINE VETTING COMPANY, AT THE VESSEL OWNER S TIME AND EXPENSE. A VESSEL SHALL BE DEEMED TO BE OVER 15 (FIFTEEN) OR 18 (EIGHTEEN) YEARS OF AGE ONCE THE VESSEL HAS PASSED THE 15 TH OR 18 TH ANNIVERSARY FROM THE DATE OF BUILD. ANY VESSEL VETTED BY WAY OF PHYSICAL INSPECTION SHALL BE APPROVED OR REJECTED BY SHIPPER WITHIN TWO BUSINESS DAYS OF THE DATE OF COMPLETION OF SUCH INSPECTION. NOTWITHSTANDING THE ABOVE, UNLESS PHYSICAL INSPECTION IS RECOMMENDED BY THE MARINE VETTING COMPANY, NO PHYSICAL INSPECTION OF A VESSEL WILL BE NECESSARY IF THE VESSEL HAS BEEN PHYSICALLY INSPECTED AND APPROVED BY A MARINE VETTING COMPANY APPOINTED BY SHIPPER WITHIN THE 12 (TWELVE) MONTHS PRIOR TO THE ESTIMATED DATE OF COMPLETION OF THE VOYAGE. WHERE NO PHYSICAL INSPECTION IS NECESSARY, SHIPPER SHALL NOTIFY THE CHARTERER OF ITS APPROVAL OR REJECTION OF THE VESSEL WITHIN TWO BUSINESS DAYS AFTER RECEIPT OF VESSEL NOMINATION AND ALL RELEVANT INFORMATION REQUIRED FOR VETTING. IN CASE THE VESSEL IS REJECTED AFTER VETTING OR AFTER PHYSICAL INSPECTION WITH THE AGE OVER 15 (FIFTEEN) YEARS, THEN IN ORDER TO FACILITATE THE EARLIEST NOMINATION OF A NEW / SUBSTITUTE VESSEL, THE SHIPPER AND CHARTERER MAY MUTUALLY AGREE TO RE-SCHEDULE THE 10 (TEN) DAY LAYCAN START DATE BY UPTO A MAXIMUM OF 18 (EIGHTEEN) DAYS FROM THE DATE ON WHICH THE SHIPPER COMMUNICATES THE REJECTION OF THE VESSEL TO THE CHARTERER AND SUCH SUBSTITUTE VESSEL SHALL ALSO BE SUBJECT TO APPROVAL IN ACCORDANCE WITH THIS CLAUSE. THE NOMINATED / PERFORMING VESSEL SHOULD PASS ACCEPTANCE BY THE RIGHTSHIP VETTING SYSTEM OR AS ADVISED BY THE SHIPPER. THE LAYDAYS FOR EACH VESSEL SHALL BE 10 (TEN) DAYS. 5.0 DISCHARGE PORT & TERMS : (i) DISCHARGE PORT : GANGAVARAM PORT (GPL). HOWEVER, AT CHARTERER S OPTION VISAKHAPATNAM PORT (VPT) MAY BE NOMINATED (ii) DISCHARGING TERM : SHINC (SUNDAY HOLIDAY INCLUDED). TURN TIME / LAYTIME COMMENCEMENT DISCHARGING UPON ARRIVAL OF THE VESSEL AT THE OUTER ANCHORAGE OR AT THE PILOT STATION OF THE DISCHARGE PORT AND IN FREE PRATIQUE, WHETHER THE VESSEL IS IN BERTH OR NOT, THE MASTER OF THE VESSEL SHALL SERVE ON THE DISPORT THE NOR (MASTER S NOR) OF THE VESSEL TO DISCHARGE CARGO AT ANY TIME IN OR OUT OF THE OFFICE HOURS, PROVIDED THE VESSEL IS IN ALL RESPECTS READY TO (INCLUDING AND VESSEL RELATED PAYMENTS TO PORT) 24 HOURS EVEN IF USED 24 HOURS UNLESS USED. IF DISCHARGE COMMENCED SOONER, LAYTIME SHALL COUNT FROM THE ACTUAL TIME OF DISCHARGE COMMENCEMENT. IF THE 24 HRS TURN TIME EXPIRES ON SATURDAY AFTERNOON, SUNDAY OR HOLIDAY, LAYTIME SHALL COMMENCE AT 0930 HRS ON NEXT WORKING DAY. TERM SHINC (SUNDAY HOLIDAY INCLUDED). SHINC PROVISION TO BE APPLICABLE AFTER COMMENCEMENT OF LAYTIME. AFTER TENDERING NOR & UPON BERTHING, IF THE VESSEL IS FOUND NOT READY IN ALL ASPECTS TO DISCHARGE CARGO, THE NOTICE OF READINESS (NOR) ISSUED SHALL BE INVALID. A FRESH NOR SHALL BE ISSUED WHEN THE VESSEL IS READY FOR DISCHARGE OPERATIONS AND THE TIME LOST DUE TO THIS SHALL NOT BE TO THE ACCOUNT OF CHARTERER, RINL. 6.0 VESSEL DETAILS : (i) VESSEL TYPE : GEARLESS PANAMAX VESSEL SUITABLE FOR SHIPMENT OF THE PARCEL QUANTITY AS PER THE RULES / REGULATIONS / RESTRICTIONS OF BOTH LOAD & DISCHARGE PORTS (ii) VESSEL REQUIREMENT : VESSEL OWNER TO ENSURE THAT THE NOMINATED / PERFORMING VESSEL MEETS ALL THE REQUIREMENTS / RESTRICTIONS ETC. 4 BOTH THE LOAD PORT & DISCHARGE PORT INCLUDING ISM / ISPS CODE BEFORE CALLING AT THE PORTS WITH ALL VALID CERTIFICATES ON BOARD. THE NOMINATED / PERFORMING VESSEL SHOULD BE CLASSED HIGHEST LLOYDS OR EQUIVALENT, BE IN THOROUGHLY SEA WORTHY CONDITION, COMPLY IN EVERY RESPECT WITH ALL INTERNATIONAL & LOCAL REGULATIONS AND ALL REGULATIONS GOVERNING THE CARRIAGE BY SEA OF COKING COAL IN BULK AND SHALL BE MAINTAINED AS SUCH FOR THE DURATION OF THE VOYAGE. (iii) VESSEL PARTICULARS: WHILE NOMINATING, FULL DETAILS OF THE VESSEL INDICATING ASSOCIATED DOCUMENTS E.G.ISSC / ISM / SMC / CERTIFICATE OF CLASS / P & I CLUB CERTIFICATE / DOC / LATEST PORT STATE CONTROL INSPECTION REPORT, ETC WITH DATE OF ISSUE AND DATE OF VALIDITY ALONG WITH VESSEL S POSITION / ITINERARY AND BEST ETA LOAD PORT. VETTING QUESTIONNAIRE DULY FILLED SHOULD ALSO BE SENT ALONG WITH NOMINATION. THE VESSEL OWNER SHALL USE BEST ENDEAVOURS TO ENSURE THAT A VESSEL ACCEPTED BY THE SHIPPER SHALL NOT BE SUBSTITUTED MORE THAN ONCE. PERFORMING VESSEL SHALL BE NOMINATED 10 (TEN) WORKING DAYS PRIOR TO COMMENCEMENT OF LAYCAN IN CASE, SUBSTITUTION OF VESSEL IS NECESSARY. IN CASE THE VESSEL ORIGINALLY OFFERED IS TO BE THE PERFORMING VESSEL, VESSEL OWNER SHALL BE REQUIRED TO CONFIRM THE SAME WITHIN THE DATE BY WHICH SUBSTITUTION OPTION IS TO BE EXERCISED. (iv) OWNERS CONFIRM VESSEL POSSESSES VALID STATUTORY CERTIFICATES AND COMPLIES WITH ALL DIRECTIVES OF GOVERNMENT OF INDIA (GOI) / DG (SHIPPING), GOI REG. SUITABILITY AND ACCEPTABILITY OF VESSEL IN RESPECT OF CLASS / AGE / OTHER TECHNICAL PARAMETERS IN INDIAN WATERS / PORTS. IN CASE OF THE EVENTUALITY THAT DG (SHIPPING), GOI DOES NOT GRANT LICENCE / PERMISSION FOR THE PERFORMING VESSEL DUE TO VESSEL RELATED PARAMETERS / VESSEL CERTIFICATES OR REASONS ATTRIBUTABLE TO THE VESSEL OWNER, ON RECEIPT OF SUCH INTIMATION FROM CHARTERERS, VESSEL OWNER SHALL IMMEDIATELY ARRANGE FOR A SUITABLE PERFORMING VESSEL. IT SHALL BE VESSEL OWNER S RESPONSIBILITY TO NOMINATE A PERFORMING VESSEL THAT IS GRANTED LICENCE / PERMISSION BY DG (SHIPPING), GOI TO FULFILL THIS STATUTORY REQUIREMENT. (v) IN CASE OF DELAY IN ARRIVAL OF THE VESSEL AT THE LOAD PORT BEYOND THE CANCELLING DATE (AGREED LAYCAN) I.E. AFTER THE LAST DAY OF THE LAYCAN, THE CHARTERERS HAVE THE OPTION OF EITHER CANCELLING THE CHARTER WITHIN 2 (TWO) WORKING DAYS OF NOR TENDERING TIME OR CONTINUE WITH THE CHARTER WITH THE TERM 'LAYTIME SHALL COMMENCE FROM THE COMMENCEMENT OF LOADING'. (vi) TIME COUNTING PROVISIONS : AT LOAD PORT : ANY TIME USED ON CHRISTMAS DAY TO LOAD THE MATERIAL INTO THE VESSEL, THE TIME ACTUALLY USED SHALL COUNT AS LAYTIME Page 4 of 7

5 SHORE SIDE DELAYS SUCH AS STOPPAGE OF LOADING FOR MAINTAINING DESIRED UNDER KEEL CLEARANCE, SHIFTING OF THE VESSEL ALONGSIDE THE BERTH (WARPING), PORT DELAYS ETC. SHALL COUNT AS LAYTIME USED. IN THE STATEMENT OF FACTS THERE SHOULD BE PROPER NOTATION AS TO THE DELAYS ATTRIBUTABLE TO SHORESIDE OR TO THE VESSEL. STATEMENT OF FACTS SHOULD BE SIGNED BY ALL CONCERNED. (vii) CP PROFORMA: ALL THE TERMS AND CONDITIONS OF THE FIXTURE SHALL BE GOVERNED AS PER RINL ADAPTED AMWELSH CP PROFORMA FOR SHIPMENT OF COKING COAL (AVAILABLE IN THE DOWNLOAD SECTION OF MJUNCTION PORTAL CUSTOMISED FOR RINL) PREVALENT FOR THE SHIPMENT OF COAL CARGO THROUGH GEARLESS PANAMAX VESSEL. IF THERE IS ANY CONTRADICTION BETWEEN ANY OF THE TERMS & CONDITIONS OF THE RINL ADAPTED CP PROFORMA AND ENQUIRY FOR THE SUBJECT SHIPMENT OF COKING COAL, THE TERMS MENTIONED IN THE ENQUIRY SHALL PREVAIL. (viii) CHARTER PARTY AGREEMENT TO BE SUBMITTED WITHIN ONE MONTH FROM THE DATE OF FINALISATION OF FIXTURE OR BEFORE SAILING OF THE VESSEL FROM THE LOAD PORT WHICHEVER IS EARLIER (ix) THE VESSEL OWNER TO ENSURE SUBMISSION OF ALL THE RELEVANT DOCUMENTS LIKE CP, B/L, SOF & LAYTIME CALC. BOTH ENDS, CLEAR IN ALL RESPECTS, TO CHARTERER WITHIN 15 (FIFTEEN) DAYS FROM THE DATE OF DISCHARGE COMPLETION TO ENABLE CHARTERER RELEASE THE BALANCE 10% FREIGHT TOGETHER WITH DEMURRAGE (IF ANY) OR LESS DESPATCH (IF ANY) WITHIN THE DUE DATE I.E. 120 DAYS OF COMPLETION OF DISCHARGE AT DISPORT. OTHERWISE, THE DUE DATE OF 120 DAYS WILL BE APPLICABLE FROM THE DATE OF SUBMISSION OF ALL THE RELEVANT DOCUMENTS. 7.0 AGENTS: VESSEL OWNER S AGENT AT LOAD PORT AND CHARTERER S AGENT AT DISCHARGE PORT THE LOADPORT AGENT APPOINTED BY THE VESSEL OWNER SHALL ALSO PERFORM THE FUNCTIONS & DUTIES WHICH CHARTERER S AGENTS ARE EXPECTED TO PERFORM AS PER SHIPPING PRACTICES & LOCAL REGULATIONS LIKE PROVIDING ETA NOTICES OF THE VESSEL AT LAODPORT, BERTHING PROSPECTS AND LOADING UPDATES TO THE CHARTERERS, ETC. 8.0 FREIGHT RATE AND DEMURRAGE RATES TO BE OFFERED: FREIGHT RATE SHALL BE QUOTED IN USD PER METRIC TON FIO TRIMMED ONE LOAD PORT / ONE DISCHARGE PORT BASIS LOAD RATE OF 40,000 MT/WWD AND DISCHARGE RATE OF 40,000 MT/WWD DEMURRAGE RATE FOR BOTH LOAD PORT AND DISCHARGE PORT SHALL BE QUOTED IN USD PDPR HD WTS 9.0 OTHERS TERMS: FIRM OFFERS ARE INVITED FROM THE CONCERNED PARTIES THROUGH ONLINE PARTICIPATION IN THE PORTAL ( FOR COVERING ABOVE REQUIREMENT ALONG WITH OWNER S AUTHORITY BY.
