2 Annexure "A" KOLHAPUR ZILLA SAHAKARI DUDH UTP.SANGH LTD., KOLHAPUR =========================================================== Technical Terms & Conditions for Processing, Packing and Cold Storage of Milk at Vashi / Turbhe (Mumbai) 1. The Tenderer shall render the following job-working services, including manpower, to THE DUDH SANGH: a. Receiving and unloading processed milk from tankers, as instructed. b. Receiving, as instructed, washing and stacking received empty crates. c. Receiving and storing film and new/old crates as and when received by Sangh. d. Chilling milk, if so required, as instructed (from 8 deg.c max. down to 4 deg.c). e. Pasteurizing or re-pasteurizing milk, if so required, as instructed. f. Homogenizing milk, if so required, as instructed. g. Packing milk in 1 / 2, 1 and 5 litre pouches, as instructed, and filling 10 liter to a crate. h. Stacking filled crates in the milk store. i. Cold storage of packed milk at approx. 4 deg. C. It is clearly understood that the purpose of cold storage is to maintain, and not to lower, the temperature of packed incoming milk. j. Delivering crate stacks to the Delivery Dock for inspection/collection by THE DUDH SANGH s distributors and / or transporters. k. Handling of leaky-pouch. l. Daily CIP procedures (including Road Tankers) and all milk handling system with required sterility & bacteriological results & MBR will be as per FSSAI Act & Rules & Gokul Norms for Market. m. Gathering and stacking, for prompt and regular disposal by THE DUDH SANGH, broken pouch and crate waste. Page 2 of 9

3 n. Operating and maintaining all machines and systems belonging to Tenderer to give desired services of Pkg. & distribution in time. o. Housekeeping and general security. RESPONSIBILITIES OF THE TENDERER : 1 Tenderer shall carry out all the job-works at its own cost, either directly or through sub-contractors, in a diligent, efficient and professional manner under the direction, control and supervision of THE DUDH SANGH. 2. Tenderer shall duly and efficiently operate, maintain and repair, at its own cost, all its own assets, including buildings, roads, refrigeration systems, pressurized hot water systems, dairy equipment, material handling equipment, electrical, water and drainage systems, other utilities and effluent treatment facilities. 3. Tenderer shall bear all costs, charges, salaries, wages, allowances and benefits in respect of labour, workers, supervisors, staff and managers employed by Tenderer, either directly or through sub-contractors, and Tenderer shall be responsible to comply with all the statutory requirements in respect of such personnel. 4. Tenderer shall bear costs of electricity, water, fuel, detergents, CIP chemicals, machinery spares, refrigerant gases, lubricants, paints, repairs and maintenance required for its own assets. Further, Tenderer shall bear the cost of property taxes, municipal taxes and service charges, lease rent and such other levies on its properties. 5. a) Tenderer shall, at its own cost, comply with its statutory obligations under the Factories Act, Cold Storage Order and Environmental Acts and shall have its own independent licenses/registrations, as required. b) Tenderer shall, at its own cost, comply with its statutory obligations to obtain requisite licence to manufacture and sell products under Food Safety Standards Act 2006 & Rules 2009 and amendments from time to Page 3 of 9

4 time, Weights & Measurements Act & Packing commodity Act and other laws in relation thereto. and rules 6. Tenderer shall allow THE DUDH SANGH to paint their logo / name on a signboard provided for such purpose at the facility. Tenderer shall also provide table space & separate room for use by THE DUDH SANGH staff and record custody. 7. Tenderer Shall maintain the Yield of polythene film and losses of milk as per norms of Sangh & submit usage & Acct. details per day and on monthly basis for control purpose. a) Packing & handling loss maximum 0.3% will be allowed on monthly average basis. Qty- 1 Ltr pouch ml maximum On Average Basis ½ Ltr. pouch ml maximum 8. Tenderer will submit Daily/monthly Report of milk packing details, polythene & crate account. 9. Tenderer will provide & operate well equipped Lab facilities with all required instruments, for chemical and microbiological analysis and give related reports with ref. to Gokul Milk duly signed and validated by QCO/Manager responsible. 10. Tender has to maintain pouch length to get adequate output of 1kg bag ( after allowing film wastage of 2% max. at pkg. upto despatch level. Tenderer shall maintain quality norms as per Sangh s Rules and also Tenderer shall ensure milk quality as per FSSAI chemical and microbiological standards in handling, packaging and Storage and also ensure proper CIP / sterilization of receiving and milk handling lines upto Page 4 of 9

5 packing to maintain MBR and shelf life of milk, at par with receipt MBR of tankers received. 12. Tenderer will maintain and give day to day milk accounts / crates accounts and film accounts to Manager (Vashi) and copy to HO Gokul to ensure and verify control on operation. DUDH SANGH'S RESPONSIBILITIES : 1) THE DUDH SANGH shall oversee the entire job-working operations which will be carried out under its management and directions in professional manner. 2) THE DUDH SANGH shall, at its own cost, deliver processed milk varieties daily to the Tenderer's packing station in road tankers and empty returned crates (free of solid wastes) in trucks/tempos in a planned and scheduled manner. Other inputs, including food grade film rolls and replacement crates, required for the operations shall be periodically delivered to the Tenderer's packing station, at THE DUDH SANGH s cost, in a planned manner. 3) THE DUDH SANGH shall, at all times be the absolute owner and in control and possession of all its goods and things, including milk varieties, film and crates. The quality and quantity of all incoming, inprocess and outgoing goods and things shall be administered, monitored and accounted for by both the parties i.e. Tenderer & THE DUDH SANGH. Tenderer shall handle these with due diligence under the supervision and direction of THE DUDH SANGH at all times. The quality of milk processed or packed, compliance with health, food or other government standards, compliance under the Trade & Merchandise Marks Act, 1959 and accountability to concerned government agencies and public will be THE DUDH SANGH s sole responsibility and THE DUDH SANGH hereby indemnifies and keeps indemnified Tenderer against any claims or consequences on these accounts. 6 4) THE DUDH SANGH shall, at its own cost and under its control and supervision, take delivery every day of packed and crated milk brought out from the Cold Store to the Delivery Dock in stacks by Tenderer. Tenderer will keep vigilance and control through their security staff and supervision for physical stocks leaving tenderer's premises and will control distribution. Losses also below 0.02 % of distribution for all variants. 5) THE DUDH SANGH shall regularly, at its own cost, take away for disposal all its damaged, spoilt or deteriorated goods and materials such as broken crates, waste film / pouches, spoilt milk, etc. 6) All office equipment, furniture, air-conditioners, computers, telephones, fax machines and appliances, and stationary, consumables for these, will be provided / installed / used by THE DUDH SANGH at its own cost. 7) THE DUDH SANGH shall, at its own cost, depute and station adequate managerial, administrative, technical and supervisory personnel to carry out its responsibilities at the facility. 8) THE DUDH SANGH shall, at its own cost, comply with its required Licenses under various statutes, including but not limited to the regulation under food safety & standards Act 2006 and Tenderer shall be responsible for Weights & Measures Regulations under Packaging Commodity Rules 1977, Weights & Measures Regulations, Trade & Merchandise Marks Act, 1956 and shall have its own independent licenses/registrations, as required. 9) THE DUDH SANGH shall ensure that none of their or their agents personnel reside at the facility. 7 INSURANCE & DISCLAIMER : Tenderer and THE DUDH SANGH shall each insure their own assets, goods and things at their own costs. In the event of loss, destruction, damage or deterioration of assets, goods or things for any and whatsoever reason(s), the parties hereto shall raise claims under their own independent insurance policies and shall not claim or hold the other party responsible or liable for such loss, destruction, damage or deterioration of their respective assets, goods or things. CHARGES :- (a) The tenderer shall fill the job-work charges for all works as specified. (b) There will be no daily minimum guarantee for packing or pasteurizing milk. (c) From time to time THE DUDH SANGH may send pre-packed crated milk to Tenderer's Packing / Cold Store to store and subsequent distribution to fulfill the requirement of Distributor. (d) Should any additional services not specified herein (such as standardization, separation, processing, homogenization, chilling etc.) be required, the charges for these shall be determined as may be mutually agreeable. e) Dudh Sangh shall pay any job-works tax, works-contract tax, sales tax, excise duty, service tax if any or any other tax, duty or cess be levied on the job-work charges, THE DUDH SANGH shall bear this in its entirety. f) All job-work charges stated herein are for the tender period from Commencement date. If there is escalation in electricity & other charges Break of cost component to be given by Tenderer & will be reviewed mutually for escalation if any. g) Sangh will consider any escalation on the basis of any escalation in variable cost of operation based on analysis and recommendations of our Cost Manager to our Management for given work platform and methodology to tenderer during agreement. PAYMENT : a) Tender shall raise fortnightly bills to the DUDH SANGH and payments, subject to tax deduction at source, will be paid by THE DUDH SANGH by cheque /draft drawn at par on a Mumbai Bank Branch strictly on or before the seventh day following the fortnight billed for. b) Payment shall be made within 7 days after receiving certified Bills from Vashi Branch to Finance at Head Office in Gokul. 8 ANNEXURE "B" KOLHAPUR ZILLA SAHAKARI DUDH UTP.SANGH LTD., KOLHAPUR ================================================================== GENERAL TERMS AND CONDITIONS OF TENDER 1) The period of tender will be from 1st June 2018 to 31st May 2021.Sangh may extend period by 6 month. 2) The tenderer should make available Packing Unit having capacity of 1 lac to 1.5 lac liters/day for handling job work of Packaging and Distribution of Gokul Milk. 3) The tenderer should have all the statutory licenses and approvals of Govt. Authorities viz. ISO 22000:2005, HACCP, Food Safety Management System and other Statutory requirement viz. Weights & Measure requirements and approval, for any organization in Food / Milk / Processing. Tenderer also should comply code of hygiene as per FSSAI schedule and norms. 4) Tender must be submitted on the prescribed Tender form only. 5) Earnest Money Deposit of Rs.10,00,000/- (Rupees Ten Lac only) must be deposited through RTGS or alongwith the Tender by Demand Draft of any nationalised bank payable at Mumbai / Kolhapur drawn in favour of " Kolhapur Zilla Sahakari Dudh Utpadak Sangh Ltd.,Kolhapur".Tender without EMD will not be considered. After negotiation, those tenderer who have not allotted tender, their Earnest Money Deposit will be returned without interest after producing original receipt alongwith request letter. 6) The tenderer can download blank tender forms from sangh website : In this case tenderer should deposit Tender Form Fee Rs. 5000/- plus GST and EMD Rs. 10,00,000/- on our following RTGS accounts. a) Name : Kolhapur Zilla Sahakari Dudh Utpadak Sangh Ltd., Kolhapur b) Name of Bank : State Bank of India c) Bank Branch : Gokul Shirgaon, Tal. Security deposit will be refunded after completion of tender period. 9) Sealed Tender duly marked as ' Tender for Processing, Packing and Cold Storage of Milk at Vashi / Turbhe (Mumbai) ' should reach our office at Vashi Branch, Plot No. 40/4-5, MAFCO Area, Sector 18, Turbhe, Navi Mumbai on or before ) Tenderer should submit Two separate envelopes i.e one for Tender and another for D.D. as EMD. Tenderer should not attach D.D. alongwith the Tender Form. Page 8 of 9

9 11) The Tenderer should attend the Board Meeting for negotiation on his own cost. The date of the Board Meeting will be informed to the Tenderer in advance. If the tenderer is not able to attend Board Meeting, the Tenderer's authorised representative may attend the Board Meeting with an authority letter. 12) Kolhapur Court shall have jurisdiction for any disputes arises during tender period as our administrative / registered office is at Kolhapur. 13) Sangh have right to extend or terminate agreement period of successful tenders due to fault of services or quality issues. 14) Successful tenderer has to become 'B' class member of Kolhapur Zilla Sahakari Dudh Sangh Ltd. before execution of the agreement. 15) Tenderer has to submit location plan, machine lay-out with details of Plant & Machinery Capacities along with Cold Store Capacities and details of technical / quality control manpower and details of employee strength to ensure capability of operation and handling along with the Tender. Also, attach list of clients and their present handling and available capacity for Gokul. Gokul should get independent storage facility with secured separate custody for our stocks. 16) Tenderer should submit xerox copies of all documents duly attested by notary or Govt. Gazetted Officers should be attached with the Tender and original will be verified at the time of Tender negotiation. 17) The Sangh reserves right to accept or reject any or all Tenders without assigning any reasons. -2- Manager (Vashi Br) General Manager(Dairy) Page 9 of 9
