2 Antitrust Cmpliance Guidelines I. General It is NERC s plicy and practice t bey the antitrust laws and t avid all cnduct that unreasnably restrains cmpetitin. This plicy requires the avidance f any cnduct that vilates, r that might appear t vilate, the antitrust laws. Amng ther things, the antitrust laws frbid any agreement between r amng cmpetitrs regarding prices, availability f service, prduct design, terms f sale, divisin f markets, allcatin f custmers r any ther activity that unreasnably restrains cmpetitin. It is the respnsibility f every NERC participant and emplyee wh may in any way affect NERC s cmpliance with the antitrust laws t carry ut this cmmitment. Antitrust laws are cmplex and subject t curt interpretatin that can vary ver time and frm ne curt t anther. The purpse f these guidelines is t alert NERC participants and emplyees t ptential antitrust prblems and t set frth plicies t be fllwed with respect t activities that may invlve antitrust cnsideratins. In sme instances, the NERC plicy cntained in these guidelines is stricter than the applicable antitrust laws. Any NERC participant r emplyee wh is uncertain abut the legal ramificatins f a particular curse f cnduct r wh has dubts r cncerns abut whether NERC s antitrust cmpliance plicy is implicated in any situatin shuld cnsult NERC s General Cunsel immediately. II. Prhibited Activities Participants in NERC activities (including thse f its cmmittees and subgrups) shuld refrain frm the fllwing when acting in their capacity as participants in NERC activities (e.g., at NERC meetings, cnference calls and in infrmal discussins): Discussins invlving pricing infrmatin, especially margin (prfit) and internal cst infrmatin and participants expectatins as t their future prices r internal csts. Discussins f a participant s marketing strategies. Discussins regarding hw custmers and gegraphical areas are t be divided amng cmpetitrs. Discussins cncerning the exclusin f cmpetitrs frm markets. Discussins cncerning byctting r grup refusals t deal with cmpetitrs, vendrs r suppliers.

3 Any ther matters that d nt clearly fall within these guidelines shuld be reviewed with NERC s General Cunsel befre being discussed. III. Activities That Are Permitted Frm time t time decisins r actins f NERC (including thse f its cmmittees and subgrups) may have a negative impact n particular entities and thus in that sense adversely impact cmpetitin. Decisins and actins by NERC (including its cmmittees and subgrups) shuld nly be undertaken fr the purpse f prmting and maintaining the reliability and adequacy f the bulk pwer system. If yu d nt have a legitimate purpse cnsistent with this bjective fr discussing a matter, please refrain frm discussing the matter during NERC meetings and in ther NERC-related cmmunicatins. Yu shuld als ensure that NERC prcedures, including thse set frth in NERC s Certificate f Incrpratin, Bylaws, and Rules f Prcedure are fllwed in cnducting NERC business. In additin, all discussins in NERC meetings and ther NERC-related cmmunicatins shuld be within the scpe f the mandate fr r assignment t the particular NERC cmmittee r subgrup, as well as within the scpe f the published agenda fr the meeting. N decisins shuld be made nr any actins taken in NERC activities fr the purpse f giving an industry participant r grup f participants a cmpetitive advantage ver ther participants. In particular, decisins with respect t setting, revising, r assessing cmpliance with NERC reliability standards shuld nt be influenced by anti-cmpetitive mtivatins. Subject t the freging restrictins, participants in NERC activities may discuss: Reliability matters relating t the bulk pwer system, including peratin and planning matters such as establishing r revising reliability standards, special perating prcedures, perating transfer capabilities, and plans fr new facilities. Matters relating t the impact f reliability standards fr the bulk pwer system n electricity markets, and the impact f electricity market peratins n the reliability f the bulk pwer system. Prpsed filings r ther cmmunicatins with state r federal regulatry authrities r ther gvernmental entities. Matters relating t the internal gvernance, management and peratin f NERC, such as nminatins fr vacant cmmittee psitins, budgeting and assessments, and emplyment matters; and prcedural matters such as planning and scheduling meetings. 7 Sectin 1: Purpse The Prject Management and Oversight Subcmmittee (Subcmmittee) wrks clsely with NERC staff and the standards drafting teams (SDTs) t aggressively manage the timely develpment and maintenance f a cmprehensive set f wrldclass results based Reliability Standards. The Subcmmittee reprts t the full Standards Cmmittee (SC). Sectin 2: Overview and Functins The Subcmmittee shall have, at a minimum, the fllwing duties: Wrk clsely with NERC staff, standard develpers and the SDTs t establish milestnes and deadlines fr all SC wrk activities including respnding t SARs, executing standard prjects, and btaining industry, NERC BOT and FERC apprval while ensuring SDTs are adhering t standard drafting principles; Actively mnitr and manage the versight f SDT milestnes and deadlines, and extend r expedite milestnes and deadlines, as apprpriate; Wrk with NERC staff t develp and refine prject management tls fr tracking prjects and cmmunicating the status r prjects; and Track the status f all existing and pending Reliability Standards, including when a Reliability Standard is cnsidered cmpleted (i.e., is Results based, includes self crrecting language where apprpriate and has had P81 cncepts applied). Wrk with NERC staff t develp prject timelines prir t the slicitatin f a SDT, s that prspective members f an SDT can understand and cmmit t meeting the prject timeline, including milestnes, at the time f their nminatin and appintment. Assist NERC staff and ther NERC cmmittees t evaluate the cmpleteness f the technical basis fr prpsed SARs and standard prjects and make a recmmendatin t the SC; Supprt all SAR drafting teams and SDTs by prviding any specialized resurces as may be needed t reslve issues and increase prductivity and quality as needed t reach cnsensus and/r meet its milestnes and deadlines; Assign Pints f Cntact fr each active Standard develpment prject wh will prvide versight and supprt and maintain regular cntact with the SDT Chair and NERC Standard Develper. Ensure SDTs review their wrk with stakehlder technical experts and NERC technical, standing and reginal cmmittees fr cnsultatin, cmments and endrsement, as needed. Ensure SAR drafting teams and SDTs use infrmal methds t actively gain cnsensus during bth the infrmal develpment perid as well as during the frmal prject develpment perid. Sectin 3: Accuntability and Reprting The Subcmmittee is accuntable t the full SC and will reprt n the status f all SDT activities and any issues at regularly scheduled SC meetings and calls. The Subcmmittee will develp prject management tls (such as dashbards, prject charting) fr its wn purpses and reprting t the SC. Sectin 4: Membership General Subcmmittee membership is pen t SC members and ther interested parties. The SC chair and vice chair will participate and supprt the Subcmmittee as nn members. 8 Chair and Vice Chair The Chair and Vice Chair shall be appinted by the SC. Members The Chair and Vice Chair shall select the members f the Subcmmittee. Size The Subcmmittee shall be limited t eight active members. Sectin 5: Meetings Cnducting Meetings The Subcmmittee chair will set the agenda and preside ver the meetings and calls. The chair may transfer this authrity t the vice chair fr shrt perids f time, including when absent frm a meeting r call. Meeting Ntes Meeting ntes will include the date and time f the meeting, attendance and a summary f significant actins taken. The meeting ntes shall be psted in the NERC website. Open Meetings Subcmmittee meetings are pen t any and all bservers. Sectin 6: Apprval This Charter shall be effective upn apprval f the SC.
