Authorized Account Holder means the natural person who is assigned to an address by an Internet access provider, online service provider, or other organization that is responsible for assigning e- mail addresses for the domain associated with the submitted address. Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void. The Sponsor is not responsible for: (i) lost, late, misdirected, damaged or illegible entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to entrant s or any other person s computer related to or resulting from participating in the Sweepstakes. By participating in the Sweepstakes, you (i) agree to be bound by these official rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor, which are final and binding in all matters relating to the Sweepstakes. Failure to comply with these official rules may result in disqualification from the Sweepstakes. Sponsor reserves the right to: (i) permanently disqualify from any Sweepstakes it sponsors, any person it believes has intentionally violated these official rules; and (ii) withdraw the online entry and Sweepstakes if it becomes technically corrupted (including if a computer virus or system malfunction inalterably impairs its ability to conduct the Sweepstakes), and to select winners from among all eligible entries received prior to withdrawal. SWEEPSTAKES DESCRIPTION: The Kayem Ultimate Patriots Fan Experience Sweepstakes (the Sweepstakes ) is sponsored by Kayem Foods, Inc. (the Sponsor ). Sponsor will award a total of four (4) Prizes as detailed in the Prize section below. ELIGIBILITY: No purchase or payment is necessary to enter or win this Sweepstakes. The sweepstakes is open to legal U.S. residents who are 18 or older at the time of entry, and who reside in one of the following states: Connecticut, Massachusetts, Maine, New Hampshire, Rhode Island or Vermont. Employees of Kayem Foods Inc. (the "Sponsor"), NPS LLC, New

2 England Patriots LLC, and their subsidiaries, affiliates, advertising and promotion agencies, and the immediate family members of, and/or those living in the same household of each, are not eligible to enter. THE SWEEPSTAKES IS VOID WHERE PROHIBITED OR RESTRICTED BY LAW and is subject to applicable federal, state and local laws and regulations. SWEEPSTAKES ENTRY: Visit and complete entry form to enter the sweepstakes. Follow all entry instructions to complete and submit the online entry form. Online entries must be received between 10:00 AM, Eastern Time ( ET ) Monday, August 31, 2015 and 9:59 AM Eastern Time ( ET ) Friday, October 2, 2015 (the "Sweepstakes Entry Period"). Online entrants are subject to all notices posted online including but not limited to the Sponsors Privacy Policy. Limit: One entry per person, per day. A day is defined by each 24 hour period during the sweepstakes entry period beginning at 10:00:00 am ET and ending at 9:59:59 am ET. In the event of a dispute, online entries will be deemed to have been submitted by the Authorized Account Holder of the address submitted at the time of entry. "Authorized Account Holder" means the natural person who is assigned to an address by an Internet access provider, online service provider, or other organization that is responsible for assigning addresses for the domain associated with the submitted address. RANDOM DRAWING: The winner will be selected in a random drawing on or about Friday, October 2, 2015, from among all eligible entries received through online entry form. Random drawing will take place via a third party random number generator. Winners will be notified on or about Friday, October 2, 2015 and have 48 business hours to respond and accept the prize. If winners have not responded within designated time, they will forfeit their prize and a new winner will be selected. All decisions by Kayem in relation to the Sweepstakes are final and binding. PRIZES: PRIZE CONDITIONS: Winner will be notified by , and will be required to reply within 48 hours of winner notification. Winner of the Grand Prize will also need to sign an Affidavit of Eligibility, which will be sent and requested back within 48 hours of accepting the Grand Prize. Prompt response to the Affidavit of Eligibility will be necessary to secure the awarding of the Grand Prize. ODDS OF WINNING WILL DEPEND UPON THE TOTAL NUMBER OF ELIGIBLE ENTRIES RECEIVED. GRAND PRIZE: Total Approximate Retail Value ( ARV ) of the Grand Prize is: $2, One (1) GRAND PRIZE winner will receive: Two (2) club seat tickets to the Patriots vs. Jets game on 10/25/15 One (1) VIP parking pass Two (2) tickets to the Patriots Official Pre-Game Tailgate Party One (1) Official Patriots jersey and one (1) autographed football A Kayem Grill Kit and twelve (12) Coupons good on a FREE package of any Kayem Frank or Sausage up to 20oz The opportunity, subject to the rules and regulations of the New England Patriots, for the Grand Prize winner to go on the field before the Patriots vs. Jets game on October 25, 2015, and retrieve the tee after the kickoff.

3 SECOND PLACE: Total Approximate Retail Value ( ARV ) of the SECOND PLACE Prize is: $ Each Kayem Grill Kit estimated at $50.00 retail value. Each coupon good up to $5.99 retail value. Three (3) SECOND PLACE winners will receive: One (1) piece of Autographed New England Patriots merchandise One (1) Kayem Grill Kit Twelve (12) Coupons good on a FREE package of any Kayem Frank or Sausage up to 20oz The grand prize package will be awarded 10/25/15 at the New England Patriots home game. The Grand Prize has no cash value and may not be sold or exchanged for cash, but the winner may assign another person to take their place at the game for any personal reason, with the written consent of the notifying Kayem representative. All charges, fees, and costs not specifically included in the prize descriptions above, including but not limited to personal incidental items, transportation, taxes, souvenirs, gratuities, and licenses, are the responsibility of the respective Prize Winner(s) and their guests. Winner acknowledges that Kayem Foods Inc., New England Patriots LLC & NPS LLC, their affiliated companies and all other businesses involved in this Sweepstakes, as well as the employees, officers, directors and agents of each, do not make, nor are in any manner responsible for, any warranty, representations, expressed or implied, in fact or in law, relative to the quality, conditions, fitness or merchantability of any aspect of the prize being offered, except that the prize shall be subject to prize provider s standard warranty/guarantee/terms (if any). The second place prizes will be awarded within 48 days of formal acceptance of the prize. If a prize notification or prize is returned as undeliverable, it will result in disqualification, and the prize will be awarded to an alternate winner in a separate random drawing. Entry and acceptance of any prize constitutes permission to use winner's name, prize won, hometown and likeness for online posting and promotional purposes without further compensation, except where prohibited by law. Prize is guaranteed to be awarded. AFFIDAVIT OF ELIGIBILITY AND PUBLICITY RELEASE: Where permitted by law, winners and participants grant Kayem, their subsidiaries, affiliates and those acting pursuant to their authority, the right to print, publish, broadcast and use, worldwide in any media now known or hereafter developed, including but not limited to the world wide web, at any time or times, the winners and participants' names, portraits, pictures, voices, likenesses, the identity of their city and state of residence and biographical information for advertising and promotional purposes without additional consideration. Except where prohibited by law, winners and participants will be required to sign an Affidavit of Eligibility and Release. Parents and/or guardians will be required to sign off on behalf of all minors. Failure by any winner or participant to comply, or return any required releases and related documentation, may result in forfeiture of the prize for all winners and participants. GENERAL: Participating entrants agree to these Official Rules and the decisions of the Sponsors, and release Kayem Foods Inc., New England Patriots LLC & NPS LLC, and their affiliated companies and all other businesses involved in this Sweepstakes, as well as the employees, officers, directors and agents of each, from all claims and liability relating to their participation, acceptance and use/misuse of the prize offered. If, for any reason, the Sweepstakes is not capable of running as planned because of circumstances or causes, which, in the Sponsors sole discretion, affect the administration, security, fairness, or proper conduct of this Sweepstakes, Sponsors reserve the right to terminate, modify or suspend the affected portion of the Sweepstakes and to select winners from entries received prior to such an action.
