9 FRAMEWORK CONTRACT FOR PARTICIPATION ON THE HANNOVER-STAND PAGE 9/ 13 is organising the HANNOVER-Stand at CeBIT and HANNOVER MESSE in Hannover, in the months of March and April respectively (hereinafter referred to as: fair). is pleased to offer selected companies the opportunity to participate as co-exhibitors. Co-exhibitor refers, within the specifications of the service package booked for the respective fair, to: Stand-, Logo- and Sponsor-partners, as well as Business-guests (hereinafter referred to as co-exhibitors). The companies shall be represented by the person providing the legally binding signature to this framework contract and shall participate on the HANNOVER-Stand as co-exhibitors. 1. HANNOVERIMPULS SERVICES General: is responsible for the overall co-ordination of planning and organisation in the leadup to and for operating the fair stand during the fair. is responsible for registering the stand and co-exhibitors with the fair operator. In particular and specifically, shall be responsible for the stand assembly costs, lease costs for the area, registration and compulsory entry costs for co-exhibitors with the fair operator and/or stand related services and operations. Hannoverimpuls is entitled to its own debt to contract third parties to provide the described services. Co-exhibitors shall only receive those services as specified under the terms of the respectively booked package: Our service offer for co-exhibitors. On first principles, Sponsor-partners receive the same service package as Stand-partners. Special services tailored specifically for Sponsor-partners shall be subject to separate agreements. Under the terms of the package booked, the logo of co-exhibitors shall be visibly displayed on the stand. The name of co-exhibitors shall be included in communications organised by for the fair presence (internet website, social media and press information as appropriate). Both parties enter the obligation to reciprocally link their respective websites from by latest 4 weeks before the start of fair. The workplaces at the Hannover stand comprise islands, made up of an ensemble of 2 work counters, to be shared by in each case by two Stand-partners. Each Standpartner shall be allocated a workplace/counter place on the fair stand for own use. The workplace shall be marked with the Stand-partner s logo. The Stand-sponsors are entitled to apply for a workplace outside of a workplace island, subject to availability. Exhibits are not intended for showcasing at CeBIT. A special area may be ordered upon timely registration with for an additional fee. Minimum order area: 1 m 2 basic area for the exhibit plus 0.5 m 2 access (total: 4 m 2 ). Exhibits are HANNOVER MESSE are planned with a coverage size of 1 m 2. The corresponding area is included in the participation fee. Larger areas plus an additional 0.5 m 2 access area may be booked subject to fees and timely registration with. An area of 2 m 2 for exhibits is included in the participation fee of Stand-sponsors. Reflecting the HANNOVER-Stand corporate design, reserves the right to refuse specific exhibits or displays for technical or design reasons. Roll-ups and banner displays are not permitted. Stand-partners have the option of using the stand s fixtures and fittings (bar, workplaces, shared communication area, presentation area and lounge) for meetings at the fair subject to availability. All Stand-partners may use presentation area with one slot free of charge subject to reservation 4 weeks before start of fair. This free service expires at that time. The use of the presentation slots may be reserved only by way of the online reservation system and may only be reserved for live presentations that are really intended. In order to ensure adequate and efficient usage of the presentation area and the space

The use of the lounge may be reserved only by way of the online reservation system and may only be reserved for appointments that are really intended. 2. CO-EXHIBITOR OBLIGATIONS General: In order to be qualified to showcase on Hannover stand, the company or branch offices must be domiciled in Hannover Region and entered in the company register or have business contacts with GmbH. All partners have identical obligations towards within the provisions of the booked service package. shall organise/operate the HANNOVER-Stand during the fair period including stand management and catering and the provision of coexhibitors with beverages and snacks at meal times. Co-exhibitor customers may partake of beverages. The fair stand shall be under security surveillance outside of opening hours. This notwithstanding, accepts no liability during such periods for damage to or loss of co-exhibitor property (exhibits, computers, personal belongings of employees). Exceptions hereto are gross negligence and intent. shall arrange special insurance cover with the fair operator s contract partners for each fair covering presentation equipment and exhibits of Standpartners to in each case a maximum sum of 1, (CeBIT) or 2, (HANNOVER MESSE). This insurance cover shall be provided throughout the duration of the fair. In formal terms, co-exhibitors may be classified for participation as a co-exhibitor at Hannover stand as junior stand-partners if the company is a start-up or has been established in the market for less than 3 years. Senior stand-partners are such organisations that have been established for more than 3 years. Sponsor standpartners are companies which have been established for more than 10 years and have more than 250 employees. Irrespective of the classification, co-exhibitors may participate at the fair as Logo-partners or as Businessguests. Certain stand usage restrictions then apply. Unless otherwise agreed, Stand-partners themselves shall be responsible for erecting and making ready their exhibits and workplace on the stand between and on the day before the fair opens. This is the only way that Stand-partners can prepare their workplace and identify and remedy any irregularities in a timely fashion prior to the start of the fair. shall be responsible for all costs for the services relating to fair organisation and the HANNOVER- STAND in accordance with the documents: Our service offer for co-exhibitors. Any and all services beyond the scope specified above, e. g. ordering extra areas for exhibits, press-boxes, additional advertising media are subject to separate agreements and the payment of additional fees where applicable. Cancellation clause: reserves the right to cancel participation of co-exhibitors at the respective fair (CeBIT or HANNOVER MESSE) in the event that the minimum number of 10 participants required for each fair have not registered by 8 weeks prior to the respective fair. Stand-partners are themselves responsible for delivery and return transport of exhibits to and from the fair stand and are also responsible for any insurance considered necessary. On demand, shall provide support by way of contractors at extra cost (special service). Stand-partners shall ensure that their workplace is continuously staffed throughout the fair opening hours, Generally, only one company is authorised per workplace. On demand, we will be pleased to prepare a tailored concept for your corporate fair presence subject to separate fees (special service). Stand partners enter the obligation to report any staff not in their employ or if appropriate register as logo partners or business guests. Co-exhibitors selecting the Logo-partner special offer may use the infrastructure and services provided at Hannover

In principle, they have no right to their own dedicated workplace or exhibition areas except and where in co-operation with a Stand-partner. The Business guest co-exhibitor special package entitles to use of the communication area according to capacity and availability for organising own appointments including use of lounge and wardrobe. Snacks and provision of drinks for own guests during the entire fair period. Other claims are excluded. Stand-partners shall provide their own stand staff with own fair name badges. Upon request, can provide support in producing stand name badges including name and company logo of the co-exhibitor. Name badges with corporate logos not officially represented on the stand are not authorised. and co-exhibitors enter the reciprocal obligation to provide links to their respective internet sites from at the latest 4 weeks prior to the start of the fair and as a minimum up to the end of the fair. In order to ensure smooth organisation of the planning and lead-up phase, co-exhibitors shall name on a timely basis a contact person authorised to represent the company and who has responsibility for coordination, attending joint meetings and running the fair participation. Any documents and information required from the co-exhibitor for the planning and preparation phases shall be provided by the named contact person upon demand and without delay. Co-exhibitors share responsibility for the marketing of the HANNOVER-Stand as a joint stand. Co-exhibitors are themselves responsible for the marketing of their own offers, in particular in their own sphere of activity. Co-exhibitors shall pay for the use of HANNOVER-Stand: the amount due is specified as the participation fee on the administration form at the end of this document. Unless otherwise regulated, this fee shall be due in full 6 weeks prior to the start of the respective fair. Should a co-exhibitor cancel participation after expiry of the deadline specified above for the respective fair, the payment obligation remains in full; any pre-payments made shall not be reimbursed. 3. REGISTRATION, PRICE AND MISCELLANEOUS The registration for participation at the fair on the HANNOVER-stand takes place in two phases: 1) As confirmation and written application, please completely fill out the form HANNOVER-Stand Legally Binding Application, have it signed by an authorised officer of your company, and send it to us by fax ( ) or as an (veranstaltungen@.de). This includes your express agreement with the conditions stipulated in the framework agreement and acceptance of these conditions. 2) Your participation at the fair on the Hannover stand is, however, only then valid following your online entry of your corporate data in our online portal, otherwise you will not be considered. Your official registration with the fair operator is only then possible when both forms are received in writing and online. Confirmation of the registration by shall take place within one week. The exact price categories and terms and conditions of participation are available on the last page of this framework agreement: Legally binding registration as co-exhibitor. Special conditions and discounts for early registration are only available subject to availability and in compliance with the corresponding deadlines. In order to benefit from the early booking discount, the registration must be received by for CeBIT or HANNOVER MESSE by latest 4 months prior to starting date of the fair. For details of the deadline please refer to the last page of this framework agreement Binding registration as co-exhibitor. Co-exhibitors who have participated on the Hannover stand for several years can support Hannover stand not only as a stand partner but also as a multiplier. These parties enjoy a discount bonus on their own stand participation of up to 500. The bonus amounts to 250 for each new and previously unknown Stand-partner to the HANNOVER-stand and applies to a maximum of two new partners. If you are interested in this offer, you only need to indicate your wish to act as a multiplier by circling the word yes in the appropriate place in the registration forms. If mediation is successful, the aforementioned discounts shall be automatically deducted from your invoice.
