1 Porter s 10 th Birthday Book & Win Contest Porter s 10 th Birthday Book & Win Contest (the Contest ) is conducted by Porter Airlines Inc. and Porter Escapes Inc., Ontario corporations (the Sponsor ). The information you provide will only be used for the administration of this Contest and in accordance with the Sponsor privacy policy (see below). 1. ELIGIBILITY: Contest is open to all Canadian residents, excluding residents of Quebec, who at the time of entry have reached the age of majority in their province or territory of residence and who are employed as a travel agent with a valid IATA or TICO number with the Sponsor. Employees, representatives or agents (and those with whom such persons are domiciled) of the Sponsor, Porter Escapes Inc. and Porter Escapes, their affiliated companies, and their respective advertising or promotional agencies are not eligible to enter. Bookings that are ineligible for contest entry are as follows: Consumer bookings (made through B2C channels), Codeshare bookings, Interline bookings, Travel Agent Discounted rate bookings (AD or FAM Travel), Complimentary flight voucher redemption, VIPorter points redemption or Online travel agent (OTA) bookings. 2. CONTEST PERIOD: Entry into the Contest commences at 12:01 a.m. ET on September 28 th, 2016 and closes at 11:59 p.m. ET on October 31 st, 2016 (the Entry Period ). 3. ELIGIBLE BOOKINGS: Flight bookings made with Porter Airlines or package bookings with Porter Escapes between September 28 th, 2016 at 12:01 a.m. ET and October 31, 2016 at 11:59 p.m. ET (the Booking Period ) of any fare class on any route operated by Porter Airlines, subject to the exclusions set out in Section 1 above, are eligible ( Eligible Booking ). 4. HOW TO ENTER: There are two (2) methods of entering the contest, as follows: PURCHASE ENTRY: Once you have completed an Eligible Booking, a. Log onto the appropriate site with your login credentials: (i) AIR ONLY: Log onto the agent portal site at flyporter.com/agent, or (ii) PACKAGE BOOKINGS: Log onto agent portal site at porterescapes.com/agent b. Complete the Contest Entry form, and then c. Submit the Entry Form. Each valid and complete entry will earn you one ballot in the Contest draws as described below (limit one Entry per Eligible Booking). Each booking must have at least one flight segment booked to be considered a valid entry.

2 Failure to complete all required fields on the Entry Form will result in a void entry. Each Eligible Booking (collectively the Entries ) can only be entered one time. Duplicate Entries will not be accepted and no ballots will be allocated. The validity of each entry submitted will be verified by the Sponsor. Any Entries submitted based on a booking made outside the Booking Period or received outside the Entry Period will be considered null and void. There is no limit to the number of Entry Forms you can submit during the Entry Period. This is an individual contest. Entrants that have pooled bookings will be disqualified and will be ineligible to win a prize. NO PURCHASE NECESSARY. To enter without purchase, you must provide your last name, first name, complete mailing address, phone number, address, IATA/TICO number and a minimum 200 word hand-written, original essay on The benefits of booking with Porter and mail to: Porter Airlines Inc. c/o Agency Sales department, Billy Bishop Toronto City Airport, Toronto, Ontario M5V 1A1. There is no limit to the number of nopurchase entries, however, each mail entry must be mailed in a separate outer envelope, bearing sufficient postage, and post marked within the Contest Period. All mail entries must be received within five (5) business days of the end of the Contest Period to be eligible to win a Grand Prize. Each eligible mail-in purchase entry will qualify as one (1) ballot entry into the Contest draw. Mechanically produced or copied entries will not be accepted. The Sponsor is not responsible for lost, late, illegible, incomplete, misdirected or entries mailed with insufficient postage. 5. PRIZES: Entrants will have a chance to win one of 4 weekly prizes, and 3 grand prizes. Entries completed in accordance with these Rules will be entered for a chance to win one of the Prizes available to be won. Winners of the Weekly prizes are also eligible to win one of the Grand Prizes. The Prizes are as follows, each subject to the terms and conditions set out in Section 7 below: a. Weekly Prizes: (a) 4 Weekly prizes of 25,000 VIPorter Points, 1 prize drawn each week of the contest. b. Grand Prizes: (a) 3 Grand Prizes of a Porter Escapes travel package for two adults: (i) Grand Prize #1 7 night Cruise vacation onboard choice of Norwegian Cruise Lines Epic (Orlando itineraries) or Norwegian Cruise Lines Breakaway (New York itineraries) in a balcony stateroom, including round trip Porter flights with an approximate value of $8000CAD (ii) Grand Prize #2 New York weekend for two at the Omni Berkshire, including round trip Porter flights with an approximate value of $4500USD (iii) Grand Prize #3 Toronto weekend for two at the Hilton Toronto, including round trip Porter flights with an approximate value of $3900CAD

3 6. PRIZE RESTRICTIONS: Each entrant is only eligible to win one (1) of the four (4) Weekly Prizes, and one (1) of the three (3) Grand Prizes. Fees, taxes and surcharges are not included and must be paid for by the Grand Prize winner with a valid credit card in their name at the time of booking the Grand Prize. Grand Prizes are valid for travel until October 31 st, 2017 unless stated otherwise. Changes and extensions to any expiry date are not permitted. Weekly Prizes of VIPorter points are subject to the terms of the program found at Weekly prize winners will require an active VIPorter account. Points are not transferable and have no cash value. VIPorter points will be deposited within 6 weeks of the Contest closing. Grand Prizes require a minimum of 30-days advance notice of booking, and are subject to availability and promotional space on the desired flight and hotel/cruise at the time of booking. All prizes are for select travel dates only, subject to availability, and blackouts may apply. All Grand Prize bookings are completed by Porter Escapes. 4 Grand Prize #3: 2-night Toronto weekend getaway Approximate value: $3900CAD Includes: Flights Round-trip flights for two to Toronto (YTZ) on Porter Airlines Hotel 2 nights at Hilton Toronto in a guest room, based on double occupancy Continental breakfast daily Travel Up to October 1 st, 2017 Period Subject to availability Excludes: Flight taxes and fees Ground transfers All promotional flights and packages are non-commissionable. Weekly and Grand Prize Winners and designated travel companions are responsible for all expenses other than those mentioned for the prizes, including but not limited to ground transportation to and from gateway airports, meals, accommodation, telephone, fax or cable charges, merchandise, souvenirs, travel insurance, travel documentation, hotel incidentals and all other personal expenses of any kind. The Sponsor is not responsible for any delay, postponement, suspension, rescheduling or cancellation, for any reason, of any prize and winners and their guests will not be compensated in the event of such delay, cancellation or other event described herein. Flight elements of the Weekly and Grand Prizes are governed by laws, regulations, international conventions, Porter s tariffs and conditions of carriage. Other restrictions may apply. All Prizes must be taken as offered and are neither transferable nor redeemable for cash, credit or alternative prizes, except in the Sponsor s sole discretion. Prizes cannot be sold and in the event that it is sold, the Prize will be void. The Sponsor reserves the right to substitute any prize with a prize of equal or greater value. No credit or reimbursement will be provided if a prize is not taken. Prize cannot be combined with any other promotional offer or offers provided by the Sponsor. Winners and guests of winners must be legal to travel within/into Canada and the United States, as applicable, and have all necessary travel documents, including a valid passport, if applicable. All Grand Prizes are ineligible to earn VIPorter points. If awarding of a Prize is in conflict with a corporate written policy of the travel agency where the selected entrant is employed, the Prize will be forfeited and an alternate winner may be selected. The travel agency has no right to claim or receive a Prize. 7. WINNER SELECTION AND NOTIFICATION: Winner Selection 4 Weekly prizes of 25,000 VIPorter Points Four (4) potential winners, one (1) each week, will be randomly selected from eligible entries received by 11:59 pm (ET) on Oct 4, 11, 18 & 25, 2016 and drawn on approximately 12:00 noon (ET) on October 5, 12, 19 & 26, 2016 respectively in Toronto, Ontario. Odds of winning a Prize depend on the number of eligible entries received during the Entry Period. Weekly prize winners are also eligible to win one of the Grand

5 Prizes. Winner Selection 3 Grand prizes Three (3) potential winners will be randomly selected from eligible entries received during the Entry Period on November 9 th, 2016 at approximately 12:00 noon (ET) in Toronto, Ontario. Odds of winning a Prize depend on the number of eligible entries received during the Entry Period. Prize Winner Notification The potential winners will be contacted around 12 noon ET by Nov 14 th, 2016 via or phone (at the coordinates provided on the Entry Form) to notify and validate active Travel Agent status and provide a winner s declaration form that includes a mathematical skill-testing question. In order to be awarded a Prize, potential winners must correctly answer the mathematical skill-testing question without electronic, mechanical or any other kind of assistance. Potential winners must also complete and sign a Declaration and Release Form confirming compliance with the Rules, acceptance of the prize as awarded, without substitution, and releasing the Sponsor, Porter Airlines Inc. and Porter Escapes, its affiliated and related companies, advertising and promotional agencies, and their respective shareholders, directors, officers, employees, agents, representatives, successors and assigns (collectively, the "Releasees") from any liability in connection with any Prize or this Contest. Each potential winner will have until November 30 th, 2016 at 12:00pm ET to fax their signed form to Porter Airlines c/o Travel Agency Promotions (416) or a scanned copy of their signed form to contests@flyporter.com. If a potential winner fails to return a signed form by this deadline or fails to correctly answer the skill-testing question, that potential winner will be disqualified from the draw and an alternate potential winner will be randomly selected. No correspondence will be undertaken except with the selected Eligible Participants whose Eligible Entry was drawn. Winners of the Grand Prize must also arrange for the signature and return of a Declaration and Release Form by their guest/travel companion before November 30 th, If the winner's guest is a minor, such person must have consent from their parent or legal guardian who must sign the Declaration and Release Form on the minor's behalf. Such Declaration and Release Forms must be signed and returned to the Sponsor, failing which the winner will forfeit the prize and the Sponsor may draw an alternate winner. No changes to travel dates or passenger names are permitted once a booking has been confirmed for the Grand Prize. Each Grand Prize Winner and his/her guest must travel on the same itinerary for both the outbound and inbound portions of the prize flight. 8. GENERAL CONDITIONS: The Sponsor reserves the right in its sole discretion, to disqualify any individual they find to be tampering with the entry process or the operation of the Contest, or to be using automated methods to attempt to receive additional entries into the Contest, or to be acting in violation of these Rules or with intent to annoy, abuse, threaten or harass any other person or to be acting in an otherwise disruptive manner. All decisions of the Sponsor are final and binding. The Releasees i) make no warranty, guaranty or representation of any kind concerning the Prizes, ii) except where prohibited by law, disclaim any implied warranty, and iii) are not liable for injury, loss, or damage of any kind resulting from the acceptance or use

6 or misuse of a Grand Prize, travel related thereto or from, or entrants participation in the Contest. The Contest will run in accordance with these Rules, subject to amendment by the Sponsor. All entries become the property of the Sponsor. In the event of a dispute regarding who submitted an entry, the entrant shall be determined by the Sponsor in a manner deemed fair and equitable by the Sponsor, in its discretion. Sponsor is not responsible for lost, late, stolen, incomplete, altered, or misdirected entries, for failed, partial or garbled computer transmissions, or for technical failures of any kind, including, but not limited to electronic malfunctioning of any network, hardware, or software, for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, access providers, computer equipment, software, failure of any or entry to be received by the Sponsor whether or not due to the fault of the foregoing or of any other person, or whether due to computer mishaps, technical problems or traffic congestion on the Internet or at any website, or any combination thereof including any injury or damage to an entrant s or any other person s computer related to or resulting from playing or down loading any material in the Contest. Proof of sending will not be deemed to be proof of receipt. Any attempt to undermine the legitimate operation of the Contest is a violation of criminal and civil laws, and should such an attempt be made, Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution. The Sponsor is not responsible for injury or damage to online participants or any other person s computer related to or resulting from participation in the Contest. If, for any reason whatsoever, any part of the Contest is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures or other causes which in the sole opinion of the Sponsor, could corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, the Sponsor reserve the right, at its sole discretion to cancel, terminate, modify or suspend the Contest and to select a winner from eligible entries received prior to the action taken or in some other manner that the Sponsor deems fair and equitable. The Sponsor is not responsible for typographical or other errors in the offer or administration of the Contest, including but not limited to, errors in advertising, the Rules, the selection and announcement of winner(s), or the distribution of prizes. The Sponsor will use your personal information for the purposes of conducting the Contest in accordance with Sponsor s Privacy Policy, located at and applicable law. Sponsor may also use or disclose your personal information for those other purposes for which you have provided your consent. By entering the Contest, entrants release and hold harmless the Contest Sponsor, Porter Airlines Inc., an Ontario corporation, its advertising and promotional agencies, their affiliates and respective directors, officers, owners, partners, employees, agents, dealers, representatives, successors and assigns (collectively the Releases ) from any liability in connection with the Contest or, if declared a winner, of the Prize. Before being declared a winner, each winner will be required to sign and return, within a stipulated period of time, a Declaration of Compliance with the Contest Rules and a full Liability and Publicity Release. By accepting a prize, winner consents to the use of their name, place of residence, voice, statements, and photographs or other likenesses for publicity, advertising or informational purposes in any medium or format. 9. INTELLECTUAL PROPERTY: All intellectual property, including, without limitation, all trade-marks, trade names, logos, designs, promotional materials, web pages, source code, drawings, illustrations, slogans and representations are owned or licensed by the Sponsor and/or its affiliates. All rights are reserved. Unauthorized copying or use

7 of any copyrighted material or intellectual property without the express written consent of its owner is strictly prohibited.
