ORGANISER AND APPLICABLE LAW The company GDF SUEZ, hereinafter referred to as the Organiser, a French limited company with a capital of 2,412,824,089, whose headquarters are located at Tour T1 1 place Samuel de Champlain, Faubourg de l Arche, Paris La Défense cedex, France, registered in the Trade and Companies Registry of Nanterre, France, under number , is organising a free game with no purchase obligation within the framework of the World Academic Sport Challenge (Game), to be held on May 24, 2014, at Charlety stadium located at 1, avenue Pierre-de-Coubertin in Paris (75013), (hereinafter referred to as the Game ). The Game, the Site and the interpretation of these rules are subject to French law. The GDF SUEZ Careers Mobile Application (hereinafter referred to as the Application ) can be downloaded to ios smartphones and tablets from the French and Belgian App Store and to Android smartphones and tablet from the French and Belgian Google Play. ARTICLE 2. TERMS AND CONDITIONS OF PARTICIPATION Participation in the game implies full acceptance and observance of the provisions laid down in these rules, which can be accessed in the Application from the participation screen. 2.1 Terms and conditions of registration Participation in the Game is open to all students and young graduates who have registered for the Game, to be held on May 24, 2014, at Charlety stadium located in Paris, 1 avenue Pierre-de-Coubertin, except for employees of the Organiser and of companies that took part in developing the Game and their close relatives (parents, brothers and sisters or any other individual residing in the same household).

2 2. All participants - students or young graduates registered for the Game must be at least 18 years of age and have legal capacity. All students or young graduates registered for the Game who wish to participate in the Game will have to fill out the form and tick the following boxes: - I accept the terms and conditions of the rules that can be consulted at the GDF SUEZ stand - I accept that my image, second name and first name be used by GDF SUEZ on its digital ecosystem 2.2 Participant data Pursuant to the amended computer and freedom law of January 6, 1978, participants are entitled to access, modify, rectify and delete data concerning them used by the Organiser of this Game and throughout the duration of the Game via our hostesses at the GDF SUEZ stand (in the Career Fair), open from 9am to 5pm on May Image rights assignment The winners agree that the Organiser can according to the applicable requirements and with all audiences use their photo and written or oral statements for purposes of advertising, public relations, the media, all types of editorial or advertorial summaries and for all other activities of the organising company, using all means of reproduction, duplication, representation, transmission, reception, encoding or any other means, all without anything in return and no compensation whatsoever. 2.4 Validity of participation The information and personal details provided by the participant must be valid and sincere, or they risk being disqualified from the Game and, in the event this occurs, losing their winner status. It is strictly forbidden, in any form or by any means, to modify or attempt to modify the Game systems proposed, in particular in order to change the results. If it is found that a participant was drawn at random or apparently won a prize in violation of the rules, through fraudulent means, or by means other than those resulting from the process set out by the Organiser in these rules, the prize in question will not be attributed to him and will remain the Organiser s property, without prejudice to any proceedings that may be brought against the participant by the Organiser or by third parties.

3 3. ARTICLE 3. GAME PRINCIPLES All students or young graduates registered for the Game to be held on May 24, 2014, at Charlety stadium who wish to access the Game must download the application found in the French and Belgian App Store (ios) or Google Play (Android OS), and fill out a participation form that is available at the GDF SUEZ stand, located in the Career Fair at Charlety stadium, in Paris, 1 avenue Pierre-de-Coubertin. Once the Application has been downloaded, it has to be launched. The Game is promoted in the Application via 3 push notifications that will be sent to it on May 24 alone. The participant has the right to accept or refuse the push notifications, which will provide him with information regarding the two (2) prize draws organised at the GDF SUEZ stand (Career Fair). To participate in the first prize draw organised at the GDF SUEZ stand at 2pm, for a chance to win one of thirty (30) smartwatches, the students or young graduates simply have to: - download the GDF SUEZ Careers application and show the download on their smartphone to the hostess at the GDF SUEZ stand - fill out a participation form, thus agreeing with the rules and accepting that their photo be used on GDF SUEZ s digital ecosystem SUEZ by ticking the boxes foreseen for that purpose. The following information will be requested: o Civil status, o First name, o Last name, o address, o Telephone number (optional). - place their participation form in the urn at the GDF SUEZ stand (in the Career Fair) To participate in the second prize draw organised at the GDF SUEZ stand at 4:30pm, for a chance to win an ipone 5S, users simply have to: - download the GDF SUEZ Careers application and share it on facebook and/or twitter, then show the share on facebook and/or twitter on their smartphone to the hostess at the GDF SUEZ stand - fill out a participation form, thus agreeing with the rules and accepting that their photo be used on GDF SUEZ s digital ecosystem SUEZ by ticking the boxes foreseen for that purpose. The following information will be requested: o Civil status, o First name, o Last name, o address, o Telephone number (optional).

4 4. - place their participation form in the urn at the GDF SUEZ stand (in the Career Fair) ARTICLE 4. PRIZES Each winner may win one prize alone. The Game comprises the following prizes: an iphone 5S 16 Giga telecom subscription not included of a maximum value of 709 all taxes included Thirty (30) ZeWatch smartwatches made by the brand MyKronoz, with a maximum unit value of 69 all taxes included The Organiser reserves the right to replace all prizes by a prize of an equal value, in particular if the original prize is no longer available. ARTICLE 5. DECLARATION OF WINNERS The winners will be drawn at random at the GDF SUEZ stand in the Career Fair at Charlety stadium on May 24 at 2pm for the 30 smartwatches and 4:30pm for the iphone. The winners names will be read out loud at the prize draw and the list of winners will also be available at the stand. If the participant is present at the stand when the draw takes place, he will receive his prize directly upon presentation of his ID card. If not, he can retrieve his prize at any time by visiting the GDF SUEZ STAND on May 24 alone, between 2pm and 5pm. If a participant whose name is drawn does not come forward on said date and during said timeframe, he will be deemed to have forfeited the prize in question and it will remain the Organiser s property. The Organiser may publish, both on and offline, the winner s photo, first name, last name and prize without the winner being conferred any rights other than the prize won. The winner must observe the rules. If it is found that a participant does not satisfy the criteria set out in these rules, he will not be attributed his prize. The participants agree to all verifications concerning their identity or age, or the loyalty and sincerity of their participation. Any false statements or identity will result in immediate disqualification and refund of any prizes already claimed. ARTICLE 6. LIABILITY The images used in the Application, the objects represented, the brands and trade names used, the graphic design and IT elements and the databases that form the Application, are the exclusive property of their respective owners and may not be extracted, reproduced or used without the written authorisation of said owners, on pain of civil and/or criminal proceedings. Any resemblance between characters or elements of the Game and other fictional characters or existing elements is entirely coincidental and the organiser and its service providers cannot be held liable for this.

The Organiser, or its service providers such as the Game Operator working on behalf of the Organiser, cannot be held liable if, in the event of force majeure or events beyond its control or of proven necessity, it is obliged to cancel this Game, shorten, extend or postpone it, or amend its terms and conditions. In any case it reserves the right to extend the participation period. In particular, the Organiser and its service providers decline all responsibility in the event of unavailability of the Application during the Game period that cannot be attributed to it or if the information provided by the participants is destroyed for a reason that is not attributable to it. The Organiser or its service providers reserve the right to replace any prizes that are unavailable with a prize of equal value. The prizes may not be grounds for any dispute or claim of any kind, nor can they be exchanged or exchanged for cash at the winner s request. The winner agrees not to seek the liability of the Organiser or its service providers for the quality, features or workings of a product or service offered as a prize as part of the Game, insofar as the Organiser is not the distributor, producer or manufacturer of the prize. ARTICLE 7. FILING OF RULES These rules are filed with Mr. Frédéric Nadjar, Bailiff in Neuilly-sur-Seine (92) and are available on the Internet site of Mr. Nadjar s practice, at the address and will be available at the GDF SUEZ stand (Career Fair) The rules will be available from the abovementioned Bailiff and at the GDF SUEZ stand (in the Career Fair at Charlety stadium) on May 24, 2014, from 10am to 5pm.
