1 Program Description: This program is designed to benefit innovative growers who readily adopt new technologies and understand that a well-protected crop is the most productive. The quality and efficacy of premium FMC brand products help achieve that end. Now, with the new FMC 3RIVE 3D application system, growers can apply in-furrow crop protection easily, efficiently and quickly. The 3RIVE 3D application system is the latest innovation in at-plant application technology, allowing growers to plant and protect nearly 500 acres on a single fill. Patent-pending formulation technology combined with patent-pending application technology offers maximum protection with minimal use of water, fuel, labor and time, allowing growers to easily and effectively protect crops from yield-limiting insects and diseases. Growers who commit to and purchase minimum qualifying volumes of 3RIVE 3D formulated products in any combination qualify for a 3RIVE 3D application system at no initial cost. Growers have a maximum of three years to meet total volume commitments. Applicator Commitment: Complete the attached 3RIVE 3D Application System Commitment Form by March 31, Select your application system size and preferences. Sign and return your commitment form to your FMC regional market manager. Qualifying Products and Commitment Volumes: Qualifying Products All FMC 3RIVE 3D Brand Pesticides Products may be purchased individually or in any combination to achieve minimum purchase volumes. Product volumes must be divisible by 15. Products are packaged exclusively in 15-gallon kegs. Minimum Purchase Volumes of Qualifying 3RIVE 3D Brand Pesticides Planter Row Units Total Minimum Annual Volume Year 1 Minimum Annual Volume Year 2 Balance of Volume Commitment Year 3 < 32 Rows > 32 Rows No penalty for achieving volume commitments in less than three years. Growers may purchase any volume over the minimum annual requirement so long as the total volume commitment is achieved in not more than three years. If product purchase annual minimum is not met, grower agrees to pay the balance according to the formula below; Commitment Gallons Purchased Gallons X $85/gallon Example: 105-gallon commitment: 75 gallons purchased = 30 gallons X $85 = $2,550 owed to FMC Report purchases of qualifying products between August 1, 2018, and July 31, 2019, using the attached qualifying product purchase reporting form. Sign and return your purchase form by July 31, 2019, to the address below.

Proof of purchase is required. Only product purchased from an FMC authorized distributor or retailer is eligible for payment under this program. 3. Only product purchased for resale to growers is eligible for payment under the terms of this program. 4. FMC reserves the right to audit all claims. 5. Misreported sales of any type are a clear violation of this program and will be subject to audit and possible forfeiture of all program benefits. 6. To qualify, growers must complete, sign and submit the attached commitment form to their local FMC RMM by March 31, 2019, to ensure timely applicator installation and product availability. 7. Purchases of FMC brand products must be reported on the attached qualifying product purchase report by July 31, 2019, to ensure program qualification. Submit all forms to: FMC Corporation, Program Administration, P.O. Box , Charlotte, NC Failure to purchase or report purchases of minimum qualifying volumes of FMC brand qualifying products by July 31 of each program year until the volume commitment is met will result in an invoice to the grower for one-third of the retail value of the 3RIVE 3D application system. Retail value is defined in the table below. 9. Grower may choose to pay for the 3RIVE 3D application system up front with no product volume commitments at the suggested retail price in the table below. 10. Grower takes ownership of and title and risk of loss to the 3RIVE 3D application system upon delivery. Grower is obligated to purchase minimum volumes of qualifying products over a maximum three (3) year period to earn the total retail value of the 3RIVE 3D application system. 11.
