I understand enrollment into the Program can be terminated after each calendar year if I am unable to maintain or adhere to the terms and conditions of the Hankook ONE Associate Dealer Program. If established conditions which are set by Hankook are met annually, I understand this agreement will be automatically renewed for one (1) calendar year. 2 AUTHORIZED ASSOCIATE DEALER PROGRAM AGREEMENT The Authorized Associate Dealer Program Agreement (the Agreement ) is made as of th day of, 20, by and among Hankook Tire America Corp. with its office located at 333 Commerce St. 5F Nashville, TN ( Hankook ), with its office located at, (the Distributor ) and, with its office located at. (the Associate Dealer ). W I T N E S S E T H: WHEREAS, Hankook is in the business of marketing Hankook and its associate brand tires (the Products ) throughout the United States through a network of authorized distributors who in turn resell the Products to associate dealers who sell to end users in retail; WHEREAS, Hankook adopted an Authorized Associate Dealer Program (the Program ) through which it provides certain incentives to qualified associate dealers for the purpose of promoting sale of the Products and furthering brand image of its Products; WHEREAS, the Distributor and the Associate Dealer desire to enroll in the Program and Hankook desires to appoint the Associate Dealer as an authorized Associate Dealer of the Program; NOW, THEREFORE, in consideration of mutual covenants herein contained, and for other valuable consideration the receipt and legal sufficiency of which is hereby acknowledged, parties agree as follows: 1. Appointment (a) Hankook hereby appoints and the Associate Dealer accepts the appointment as a non-exclusive authorized Associate Dealer of the Products subject to terms and conditions set forth in the Program, including but not limited to the Program Rules and Guidelines for Associate Dealers and for Distributors, Program Enrollment form for the Associate Dealer, Secondary Distributor Request form, Primary Distributor Transfer request form, and Enrollment process. The Associate Dealer also acknowledges that all benefits are subject to compliance with Hankook s Minimum Advertised Price (MAP) policy, which Hankook has unilaterally implemented and is not negotiable. (b) Associate Dealer agrees to do its best to promote sale of the Products and further image of Hankook and its associate brand of the Products and Hankook agrees to do its commercially reasonable best to support and assist Associate Dealer in the promotion, sale and servicing of the Products. (c) Hankook may alter, modify or change terms and conditions of the Program at any time, at its sole and absolute discretion, with or without notice. 2. Term & Termination This agreement shall take effect upon execution hereof by all parties and will remain in effect until it is terminated by any party by a written notice to the others thirty (30) days before the effective date of termination. Termination may be with or without cause. 3. Advertising Associate Dealer shall maintain throughout the term of this Agreement all its sales locations by prominently displaying Hankook advertising signs or other point-of-sale materials supplied by Hankook. 4. Product Warranties Associate Dealer agrees to display Hankook s limited product warranty in its place of business and process and settle any of the Products presented for warranty adjustment in accordance with warranty procedures established by Hankook. 5. Independent Contractor Associate Dealer is an independent contractor and not a franchisee of Hankook or Distributor. Associate Dealer acknowledges that it shall not hold itself out as representative or agent of Hankook and will not do anything that may legally bind Hankook.

3 Eligibility and Requirements of the Associate Dealer The Associate Dealer enrolling in the Hankook ONE Associate Dealer Program is a retail customer of a designated Hankook Distributor who agrees to the following conditions. A retail customer location is defined as any location that sells to a retail consumer and has the equipment necessary to mount and balance the tires at the location. Online purchases are eligible to be counted on the ONE Program in accordance with Hankook s MAP Policy. 1. To participate in the Program, each retail location must commit to purchase a minimum of 320 units of Hankook Passenger and/or Light Truck Products annually. The annual requirement may be adjusted depending on the official date of enrollment at the discretion and approval of Hankook Tire America Corp. Online sales are permitted; however, all advertised prices (In-house and online) need to adhere to the MAP Policy based on the address, phone number, owner s business name (all business associated with this contract are covered by MAP). If you have an affiliated company, all organizations will adhere and governed by MAP. REQUIREMENTS FOR ASSOCIATE DEALERS IS AS FOLLOWS: 1. The Associate Dealer may be subject to termination from the program for failure to meet the Minimum annual requirement. If the Associate Dealer is tracking based on the provided chart, they will be renewed for the subsequent year. 2. Once the application has been approved, an opening order should be placed with your primary distributor. 3. Associate Dealer must inventory a minimum of two premium lines Hankook Tires listed in this agreement. 4. Any Hankook Dealer that purchases tires directly from Hankook is not eligible to participate as an Associate Dealer. All OE Manufacturers affiliated Car Dealerships are excluded from the ONE Program. 5. Hankook does not allow direct or drop shipments to an Associate Dealer.

4 APPLICATION PROCESS To enroll as an Authorized Associate Dealer into the Hankook ONE Program and receive quarterly rewards and benefits toward annual volume requirements, the Associate Dealers must first be approved by Hankook Tire America Corp. 1. Complete the attached Associate Dealer enrollment form and forward it to your Designated Primary Hankook Distributor. 2. If you are choosing to select a Designated Secondary Hankook Distributor, you must fill out a Secondary Hankook Distributor Request Form and forward it to your Designated Secondary Distributor. Only 10% of total purchased units will be counted from the secondary distributor. However, in 2019, 15% of total purchased units will be counted from the secondary distributor and return to the 10% in Any additional units will forfeit program payout. Standard Program Rules Example: Distributor Purchased Annual Units Total 10% of Purchased Units Hankook Pays on Primary Secondary Program Rules Example: Distributor Purchased Annual Units Total 15% of Purchased Units Hankook Pays on Primary Secondary Upon approval by Hankook Headquarters, an open order must be placed with the Associate Dealer s Primary Distributor toward the program s annual minimum requirement based on the Associate Dealers Enrollment Date. See page 3, item one for the minimum breakdown requirements. 4. Your Primary Hankook Distributor will forward the enrollment form and to the Hankook Tire Territory Manager for approval. 5. Once your enrollment has been approved and activated, you will receive notification of your official acceptance and enrollment date from Hankook Tire America Corp. 6. You will also receive a Welcome Startup Kit which includes marketing materials to support your business.

5 Program Rules and Guidelines All Associate Dealers participating in the Hankook ONE Associate Dealer Program must agree to the following conditions: 1. Official enrollment date is defined as the date approved by Hankook HQ. Associate Dealer enrollments which are dated and signed in a specific month must be submitted no later than 10 days into the subsequent month in order to be enrolled on the date specified/requested within the enrollment form. 2. For new Associate Dealers, the annual ONE Associate Dealer purchase requirements shall be prorated based on the Quarter of enrollment. Quarter Minimum Qtr. The unit totals must be reported with the format and required sales information established by Hankook. The Associate Dealer must make Hankook or reporting distributor aware of any discrepancies no later than the quarter immediately following the reported discrepancy. All discrepancies will be resolved by Hankook at its sole discretion. 4. The ONE Associate Dealer Program applies to the purchase of Hankook and Laufenn branded Passenger and Light truck tires only. 5. Associate Dealers will earn cash rewards on all qualifying tire purchases from their Designated Distributor(s) on a quarterly basis. Reported purchase units must only be for retail consumer sales and not for wholesale sales. Reward checks made payable to the retail location will be direct deposited by Hankook to Associate Dealers that attain their minimum quarterly requirements and maintain their obtainment level. a. An increase in attainment level could result in an increase in payment level based on their annual volume status the following quarter. b. A decrease in attainment level could result in a limited payment or no payment in a specified quarter(s); however, if the original level is met in the upcoming quarter(s), any/all units will be processed for payment in the following quarter. 6. It is forbidden to use any financial incentives, growth Incentives, CO-OP, advertising/promotion monies, or spiffs, to lower the advertised retail price of Hankook and Laufenn products. Furthermore, all advertised prices of Hankook Branded products shall be in compliance with Hankook s MAP Policy (see attached policy in Appendix A). 7. Quarterly cash rewards will be calculated for all Associate Dealers who meet their minimum annual sales targets / objectives according to the incentive levels established by Hankook in Table A on Page 3, Eligibility Requirement #1. 8. The Associate Dealer must remain under the Primary Distributor for one (1) year from the effective start date of enrollment. If the Associate Dealer s request to change the Primary Distributor is granted, The Associate Dealer must remain under the New Primary Distributor for two years before any additional requests are honored. The new Primary Distributor must be active in the Hankook ONE Associate Dealer Program for a minimum of two (2) quarters and be approved by Hankook before a transfer is granted. 9. Transfers require a minimum two week notice to Hankook and will become effective once the date of the change is approved. A Distributor Transfer Request Form must be submitted to Hankook for approval and effective date of transfer will be notified to prior distributor, new distributor, and dealer upon approval.

6 a. All sales from the prior distributor will no longer count toward the annual minimum volume after the transfer effective date. Contact your potential new Hankook ONE Program Distributor to request a transfer form. Your Primary Hankook Distributor will be notified of the transfer request. b. The Associate Dealer understands and agrees to abide by all the terms and conditions of the Hankook ONE Associate Dealer Program. 10. The Associate Dealer will use its best efforts to advertise (PER MAP POLICY), promote, merchandise, sell and service Hankook and Laufenn tires. 11. The Associate Dealer has the right to terminate this Agreement at any time upon 30 days prior written notice to Hankook Primary Distributor and Secondary Distributor. 12. The Associate Dealer agrees to administer and service all Hankook programs, including national accounts, government sales, and warranty and adjustment policies for Hankook replacement and OE tires. 13. Hankook reserves the right to audit Associate Dealer purchases reported by the Distributor at either the Distributor or the Associate Dealer. Both the Distributor and Associate Dealer must maintain all invoices reported by the Primary Distributor to verify sales performance. If invoices cannot be supplied Hankook reserves the right to withhold future payments and/or terminate the Associate Dealer. 14. The Associate Dealer agrees to identify each retail location with Hankook brand identification and any POS materials provided by Hankook related to the program. 15. At the request of Hankook, the Associate Dealer will participate in online training and certification programs including surveys related to the program. 16. The Associate Dealer agrees to only sell tires from the location signing this Agreement. 17. The Associate Dealer agrees to represent Hankook as good stewards of the brands according to established corporate guidelines in usage of its trademark, TRADE DRESS and representation of products. 18. Hankook retains sole right and ownership of its trademark, Hankook and Laufenn. Any and other trademarks of Hankook and its branded Products may not be used to promote or advertise for purposes other than the sale and use of Hankook Products. Upon termination of this Agreement, Hankook retains the right to revoke Associate Dealer from using or displaying all Hankook trademarks. 19. Hankook will not be liable to either Distributor or Associate Dealer and shall not be made a party to any dispute for breach of contract or damage claims arising from their dealings with one another, caused by any act or omission by either Distributor or Associate Dealer. 20. Hankook has the right to designate other locations as Authorized Associate Dealers without regard to the geographical relation between sales locations. Hankook reserves the right to deny enrollment based on the geographic location of the Associate dealer requesting enrollment. 21. The Hankook ONE Program is available to US tire dealers only. 22. The Associate Dealer shall not disclose the terms and conditions of the Hankook ONE Program to any third party. The terms of this agreement shall be governed by the laws of the State of Tennessee without regard to its choice of law rules and parties agree to submit to jurisdiction of Federal or State courts located in the State of Tennessee.

8 Appendix A: HANKOOK TIRE S POLICY ON MINIMUM ADVERTISED PRICE Introduction To help maintain and protect Hankook s presence in the market, Hankook is implementing measures to preserve our brand value and integrity, encourage consistent representation and prevent unfair practices. Hankook has unilaterally determined to enforce the Minimum Advertised Price ( MAP ) policy set forth below, which will allow us to achieve these goals for our entire distribution network. The MAP policy applies to all Hankook Passenger and Light Truck products. The MAP is the lowest price at which Hankook permits its tire to be advertised. Prices covered by the MAP policy A price is advertised if it is illustrated, displayed in an advertisement, or otherwise available to the public for view without barriers to access (such as club membership or online login credentials). This includes in-store signage, print advertisements, online platforms, in-cart prices and any prices listed in preceding or further online screens. Additionally any words, phrases or marketing meant to illustrate a lower price outside of policy such as; see price in cart with a price less than MAP, member-only pricing before log-in, slash-through pricing, bulk pricing, bundling price, lowest price guaranteed, and any other advertising initiated by the reseller would be considered outside of policy. Exceptions are discussed as Prices outside the MAP policy, below. If pricing is displayed as a total amount for multiple tires, then the per-tire price, whether displayed or calculable, must adhere to the MAP Policy. This includes a buy-3-get-4 th- free promotion, bundling with other products such as wheels or accessories, or any other promotion that could cause the price per tire to be less than the MAP. Prices outside the MAP policy The MAP policy does not apply to prices that reflect a reseller s discount below the MAP price, as long as the amount of the discount is explicitly displayed as a line item adjacent to the undiscounted price for tires. Prices stated by telephone or by an addressed to a single individual in response to a price inquiry are not considered to be advertised prices, and therefore are not governed by the MAP policy. The MAP policy does not restrict the actual selling price for any Hankook tire. It only applies to the advertised price. All resellers are free to set their own selling price for all products independently. Hankook and its employees have no authority or right to set actual selling prices or to otherwise interfere with the establishment of such prices. Hankook s financial incentives to resellers are not conditioned on actual selling prices. Reseller s downstream responsibility Resellers are responsible for the compliance of their non-consumer customers with MAP policy. Resellers are required to provide a copy of this MAP policy to all their downstream resellers. A violation of the MAP policy by such customers may, in Hankook s sole discretion, be treated as a violation by the prior reseller. Escalation and Penalty Any reseller who advertises a price lower than the MAP will be subject to the following Escalation and Penalty provisions. For all warning notices and notices of violations, Hankook will notify the reseller of the warning or violation by and identify the MAP policy violation. WARNING NOTICE: For resellers who participate in a Hankook incentive program, the first advertisement of a price inconsistent with the MAP policy will result in a warning notice. If the reseller revises its advertised prices to comply with the MAP policy within five (5) business days and

9 continues to comply with the MAP policy for 90 days from the date of the warning notice, then the reseller will be considered in full compliance and be treated as if no infraction had occurred. FIRST VIOLATION: A reseller commits a First Violation if it: does not correct a MAP infraction described in a warning notice within five (5) business days from the date of the notice, or infringes MAP policy again for the same marketing line (e.g., Dynapro AT-M, RF10) within 90 days of a warning notice, or infringes the MAP policy and has no incentive relationship with Hankook. As a consequence of the First Violation: the reseller forfeits 100% of its Promotional AD Funds for the month in which the First Violation first occurred, for each marketing line described in the First Violation notice. If the reseller revises its advertised prices to comply with the MAP policy within three (3) business days of the notice and continues to comply with the MAP policy for 180 days from date of warning notice for the marketing line described in the First Violation, then the reseller will be considered in full compliance and be treated as if no infraction had occurred with the exception of the forfeited Program Incentives. SECOND VIOLATION: A reseller commits a Second Violation if it: does not correct a MAP policy violation described in a First Violation notice within three (3) business days from the date of the notice, or infringes MAP policy again for the same marketing line within 180 days of a warning notice. As a consequence of the Second Violation: The reseller forfeits 100% of its Promotional AD Funds for all marketing lines for the month in which the Second Violation first occurred, No tire sales for that month will be counted toward any unit-based Hankook program (all marketing lines) or incentive payments, and The notice will warn that a Third Violation of the MAP policy will result in Hankook withdrawing all the reseller s privileges to use Hankook s intellectual property in the advertisement or sale of Hankook tires, including trademarks and trade dress. If the reseller revises its advertised prices to comply with the MAP policy within (2) business days of the notice and continues to comply with the policy for 365 days from the Second Violation, then the reseller will be considered in full compliance and be treated as if no infraction had occurred, with the exception of the forfeited Program Incentives.

10 THIRD VIOLATION: A reseller commits a Third Violation if it: does not correct a MAP policy violation described in a Second Violation notice within two (2) business days from the date of the notice, infringes the MAP policy again for the same marketing line within 365 days of a Second Violation notice, or has three (3) or more marketing lines simultaneously in violation beyond their First Violation. As a consequence of the Third Violation: The reseller forfeits 100% of its Promotional AD funds for the month in which the Third Violation first occurred, No tire sales for that month will be counted toward any unit-based Hankook program or incentive payments, The reseller will lose access to the next Hankook Consumer Rebate, and Hankook will withdraw all the reseller s privileges to use Hankook s intellectual property in the advertisement or sale of Hankook tires, including trademarks and trade dress. This policy is a crucial tool to uphold the brand strategy for Hankook. Hankook will use any and all legal means to prohibit a reseller that commits a Third Violation from using Hankook s intellectual property. In addition, Hankook reserves the right to accelerate any violation to a Third violation if Hankook determines, in its sole discretion, that a reseller has failed to be a good steward of the Hankook brand by deliberately evading the consequences of the MAP policy through repeated changes in advertised price. No employee of Hankook Tire has the authority to waive, alter, or reach any agreement with respect to the MAP policy. Effective Date and Implementation of the Policy This policy will take effect January 1, 2019 and will be effective until Hankook modifies or cancels the policy. The policy will apply to a selected set of Hankook Marketing Lines. Additional lines will be added at Hankook s discretion. Hankook will notify resellers who have an incentive relationship with Hankook of any changes to the policy. Hankook reserves the right to change, edit, or cancel this policy in any way at any time for any reason. Please direct any questions or comments to Hankook s MAP mailbox, MAP@hankooktireusa.com.
