4 HGTV HOME Plant Collection and The Agricola Management Group LLC ( Agricola ) require this agreement to participate in the HGTV Plant program. Agricola is the licensed representative of HGTV HOME. The following Grower Guidelines ( Guidelines ) are an integral part of this agreement. I agree to participate in the program under the listed Guidelines outlined as follows: I understand that the following components of the program need to be maintained to ensure that the positioning of the brand aligns with the equity and value established by Agricola in agreement with HGTV. A successful Agricola HGTV HOME Plant Collection / Grimes Horticulture program consists of the following: VARIETIES: Only approved Agricola HGTV HOME Plant Collection varieties purchased from authorized growers are allowed FORMAT: Product must be in an approved format, Agricola HGTV HOME Plant Collection branded quart or gallon, Agricola HGTV HOME Plant Collectionapproved hanging basket or decorative container. PRODUCT QUALITY: Excellent product quality on the shelf at all times MERCHANDISING: Program must be accompanied by appropriate POP materials to be purchased by retailer CULTURE CLINIC: Retailer agrees all staff will participate in webinar provided by Agricola. 5 Grower Sales Reporting: Grower is required to provide end of season sales report to Agricola Management by June 15th following a HGTV pre-defined format. Iris Dr., Nashville, TN Or to: admin@agricolamanagement.com LMMF Payment LMMF is the licensing fee required to participate in the Agricola/HGTV Home Plant program. The fee is 11% of the Suggested Wholesale Price (SWP) of each product. In the event a grower uses containers purchased using Agricola's program pricing for use outside of the HGTV HOME Plant Collection program, grower agrees to pay 11% LMMF on these containers I understand that failure to comply and deliver a program as specified may result in the loss of eligibility for the program and its benefits and possible future removal from the Agricola HGTV HOME Plant Collection program. I agree that Agricola can perform visits to my locations to ensure adherence to the program. Agricola will notify me if I am found to be in violation of any of the listed Guidelines, and I will be asked to remedy the situation. My signature indicates acceptance of these terms and my participation in the Grimes Horticulture, Agricola HGTV HOME Plant Collection program as outlined in above guidelines.
