1 Report to the School Board Joint Powers Agreement with Burnsville School District Waste & Recycling Services January 19, 2012 Report Prepared by John Toop, Director of Business Services Overview Performance Management Group has negotiated a Joint Powers Agreement with the Burnsville School District to combine waste and recycling services with the Hopkins School District. Primary Issues to Consider DSI/LSI (Dick s Sanitation/Lakeville Sanitation) which currently provides waste and recycling services to the Burnsville School District will also provide service to the Hopkins School District through a Joint Powers Agreement with their district. Our pricing will be a match to the Burnsville School District pricing. By combining services, the district will realize a savings of approximately $60,527.11, which is a 56.12% savings compared to the current contractor. Other amenities will be special pickups for electronics, appliances, document destruction and special waste. Dick s Sanitation also offers a full organics recycling program, so we will also be supportive of our environment. We offer a full organics recycling program - see attachment Burnsville School District is using an open bid process for the services of waste and recycling and disclaims usage of any other options allowed under applicable law. The District reserves the right to reject any and all bids and waive irregularities therein and further, reserves the right to award the contract for services to the party submitting the lowest responsible bid that is in the best interest of Burnsville School District as determined by the District.

8 SOLID WASTE & RECYCLING AGREEMENT This AGREEMENT, Dick's Sanitation, Inc. (DSI) and Hopkins School District 270 (CUSTOMER) which will be effective March 1, Rates, Services and Equipment under this Agreement Upon entering into this AGREEMENT, DSI will provide the following equipment as specified in the attached proposal. SEE ATTACHMENT I. The rates in ATTACHMENT I are fixed for the duration of this agreement UNLESS the Federal or State government enacts any law that may force a change in the way we dispose of trash, recycle or organics or if there is a change in the tax rate for disposal services. YEAR 1: $47, YEAR 2: $47, YEAR 3: $47, **Note: Structural changes to property; building and electrical connections are the responsibility of the CUSTOMER. In addition, any changes in services will be adjusted in proportion to the current rate schedule (attachment I). **All service rates in attachment I include a fuel adjustment fee and trash related items are assessed the appropriate State Tax of 17% and Hennepin County Tax of 14.5% Term of Agreement The term of this AGREEMENT shall be for a period of THREE (3) years from the effective date. Upon the implementation of this AGREEMENT DSI will coordinate and implement equipment installation. CUSTOMER will provide DSI the opportunity to renegotiation an additional AGREEMENT in the THIRD year of this agreement before (90) days prior to the expiration date of this AGREEMENT to extend the term for an additional term of three (3) years. Failure to Perform by DSI If DSI fails to perform the services described within ten (10) business days of its receipt of a written demand from CUSTOMER, CUSTOMER may terminate this Agreement with the payment of all monies due through the termination date. CUSTOMER will provide DSI a reasonable time to resolve the issue with the CUSTOMER and DSI after receipt of demand. CUSTOMER termination under this clause will not constitute a breach of the Agreement by the CUSTOMER. CUSTOMER and DSI will agree to binding arbitration or any other mutual agreed ADR Method as a remedy to resolve any issues. Repairs & Maintenance In the event that the CUSTOMER has caused damage to equipment, CUSTOMER is responsible for any costs incurred for repairs to equipment. Any other repairs due to regular maintenance are the responsibility of DSI.

9 Breach of Agreement If CUSTOMER breaches any term of this Agreement, CUSTOMER agrees to pay all costs associated therewith, including the reasonable attorneys fees, balance in-full of equipment owed over the remainder of the agreement and any additional costs associated with implementation or management of services. Indemnification Clause The DSI agrees to indemnify, defend and hold CUSTOMER harmless from and against any and all liability which CUSTOMER may be responsible for or pay out as a result of bodily injuries (including death), property damage or any violation or alleged violation of law, to the extent caused by any negligent act, negligent omission or willful misconduct of DSI or its employees, which occurs (1) during the collection or transportation of Customer s Waste Materials, or (2) as a result of the disposal of Customer s Waste Material, after the date of this Agreement, provided that the Company s indemnification obligations will not apply to occurrences involving hazardous or toxic waste as defined by local, state or federal laws or regulations. CUSTOMER agrees to indemnify, defend and hold DSI harmless from and against any and all liability which DSI may be responsible for or pay out as a result of bodily injuries (including death), property damage or any violation or alleged violation of law to the extent caused by Customer s breach of this agreement, any negligent act, negligent omission or willful misconduct of the Customer or its employees, agents or contractors in the performance of this Agreement or Customer s use, operation or possession of any equipment furnished by DSI. Neither party shall be liable to the other for consequential, incidental or punitive damages arising out of the performance during the term of this Agreement. Entire Agreement This AGREEMENT constitutes the entire understanding of the parties, and no oral or written understandings or agreements of the parties prior to the effective date shall change this AGREEMENT.
