Since 1976, farmers & gardeners have trusted us to get them everything they need to grow organically. What is Wholesale Pricing? Wholesale pricing is lower than our published catalog pricing. Because you are a retailer selling to end users of farm/garden supplies or a manufacturer of farm/garden supplies, we will give you a price break in order to help you improve your bottom line. For PVF&GS seed pack wholesale pricing, inquire about our Wholesale Seed Pack Pricing Program. We ask that you make at least $2,000 in purchases annually to remain a member of our Wholesale Pricing Program. The minimum initial ordering amount is $1,000, with subsequent orders requiring a minimum of $200 each. Once your application has been reviewed and approved, your account will immediately start enjoying the discounts of the one star pricing level. You will remain at that discount level until your purchases for the year exceed $2,000. Once accumulated purchases total more than $2,000 during the same calendar year, you will receive the next tier discount on your next order. Please remember to call us to request a custom quote on any single order over $2,000. Tiered Pricing: The more you buy, the more you save! Unless you buy more than $2,000 on your first purchase, start at the 1 star tier and receive the one star discount. When your purchases reach the next tier (two star), in the same year, you will receive the two star discount on any purchases for the rest of that year or until you reach the next level. Every year, your discount status will be determined by your total purchases from the previous year. At the end of the year, if your purchases haven t reached the previous level, your discount status will change accordingly. 2 wholesale terms & conditions Minimum Orders - Your initial order must be a minimum of $1,000. Subsequent orders must be a minimum of $200 each. You must purchase at least $2,000 in product annually to remain in our Wholesale Program. Informational Purpose of Wholesale Program Packet - Prospective wholesale customers receiving information regarding our PVF&GS Wholesale Program are not automatically nor necessarily qualified to receive said wholesale pricing. Qualification for this program strictly depends on the satisfactory production of documents (mentioned in the paragraph below) that will help us confirm the type of business you are in. This material has been provided at your request, and receipt alone does not represent nor guarantee your qualification as an acceptable wholesale customer. Sales Tax Exemption - It is of the utmost importance to understand that our Wholesale Pricing pertains only to resellers. All CA wholesale customers must provide a valid copy of their resale license issued from the California State Board of Equalization. Wholesale customers from states other than CA are required to provide us similar documentation as well. Wholesale customers will be set up in our system with both a Retail Account and a Wholesale Account. PVF&GS Wholesale Accounts are to be used for resale purpose only and as such, all product purchased on a Wholesale Account will automatically be sold under a Resale tax jurisdiction with no sales tax being assessed and/or collected. For this reason, any purchases for non-resale use must be ordered on your Retail Account so that the appropriate state sales tax can be assessed and collected when/if warranted. Ordering under the proper account is strictly your responsibility, as you are responsible for complying with all applicable rules and regulations governing the use of your state s Resale Permit. You must agree and understand that PVF&GS cannot and will not be held responsible for any unauthorized and/or illegal use of your Wholesale Account. Wholesale Prices - Wholesale prices represent discounts off our retail list prices of up to 30%, depending on the product. Because prices are subject to change without notice, we do not provide wholesale price lists, but you may view wholesale prices on our web site once logged in and set up as a wholesale customer. Please note that while most of our retail products are discounted for wholesale, there are some exceptions, such as Peaceful Valley Apparel or close-out products that we already sell at cost. Published retail volume discounts, special promotions, free seeds, or free/flate rate shipping are not applicable to wholesale orders. Ordering Methods - Accepted methods of ordering include online (GrowOrganic.com), which we strongly encourage, but orders are also welcome by phone (888) or by fax (530) Methods of Payment - Accepted methods of payment include Visa/MasterCard/Discover or company check, or A/R account. Orders do not ship until payment is received unless you have terms with us. Credit Terms - To apply for a credit account with us, request a Credit Application. This typically requires 1-2 weeks for processing. Also note that we require your first purchase to be pre-paid by credit card. Your terms will be paired with a credit limit that best fits your needs. Our A/R Payment terms are Net 30 with approved credit, and the maximum line of credit allowed is $20,000. We request annual purchases of at least $2,000 to create an A/R account. Invoice Date - This is the date an order is shipped - from either here in Grass Valley, or from our vendor. Late Payments - Payment is past due if received past 30 days from the invoice date. As orders are not invoiced until shipped, we insist on our credit terms being honored. A 5% late fee with a $25 minimum will be assessed if payment is past due. If a past due balance exists, new orders will not be shipped until the account balance is paid off. Wholesaler Returns - Within 30 days of the date of purchase, you can return product for a full refund (excluding shipping charges), subject to the merchandise being in unused, like-new condition and in its original packaging. Simply send the product back to us securely wrapped, freight prepaid and insured against loss or damage. However we do not accept returns of discontinued items, drop-ship items (unless our supplier specifically allows it, re-stocking fee may apply), live or perishable products (plants, bulbs, garlic/potato seeds, beneficial insects etc.), dated products and/or items with expiration dates (i.e., inoculants, Nolo Bait, seeds pack or in bulk etc.), less than full rolls of items when sold by the foot, under any circumstances. Shipment Error or Damage - Always contact our Customer Service Department or Order Department immediately to report damaged or missing items. PVF&GS will not take responsibility for damaged or missing items if not notified within 48 hours of delivery. Fedex Shipments - Contact us before refusing an order. In case of damages, please note that FedEx requires shipments to be held at the consignee location for their inspection, so do not return or discard products without prior authorization from Peaceful Valley. Generally, re-shipment is made by Peaceful Valley at the time a claim is filed. USPS Priority Mail - We do not recommend that wholesale customers opt to ship via Priority Mail as you would otherwise be responsible for filing all claims. Shipping charges via Priority Mail will always include delivery confirmation and insurance. Truck/Common Carriers - Do not sign for the shipment until you have confirmed the count of boxes, bags, rolls, pails, bundles, etc and have checked very carefully for apparent and/or concealed damage. We cannot accept any responsibility for missing and/or damaged items unless you note a count discrepancy and/or identify damage on the bill of lading at the time of delivery. Shipments Billed to Your Account - If you have requested that we bill your account with a shipper, you must know that you will be responsible for filing any claims. Drop Shipments - We are not accepting any drop ship accounts at this time. Shipping Charges - Accepted methods of shipment we arrange include FedEx Ground or common carrier truck. We can charge shipping to your UPS or Fedex account upon request (a $5.00 handling fee will be added to each order or shipment), or you may arrange pick-up by a party of your choice. You will be quoted all truck charges for approval before your order ships. Shipping via the US Postal Service is not allowed unless you, as consignee, accept in writing full responsibility in the event merchandise is lost or damaged. Positive Proof of Delivery - Name and signature is required for either FedEx Ground or Truck delivery. No leave at the door arrangements can be allowed. Fertilizer and Weed & Pest Control Sales - All our shipments (except drop ship orders) are F.O.B. Grass Valley, California, and as such, any sale transaction between PVF&GS and you, our wholesale customer, occurs within the State of California. You must understand and agree that we cannot be held responsible for laws or regulations regulating the retail sale of fertilizers or pesticides in states other than California. While we will attempt to inform you with any relevant information we have regarding products we sell, you must understand and agree that it is your responsibility to check and/or confirm as to whether a product can be sold within your state or not. California retailers may go to the website of the Dept of Pesticide Regulation for details about selling pesticides ( or California Department of Food and Agriculture ( for details about selling fertilizers. Legal Jurisdiction - In the event of any controversy, claim or dispute between all involved parties arising out of, or relating to, said wholesale business relationship, all parties agree that the proper jurisdiction and venue for arbitration or litigation shall be limited to the County of Nevada, State of California. The parties further agree that California law shall apply to all proceedings concerning this wholesale business relationship. Will you drop-ship direct to my retail customer? - No, we are not drop shipping orders at this time. Do I get delivered prices? - No, all orders are FOB Grass Valley, CA (unless drop-shipping direct from supplier), except where specified otherwise in our catalog, such as certain beneficial insects which are priced including delivery, or for Agribon orders over $12,000 which include delivery. How will my order be shipped? - We ship via Fedex Ground or via less-than-truckload common truck lines, and will arrange the best method for your circumstances. You may certainly arrange for your own carrier to pick up your order, but do ask for a truck quote as we enjoy good discounts due to our shipping volume. We can charge shipping to your UPS or Fedex account upon request (a $5.00 handling fee will be added to each order or shipment), or you may arrange pick-up by a party of your choice. How does wholesale ordering online work? - We will set you up to order wholesale on our website ( you become a wholesale customer, so you must provide an address on the Resale Certificate you submit. Once logged onto your account on our website, using the information we ve provided, you will be able to view current wholesale prices. What about billing and payment terms? - Wholesale orders are due & payable upon ordering and you may pay via Visa, MasterCard, Discover, check (we will ship your order once the check is received), wire transfer, or if you have terms with us, on your Account Receivable (A/R) account.
