1 SUPPLEMENTAL TERMS: Unless otherwise agreed in a separate agreement directly with Virtustream, the Virtustream Storage Cloud services offered to Customer under the applicable Quote are made available by DELL EMC pursuant to agreement(s) between DELL EMC and Virtustream. DELL EMC is only authorized to offer Virtustream Storage Cloud to Customer as a DELL EMC Select product, identified as "SEL" or "SELECT" (as described in Customer s product ordering agreement with DELL EMC (the Agreement )). Virtustream Storage Cloud is subject to the applicable Virtustream Terms of Service posted at All of Customer s rights including but not limited to its use, warranty, indemnity and support of Virtustream Storage Cloud shall be governed exclusively by the aforementioned terms and not the Agreement. Any warranty or indemnity claims against DELL EMC in relation to Virtustream Storage Cloud are expressly excluded. In no event shall DELL EMC be liable to Customer for any damages that in any way arise out of or relate in any way to Virtustream Storage Cloud. Virtustream Storage Cloud is provided by DELL EMC on an AS IS basis. All capitalized terms used below shall have the meanings given to them in the Virtustream Terms of Service. SUBSCRIPTION TERMS: By submitting an Order for the Services listed on this Quote, Customer confirms its obligation for the Service Period (defined below) and the associated financial commitment, as described below. COMMENCEMENT: Customer will be provided an communication with instructions to access a web- based portal that will permit Customer to administer its use of the Services. The Service Period begins on the date Virtustream sends this to Customer. SUBSCRIPTION & RENEWAL: Unless Customer has agreed to pre-pay for Services as identified on the applicable Quote, Services are currently available only under a 12 month, 24 month, or 36 month subscriptions*, payable monthly based on consumption of the Services. *Prior to expiration of the subscription period, Customer will be notified and may be offered a renewal subscription. In the event Customer fails to renew, Customer s subscription will automatically rollover into a month-to-month subscription under the same pricing terms as before. This month-to-month subscription will continue indefinitely until Customer orders a new 12 month, 24 month, or 36 month subscription or either party provides written notice of its intent to terminate. Any pre-paid Services will automatically rollover into a month-to-month subscription once the pre-paid amounts have been consumed at Virtustream s standard rates for the Services. EARLY TERMINATION: Customer may terminate a subscription as set forth in the Virtustream Terms of Service. NON-CANCELLABLE/NON-REFUNDABLE: Except as set forth above, the Services purchased pursuant to this Quote are noncancellable and all fees paid to DELL EMC are non-refundable. PROMOTIONAL OFFERS: Services ordered as part of a promotional offering will have quoted pricing terms apply for the minimum base commitment during the subscribed Service Period as such commitment is set forth on the applicable Quote. Pricing for capacity overages and usage fees as outlined in these Supplemental Terms will apply, and be invoiced to Customer on a monthly basis. At the end of the promotional offering subscription period, the promotional minimum base commitment pricing will end, and the Services will automatically rollover into a month-to-month subscription at the pricing terms set forth herein. FINANCIAL OBLIGATIONS & PAYMENT: SERVICES COVERED: DELL EMC will bill for Services ordered under this Quote, including fixed monthly fees, pre-paid fees and any charges for measured use. ORDERING AND PURCHASE ORDER ( PO ): Customer may order the Services on this Quote by (i) issuing a purchase order to DELL EMC that references this Quote; or (ii) with the prior approval of DELL EMC (a) signing such quote and returning it to DELL EMC; or (b) sending an or other writing to DELL EMC referencing and ordering the items on this Quote. Customer s order is accepted by DELL EMC (1) issuing an or other written communication to Customer accepting such order; or (2) shipping the applicable Products to or commencing performance of the applicable Services. The amount of the PO must be for the full value of the 12 month, 24 month, or 36 month subscription or the applicable pre-paid amount. Future fees as outlined above, related to the applicable Services (including fees not covered by promotional offerings), will also be billed against this same PO; Customer shall ensure that sufficient funds are available. INVOICING: Except for pre-paid Services, DELL EMC will invoice Customer in arrears once a month for all charges, including the base monthly commitment and any metered usage. Monthly bills for any partial months (i.e., the first and last months of service) will be adjusted on a pro-rata basis to reflect charges only for those days Customer actually received Services. SERVICE SUSPENSION: DELL EMC reserves the right to have Virtustream suspend or terminate the applicable Services if Customer fails to pay any fee within ten (10) business days after the applicable due date. VIRTUSTREAM STORAGE CLOUD OFFERINGS: STANDARD & PREMIUM SERVICES: The Services consist of two classes of cloud object storage services Standard and Premium. Standard service ingests and protects objects within a single region. Premium service ingests and protects objects across multiple regions. INFREQUENT ACCESS (IA) SERVICES: The Services consist of cloud object storage services intended for infrequently accessed archival data. IA Services are also available in two classes Standard and Premium. Standard service ingests and protects objects within a single region. 2 BASE SUBSCRIPTION: Each subscription to the Services consists of a committed base component that includes one or more storage capacity tiers with a fixed price associated with each tier. Current base subscription prices for Standard and Premium service classes are set forth in Table 1 below. In addition to the entitlement to consume the storage resources associated with each capacity tier, Customer is granted an allowance that permits the Customer to execute transactions and perform outbound data transfers that would otherwise be metered and charged separately. Inbound data transfers are not subject to any charges. The Services categorize these HTTP methods into Category A and Category B requests, as described below. Category A is limited to PUT, POST and GET BUCKET requests Category B includes all other HTTP requests such as GET, DELETE, HEAD and OPTION As part of its subscription, Customer is entitled to execute at no additional charge any number of Category A transactions during the subscription that approximate 100% of the number of write transactions equivalent to its committed base component, as measured in 256K increments. Similarly, for Category B transactions, Customer is entitled to execute any number of transactions during the subscription that approximate the number of read transactions equivalent to 20% of its committed base component. Once Customer exceeds these transaction allowances, Customer will be billed at the following rates per number of transactions performed during the month. $0.01 per 2,000 Category A transactions $0.02 per 50,000 Category B transactions DATA EGRESS MEASUREMENT & ALLOWANCE: As part of Customer s subscription, Customer is entitled to a data egress allowance equivalent to 20% of its committed base component. If Customer exceeds the allowed amount, Customer will be billed at the following tiered rates based on total data egress volume during the month.

The committed base component, unless pre-paid,, payable whether or not used; Measured storage above the committed base component, payable only if actually used and charged at tiered rates; Category A and Category B requests, payable only if they exceed Customer s allowance and charged at a flat rate in increments of 2,000 or 50,000 transactions depending on category; Data egress volume, payable only if measured use exceeds Customer s allowance and charged at tiered rates. PRICING & BILLING FOR INFREQUENT ACCESS (IA) SERVICES: BASE SUBSCRIPTION: Each subscription to the Services consists of a committed base fee that Customer will be charged whether or not the Services are used. If Customer s actual use of the Services exceeds the capacity allocated as part of the base fee, Customer will also be charged for such consumed storage capacity at the rates set forth in Table 2 below.
