We provide specialised services and solutions in renewable energy systems and design. Founded in 2015, we currently have offices in England, Wales, Switzerland, Brazil, Africa, and the Caribbean, as well as a joint venture partner in Dubai. We focus on energy/battery storage and, alongside larger projects, we offer a market leading residential battery storage solution to improve renewable energy systems or off-peak energy pricing structures. Catch Energy is a leading organisation with the ability to design, plan, develop, integrate, supply, and deploy products for battery storage and solar demands worldwide including residential, non-residential and microgrid applications. All our products or partner products are accredited to the highest standards. Our Resellers focus on selling our residential product range. However to achieve higher commissions and drive longer term business we welcome referrals for our non residential solutions too. These are bespoke and cross over many industry sectors. 7 1.4 Catch Energy battery storage solutions Our range of battery solutions are ideal for the worldwide market. By using lithium iron phosphate technology, rather than lead acid or lithium iron, our batteries can withstand high, constant temperature. They require no maintenance and will last for 10,000 cycles, equating to over 10 years. With most lead acid batteries lasting less than 1000 cycles, and most lithium iron batteries lasting less than 3000, we can offer the opportunity for our Resellers to be the early movers in bringing real energy storage to the world. Battery storage offers benefits such as back up for the grid, operating homes off-grid, maximising solar PV generation, and reducing energy bills. Catch Energy products offer added enhancements of safety, longevity and no maintenance. When installed with a solar PV array most average homes can derive 80% of their energy usage from their own generation. 8 2.0 Introduction - Catch Energy reseller program We appreciate that the best resellers come in different shapes and sizes and that s why there are different choices and levels of how you can work with us. We call our partners Resellers and Value Added Resellers and we will explain the benefits of each in turn. All prices and sales targets mentioned are in US dollars. Our Catch Energy Home program is based on sales of residential units. We do however know that busy, experienced resellers will come across projects outside of the residential sector and when our residential product is not suitable we will support you with a bespoke solution with your clients. As our resellers must sell residential products, the following information provides residential product targets and discounts. Non-residential opportunities will be dealt with on a case by case basis due to the complex nature of the projects. Please see our separate guide, the Reseller Profile for specifications on Catch Energy's ideal business partners or to establish suitability for large commercial opportunities. Approved Reseller As an Approved Reseller you are already doing business in your home country or you want to start a new company or add a product line to an already established range. You either have your own staff for marketing and sales, installation, engineering and maintenance or you are working with a field-experienced, local company to provide one or more of these services to you. You must be able to actively work the region requested and we suggest focussing on a smaller area, rather than trying to manage a large area. We expect you to be able to canvass that area for customers and have internal staff, or an external partner, that can survey clients homes. You will need to have a basic understanding of solar PV, perhaps be an existing solar PV installer and have access to solar panels locally. For non-residential business you act as the local contact person in your region for all questions in connection with the Catch Energy portfolio of services and you refer those directly to us. Your benefits You get a reduction of 10% off the standard wholesale rate card. Opportunity to earn additional margin by charging for installation / value added services. Prices to you are guaranteed for the contract duration (general countrywide price increases excluded). Regular WebEx sessions on new products or market updates (expected to be a minimum of 4 times per year).

Promotional material (such as brochures, flyers, information sheets) free of charge. Any incoming enquiries we receive from your area will be forwarded to you. Training/information on site for your engineers given by Catch Energy staff will be given free of charge when your initial order has arrived. Two free places at our annual exhibition and training event where you will benefit from enhanced training opportunities and networking. At least 2 visits/year from our sales and/or technical team to help with workshop set up, selling the product, seminars, roadshows etc. if there are potential orders. If you order the equivalent of more than 25 battery units per month over 12 month period, a rebate of 5% will be given on orders to date. We will rebate up to an additional 1.5% of the total order value at the end of each year as a contribution to documented marketing related activities such as advertising, conferences etc. Sales percentages for contracts or orders above US Dollar 250,000 will be negotiated case by case as will any non-residential opportunities. Initial 1 year contract with monthly statements tracking sales. We will arrange finance for your non-residential projects subject to approval free of charge to you and your clients. Our expectations Appropriate connections to generate pipeline of residential sales. A company website, or a dedicated separate site, which will display information on the Catch Energy range of products. We will invoice you for the product on a wholesale basis and you invoice your customers, giving you complete control of your margins. Monthly report on actual contacts, sales activities, current pipeline and a 6 month forecast. A sales pipeline to demonstrate the ability to fulfil minimum order commitments is required and will be reviewed quarterly. An initial stock purchase of residential product with a value of US Dollar 30,000 c 20 units. Minimum annual order commitment of US Dollar 200,000 / c 130 units for the first 12 months, rising by 20% each year on renewal (residential product only).

10 Value Added Reseller As a Value Added Reseller you will effectively become a distributor of Catch Energy in your region. You can either sell direct and install yourself or create a network around you. You can achieve this level after a successful year as an Approved Reseller or go straight into this level if you are already a distributor of similar solutions or working within the residential sector (such as a house builder or selling solar pumps etc). We would expect you to have the infrastructure to run the business autonomously in the residential sector. For non-residential business, we would expect you to create and manage the client in conjunction with the team at Head Office. Your benefits You get a reduction of 15 % off the standard wholesale rate card. Opportunity to earn additional margin by charging for installation, maintenance, value added services. Prices to you are guaranteed for the contract duration (general countrywide price increases excluded). Regular WebEx sessions on new products or market updates (expected to be a minimum of 4 times per year). Full support when required to develop your new business or division across technical, sales and general business advice. Four free places at our annual exhibition and training event where you will benefit from enhanced training opportunities and networking. Promotional material (such as brochures, flyers, information sheets) free of charge. At least 4 visits per year from our sales and technical staff to help in selling the product, workshop set up, seminars, road shows per sector if there are potential orders. If you order the equivalent of more than 35 battery units per month over 12 month period, a rebate of 5% will be given on orders to date. You can appoint other persons/companies as sub resellers in your area. Separate incentives can be given to your sales and marketing team with cost sharing from Catch Energy to increase sales further if required once your first year target has been achieved. We will rebate up to an additional 3% of the total order value at the end of each year, as a contributionn to reimbursement for documented marketing related activities such as advertising, events etc. Initial 1 year contract with monthly statements tracking sales. We will arrange finance for your non-residential projects (subject to approval) free of charge to you and your clients.

A sales pipeline to demonstrate the ability to fulfil minimum order commitments is required and will be reviewed quarterly. Minimum annual stock purchase of US Dollar 300,000 for the first year / c 200 units, rising by 20% each year on renewal (residential product).
