3 REFERENCE ACTIVITIES AND POINTS We tailor our engagement to match your willingness and readiness. SAP offers multiple different formats that allow you to share your success. All activities are agreed upon between you and your reference manager to make this collaboration successful and enjoyable. Sales Activities Speak in person or on the phone to one or several of SAP s prospective customers. You can engage in: telephone calls Full-day or half-day reference visits (1:1) slive calls or on-site visits (1:few) Roundtable discussions at SAP events Activities PROGRAM ACTIVITIES AND THEIR REFERENCE POINTS One point equals one euro. 300 call German 550 call English 750 Half-day visit (1:1) Marketing Activities Showcase your success publicly using collateral, videos, posters, or even social media. Join our great industry events and take part in a wide variety of activities. For example, you can: Engage in speaking opportunities at SAP events Produce collateral that highlights your successes Participate in interviews with the press and analysts Record a video testimonial about your experience with SAP Other Activities Allow SAP to use your logo, engage in key customer projects, and collaborate with you on future ideas. 1,500 Full-day visit (1:1) 2,500 slive call (1:few) We reward you with reference points for the support you provide to us. You may use reference points against any SAP invoice, be it training courses organized by the SAP Education organization, SAP Consulting services, SAP software licenses, or SAP support. A credit note will be issued automatically following reference activities initiated by your reference manager. 3 / 7 3 / 7
4 TERMS AND CONDITIONS Activities program The reference customer participates in the reference customer program of SAP Deutschland SE & Co. KG (herein: SAP) pursuant to the information provided in the nomination form. The customer agrees to provide information on the implemented functions of the reference solution. For this purpose, the customer will receive a questionnaire from SAP Deutschland's reference customer management. The reference customer is willing to perform reference customer activities in collaboration with SAP, with the objective of boosting the business value of SAP and its products. SAP does not hereby lay claim to the execution of such reference activities or to the achievement of these objectives. SAP will provide the reference customer with the name and contact details of the SAP reference manager who will work with the reference customer as part of the reference customer program. SAP will contact the reference customer to organize reference activities. All reference activities will be discussed with the reference customer in advance so that they can govern the timing, frequency, and content-related design of the planned activities. The reference customer has the right to decline requests from SAP regarding the alignment of reference customer activities at their own discretion. For reference customer visits, the reference customer will receive a list of participants in advance. The customer has the right to refuse participants (for example, from competitors). SAP customers who take part in the Global and who obtain advantages through this must not use these advantages to unlawfully influence actions and decisions by providing, offering, promising, or authorizing these advantages or their equivalent either directly or indirectly to one of the following parties: Employees, consultants, or representatives of interested parties Officials or employees of authorities Official representatives or candidates of political parties Officials or employees of public international organizations Immediate family members of such persons (or any other person) to the advantage of this person Business-related maintenance activities during the implementation of this program must be appropriate, transparent, and compliant with the regulations of the host company, and must not purport to attempt to try and influence business decisions. Public Sector customers that wish to take part in the bonus program require prior approval from the SAP Legal Compliance and Integrity Office. The SAP reference manager is responsible for requesting this from the SAP Legal Compliance and Integrity Office. Credit notes The reference customer receives an expense allowance from SAP for reference activities that they organize as part of SAP's reference customer program (see the "Bonus " section). The bonus regulation applies exclusively to such reference activities that the reference customer organizes for third parties, therefore notably not for visits to companies within their own corporation. 4 / 7 4 / 7
5 TERMS AND CONDITIONS Activities Credit notes The amount is credited to the reference customer's SAP account and can be used to offset SAP services availed of by the reference customer (purchase and maintenance of software, training courses, consultation). The credit note of the expense allowance mentioned above is applied only if the relevant reference activity was agreed with the reference manager in good time (meaning before the activity). Therefore, the reference customer will forward all reference queries received from third parties (SAP, partner companies, or interested companies) to reference customer management. Confidential and proprietary information, liability SAP and the reference customer will not use the other party's confidential information without prior written consent if this does not take place within the reference customer program or within the agreed or legal framework. This also applies to all of a party's information that is made available to the other party within the reference customer program. Where possible, the confidential information is to be destroyed or returned upon completion. Confidential information is deemed to be all written information marked with "confidential" or a similar label in a visible location, all verbal information, and all transmitted data in electronic format or any other format, which is explicitly identified as confidential upon disclosure, as well as all information that is to be viewed as confidential due to the circumstances in which it is disclosed. Furthermore, confidential information includes all information that a party receives from third parties and is obliged to handle as confidential if this information has been identified as confidential as described above. Inclusion in the reference customer program does not give rise to any rights to patents, copyrights, or any other intellectual property of SAP or the reference customer. This also applies to the rights of persons involved to information of the other party that was exchanged within the framework of the reference customer program. Exempt from this are rights to the verification of information that arise within the relationship between SAP and the reference customer as agreed in this document. The parties shall be mutually liable for compensation for damage or expenses, irrespective of the legal grounds, including unlawful acts, only in cases of (a) obligation to indemnify pursuant to the Product Liability Act, or (b) gross negligence or intent of the respective party, or (c) the absence of a promised or guaranteed property, or (d) personal injuries. If a party is liable for gross negligence of employees who are neither bodies nor executive employees of the respective party, the entire liability of the party is limited to such damage and to such a maximum extent of damage that was typically foreseeable for the party at the time of the conclusion of the contract due to the circumstances known to the party at that time with regard to the reference customer program of SAP Deutschland SE & Co. KG. The exclusion or limitation of entitlements pursuant to the preceding paragraphs of this section also applies to entitlements of a party with respect to employees or agents of the other party. 5 / 7 5 / 7
