PART A: DEFINITIONS In these Terms and Cnditins: "Accunt Disclsures" means the terms and cnditins pertaining t yur persnal depsit accunt as they appear in the RBC ROYAL BANK DISCLOSURES AND AGREEMENTS RELATED TO PERSONAL DEPOSIT ACCOUNTS bklet and any applicable Interest Rate shwn in the Persnal Accunts Interest Rates link, bth the subject f this Cnsent and bth fund in the link in SECTION II. "esignature" means the electrnic infrmatin created by yur clicking n the I Agree and Cntinue buttn, which includes the current date and time, the sessin identificatin number and yur client number; "Message Centre" means ur nline cmmunicatin centre lcated in Online Banking and where encrypted cmmunicatins may be transmitted between yu and us; "Online Banking" means ur nline banking service; "we", "us" and "ur" mean Ryal Bank f Canada (the Bank); and "Yu" and "yur" means the applicant(s). PART B: TERMS FOR ELECTRONIC DISCLOSURE AND DOCUMENTS I. Cnsent t Electrnic Availability f Accunt Disclsures (the "Cnsent") T cmplete the accunt pen prcess, we must prvide, and yu must review and cnsent t the terms and cnditins pertaining t this accunt type, as described in the Accunt Disclsures (defined abve). As yu have chsen t pen the accunt nline, we will prvide yu with the Accunt Disclsures in electrnic frm prvided that yu cnsent t receive them in electrnic frm. 1. Cnsent and Electrnic Prcess. (a) Yu cnsent t us making yur electrnic Accunt Disclsures available fr yu t review in SECTION II belw n this website page. (b) In additin, yur electrnic Accunt Disclsures can be accessed n ur website at and in Online Banking under the "Legal" link at the bttm f the page. 2. Availability. If yu want t retain cpies f yur electrnic Accunt Disclsures, yu can print r save a cpy f them nw r access them n ur website r in Online Banking as described in 1(b) abve. Yu can als visit yur lcal branch t btain a paper versin f the Accunt Disclsures. II. Cnsent t Receive Electrnic Delivery f Statements and Ntificatins fr yur Persnal Depsit Accunts As yu have chsen t pen this accunt nline, we will prvide yu with Statements and Ntificatins (as defined belw) in electrnic frm prvided that yu cnsent t receive them in electrnic frm. 1. Cnsent t Receive Electrnic Delivery f Statements and Ntificatins. Yu cnsent t receive the fllwing in electrnic frm in Online Banking: (a) Mnthly accunt statements related t yur persnal depsit accunt ("Statements"); and

2 (b) Ntices that we are required by law t send yu in writing including changes t the accunt agreement, increases in fees and the intrductin f new fees applicable t yur persnal depsit accunt ("Ntificatins"). If yu are cnverted t r yu switch t a new accunt type, Ntificatins include the accunt disclsures, agreements and any interest rate applicable t the new accunt type. 2. Electrnic Delivery Prcess. Yu acknwledge that: (a) Thrugh links in Online Banking and links in messages sent t the Message Centre, yu can access any electrnic Statements that are currently in yur archive f Statements. (b) Imprtant infrmatin abut yur persnal depsit accunt and certain Ntificatins may appear n the Statements themselves. All ther Ntificatins will be sent thrugh the Message Centre r thrugh links in messages sent t the Message Centre. (c) Yur cnsent t electrnic Statements and Ntificatins takes effect immediately. (d) We will ntify yu when new electrnic Statements and certain electrnic Ntificatins are available by sending messages t the Message Centre r thrugh links in messages sent t the Message Centre. (e) In additin t the ntificatin in sectin 2(d) abve, yu may select t have an sent t the persnal accunt yu specify in Online Banking, advising yu that an electrnic Statement is available. If yu have requested ntificatin, yu acknwledge and agree that is nt secure r reliable, and may nt be received by yu in a timely manner r at all. 3. Dcument Optins. Fr all persnal depsit accunts, ther than the RBC High Interest esavings accunt and the RBC U.S. High Interest esavings accunt, yu (the sle wner f a persnal depsit accunt r any c-wner f a jint persnal depsit accunt) can change the preference frm electrnic t paper Statements and Ntificatins fr the accunt at any time by cntacting any RBC Ryal Bank branch r by calling Ryal 11. This change can als be made by clicking n the View and Manage Dcuments link in Online Banking. If yu (the sle wner f a persnal depsit accunt r any c-wner f a jint persnal depsit accunt) wuld like a paper cpy f a Ntificatin fr yur RBC High Interest esavings accunt r yur RBC U.S. High Interest esavings accunt, yu can cntact us at Ryal Cntact Infrmatin. Yu will advise us f any changes t yur cntact infrmatin that yu have prvided in cnnectin with Online Banking. 5. Availability. During the time that this accunt has been designated t receive electrnic Statements, yur electrnic Statements will be available fr up t 7 years as lng as yur accunt remains pen and yu cntinue t be enrlled in Online Banking. The electrnic Ntificatins will be available in the Message Centre fr up t 90 days frm the date we first ntify yu in the Message Centre, unless deleted by yu. It is yur respnsibility t retain a cpy f each dcument by printing r saving a cpy while it is available t view in Online Banking. We can prvide yu with a paper cpy f any Statement that yu have received electrnically at ur standard fee, if applicable. 6. Technical Requirements. All electrnic Statements and sme electrnic Ntificatins are presented as PDF files and require yu t have Adbe Reader sftware installed n yur cmputer. We d nt wn r perate, and are nt respnsible fr, Adbe Reader sftware. 7. Review yur Electrnic Statement. Yu are required t review yur electrnic Statement. If yu think there is an errr, yu must cntact us within 45 days frm the date f yur electrnic Statement r we will cnsider ur recrds t be crrect. 8. Prvisin f Paper. We may prvide yu with paper Statements and Ntificatins if we deem it apprpriate r if we are unable t prvide yu with them electrnically. PART C: ESIGNATURE Yu agree that yu adpt the electrnic infrmatin created by yu clicking n the Apply & Agree buttn, which includes the current date and time, the sessin identificatin number, and yur client number as yur signature and signature card fr the purpses f pening this accunt.

3 PART D: COLLECTION AND USE OF PERSONAL INFORMATION I. Cllecting yur persnal infrmatin We may frm time t time cllect financial and ther infrmatin abut yu such as: infrmatin establishing yur identity (fr example, name, address, phne number, date f birth, etc.) and yur persnal backgrund; infrmatin related t transactins arising frm yur relatinship with and thrugh us, and frm ther financial institutins; infrmatin yu prvide n an applicatin fr any f ur prducts and services; infrmatin fr the prvisin f prducts and services; and infrmatin abut financial behaviur such as yur payment histry and credit wrthiness. We may cllect and cnfirm this infrmatin during the curse f ur relatinship. We may btain this infrmatin frm a variety f surces, including frm yu, frm service arrangements yu make with r thrugh us, frm credit reprting agencies and financial institutins, frm registries, frm references yu prvide t us and frm ther surces, as is necessary fr the prvisin f ur prducts and services. Yu acknwledge receipt f ntice that frm time t time reprts abut yu may be btained by us frm credit reprting agencies. II. Using yur persnal infrmatin This infrmatin may be used frm time t time fr the fllwing purpses: t verify yur identity and investigate yur persnal backgrund; t pen and perate yur accunt(s) and prvide yu with prducts and services yu may request; t better understand yur financial situatin; t determine yur eligibility fr prducts and services we ffer; t help us better understand the current and future needs f ur clients; t cmmunicate t yu any benefit, feature and ther infrmatin abut prducts and services yu have with us; t help us better manage ur business and yur relatinship with us; t maintain the accuracy and integrity f infrmatin held by a credit reprting agency; and as required r permitted by law. Fr these purpses, we may: make this infrmatin available t ur emplyees, ur agents and service prviders, wh are required t maintain the cnfidentiality f this infrmatin; share this infrmatin with ther financial institutins; and give credit, financial and ther related infrmatin t credit reprting agencies wh may share it with thers. In the event ur service prvider is lcated utside f Canada, the service prvider is bund by, and the infrmatin may be disclsed in accrdance with, the laws f the jurisdictin in which the service prvider is lcated. Upn yur request, we may give this infrmatin t ther persns. We may als use this infrmatin and share it with RBC cmpanies (i) t manage ur risks and peratins and thse f RBC cmpanies, (ii) t cmply with valid requests fr infrmatin abut yu frm regulatrs, gvernment agencies, public bdies r ther entities wh have a right t issue such requests, and (iii) t let RBC cmpanies knw yur chices under "Other uses f yur persnal infrmatin" fr the sle purpse f hnuring yur chices.

4 If we have yur scial insurance number, we may use it fr tax related purpses if yu hld a prduct generating incme and share it with the apprpriate gvernment agencies, and we may als share it with credit reprting agencies as an aid t identify yu. III. Other uses f yur persnal infrmatin We may use this infrmatin t prmte ur prducts and services, and prmte prducts and services f third parties we select, which may be f interest t yu. We may cmmunicate with yu thrugh varius channels, including telephne, cmputer r mail, using the cntact infrmatin yu have prvided. We may als, where nt prhibited by law, share this infrmatin with RBC cmpanies fr the purpse f referring yu t them r prmting t yu prducts and services which may be f interest t yu. We and RBC cmpanies may cmmunicate with yu thrugh varius channels, including telephne, cmputer r mail, using the cntact infrmatin yu have prvided. Yu acknwledge that as a result f such sharing they may advise us f thse prducts r services prvided. If yu als deal with RBC cmpanies, we may, where nt prhibited by law, cnslidate this infrmatin with infrmatin they have abut yu t allw us and any f them t manage yur relatinship with RBC cmpanies and ur business. Yu understand that we and RBC cmpanies are separate, affiliated crpratins. RBC cmpanies include ur affiliates which are engaged in the business f prviding any ne r mre f the fllwing services t the public: depsits, lans and ther persnal financial services; credit, charge and payment card services; trust and custdial services; securities and brkerage services; and insurance services. Yu may chse nt t have this infrmatin shared r used fr any f these "Other uses" by cntacting us as set ut belw, and in this event, yu will nt be refused credit r ther services just fr that reasn. We will respect yur chices and, as mentined abve, we may share yur chices with RBC cmpanies fr the sle purpse f hnuring yur chices regarding "Other uses f yur persnal infrmatin". IV. Yur right t access yur persnal infrmatin Yu may btain access t the infrmatin we hld abut yu at any time and review its cntent and accuracy, and have it amended as apprpriate; hwever, access may be restricted as permitted r required by law. T request access t such infrmatin, t ask questins abut ur privacy plicies r t request that the infrmatin nt be used fr any r all f the purpses utlined in "Other uses f yur persnal infrmatin" yu may d s nw r at any time in the future by: cntacting yur RBC Ryal Bank branch; r calling us tll free at Ryal 1-1 ( ). V. Our privacy plicies Yu may btain mre infrmatin abut ur privacy plicies by asking fr a cpy f ur "Financial fraud preventin and privacy prtectin" brchure, by calling us at the tll free number shwn abve r by visiting ur web site at VI: Use f Address By chsing t submit yur applicatin electrnically and prviding us with yur address: 1. Yu agree that we may use it in accrdance with these Terms and Cnditins and any ther agreement between yu and us; and 2. Yu request us t send yu s with the infrmatin required t cmplete yur accunt pen request, including: cnfirming receipt f yur accunt pen request, prviding yur specific reference number and describing next steps; ntifying yu f any delay in prcessing yur accunt pen request, including utlining missins, crrectins r changes required t prceed r actins required t cmplete yur request; prviding yu with access t electrnic signing if yu chse t use esignatures; and cnfirming successful accunt pening and prviding infrmatin ptins available t access yur accunt.

5 PART E: GENERALITIES I. Enrll in Online Banking If yu are nt already enrlled in Online Banking, and the statement r ntificatin delivery ptin fr any f yur accunts is electrnic, then yu agree that yu will enrll in Online Banking. In additin, yu agree that yu will stay enrlled in Online Banking during the time that yur statement r ntificatin delivery ptin is electrnic. II. Changes t the Terms and Cnditins We may change the Terms and Cnditins, ther than thse terms required by law, by prviding yu with written r electrnic ntice, including by prviding yu with ntice (i) in yur electrnic statements, (ii) in the Message Centre r elsewhere in Online Banking, r (iii) sent t the address yu last prvided via Online Banking r t yur mailing address last appearing n ur recrds. If yu access Online Banking after the effective date f the change, it will mean that yu have agreed and cnsented t the change. III. Gverning Law The Terms and Cnditins will be exclusively gverned by the laws f the Prvince r Territry in which yu live. If yu live utside f Canada, the Terms and Cnditins will be exclusively gverned by the laws f the Prvince f Ontari. Yu and we agree that the curts f the Prvince r Territry specified abve shall have exclusive jurisdictin ver each f us fr the determinatin f any matters arising ut f the Terms and Cnditins. IV. Language Yu and we have expressly requested that this agreement and all related dcuments, including ntices, be drawn up in the English language.
