1 Independent Reseller Guidelines 1. The History of Rich Nutrition Rich Nutrition is a brand new direct selling company located on the Northside of Brisbane. Our aim is to provide nutrition for your skin and body. We are not just in the skin care industry, we also carry a range of nutritional supplements to promote general health and wellbeing. We have numerous skin care ranges, protein supplements, pre-workout, BCAA s and our product range is constantly growing. Best of all, our products are manufactured right here in Australia. Our Director, Donna Sly, has been a Consultant for many direct sales companies over the last 25 years. She has had considerable sales and business success which provides the foundation to build Rich Nutrition over the coming years. Rich Nutrition is a company with integrity and high standards of business ethics. The direct sales industry continues to grow and this business model ensures the customer receives quality products and excellent customer service. Customers = Success! 2. Joining Rich Nutrition and the Benefits of Referrals When you join as a Rich Nutrition Independent Reseller, there is an opportunity to build a team to enable you to receive monthly incentive bonuses. New Independent Resellers join the team of their Referrer. The Referrer will receive a one-off bonus of $25 in credit to be redeemed by way of retail products or business resources. Your Referrer will never change unless they become inactive or are removed and are no longer associated with Rich Nutrition. Although, there may be instances from time to time where Corporate is to execute a case-by-case Referrer change at the discretion of Corporate. This decision will remain final and not open to further discussion. There are many benefits to joining or building a team. It is reassuring to have the support of a Team Leader who knows the products; focusing on the features and benefits of the Rich Nutrition range. To be part of a growing team allows room for healthy competition, motivation and sharing business tips and ideas. It is also great to have support and make friends along the way! Rich Nutrition is completely invested in leading you to success by providing quality business tools. All we ask is that you maintain a strong work ethic and as an Independent Reseller it is a MUST that you remain professional when promoting your business and the Rich Nutrition product range. It is vital for you to ask your referrer and team members for information and ask as many questions as you require. Ensure you regularly visit our FAQ s and Product Training Manuals as often as possible.

2 In order to remain active as a Rich Nutrition Independent Reseller, you must place a launch party order within your first month and then an order within 90 days of your last order ongoing. If you do become inactive at any time, you will no longer remain an Independent Reseller and you will forfeit any current team members that you have referred (at Corporate s discretion). If you choose to re-join, you will be required to purchase a new kit as Rich Nutrition products have a shelf life of approximately 12 months. New Independent Resellers can be added to your new team after being referred by you once you have re-joined as an Independent Reseller. At no time does Rich Nutrition permit New Independent Resellers to be actively promoting third party direct selling companies who carry identical or similar products. It is the New Independent Reseller s responsibility to disclose any third party association with any direct selling / party plan companies. The association being current activity and / or any activity within the last 12 months. If this applies to you, please contact Corporate immediately prior to purchasing your kit. For your request to become a Rich Nutrition Reseller to be approved, further discussion will be required and a decision will be made at Corporate s discretion. If the New Independent Reseller does not disclose this information prior to joining, they will be removed and no longer be associated with Rich Nutrition. Rich Nutrition remains firm and Corporate s decision is final. 3. Commissions / Immediate Discount Rich Nutrition Independent Resellers have the opportunity to earn personal commissions by way of immediate discount at checkout when purchasing directly from the Rich Nutrition website. There are no fancy commission schemes, no autoships and no website fees. As we grow, commissions and incentives will be re-assessed and will not be changed or amended without Corporate advising Independent Resellers prior to this change. There are two additional incentive opportunities at this stage as follows: Monthly Team Sales Incentive A Team comprises of at least four members (including yourself) which then promotes you to become ranked as a Team Leader. All New Independent Resellers that have been personally referred by you, has joined and have placed a launch party order within their first month (excluding kit purchases) are included in your Team. All you need to do is purchase $100 retail per month to remain qualified as a Team Leader. It s that simple! There are no further downline levels used to qualify in this incentive opportunity. Generally, most direct selling companies base their rewards on the team with the highest sales, but given the fact that we are a new business, all teams have the opportunity to achieve an incentive reward. Corporate reserves the right to review any commissions, discounts, rewards and incentive bonuses at any time as our business grows. Monthly Team Sales incentives are paid to the Referrer (Team Leader) by the 15 th of the following month. They are as follows: $500 - $2000 $25 Cash Bonus $ $5000 $50 Cash Bonus $5001+ $75 Cash Bonus

3 Highest Referrer for the Month Incentive A Team Leader can also receive a $50 Retail Product Credit as a reward for joining the most team members into your team within a calendar month. This is paid in addition to your $25 product credit for each new team member who joins as an Independent Reseller by purchasing their choice of kit within that same calendar month. To qualify, you will be required to submit (by no later than the 7 th of the following month), a list of new team members who have joined which is to be verified by Corporate. Once determined, we will announce the winner. If it is won by two or more Team Leaders, the prize is shared evenly and at Corporate s discretion. 4. What is involved in becoming a Team Leader? The Team Leader role is an important responsibility and, in turn, you are required to provide adequate support to your team members to meet their Fast Track Program (see point 6) and ongoing business tips and ideas. It is important to contact your team members on a regular basis, offer them training and promote Corporate sales incentives. By monitoring team sales progress on a weekly basis, it will demonstrate to you those who are willing to work hard at building a successful business. 5. Hosting a Party Parties are an excellent way to increase sales and promote your products to consumers. Your Hostess will invite family and friends to experience the quality products that Rich Nutrition provides. Each month there is a party flyer which is released by Corporate. This details the free product credit and promotions available to the Hostess. The Consultant can also provide a gift to the hostess and samples at their own expense for all guests to win at the party to generate interest and book future parties. You have the flexibility to decide how to hold your party. Rich Nutrition provides general ideas on how a party is conducted. Often it is easier for you to decide how you would like it run. You can also determine how receptive guests are when they arrive. There are other methods for a Consultant to sell Rich Nutrition products e.g. catalogue parties, box parties, fundraisers and so on. For additional ideas, feel free to speak with your Referrer or other Rich Nutrition Independent Resellers. All hostesses will receive a 10% product credit based on party sales. For example, for every $100 in retail purchases, the hostess receives $10 in free product credit to be used after all party orders have been paid for. This can be achieved by orders at the party or any outside orders made with the Hostess prior to the event. Rich Nutrition is responsible to honour the 10% product credit to party hostesses. There will be additional promotions available each month as noted on the monthly hostess flyer issued by Corporate.

4 Customers may wish to buy product directly from you at full retail pricing. This can be done at a market or any face-to-face opportunity. If this purchase is included in the sales total at a party, it is the Independent Reseller s responsibility to purchase this product (or an alternative product at the same or higher price) and place back into their stock on hand to have it count towards hostess rewards. If it is not included in the party sales total, then the Independent Reseller does not have to replace the item. An order form with the Rich Nutrition logo is to be used by the customer to place an order at a party or as an outside order. The Independent Reseller is responsible for placing the party order in bulk through the Rich Nutrition website. It is also the Independent Reseller s responsibility to receive payment from customers prior to placing an order. It must be paid for in full by the Independent Reseller with all hostess benefits and promotional discounts applied (if applicable). Under no circumstances are products to be sold from any other online website including ebay, Gumtree and any other similar websites. Corporate reserves the right to immediately cancel your Independent Reseller status and you will no longer be active nor allowed to re-join. The decision made by Corporate will remain final. 6. Fast Track Program We have a fantastic Fast Track Program available for all new Independent Resellers. This program is designed to assist you within your first three months of joining to give all Independent Resellers the best opportunity to meet business goals. The Fast Track Program flyer is available for further information. Please advise your Referrer that you would like to participate so that they can monitor your progress and guide you to success. 7. Markets / Trade Shows / Shopping Centre Displays Rich Nutrition encourages all Independent Resellers to promote our products at any market, trade show, shopping centre display and the like. It is important that you present our product range and engage with potential customers to create a presence within the marketplace. At your own expense, you can choose to provide samples, run competitions and offer additional bonuses to entice customers to purchase your Rich Nutrition products. You may choose to hold a small amount of stock on hand to sell to customers directly. Please keep in mind that Rich Nutrition products do carry a shelf life of approximately 12 months and it is important to rotate your stock regularly to ensure your stock on hand remains in date and undamaged. 8. Stationery / Address / Discount Code There are many business card templates for you to choose from through online websites and printing companies. Some offer free promotions from time to time. Your business cards MUST carry the Rich Nutrition Logo and it MUST have noted that your relationship with Rich Nutrition is that of an Independent Reseller. Please speak with your Referrer or Corporate to understand the correct guidelines prior to purchasing. If you choose to have business cards, they are to be paid for at your own expense.

5 A business address is a great way to your customers directly and keep your business separate from your personal . There are many free options e.g. Gmail and Outlook for you to choose from. All purchases will be made through our website As a Reseller, you will be provided with a discount code to apply at checkout to receive your discount immediately. Please note that this discount code is NOT to be given to anyone (including customers, family and friends etc.) as this will remove your opportunity for earning your discount on sales. Online orders whereby a discount has been applied will be sent directly to Independent Resellers only. Any other online customer orders will only be shipped if they have paid full retail price. Corporate will not supply anyone who has applied a discount and is not an active Independent Reseller. 9. Shipping / Postage Expenses / Returns Rich Nutrition is proud to advise that all regular shipping expense is paid for by our Company. Keep in mind if you request an express service, the additional freight cost will be added to your total and is payable by you. For any returns being Corporate s error e.g. damaged stock or incorrect supply, the Independent Reseller is responsible to return this for replacement or correction within 10 business days. Corporate will refund the Independent Reseller any reasonable postage costs once it has been approved for return by Corporate. The Independent Reseller must contact Corporate PRIOR to returning the products to obtain a voucher number to be placed on all correspondence. In many cases, if you purchase the product and the customer cancels their order or simply changes their mind, it then becomes the Independent Reseller s responsibility to place those products into their stock holdings. All refunds are considered on a case by case basis at the discretion of Corporate. We will contact you directly to discuss any additional information that may be required. 10. Insurances As an Independent Reseller, it is your responsibility to purchase a $20 million Public Liability Insurance policy. Rich Nutrition is currently in discussions with insurers to organise a standard policy suitable for all Independent Resellers. At this stage, there are no confirmed arrangements. There are companies that do offer market only insurance. Please be reminded that all insurance costs are at your expense and is your total responsibility to obtain the correct and transparent advice from a qualified insurance agent or broker. Rich Nutrition takes no responsibility and is not liable for any claims made whereby you have not obtained insurance or have obtained the incorrect insurance coverage for your business. If any arrangement is met in the future with a suitable insurer, Rich Nutrition takes no part in the insurance process and will not be involved in recommending any policies whatsoever. Your decisions on insurance are at your complete discretion and is your total responsibility as a business owner.

6 11. Taxation Advice Rich Nutrition suggests you obtain taxation advice prior to starting any business whether it be a hobby or a larger entity. It is important that you gain the correct information relevant to your current independent financial situation. Please contact your accountant or tax adviser for suitable advice. At no time does Rich Nutrition give any financial advice and does not take any responsibility for decisions made by the Independent Resellers. 12. Afterpay / Paypal / Credit Cards Rich Nutrition recommends that you obtain payment from customers prior to processing a party. This is to ensure that your customers will be less likely to cancel. There are many options for you to choose from for immediate credit card payments to be made. Banks and Building Societies offer EFTPOS terminals for credit card payments. There are other options for credit card payments through Paypal and Square etc. for card readers and similar payment tools. Please read all information provided by your merchant provider thoroughly before making any decisions. Any fees associated with your merchant facility are your responsibility. Please contact your accountant, taxation adviser, bank, building society etc. for suitable and accurate advice. It is very exciting that Rich Nutrition now offers the Afterpay facility. If you are satisfied, please contact your Referrer for your next step in joining Rich Nutrition. By joining as an Independent Reseller for Rich Nutrition, you acknowledge your agreement to the Rich Nutrition Reseller Guidelines.
