1 VANIER CUP 2014 TAILGATE PHOTO Sweepstake Vanier Cup 2014 Tailgate Photo Sweepstake Official Sweepstake Rules NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR TO WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. 1. Agreement. These rules (the Sweepstake Rules ) govern the Vanier Cup 2014 Tailgate Photo Sweepstake (the Sweepstake ). The act of entering the Sweepstake constitutes your agreement with and acceptance of the Sweepstake Rules and the decisions of the Sponsor (as defined below), which decisions shall be final and binding upon all Entrants (defined below). This Sweepstake has not previously been offered. 2. Eligibility: The Sweepstake is open only to legal residents of Québec and Ontario who have reached the age of majority in their state or province of residence at the time of entering the Sweepstake. Employees of Tourisme Montréal and its parent and affiliate entities, as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. The Sweepstake is subject to all applicable federal, state, provincial, municipal, territorial and local laws and regulations, and is void where prohibited by law. Winning the prize is contingent upon fulfilling all requirements (including the eligibility requirements) set forth herein. Eligible persons entering the Sweepstake are individually and collectively referred to herein as Entrant or Entrants. Sweepstake Entrants should be available to travel on November 29, By entering the Sweepstake, Entrants acknowledge that they are legally and physically able to travel to and within Canada, and have the appropriate travel documents in their possession. 3. Sponsor: The Sponsor of this Sweepstake is Tourisme Montréal, with an address at 1555 Peel Street, Suite 600, Montréal, Québec, H3A 3L8, Canada. 4. Timing: The Sweepstake Period begins on November 18, 2014, at 9 a.m. Eastern Time ( ET ) and ends on November 29, 2014, at 9 a.m. Eastern Time ( ET ) (the Sweepstake Period ). The Sponsor s computer is the official time-keeping device for the Sweepstake. 5. How to Enter: Entrants should use their smartphone or other electronic device to take a photo of themselves (alone or with friends), while completing one of the eight photo challenges. Entrants should then share their photos on Twitter or Instagram before the end of the Sweepstake Period and include in their post the #MTLMOMENTS hashtag. Entrants must include this hashtag for their photos to constitute a valid Sweepstake entry. The Instagram or Twitter account to which the images are posted must be that of an individual and not an organization or company. Each completed challenge will account for a participation.

2 Challenges list: 1. Make a fan pyramid in front of the Percival-Molson Memorial Stadium. 2. Show off your game face painted in your team s colours on Sainte-Catherine Street. 3. Juggle footballs on the Mount Royal Park lookout. 4. Form a line of scrimmage in front of your Montréal university campus. 5. Eat a poutine while wearing a football helmet, in front of your favourite Montréal poutine restaurant. 6. Strike a football player s pose on the steps of Place des Arts. 7. Do your best touchdown dance in front of your favourite Montréal sports bar. 8. Show off your Vanier hairstyle in front of a Montréal metro station. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any registration, the authorized Twitter or Instagram account holder used to register will be deemed to be the Entrant. The Authorized Account Holder is the natural person assigned a Twitter or Instagram account by the online service provider or other organization responsible for assigning accounts. The potential winner may be required to show proof of being the Authorized Account Holder. The submitted photos may not contain any objectionable content, as determined in the sole opinion of the Sponsor, and must be appropriate for a general family audience. More specifically, by entering the Sweepstake, Entrants agree not to upload photos that include unlawful, threatening, abusive, libellous, defamatory, obscene, vulgar, pornographic, profane or indecent material of any kind, or photos that include any blatant expression of bigotry, racism, hatred or harassment. 6. Publicity and Use Rights: By posting a photo as an entry in the Sweepstake you: (a) declare and warrant that you are the sole creator of the photo and have all necessary rights, including copyright, to submit the photo for the purposes of the Sweepstake and grant the rights specified at section 6(b) of these Sweepstake Rules and declare and warrant that the uploading of the photo and the use by Sponsor of said photo, as specified in section 6(b), does not infringe the rights of third parties, (b) declare and warrant that every recognizable person appearing on the photo have expressly consented to the uploading and use of said photo in connection with the Sweepstake and by Sponsor as specified 6(c) and (c) automatically grant (or warrant that the owner of rights in said photo expressly grants) the Sponsor and its affiliates and their successors and assigns, a worldwide, perpetual, unlimited, non-exclusive, perpetual, royalty-free, irrevocable, transferable and sub-licensable right and license to use, copy, display, transfer, adapt, edit, exploit, broadcast, transmit, communicate, publicly display, distribute the submitted photo and create compilations and derivative works from such photo for purposes of promoting/advertising the Sweepstake and the Sponsor s products, services and activities, in

3 any and all media now known or hereafter devised, and without any compensation whatsoever (except that if you are selected as a winner in this Sweepstake, Sponsor will award you the applicable prize as specified in these Sweepstake Rules). In addition, you warrant that all moral rights in connection with the submitted photo and works appearing in said photo have been waived. By participating, each Entrant agrees to permit the Sponsor to use his/her name, photograph, image, likeness, declarations related to the prize or Sweepstake, city of residence and/or voice for promotional/advertising purposes in any and all media now known or hereafter devised, anywhere in the world, for an unlimited period of time, without any compensation whatsoever (except that if you are selected as a winner in this Sweepstake, Sponsor will award you the applicable prize as specified in these Sweepstake Rules) and the selected Entrants further agree to sign and return to Sponsor a Declaration of Compliance, Liability and Publicity Release form to this effect, as specified in section 8 of these Sweepstake Rules. Sponsor reserves the right to remove any photo that is not in compliance with the Sweepstake Rules and to disqualify any entrant who has uploaded a photo that does not comply with the Sweepstake Rules including sections 5 and Draw: Sponsor will randomly select one (1) Entrant from all eligible entries received during the Sweepstake Period. The random draw will take place on November 29, 2014, at 9 a.m. Eastern Time ( ET ) at the offices of Sponsor at 1555 Peel Street, Suite 600, Montréal, Québec, H3A 3L8, Canada. The selected Entrant will win the Prize (as described below). Odds of winning a prize depend on the number of eligible entries received during the Sweepstake Period. 8. Notification of selected Entrant and release document: The selected Entrants will be notified by (1) a tweet from the Tourisme Montréal Twitter account at their Twitter account if the selected photo was shared via Twitter or (2) a comment posted by the Tourisme Montréal Instagram account under the selected photo if same was shared via Instagram and a private message to the selected entrant on his/her personal Instagram account. The Entrants are responsible for ensuring that their account settings on Twitter or Instagram allow for such notification process and are responsible for monitoring their account for said notification. Except where prohibited, to be declared a winner, the selected Entrant will be required to sign and return a Declaration of Compliance, Liability and Publicity Release which must be received by Sponsor within one (1) hour of the date notice or attempted notice is sent, in order to claim his/her prize. If any potential winner is a Québec or Ontario resident he/she will be required to answer, without assistance, a time limited skill-testing question administered over the phone in order to be eligible to receive a prize. Receiving a prize is contingent upon compliance with these Sweepstake Rules. If a selected Entrant cannot be contacted, fails to sign and return the Declaration of Compliance, Liability and Publicity Release within the required time period or prize is returned as undeliverable, their selection will be forfeited. In the event that a selected Entrant is disqualified for any reason, Sponsor will award the prize to an alternate Entrant by random drawing from among all remaining eligible entries. Only three (3) alternate drawings will be held, after which the prize will remain un-awarded. 9. All Sponsor decisions are final. All decisions of the Sponsor are final and binding in respect of any matter relating to this Sweepstake and may not be challenged in any way. The Sponsor is

4 not responsible for the failure for any reason whatsoever: (i) of a selected Entrant to receive notification or (ii) of the Sponsor to receive a selected Entrant s response. 10. Prizes. There is one (1) prize of an Approximate Retail Value of CA$540 each. The prize: Vanier Cup Tailgate Photo Sweepstake : - two (2) tickets for the TELUS Vanier Cup in the Red B section of the Percival-Molson Stadium; - two (2) Vanier Cup gift packs including two (2) red tuques, two (2) t-shirts, two (2) TELUS Vanier Cup 50th Anniversary official coin; - two (2) passes that give access to the field before the match during the protocol ceremony, the national anthem and the match kickoff. 11. Conditions applicable to prizes: The following conditions apply to the prizes: - Winners and guests must be available on November 29 or prize will be forfeited. - No refund or compensation will be made in the event of the cancellation. - All expenses and incidental travel costs not expressly stated in the package description above, including but not limited to, ground transportation, meals, incidentals, gratuities, passenger tariffs or duties, lodging charges, personal charges at lodging (including but not limited to fees related to telephone, Internet, on-demand TV and video game use), security fees, taxes or other expenses, are the sole responsibility of winners and guests. - Each winner s travel companion must have reached the age of majority in their state or province of residence, except that a winner may invite his/her minor child. Sponsor disclaims any responsibility for the selection by the selected Entrant of his/her companion. - Prize is non-transferable and non-redeemable for cash, and no substitution will be made except as provided herein at the Sponsor s sole discretion. - Sponsor will not reimburse the winners for tickets if the winners and guests do not attend the representation. The tickets are non-transferable and non-redeemable for cash. - Sponsor reserves the right to substitute the prize for one of equal or greater value if the designated prize should become unavailable for any reason. Each winner is solely responsible for all taxes and fees associated with prize receipt and/or use. 12. Release: By entering this Sweepstake, or by attempting to do so and/or by accepting a prize, Entrants release Sponsor, advertising and promotional agencies, Instagram, LLC and Twitter Inc., and their respective affiliates and related entities and their respective directors, officers, owners, partners, employees, agents, dealers, representatives, and successors (collectively, the Released Parties ) from any liability in connection with this Sweepstake or the receipt or use of any prize awarded in this Sweepstake, including, without limitation, personal injury, death,

5 property damage, as well as any claims based on publicity rights, defamation, or invasion of privacy or from the receipt or use or misuse of any prize. 13. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Sweepstake, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor s reasonable control impairs the integrity or proper functioning of the Sweepstake, as determined by Sponsor in its sole discretion. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstake or to be acting in violation of the Sweepstake Rules of this or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstake may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor s failure to enforce any term of these Sweepstake Rules shall not constitute a waiver of that provision. 14. Limitations of Liability. The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by Entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstake; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstake; (4) technical or human error which may occur in the administration of the Sweepstake or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant s participation in the Sweepstake or receipt or use or misuse of any prize. If for any reason an Entrant s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, Entrant s sole remedy is another entry in the Sweepstake, if it is possible. If the Sweepstake, or any part of it, is discontinued for any reason, Sponsor, at its discretion, may elect to hold a random draw from among all eligible entries received up to the time of discontinuance for any or all of the prizes described herein. 15. Dispute Resolution. The Sponsor reserve the right, subject only to the approval of the Régie des alcools, des courses et des jeux (the Régie ) in Quebec, to withdraw, amend or suspend this Contest (or to amend these Rules) in any way, in the event of an error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure or any other cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of this Contest as contemplated by these Rules. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Contest in any way (as determined by Sponsor in their sole and absolute discretion) is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserve the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor, with the consent of the Régie, reserve the right to cancel, amend or suspend this Contest, or to amend these Rules, without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason. Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlementthe invalidity or unenforceability of any provision of these Sweepstake

6 Rules shall not affect the validity or enforceability of any other provision of these Sweepstake Rules. In the event that any provision is determined to be invalid or otherwise unenforceable, these Sweepstake Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained herein. 16. Other: - Entrant s Personal Information: Information collected from Entrants is subject to Tourisme Montréal s Privacy Policy: By entering this Sweepstake, each Entrant acknowledges and consents to Sponsor s collection, use and retention of his/her personal information as provided in the entry for all purposes in accordance with Sponsor s Privacy Policy and applicable laws. - Winner: The winner will be posted on this page after winner confirmation is complete. - The Sponsor reserves the right to cancel or modify the Sweepstake or the Sweepstake Rules at any time without notice. - No communication or correspondence will be exchanged with Entrants except with those selected as potential prize winners. - In the event of any discrepancy or inconsistency between the terms and conditions of these Sweepstake Rules and disclosures or other statements contained in any Sweepstake-related materials, including but not limited to point of sale, television, print or online advertising, the terms and conditions of the Sweepstake Rules shall prevail, govern and control. - The promotion is in no way sponsored, endorsed or administered by, or associated with, Instagram, LLC or Twitter, Inc. Entrants are providing information to Sponsor and not to Instagram or Twitter.
