WIRELESS INTERNET SERVICE AND EQUIPMENT FOR TxDOT SAFETY REST AREAS AND TRAVEL INFORMATION CENTERS PUBLICATION This specification is a product of the Texas Department of Transportation (TxDOT). It is the practice of TxDOT to support other entities by making this specification available through the National Institute of Governmental Purchasing (NIGP). This specification may not be sold for profit or monetary gain. If this specification is altered in any way, the header, and any and all references to TxDOT must be removed. TxDOT does not assume nor accept any liability when this specification is used in the procurement process by any other entity. 1. SCOPE: This solicitation is a Request for Offer (RFO) to provide wireless internet equipment, maintenance and required services at all TxDOT Safety Rest Areas (SRA s) and Travel Information Centers (TIC s) throughout Texas (Ref. Attachment A Map of TxDOT Safety Rest Areas and Travel Information Centers) Service requirements shall include, but not be limited to the following: Broadband Wireless Internet Service per each facility Display of TxDOT provided Internet web portal that appears on the user s computer display upon wireless internet access. Current web portal can be viewed at: A 24x7 toll-free customer support hotline to support the Wireless Internet Service The vendor shall provide a turn-key operation, including, but not limited to: equipment, total maintenance, equipment and software upgrades and any required service as necessary to provide effective and reliable services within the term of the purchase order COST OF SERVICES Although the vendor may charge TxDOT for the services, TxDOT desires the services to be provided at minimum cost, no cost, or a sharing of revenue to TxDOT. The vendor may support the services by advertising travel-related entities within each physical facility location. TxDOT welcomes creative, entrepreneurial approaches to make this program an effective, economically sound public service and profitable venture for TxDOT and the vendor Services shall be provided at no cost (i.e., free) to users. 2. DEFINITIONS OF TERMS AND ACRONYMS 2.1. FCC Federal Communications Commission FLSA Fair Labor Standards Act LD Liquidated Damages. This Specification Supersedes Specification No., Dated May

APPLICABLE LAWS AND STANDARDS: The vendor shall provide service in accordance with all federal, state and local applicable laws, standards and regulations necessary to perform the services, including, but not limited to: 3.1. Texas Government Code 612, Section of Texas Statutes Code of Federal Regulations (CFR 49). 4. BACKGROUND: TxDOT is the state agency charged with the construction and maintenance of Texas SRAs and TICs. More than 50 million visitors use these SRAs and TICs annually. These customers include business travelers, truckers, recreational vehicle owners and other individuals. Interested respondents should review TxDOT s SRA program at: 5. CURRENT ENVIRONMENT 5.1. Wireless Internet Service (and related services including internet web portal that appears at users wireless internet log-in access, toll-free hotline in support of the Wireless Internet Service) is currently being provided to the SRAs and TICs. This service operates on TxDOTowned equipment installed at these facilities. This existing equipment is available for use for this project (Ref. Attachment B TxDOT Equipment Inventory List, for an inventory list of equipment by location) Wireless internet logo is installed at highway advance signs leading to each SRA and TIC facility to announce wireless internet access availability to the traveling public. 6. RESPONDENT QUALIFICATIONS: The respondent shall: 6.1. Be a company engaged in the business of providing professional internet or Wireless Internet Service for a minimum of two years within the last five years. Recent start-up businesses do not meet the requirements of this solicitation Be in good financial standing, not in any form of bankruptcy, current in payment of all taxes and fees such as state franchise fees. TxDOT reserves the right to request a copy of the respondent s audited or un-audited financial statement. When financial statements are requested, TxDOT will review the respondent's audited or unaudited financial statement to this solicitation in accordance with Texas Government Code, Title 10, Subtitle D, Section to evaluate the sufficiency of the respondent's financial resources and ability to perform the contract or provide the service required in the solicitation. TxDOT will be the sole judge in determining the sufficiency of the respondent's financial resources and ability to perform the contract or provide the service. Factors to be reviewed include: Balance sheets Net working capital Current asset ratio Liquidity ratio. 2-13

3 Auditor(s) notes Any notes to the financial statements. 7. KEY PERSONNEL QUALIFICATIONS: The respondent shall provide the following key personnel: 7.1. PM: The respondent shall designate a PM with a minimum of two years experience within the last five years in project management for similar services TEAM MEMBERS: The respondent shall designate team members with a minimum of one year of experience within the last five years in the services referenced in Para and shall have the knowledge to develop and implement the service requirements in this solicitation. 8. ADDITIONAL PERSONNEL REQUIREMENTS 8.1. The PM s primary responsibility shall be the day-to-day operation of the service in accordance with the requirements of the purchase order The PM shall be a permanent staff employee and shall serve as a constant primary POC for TxDOT. 9. PERSONNEL CONTINUITY AND REPLACEMENT 9.1. TxDOT recognizes that events beyond the control of the vendor such as the death, physical or mental incapacity, long-term illness, or the voluntary termination of employment of the PM will require that the vendor propose a replacement. In the event that such a replacement is necessary, vendor agrees that no personnel shall begin work on the project without prior written approval from TxDOT The vendor agrees that the PM assigned to the project shall remain available for the entirety of the project throughout the term of the purchase order as long as that individual is employed by the vendor and until the project is complete If TxDOT determines that the PM or a team member is unable to perform in accordance with the service requirements or to communicate effectively, the vendor shall immediately remove that person Proposed replacement personnel shall meet minimum qualifications and have experience comparable to the person(s) being replaced. Replacement personnel shall be provided at no additional cost to TxDOT. A profile and references will be requested for the proposed replacement(s). TxDOT may reject any replacement if references or past working performance is questionable or unfavorable. TxDOT will be the sole judge of the qualifications of the proposed replacement personnel. 10. VENDOR REQUIREMENTS: The vendor shall: Adhere to the TxDOT Terms and Conditions identified on the solicitation Provide all labor, materials and equipment necessary to meet requirements of the specified services throughout the term of the purchase order Provide total maintenance and repairs for all equipment, including, but not limited to, wiring, conduits, service connections, etc. throughout the term of the purchase order Provide equipment and software upgrades as needed throughout the term of the purchase order Comply with all FCC regulations regarding broadband connectivity, homeland security, monitoring, etc Provide historical usage information upon TxDOT s request Direct, coordinate and communicate the activities of vendor s staff to ensure that the project is completed on schedule. 3-13

4 10.8. Consult with TxDOT POC to determine the location of equipment within the facility Begin work on this project within fifteen working days of the award of the purchase order or on the agreed upon date between TxDOT and the vendor The vendor shall be responsible for all phases of the service installation work required for each project. The vendor s installation team shall interact closely with TxDOT POC in determining installation locations for equipment, kiosks, signs, etc. 11. SERVICE AND EQUIPMENT REQUIREMENTS: The vendor shall provide the following minimum service and equipment requirements: WIRELESS INTERNET SERVICE: Provide broadband Wireless Internet Service. This service shall include all labor, installation, administration, monitoring and maintenance as required, with 99 percent up-time within the property limits of the SRA and TIC. TxDOT reserves the right to add or delete facilities as required Current Wireless Internet Service runs on TxDOT owned equipment installed at existing facilities. This equipment is available for use for this project (Ref. Attachment B TxDOT Equipment Inventory List). Vendor shall provide continuing maintenance of this equipment. TxDOT will retain ownership of all equipment used to provide internet wireless service, including upgrades The vendor shall provide a method for TxDOT to monitor and verify reliability performance of Wireless Internet Service at each location. Performance will be subjected to LD as described under Para Provide daily reports as referenced in Provide a minimum of four static IP addresses to be used for other TxDOT supplied equipment located within each of the SRA and TIC INTERNET WEB PORTAL: TxDOT has developed and maintains a travel-oriented wireless internet web portal. This web portal appears on the users computer display upon wireless internet access. The vendor shall continue to display this web portal as the users start-up screen. The current wireless internet portal can be viewed at: TECHNICAL ASSISTANCE HOTLINE: Provide a 24x7, toll-free customer service hotline for technical assistance. 12. OPTIONAL PROVISIONS: TxDOT reserves the right to consider the following: Advertising and revenue sharing, if applicable INTERNET KIOSKS: TxDOT envisions possible implementation of internet kiosks for travelers without a portable wireless computer device at selected facility locations. TxDOT and the vendor may further discuss and negotiate (Ref. Para. 23.). 13. VENDOR DELIVERABLES: The vendor shall submit: PROJECT PLAN AND SCHEDULE: The vendor shall: Provide a detailed project schedule and work plan for all project tasks. The PM shall monitor and update the project schedule and work plan, revising as appropriate, with approval from TxDOT Manage the development and implementation of work by assuring that all phases of the Project Plan and Schedule are accomplished without significant delays, problems, or re-work due to poor quality. 4-13

5 Obtain TxDOT s written approval of changes to the project plan and schedule Notify TxDOT of any delays within and outside the vendor s control REPORTS: The vendor shall submit reports as requested by TxDOT. Reports and format standards will be approved by TxDOT and shall be delivered to the TxDOT POC. Reports shall include, but not be limited to, the following: Wireless Internet Performance Verification: Provide TxDOT reports of wireless internet reliability performance at each facility User Log-In Report: Provide daily user s log-in report (includes daily session count, monthly session count, monthly minute count, etc.) at each facility. 14. QUALITY ASSURANCE PLAN: The vendor shall provide a comprehensive, continuous, and measurable quality assurance program. The plan shall include: Strategies and processes to promote quality Procedures to periodically measure and report quality performance to TxDOT throughout the term of the purchase order How often the vendor conducts internal audits and engages external audit firms to conduct audits of its operations Controls to be used within the project to assure quality and consistency throughout the term of the purchase order. 15. WORK HOURS: The vendor shall utilize time as necessary to perform the tasks. 16. TxDOT RESPONSIBILITIES: TxDOT will provide: TxDOT POC Textreks web portal (Ref. Para ) Wireless internet logo highway signs (already implemented) Contract Administration, perform periodic audits or field reviews as needed to ensure that the vendor is operating the program under the requirements of state law, the terms of the program rules contained in Texas Government Code and the agreement executed between TxDOT and the vendor. 17. SUBCONTRACTING: Subcontracting is allowed under the following circumstances: Subcontractors providing service under the purchase order shall meet the same service requirements and provide the same quality of service required of the vendor No subcontract under the purchase order shall relieve the primary vendor of responsibility for the services The vendor shall be the only contact for TxDOT and subcontractor(s) The vendor shall maintain all project management, schedules, performance and responsibilities for subcontractors. The vendor shall be held solely responsible and accountable for the completion of all work for which the vendor has subcontracted TxDOT reserves the right to request the removal of vendor s subcontractor staff deemed unsatisfactory by TxDOT Subcontracting shall be at the vendor s expense. 5-13

6 17.7. SOLICITATIONS OVER $100,000: TxDOT will make an initial determination of whether subcontracting is probable. It is the respondent s determination if they choose to subcontract any of the work under this purchase order with a Texas Certified Historically Underutilized Business (HUB) or other businesses If TxDOT has determined that subcontracting opportunities are probable, the class and items in which HUB s may be registered will be noted in the solicitation The respondent shall identify all proposed subcontractors at the time of response submittal. The required forms with video instructions can be found at the following website: HSP PRIME CONTRACTOR PROGRESS ASSESSMENT REPORT: After award of the purchase order the vendor shall report all HUB and non-hub subcontractor information using the HSP Prime Contractor Progress Assessment Report form. The report shall be submitted to the TxDOT contract manager monthly. The reports shall be submitted monthly even during the months the vendor is not invoicing TxDOT. All payments made to subcontractors shall be reported. TxDOT may verify the amounts being reported as paid by requesting copies of cancelled checks paid to subcontractors TxDOT retains the right to check subcontractor's background and make a determination to approve or reject the use of submitted subcontractor(s). Any negative responses may result in disqualification of the subcontractor. 18. BUSINESS CONTINUITY AND DISASTER RECOVERY PLAN: The respondent shall submit a business continuity and disaster recovery plan (limit one page) which shall include the following: Business continuity procedures that shall be implemented to fulfill all requirements of the purchase order in case of fire, theft, natural disaster, technical difficulty, workforce problems or other disruption of business A disaster recovery plan for recovery of the data for this service shall be maintained in case of fire, theft, natural disaster, or technical difficulty. The vendor shall be responsible for all cost of the disaster recovery plan. The disaster recovery plan may include the transfer of this service to a subcontractor as approved in writing by TxDOT. 19. SOFTWARE DELIVERY AND INTELLECTUAL PROPERTY RIGHTS DELIVERY: The vendor shall: Deliver all custom and reuse software, if used, as machine readable source files, and linkable or executable modules, and printed source listings, in addition to installed and operating copies of the programs (baseline software or hardware configuration shall not be created such that only vendor could change) Identify the tools required for the modification and compilation of the custom and reuse software programs Deliver source codes for all custom and reuse software programs developed under the purchase order with all needed support resources needed to edit, compile and link these programs on the central processors, including, but not limited to: CASE tools, compilers, editors, and function libraries used in the development of the programs Deliver all documentation concerning protocol for reuse and custom software, source code, commented listings, descriptions of software structure, database utilization, and instructions necessary to convert the source code into an operational system. 6-13

7 19.2. SOFTWARE: The vendor shall not: Create software that only the vendor could modify Create or utilize reuse software that is not in the public domain. SPECIFICATION NO CUSTOMIZED SOFTWARE LICENSE: The vendor shall not place any legend on the custom or reuse software, which restricts TxDOT s rights in such software unless the restrictions are set forth in a license agreement approved and executed by TxDOT OWNERSHIP The vendor shall transfer to TxDOT or purchase for TxDOT all licenses to software acquired in conjunction with this project, including all original media, documentation, warranties, licenses, applications software, and developmental software used in developing custom applications In the event that custom software development is required, TxDOT will own the entire rights (including copyrights, copyright applications, copyright renewals, and copyright extensions), title and interests in and to the custom software development documentation, software, and any other intellectual properties created for custom software and versions thereof, and all works based upon, derived from, or incorporating works thereof, and in and to all income, royalties, damages, claims, and payments now or hereafter due or payable with respect thereto, and in and to all causes of action, either in law or in equity for past, present, or future infringement based on the custom software and copyrights arising there from, and in and to all rights corresponding to the custom software and versions thereof throughout the world. TxDOT shall retain ownership of all production and historical data produced by the proposed system SOFTWARE LICENSING: The vendor shall provide for TxDOT to have escrow account access to, and receive, the source codes and data for any licensed products upon the failure or demise of the vendor s company. 20. TRAVEL: All travel and per diem shall be included in the unit price. 21. CONFLICT OF INTEREST: The vendor or vendor s subcontractor(s) covenants that it does not have, nor shall it acquire any interest that would conflict in any manner with the performance of its obligations in regard to services authorized. 22. Liquidated Damages: In the event the vendor fails to perform in accordance with the terms of the purchase order, TxDOT may, at its sole discretion, require the vendor to pay damages based on the original amount of the contract total. This provision is not intended as a penalty but as LD. Terms of LD includes, but is not limited to: Reliability Performance of the Wireless Internet Service: If Wireless Internet Service at any facility becomes unavailable for six days during the billing month, the vendor shall pay TxDOT a LD charge of $750 per facility per month LD may apply if internet wireless reliability verification capability itself is unavailable or non-functional LD will be deducted from the invoice for the month the performance failure occurred LD applies even if the vendor does not charge TxDOT for the services LD charge does not apply during the 60 day transitional period. (Ref. Para ). 23. AMENDMENTS: TxDOT and the vendor reserve the right to amend the purchase order by mutual written agreement at any time during the term of service, as may be necessary to achieve the highest quality of production by the most efficient and cost-effective means or to include a different element or special feature that was not contemplated or fully developed the time of solicitation. The amendment process will be accomplished through a POCN. 7-13

8 24. INVOICING INSTRUCTIONS : The vendor shall provide a comprehensive and detailed invoice with reference to the basis for each item charged. Original documentation that validates the charges shall be attached. The original and one copy of the invoice shall be mailed to the address shown on the purchase order and shall include the following: Purchase order number Vendor Employer Identification Number (EIN) Invoices shall be submitted monthly for services rendered during the previous month Invoice shall include information that shows whether each facility is (or is not) subjected to LD based on the reliability performance requirements of the Wireless Internet Service (Ref. Para. 22.). LD will be deducted from the invoice for the month the performance failure(s) occurred TxDOT reserves the right to reject an invoice if verification of wireless internet performance and reliability is unavailable or non-functional Invoices that require correction(s) shall be re-submitted with a new invoice date. 25. RESPONSE SUBMISSION: Failure by the respondent to submit the documentation listed below may disqualify the respondent from further consideration. The response submission shall be submitted in the following format: GENERAL FORMAT: The respondent shall submit one signed and dated original (marked Original) and three copies (marked Copy). The submission shall be in separate loose leaf binders on one sided 8-1/2 X 11 inch paper and shall be tab-indexed corresponding to the sections listed below. Plastic spine-bound or wire bound submittals are highly discouraged. Include only the information specified for each section ORIGINAL RESPONSE: The original response shall include the following (Ref. Attachment C Minimum Response Submission Requirements): Section 1 Request for Offer (RFO): Original signed, dated and completed RFO Section 2 Pricing (Ref. Schedule 1 Pricing): Respondent shall submit Schedule 1 Pricing, even if the respondent does not intend to charge TxDOT for the services Monthly pricing to provide Wireless Internet Service at all facility locations statewide (Ref. Attachment A Map of TxDOT Safety Rest Areas and Travel Information Centers) Monthly price to provide the toll-free, 24x7 customer service support for the Wireless Internet Service Monthly miscellaneous items (if applicable) Monthly total service charge (total from all above). NOTE: Include three copies of the Schedule 1 Pricing in a sealed, separate envelope with the original submittal Section 3 Company Profile and History (Ref. Schedule 2 Company Profile and History): Shall include the following and be limited to one page: A brief description of the company, including the company name, address, phone number, legal status (i.e., corporation, partnership, etc.) Name, phone number and address of the person TxDOT should contact with any questions regarding the response submission Number of years in business, size and scope of operation Name and title of person signing the response. 8-13

9 Section 4 Financial Standing: The respondent shall submit a statement from the president, owner or financial officer on company letterhead certifying that the company is in good financial standing, not in any form of bankruptcy, current in payment of all taxes and fees (Ref. Para. 6.2.) Section 5 Key Personnel Qualifications and References (Ref. Schedule 3 --Key Personnel Qualifications and References): The respondent shall provide resumes or brief profiles of the individuals, including any subcontractors, who will be part of the respondent s personnel providing the service. The profile shall include: Each individual s name and title Education Description of qualifications and number of years experience for the last five years (Ref. Para. 7.1.) Section 6 Company Qualifications and Experience: The respondent shall demonstrate successful past performance through submission of documentation of relevant qualifications and experience: Provide a brief description of related or similar services performed within the last five years including current projects. It is strongly preferred that the example cited be a completed project. Provide the following information: Customer name, contact person, contacts information Project name, location, size, date completed Respondent s specific role in the project Brief description of project scope Approximate cost of the project Managing related or similar services of the same size and scope Submit a proposed staffing plan, including subcontractors. This plan should describe the number of staff proposed for this project, the functions they will perform, and the percentage of time they will be assigned to this project during the contract term Section 7 Demonstration of Capability: The respondent shall describe their approach and ability to meet the service requirements as specified in the solicitation. The response should be specific and address all requirements described in the solicitation in the order presented in Para. 11. and Para. 12. Respondent shall submit written documentation addressing how the vendor intends to meet the following: A reliable, complete Wireless Internet Service requirement with reliable methods to monitor and verify reliability of wireless internet access to users. The respondent shall: Explain how the wireless components are integrated properly into the building systems and grounds Explain how the respondent intends to maintain the equipment and how problems will be resolved Explain methods to ensure reliability of the service, that the service at each facility is operational and accessible to users 99 percent of the time. 9-13

10 Explain how the wireless internet reliability performance is to be tracked and recorded in a format that can be used to determine whether the service at a facility location is subjected to LD (Ref. Para. 22.) Explain format of the daily user s log-in report (Ref. Para ) Describe any innovative ideas that the respondent might have concerning the equipment and services that could add value at the facilities Implementation of the toll-free customer support hotline (Ref. Para ): Explain how the toll-free number will be implemented. Provide technical qualification of the support staff Section 8 Performance Requirements: Respondent shall provide a detailed response specifying exactly how the requirements outlined in Para. 11. and Para. 12. of the solicitation will be fulfilled Section 9 Business Continuity and Disaster Recovery Plan: Respondent shall submit a contingency and recovery plan detailing how they propose to meet the specifications in the event vendor service is interrupted. The plan shall detail the vendor s backup and recovery process (Ref. Para. 18.) Section 10 Respondent Client References (Ref. Schedule 4 Respondent Client References): Respondent shall submit references for all identical and similar services, which are alike in size and scope that verifies the qualifications and experience requirements for services completed within the past five years. References shall illustrate respondent s ability to provide the services outlined in the specification. References shall include name, point of contact, telephone number, and dates services were performed. The response may be disqualified if TxDOT is unable to verify qualification and experience requirements from the respondent s references. The response may be disqualified if TxDOT receives negative responses. TxDOT will be the sole judge of references Section 11 HUB Subcontracting Plan Section 12 Optional Revenue Plan: If the respondent intends to generate revenue for the services, describe the business planning strategies that the respondent intends to use to financially support the services and to generate revenue stream to be shared with TxDOT, including: Marketing plan Business eligibility that complies with state and federal laws Implementation plan and schedule Fee and fee collection program Accounting and reporting plan: How the respondent will collect and account for monies. Describes how and how often reports are to be submitted Payments to TxDOT: Explain how the revenue sharing will be calculated. Describe when and how often payments will be submitted Revenue projections

11 Section 13 Optional Provisions: Respondent may include with response submittal other innovative services (Ref. Para. 12.) COPIES: The three reproduced copies (marked Copy) shall include only the following tabindexed sections: Section 3 Company Profile and History Section 5 Key Personnel Qualifications and References Section 6 Company Qualifications and Experience Section 7 Demonstration of Capability Section 8 Performance Requirements Section 9 Business Continuity and Disaster Recovery Plan Section 12 Optional Revenue Plan Section 13 Optional Provisions. 27. RESPONSE EVALUATION: Only complete responses with the required submittal documents (Ref. Attachment C Minimum Response Submission Requirements) and meeting minimum qualifications will be considered. Failure to meet the minimum qualifications and submit the required documents will result in a response being declared non-responsive STEP 1 INITIAL EVALUATION: A TxDOT evaluation committee will evaluate and score each response based on established criteria (Ref. Attachment D Response Submission Evaluation Matrix). Respondents shall not contact members of the evaluation team. Responses will be evaluated according to the respondent s ability to best satisfy TxDOT requirements Respondent qualifications and response submission information will comprise 60 percent of the evaluation total Pricing submitted for the solicitation requirements will be 40 percent of the evaluation total STEP 2 ORAL PRESENTATION AND DISCUSSION: TxDOT may request that selected respondents give a presentation to TxDOT. A TxDOT evaluation committee will evaluate and score each presentation. All responses will be evaluated according to the respondent s ability to best satisfy TxDOT requirements The presentation will be evaluated by TxDOT using the criteria presented (Ref. Attachment E Oral Discussion and Presentation Criteria) Respondents should be prepared to address any questions that may be asked by TxDOT evaluators Proposed key personnel may be expected to attend and participate in the presentation. TxDOT will notify the respondent with a list of titles or individuals who should attend the presentation. TxDOT will advise each respondent in writing of the location, date and time of their scheduled presentation. Preferably, a minimum of two weeks notice will be given to the respondent(s) selected for the oral presentation phase; however, there may be times when a shorter time frame is required After oral presentations, TxDOT reserves the right to continue discussions or negotiations with selected respondent(s)

12 27.3. STEP 3 BEST AND FINAL OFFER (BAFO): TxDOT may determine to award the purchase order for the service without requesting a BAFO, if it is in the best interest of TxDOT. TxDOT reserves the right to request a BAFO from selected respondent(s). The respondent(s) shall submit a final price and any added value or incentives. If more than one respondent reaches this level, the negotiated terms, references, BAFO and best value will be considered in the award, but TxDOT will make the final determination on what is the best value and solution for TxDOT. 28. AWARD TxDOT reserves the right to award a purchase order to the company that provides the best service and value to TxDOT in performance of this service BEST VALUE: TxDOT will be the sole judge of best value. Best value criteria may include, but is not limited to: Best meets the goals and objectives of the solicitation as stated in the Service Requirements Best meets the quality and reliability of the proposed goods and services Effect of the proposed solution on agency productivity Provides the most customer focused solution that will best meet the needs of the traveling public Experience in successfully providing services in the solicitation Responsiveness to the solicitation service requirements Proposals showing creativity and value-added recommendations. 29. POST AWARD MEETING: Vendor shall be required to attend a post award meeting in Austin, Texas, with TxDOT within 15 calendar days after the award of the purchase order. The purpose of the meeting is to discuss the terms and conditions of the purchase order and to provide additional information regarding work plans, which shall be executed by both parties, wherein vendor(s) and TxDOT shall identify specific goals, strategies and activities planned for meeting particular program area objectives. 30. TRANSITION BEGINNING PHASE: If the purchase order is awarded to a new vendor, the new vendor shall agree to a transition phase for a period of 60 days. These 60 days shall commence on a date confirmed in writing by TxDOT at the time of award. The new vendor shall be responsible to contact the previous vendor and request the transfer of all publications, documents, property, equipment, other material which TxDOT retains ownership right and any additional material related to work provided under the previous purchase order. TxDOT will provide assistance as needed for the efficient and smooth transfer of all material to the new vendor ENDING PHASE: At the termination date of the purchase order, the current vendor(s) shall cooperate fully, with the subsequent vendor(s), to transfer all publications, documents, property, equipment, and other material in which TxDOT retains ownership rights. This includes any additional material related to work provided under the current purchase order. During this transition period, this purchase order may be extended for an additional 60 or 90 days at the same price and terms and conditions to allow for the transition of all TxDOT data, material and education of purchase order requirements to the new vendor(s) and to allow the current vendor time to complete any project(s) in progress

13 31. CONTRACT ADMINISTRATION: Administration of the purchase order is a joint responsibility of the TxDOT Maintenance Division and TxDOT Purchasing. TxDOT Purchasing staff will be responsible for administering the contractual business relationship with the vendor Any proposed changes to work to be performed, whether initiated by TxDOT or the vendor, must receive final written approval in the form of a POCN signed by the authorized TxDOT purchasing agent Upon issuance of purchase order, TxDOT will designate an individual who will serve as the Contract Manager and point of contact between the agency and the vendor. The Contract Manager does not have any express or implied authority to vary the terms of the purchase order, amend the purchase order in any way or waive strict performance of the terms or conditions of the purchase order. This individual s contract management and contract administration responsibilities include, but are not limited to: Monitoring the vendor s progress and performance and ensuring services conform to established specification requirements Managing the financial aspects of the contract including approval of payments Meeting with the vendor as needed to review progress, discuss problems, and consider necessary action Identifying a breach of contract by assessing the difference between contract performance and non-performance Other areas as identified by the Texas Building and Procurement Commission State of Texas Contract Management Guide, latest edition
