1 Boston.com Munch Madness Promotion OVERVIEW: Our annual restaurants tournament modeled after the NCAA's spring basketball bracket is now in its fifth year of competition. Check out our bracket of 64 restaurants, divided roughly between restaurants from the previous years and new restaurants. Make your picks, then cast your vote. Who will take home the top prize this year? Voting schedule: Voting for Round 1 starts March 19 and goes through 3/20. For Round 2, voting starts 3/21 and goes through 3/22. Round 3 takes starts 3/23 and goes through 3/24, and Round 4 starts 3/25 and goes through _3/26. That leads us to the Final Four, March 29. Voting for the championship will take place on 3/29 and 3/30. We'll tally the results and announce them online on 3/31. The Sweepstakes entry period begins at 12:00:00 am Eastern Time ( ET ) on March 19, 2014 and ends at 11:59:59 pm ET on March 31, 2014 ( Entry Period ). 1 of 7

2 2. ELIGIBILITY. Entrant must be a legal resident of the United States currently residing in the Boston, Massachusetts metropolitan area and 18 years of age or older at the time of entry. Limit: One Entry (defined below) per person, address, or phone number. Employees of Sponsor, participating partners, or their affiliates or the immediate families of each (spouse, parent, child, sibling, grandparent, or spouse or "step" of each) or those living in the same household of each are ineligible to participate. Participation in the Sweepstakes constitutes your full and unconditional agreement to be bound by these Official Rules and Sponsor s decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein. 3. TO ENTER. Visit boston.com/munchmadness (the Website ) and share the url boston.com/munchmadness using the hashtag #munchmadness to receive one (1) entry (the Entry ). Entries must be received at the Website no later than 11:59:59 pm ET on March 31, 2014 to be eligible. The share must and the hashtag #munchmadness in order receive an Entry. Standard text messaging and/or data rates apply to those who submit Entries or opt to receive Sponsor s tweets or messages via a wireless mobile device. Wireless service providers may charge for airtime for each message sent and received. Contact your provider for pricing and service plan before use of mobile device for participation. To participate without using your mobile device, deactivate your mobile phone from your Twitter account and enter via a computer. All entries become the property of Sponsor and will not be acknowledged or returned. Use of any automated system to participate is prohibited and will result in disqualification. Released Parties (as defined below) are not responsible for lost, late, stolen, damaged, incomplete, invalid, unintelligible, garbled, delayed or misdirected Entries. Once submitted, all Entries become the exclusive property of Sponsor, and will not be acknowledged or returned. Potential winners may be required to show proof that he/she is authorized account holder. 4. WINNER SELECTION. Sponsor will conduct a random drawing on or about April 1, 2014 to select one (1) potential winner ( Potential Winner ) from all eligible Entries received during the Entry Period. By entering, you grant permission to be contacted by Sponsor via , mail or telephone in connection with the Sweepstakes. You must comply with all terms and conditions of these Official Rules and winning is contingent upon fulfilling all requirements set forth herein. A Potential Winner is not an official winner ( Official Winner ) until the Potential Winner s eligibility has been verified and Potential Winner has been notified that verification is complete. Sponsor s decisions are final and binding in all matters related to the Sweepstakes. Sponsor will not accept screen shots or other evidence of winning in lieu of its validation process. If Sweepstakes Site fails for any reason, any Entry received during that time will be deemed a defective Entry. 5. VERIFICATION OF POTENTIAL WINNER. Potential Winner may be required to sign and return an Affidavit of Eligibility, Liability & Publicity Release (unless prohibited) (collectively an "Affidavit"), which must be received by Sponsor within five (5) days of the date of the notice. If a Potential Winner cannot be contacted, fails to execute and return the Affidavit within the required time period, or prize is returned as undeliverable, or he/she refuses his/her prize for any reason, Potential Winner forfeits the prize and Sponsor will select an alternate winner by random drawing. 3 of 7

4 6. PRIZE (1)/ODDS. Official Winner will receive four (4) tickets to a Blue Man Group performance (Approximate Retail Value ( ARV ) $300) and dinner for four (4) at the restaurant that wins the Munch Madness competition (ARV: $500.00). ARV of prize: $ Tickets and gift card are subject to certain terms and conditions as specified thereon. Seat locations, performance dates and restaurant will be determined by Sponsor. Winner and guests must comply with all venue rules and regulations. Failure to do so may result in forfeiture of the prize. In the event Sponsor is unable to provide tickets, no compensation or substitution will be provided in lieu thereof. Odds of winning are based on the number of eligible entries received. No cash or other substitution, assignment or transfer of any prizes permitted, except by Sponsor, who reserves the right to substitute a prize or prize component with cash or another prize of comparable or greater value. Limit: One (1) prize per person/household. Prize is awarded as is with no warranty or guarantee, either express or implied by Sponsor. You may not substitute, assign or transfer prize or redeem prize for cash, but Sponsor reserves the right, at its sole discretion, to substitute prize (or portion thereof) with one of comparable or greater value. All prize details are at Sponsor s sole discretion. Actual value of prize may vary. Any difference between stated value and actual value will not be awarded. Tickets must be used on the date specified by Prize Provider or prize will be forfeited and Sponsor will have no further obligation to such winner. All federal, state and local taxes and all other costs associated with prize acceptance and use not specified herein as being provided are solely the responsibility of the winner. 7. PUBLICITY. Except where prohibited, your acceptance of a prize in the Sweepstakes constitutes your consent for Sponsor to use your name, likeness, hometown and state and other biographical information for promotional purposes in any media, without further payment or consideration. 4 of 7

By receipt of any prize, you agree to indemnify Sponsor, Twitter, Facebook and its subsidiaries, affiliates, suppliers, distributors, advertising, agencies, and prize suppliers, and each of their respective parents and affiliate companies and each such company s officers, directors, employees and agents (collectively, the Released Parties ) from and against any losses, damages, rights, claims or causes of action of any kind, that Released Parties may incur in whole or in part, directly or indirectly, out of your participation in the Sweepstakes or from your acceptance, possession, use, or misuse of any prize awarded in connection with the Sweepstakes. 9. GENERAL CONDITIONS. Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor s reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the prizes at random from among the eligible entries received up to the time of the impairment. No more than the stated number of prizes in these official rules will be awarded. Sponsor, in its sole discretion, reserves the right to disqualify any individual who tampers with the entry process or the operation of the Sweepstakes or who acts in violation of these Official Rules or in an unsportsmanlike or disruptive manner. 10. WARNING: Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. 11. LIMITED LIABILITY. The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrant, by printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited, to 5 of 7

6 malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any aspect of the Sweepstakes; (4) printing, typographical, technical, computer, network or human error which may occur in the announcement of the prizes or in any Sweepstakesrelated matter or materials; or (5) any injury or damage to you or to other persons or property which may be caused from your participation in the Sweepstakes and/or your downloading of any materials related to this Sweepstakes. If for any reason your Entry is confirmed to have been erroneously lost, or otherwise destroyed or corrupted, your sole remedy is another Entry in the Sweepstakes. 12. APPLICABLE LAWS AND JURISDICTION. This Sweepstakes is subject to all applicable federal, state, and local laws and regulations. Issues concerning the construction, validity, interpretation and enforceability of these Official Rules shall be governed by the laws of the State of Massachusetts, without regard to any principles of conflict of laws. All disputes arising out of or connected with this Sweepstakes will be resolved individually, and without resort to class action, exclusively by a state or federal court located in Boston, Massachusetts. Should there be a conflict between the laws of the State of Massachusetts and any other laws, the conflict will be resolved in favor of the laws of the State of Massachusetts. To the extent permitted by applicable law, all judgments or awards shall be limited to actual out-of-pocket damages (excluding attorneys fees) associated with participation in this Sweepstakes and shall not include any indirect, punitive, incidental and/or consequential damages. 13.
