8 Description of Due Diligence Performed on the Source and Chain of Custody of those Conflict Minerals Step 1: Establish strong company management systems Asnotedabove,Teslahasadoptedahumanrightsandconflictmineralspolicy.ThepolicywasreviewedandupdatedinDecember2015.Our suppliermanualsalsoaddressconflictmineralsandstateourexpectationthatallteslasuppliersareaccountableforperformingduediligenceon theirmineralsupplychainsinaccordancewiththeoecdguidance.ourcontractualtermswithsuppliers(i.e.,generaltermsandconditions)include verbiagethatprovidestheexpectationthatallteslasuppliersareaccountableforperformingconflictmineralsduediligencealignedwiththeoecd GuidanceasrequiredbySection1502oftheDodd-FrankWallStreetReformandConsumerProtectionAct. Wemaintainasmallteamwithinoursupplychainpersonneltoleadtheduediligenceefforts.Ourinternalcross-functional SteeringCommittee composedofteslamanagementfromsupplychain,accountingandlegaloverseestheduediligenceeffortsandpotentialrisksandissueswithinour supplybase.weusetheconflict-freesourcinginitiative( CFSI )ReportingTemplate( CMRT )toqueryatrisktier1supplierstoidentifysmelters incongruencewiththeoecdguidance. WeareusingtheautomotiveindustrystandardInternationalMaterialDataSystem( IMDS )tohelpdeterminewhichsuppliersareatriskfor conflictmineralsforallteslaproducts.fromthatdatabase,wereviewtheexistingsupplierbaseannuallytoincludenewlyaddedsuppliersand existingsupplierswhoprovideproductstotesla,todeterminewhichtier1suppliersarelikelytosupplyaproductwithgold,tantalum,tin, Tungsten,or 3TG.ForanyTier1supplierwhichhasproductsthataredeterminedtobehighlyunlikelytoprovide3TG,wedonotpursue additionalconflictmineralsduediligenceanddonotincludethatsupplierinthereasonablecountryoforigininquiry( RCOI ). Step 2: Identify and assess risk in the supply chain WesentoutaninquirylettertotheTier1supplierswhichhaveproductsnotdeterminedtobe highlyunlikely toprovide3tgbasedonourdata analysisfromimds.suppliersweregivenapproximatelyonemonthtorespondtothisletterandsubmittheircmrt.anysuppliersthatdidnot respondwerequeriedagain.wecontinuallyreachedouttoin-scopesuppliersonamonthlybasistowardstheendof2016toreceivethemostupto-datereport. Anyconcernswithsupplierresponsesthroughoutdatacollectionwerebroughttotheattentionofamemberof,ortheentire,TeslaMotorsConflict MineralsSteeringCommitteeforfurtherreviewandaction.SupplierswhodidnotrespondwerebroughttotheattentionofaSteeringCommittee memberforescalation. Inaddition,wecontinuedtoengagewithothermanufacturingcompaniesinSiliconValleytodiscussconflictmineralsactivitiesacrossmultiple industries.thissiliconvalleyconflictmineralsforumhas 3

9 beeninstrumentalindevelopinganalignedstrategyandapproachtotheconflictmineralsduediligencechallenge.teslaregularlyparticipates, hostsgatherings,andencouragesparticipation. Step 3: Design and implement a strategy to respond to identified risks Weperformedrisk-basedassessmentsonallTier1andpotentialTier1suppliersaspartofoursourcingprocessandthroughIMDSweidentified whichdirectsupplierswerehighlylikelytosupplyproductsthatcontain3tg.basedonthissupplierlist,weconductedasupplychainsurveyusing thecmrt,requestingtier1supplierstoidentifysmeltersandrefinersandcountryoforiginoftheconflictminerals.usingthecmrt,wereceived reportsbackontier1supplierprogressandcollectedthedeterminedlistofsmeltersusedinthesupplychain.wefollowedupwithsuppliersthat didnotrespondtotheoriginalrequestforinformation. WeperformeddocumentationreviewofthesmeltersandrefinersidentifiedbytheTier1suppliersusingtheCMRTandmadefurtherinquiriesto suppliersifweneededmoreclarification.wedevelopedanin-housetemplatetotracktheprogressandresponseratetodeterminenextstepsand escalationasnecessary. Step 4: Carry out independent third-party audit of supply chain due diligence at identified points in the supply chain WesupporttheCFSI soutreacheffortsandconflict-freesmelterprogram s( CFSP )smelterauditsthroughourmembership.wereservetheright toaskanyhighrisktier1suppliertoaudittheirsupplychainconflictmineralsduediligenceusinga3 rd partyindependentauditor. AsoutlinedintheOECDGuidance,theinternationallyrecognizedstandardonwhichourcompany ssystemisbased,wesupportanindustryinitiative thatauditssmelters andrefiners duediligenceactivities.thatindustryinitiativeistheeiccandgesi sconflict-freesourcinginitiative.thedataon whichwereliedforcertainstatementsinthisdeclarationwasobtainedthroughourmembershipinthecfsi,usingthereasonablecountryoforigin InquiryreportformemberTSLA. Step 5: Report on supply chain due diligence Wereportonourduediligenceeffortsasrequiredbylaw. 10 collectreliablefeedback,andweplantobetterprovidedetailsonourconflictmineralsduediligenceeffortstoourtier1suppliersthrough distributinginformationaboutthecfsi seffortsandencouragingparticipationinthecfsi.withournewmembershiptotheelectronicsindustry CitizenshipCoalition( EICC ),wewillbeabletobetterimplementastrategytoaddresssuppliereducationfornotonlyconflictmineralsbutother responsiblesourcingissues.asacontinuousimprovementeffort,weplantomonitorourduediligenceprogressovertheyearaswereceivesupplier responsestoourinquiriesandtarget100%responserate.weexpecttoparticipateinmorecfsismelterengagementoutreacheffortsandprovide feedbacktoourownsupplychaintoimprovethequalityoftheresponsesfromoursuppliers. Reasonable Country of Origin Inquiry of the Necessary Conflict Minerals in Tesla s Products Teslahasnotyetbeenabletofullyidentifycountriesoforiginof3TGandthesmeltersandrefinersusedtoprocessthenecessaryconflictmineralsin Tesla sproducts. Weidentified182supplierswhosupply3TGintheirproductsandrequiredallofthesesupplierstoperformandreportontheirsupplychaindue diligencethroughtheuseofthecmrt.morethanhalfoftheseidentifiedsuppliersinscopewerenewtooursupplychainin2016.wereceived77 supplierresponseswith3,525uniquesmeltersandrefinersreportedcomprehensively.duetoourrapidgrowthandrampinvehicleproduction,the numberofsmeltersalsomorethandoubledfromthepreviousyear.tesla sincreaseinproductvolumemadeitnecessarytoworkwithmanynew anddifferentsuppliersstartingincalendaryear2016.asamemberofthecfsi,wehavebecomebettereducatedabouttherequirementstoconflict freeduediligencefromthecfsi sworkthroughconferences,weeklycalls,andupdatesfromdifferentworkinggroupswithinthecfsi.werecognize theimportanceofworkingwithindustrypeersandorganizationsandbelievethataconsolidatedefforttodeterminereasonablecountryoforiginis themostefficientmethod.throughourinvolvementinthecfsi,wecontributedinformationtohelpidentifythecurrentstatusofmanyofour smelters.tohelpdeterminereasonablecountryoforigin,wecontinuetomonitorandrelyuponthecfsi sprogressindispositioningsmeltersand refiners.additionally,wecontinuouslycomparetheupdatedlistoffacilitiesthatarecertifiedbythecfsiasconflict-freesmeltersorrefinersagainst ourowncmrtresultsthroughouttheyear. OurTier1suppliersarehighlydependentontheinformationprovidedtothembytheirsuppliers.Determiningthecountriesoforiginofeachand every3tgmineralcontinuestobeachallengethatwilltakeyearstocomplete.whilethecfsihasmadesubstantialprogressinidentifyingand assessingsmeltersandrefinersglobally,thereisstillalotmorethatcanbedone. Attheendof2016,TeslaacquiredSolarCity.ThislateadditiontoTesla sproductlineandsupplychainscopenecessitatedanintenseeffortto understandsolarcity sresponsiblesourcingpoliciesandduediligenceprocesses.teslahasbeenworkingwithsolarcityverycloselytoidentify suppliersinscopeforcalendaryear2017.teslawillincorporatesolarcity3tgduediligenceinourreportforcalendaryear

11 BasedontheinformationprovidedbyTesla ssuppliersaswellasthecfsi,teslabelievesthatthecountriesoforiginofthe3tgcontainedinits productsincludethecountrieslistedbelowinannexiaswellasscrapandrecycledsources.thislistofcountriesaswellasthesmelterandrefiner list(annexii)isbasedoffofcfsi srcoidatafrommarch3,2017,andtesla s2016suppliercmrtsubmissions. Other Responsible Sourcing Efforts and Engagement in 2016 Inadditiontogloballawsandregulationsthatfocuson3TGduediligence,thereisincreasedscrutinyandinterestfromnon-governmental organizationsandinvestorsonothermineralsandresponsiblesourcingissues. In2016,Teslawasengagedandproactiveonaddressingavarietyofresponsiblesourcingrisksonnumerousoccasions.Inrecognitionofthe importanceofresponsiblesourcing,teslajoinedeiccinearly2017asasupportermemberaftervettingmultipleglobalorganizations. MuchofTesla sduediligenceeffortin2016wasconcentratedonimprovingouroverallresponsiblesourcingpolicyandaddressingconcernswith certainmineralsandregionsatriskoutsidethescopeof3tg.teslawasproactiveinengagingdirectsuppliersandpartnerstoaddresstheseother minerals.similartooureffortsfor3tg,teslasentletterstosuppliersandrequestedimmediatefeedbackonanyrisksassociatedwithmineral sourcing. OfparticularinteresthasbeenthesourcingofrawmaterialscontainedinthebatterycellsusedinTesla sproductssincebatterycellsareamajor componentofourbusiness.teslahasbuiltstrongpartnershipswithourdirectbatterycellsuppliers.weworkcloselytogethertoidentifyand engagewithrawmaterialssuppliersthatsupportcellproduction,whichdoesnottypicallyinclude3tg.werequestandreceivecertificatesoforigin forrawmaterials,documentationanddescriptionsofriskmanagementandmitigationpoliciesatthesesuppliers,andasnecessaryvisitproduction sitestoobserve,review,anddiscusstheserisksandhowtheyareaddressed.wealsocheckthirdpartyauditsandevaluationstoensureourdirect batterysuppliersarecomplyingwithallrelevantlawsandtheirowncorporatepoliciesagainstchildlabor,humanrightsabuses,andotherissuesthat affectresponsiblesourcing. Teslaalsoreviewstherequirementsthatourdirectsuppliershavewiththeirsub-suppliers.Mostimportantly,Teslavisitsthesesub-supplierswhen possibletoobserveandreviewtheirprocessesandriskmitigationtechniques.duringthesevisitswelookforpotentialhumanrightsrisks,aswellas safetyorenvironmentalrisks,anddiscussmitigationeffortsdirectlywiththeoperators.thisengagementbyteslasometimesextendsalltheway backtotheminingstages,whereproducersaretypicallyatier4suppliertotesla. 6
