Would you like to help shape the work of a focused and dynamic charity that is working with passion and vision on behalf of sexual and reproductive health care professionals? The Faculty of Sexual and Reproductive Health Care (FSRH) works to support; enable and champion the work of our 15,000 doctor and nurse members through the provision of education; information, standards and guidance. More than ever the FSRH is looking to increase its influence and its impact, through the delivery of first class services and support. As part of our modernisation plans to ensure we are as effective as possible on behalf of our members we are creating a new Board of Trustees to sit alongside our existing Council of membership. The new Board will have responsibility for developing and overseeing our longer term strategy as well as ensuring that our work is of public benefit. Our new trustees will play a key role in helping us to further unlock our potential and impact, with a particular emphasis on leading and setting our future strategic direction. If you are interested in a trustee role at FSRH whether you are an existing Diplomate/Nurse Diplomate or Member/Fellow of the FSRH or someone outside the FSRH please read on. Who are we? The Faculty of Sexual and Reproductive Healthcare is the leading UK professional membership organisation for doctors and nurses working in sexual and reproductive health care whether in primary or secondary care. The FSRH delivers the following services and support:- Awarding qualifications to doctors and nurses and running the specialty of Community Sexual and Reproductive Health (a 6 year consultant training programme) Setting service standards and production of NICE accredited clinical guidance Sharing of information and best practice, including webinars, conferences and workshops Joint production with the BMJ of the Journal of Family Planning and Reproductive Health Care (to be called BMJ SRH from January 2018) Influencing policy makers and commissioners using feedback from our members The FSRH works closely with the Royal College of Obstetricians and Gynaecologists (RCOG) but is an independent organisation, which grew out of the increasing need for sexual and reproductive health to have its own professional and educational body. Established in 1993, the FSRH has been supporting its members; respecting and promoting their professionalism and enabling them to be effective in their practice for 25 years. 3 Our Vision Better care, a better future: a new vision for sexual and reproductive healthcare Developed with and by our members, our vision demonstrates that good SRH is essential for healthy lives from providing sex and relationship education and information, through to providing good services throughout life. Our vision for good SRH care focuses on: - Patient experience; a well-trained workforce of SRH specialists and integrated services which respond to the individual. We use our vision for improved care in SRH to influence policy makers but also to enable us to promote the importance of SRH as an area of healthcare. Why a new governance structure/board of trustees? In 2012, after a great deal of consultation with a range of members and stakeholders, the FSRH published a 10 year strategy commissioned by then President, Dr Chris Wilkinson. The 20:20 Vision recommended that the Faculty governance be modernised to ensure that it would be fit for purpose in the long term. It recommended that a Board of Trustees be appointed separately from Council to take responsibility for the FSRH s strategic direction, monitor progress against (these) recommendations ensuring the Faculty meets its objectives, and oversight of financial and business issues. This work was then taken forward by a Governance Working Group (GWG) independently chaired by Simon Blake OBE in 2015/16. The Faculty membership voted overwhelming for the changes recommended by the GWG at an AGM of the membership in July You can read the final recommendations from the GWG here. This governance modernisation is something that most medical Colleges and Faculties have been through in recent years to ensure that they have the right people in the right roles in their governance structures. Council will continue to play a very important role in the governance of the Faculty and will be the body that represents the membership in the governance structures. The changes being proposed will enable Council to focus on the professional membership issues including advising the Board of Trustees on training and education, standards and guidance and policy. 4 The new arrangements are designed to enable Council to focus more on the issues that are of most concern to members and enable individual members of Council to spend more time representing their class of membership at meetings. The President of FSRH will chair both the Council and the Board of Trustees and one of the Vice Presidents will sit on the Board too. In addition the Articles specify that there must always be a majority of at least 2 FSRH members on the Board. The initial plan is to appoint 7 member trustees and 5 externally appointed trustees. By ensuring clinicians/members are represented on the board of trustees the Board will have an excellent understanding of the needs of our members and the wider workforce. However the changes will also mean we can appoint trustees with specific business skills such as finance, marketing and investment to support the long term development of the Faculty. The Make Up of the Board Membership of the Board is laid out in the FSRH Articles of Association: the President (Dr Asha Kasliwal) the Senior Vice-President (being one of the Vice-Presidents nominated by the Officers as the Senior Vice-President Dr Diana Mansour) one other member of Council elected by Council ( Elected Trustee ) to be elected in November 2017 up to 4 persons being Fellow, Members, Diplomates or Nurse Diplomates ( Appointed Trustees ); the Treasurer (an Appointed Trustee ); up to 4 other trustees ( Appointed Trustees ). The Nine Trustee Roles Available These new trustee roles offer the opportunity for a group of volunteer members and non-members to play a key and progressive role at the FSRH to oversee the next period of our development as a charity and company limited by guarantee. 5 About You We are looking for talented individuals who can also work effectively together as a Board. It could be the right opportunity for a range of potential candidates and we will welcome and encourage applications from all backgrounds, genders and ethnic groups. Your motivations might be many and varied from wanting to make a difference in a charity, having a passion for SRH, to enhancing your CV through voluntary work. 6 Role Description: Trustee (FSRH members and non-members) Role Title Department Remuneration Responsible to Trustee Board of Trustees Travel and subsistence will be paid for attendance at meetings in accordance with the FSRH expense policy. Board members are not remunerated for their Board/trustee work. The Chair of the Board of the Trustees (our President, Dr Asha Kasliwal) Regular liaison with FSRH Officers FSRH Council CEO/senior staff Sub-Committees of the Board External partners at senior level Hours Trustees will meet at least 4 times a year in London. Meetings will last approximately 3 hours. The Board will hold a strategy meeting at least once a year in conjunction with the Council to ensure that both bodies contribute to the longer-term direction of the FSRH. Meeting dates and times for 2018 (in London) are: Jan 25, 12:30 16:00 an induction session (of c 2 hours) will take place before the board meeting Feb 22 all day strategy day April 26, 12:30 16:00 Jul 26, 12:30 16:00 Oct 25, 12:30 16:00 In addition trustees would be expected to allow time for reading of papers and preparation for meetings and for occasional events such as the AGM, attending relevant external events/training and induction. Purpose of the role: The overall aim of the trustee role is to provide strong leadership, direction and expertise to the governance of the FSRH. The Board of trustees ( the Board ) is the body with the legal duty to protect the mission and vision of the FSRH and to ensure that it is run in accordance with legal requirements. 7 The role of the Board is to provide good governance and leadership by: Determining policy and strategy Appointing the Chief Executive (who is overseen by the Chair of the Board on behalf of the Board) Providing constructive challenge to the Chief Executive and her staff team Agreeing an annual budget and business plan and monitoring these Setting salary levels, and agreeing the salary of the CEO Setting and monitoring procedures for assessing and managing risk Taking advice from members, Council, Committees and from specialist advisors Ensuring good communications between the Board, the Council and the membership, and providing feedback on Board decisions and discussions to these groups Monitoring performance Representing the FSRH externally, nationally and internationally when relevant. As a charity and company limited by guarantee, Board members are charity trustees and company directors. They do not represent any group or organisation in this role and they must act in good faith and in the best interests of FSRH and in accordance with the FSRH Code of Governance (Appendix 1, page 12). Main duties and responsibilities of a trustee Board members are required to: Ensure that the highest standards of corporate governance are observed at all times Establish the overall strategic direction and governance of the FSRH Approve the budget and business plan for the FSRH including the costs of Council and its committees Ensure the effective, efficient and appropriate use of resources available to the FSRH Oversee the delivery of planned results by monitoring and reviewing performance against agreed strategic objectives and targets Ensure that the FSRH operates within the limits of its objectives and authority Ensure that the FSRH is accountable to key stakeholders within and outside the health sector Ensure that the FSRH undertakes its work with due regard to equality and diversity issues Ensure that the FSRH complies with all relevant legislative and administrative requirements including, but not limited to, company law, charity law, health and safety, data protection and equalities Last updated: October 2017 Page 7 of 13

8 Ensure that an effective risk management system is in place Approve the annual accounts.
