2 IR and RESTORE COMPENSATION PLANS NEXCEL INDEPENDENT REPRESENTATIVE There is no fee or purchase required to become an Independent Representative (IR) with NexCel. Every IR receives a Starter KIT free of charge or obligation including a Self Replicating Marketing Website and Basic Back Office Services. All product sales are at the NexCel established retail price. IRs do not purchase products for resale, they bring real end user consumer purchases to their Self Replicating Marketing Website. Customers register and purchase products through the self- replicating website of their Enroller IR. If a person chooses both IR and Customer status with NexCel, they are the customer of their IR Sponsor who is also their Customer Enroller. EVERY STARTER KIT CONTAINS A NexCel Self Replicating Marketing Website. All customer and independent representatives will be enrolled by accessing your Self Replicating Marketing Website and completing the enrollment process. Earned Commission Details. All NexCel marketing material may be downloaded and printed from the IR Back Office. MANAGING REPRESENTATIVE (MR) A Managing Representative is an IR who elects to purchase, at their option, NexCel s Business Suite for $ plus $14.97 per month on auto- draft. MRs are IRs who have purchased the Optional NexCel Business Suite. MRs who also register as a customer may purchase up to four products a month for personal use at ReStore wholesale prices. NexCel s Business Suite Contains: A NexCel Self- Replicating Marketing Website. Earned Commission Detail. Customer by Customer purchase details. IR Downline Identification and sales details. 3 3 of each Salve 50 mg ACTIVE CUSTOMER POINT An Active Customer Point (CP) is generated when a customer has purchased one product in the past month. A customer may generate multiple Customer Points by purchasing multiple products. NEW CUSTOMER ACQUISITION BONUS - FAST START COMMISSIONS An IR or MR who has enrolled one or more customers who have purchased three or more NexCel products and has sponsored a new MR who gathers their initial three customer points within their first 30 days earns a Fast Start commission of $100. If your new MR gathers their first three customer points within their first 10 days they also earn $100. There is no limit to the number of New Customer Acquisition bonuses which an IR or MR can earn. FAST START COMMISSIONS are paid out weekly. Whenever the number of IRs and customers required to advance to a new rank is achieved, we describe the new IRs and Customers acquired after achieving the new rank as Coded to you in the new rank you have achieved. When you promote to one of these positions, you begin to build a new coded organization and you have the opportunity to earn more bonus income at each coded level when IRs in your previous and current coded teams sponsor New MRs who acquire three (3) new CPs in their first 30 days. After an IR achieves the initial rank of AD, and as they move to higher ranks, they continue to receive Fast Start and Weekly Recurring Income created by their IRs in their previous Ranks (Codes) and all

4 their future IR growth. A new group of IRs and customers is created in the new Rank (Coded) consisting of IRs and Customers, beginning with the very first IR and Customer enrolled after achieving the new rank. The powerful reality of this "coding method is that no IRs or Customers are ever removed beyond your commissionable group or produce reduced commissions or bonuses. Thus, a NexCel ED (highest rank) is simultaneously receiving Fast Start and customer purchase commissions from their ED, RD, and AD coded organizations as well as their 7 level commissions. The number of IRs in each Code can grow and grow without limitation and provide ever increasing commissions and bonuses to you in every one of your personally "Coded" Organizations. Regional Director (RD) An AD promotes to RD by: Personally sponsoring six (6) MRs in their AD organization who promote to AD. Having personally enrolled 20 CPs. Executive Director (ED) An RD promotes to ED by: Personally sponsoring six (6) MRs in their RD organization who promote to RD Having personally enrolled 30 CPs Developing an additional six (6) RDs in levels 2-7 of their RD organization MATCHING BONUSES

5 The first three (3) MRs you sponsor can be the most IMPORTANT to your future bonuses. When you personally sponsor and maintain 3 MRs and personally enroll and maintain 10 CPs, you are qualified to earn Matching Bonuses from your MatchTeam. Your first three (3) MRs become your 1 st Level MatchTeam. When your 1 st Level MatchTeam each sponsor their first three (3) MRs, that becomes your 2 nd Level MatchTeam. When your 2 nd Level MatchTeam each sponsor their first three (3) MRs, that becomes your 3 rd Level MatchTeam. As each of these leaders promote to AD, RD, and ED, you can earn a 20% override of your 1 st MatchTeam s FastStart Leadership Bonuses, a 10% override of your 2 nd MatchTeam s FastStart Leadership Bonuses, and a 10% override of your 3 rd MatchTeam s FastStart Leadership Bonuses. ReStore Representatives buy product at discounts of as much as 40% off the retail price, resell to customers at NexCel s retail prices, and earn the mark up to our retail prices as immediate profit. To participate in our ReStore program you must agree offer our products at our established retail prices. For the month in which a ReStore purchase is made, customer point requirements will be waived for both the ReStore Representative and their Enroller. Products purchased by the ReStore program in the ReStore will be commissioned per the Weekly Recurring Income Chart below. WEEKLY RECURRING INCOME (WRI) Personal Customers who purchase their products from you count toward your WRI. So do the customers who PURCHASE products from IRs in your 7 Level Organization as well as your Coded Organizations which extend to unlimited levels. Personally sponsored IRs who purchase products count toward your CP requirements.

6 WRI is paid on the Friday following the week in which a product purchase is made. To receive this income, you must meet both the MR and Customer Point requirements of the position you are to be paid at. You achieve the monthly Customer Point requirement by maintaining the required number of customer product purchases in the past month. If your number of MRs and Customer Points at the time commissions are calculated is fewer than your qualification requirements, a one- week grace period will begin and you will be paid all commissions and bonuses earned at your promoted rank that week, UNLESS the previous week s qualification was a grace period. You will not be paid at your promoted rank when you have two (2) consecutive weeks of missed MR and Customer Point qualifications but will be paid at the rank you are qualified for at that pay period. Active Customer Points AND MRs, for

7 determining commission and bonus eligibility, are an accumulation of each of those present during the immediate month prior to the day commissions and bonuses are calculated. COMMISSION PAYMENTS All commissions and bonuses are paid the Friday after the business week in which any commissionable transaction has taken place and payment received. NexCel s business week ends Saturday at 6am Eastern. Purchase of Samples are not commissionable.
