Key risks covered will amongst others be those relating to the vessel spread, the weather and other site conditions, defects, transfer of risk, indemnities and liabilities, and how such risks are typically shared between developers and contractors respectively. 2 Offshore Wind Seminars Legal and commercial features of Transport and Installation Contracts The seminar has a practical angle using the different phases of a transport and installation campaign to focus specifically on common characteristics across various scopes of work as well as the differences between these. The seminar is designed to be interactive with the participants taking an active role in discussions to ensure that expectations are met and that there is a value add contribution to all participants. Introduction to and characteristics of offshore installation contracts The seminar puts special emphasis on larger installation packages such as the transport and installation of WTGs, foundations, substation(s) and array/export cables. Choice of contract type and importance of the background law An overall introduction to the usual types of contracts used for transport and installation contracts (including FIDIC and LOGIC based contracts) is given as well as considerations on the importance of the application of background law. Vessel and performance requirements Which requirements shall vessels meet and which tasks sit within the contractor scope? What can be expected in terms of a completed scope of work and is fit for purpose standards suitable criteria for transport and installation contracts? Cost of the vessel/marine spread Usual pricing mechanisms and elements including considerations regarding variations are addressed along with typical concerns of both employers and contractors in connection with the agreement on price, including mobilisation and demobilisation costs, fuel costs and day rate requirements. Programme delays, installation windows, weather and site conditions The risks of wind, weather, soil and other conditions at the offshore site drives programme delays and costs. The seminar address how ground conditions are dealt with, the use of reasonable endeavours and warranted depth of burial as performance standards, as well as the upsides and pitfalls of adverse weather mechanisms. Taking-over and defects rectification Job done equals sail away or? Taking-over, release of the vessel spread and the liability for remedial works are key ingredients in any offshore installation contract. How is the criteria for Taking-Over objectivised, what does liability for defects entail and will it ever end? Risks, insurance and liabilities Is a knock-for-knock based liability regime preferable to a negligent liability regime? No matter the liability set up insurance coverage must be obtained where relevant and limitation of liabilities considered.
