1 Founded in 1974, the National Center for (NCH) is a 501(c)3 non-profit organization dedicated to promoting health through homeopathy by advancing the use and practice of homeopathy. NCH supports education in, awareness of, and increased access to homeopathy. We have the largest, most diverse membership in the homeopathic community and we are the national go-to resource for all who are interested in learning about homeopathy. We educate consumers and play an important role in the continuing education of practitioners and are dedicated to making homeopathy more accessible to the public. We inform legislators and work to secure homeopathy s place in the U.S health care system while working to ensure that homeopathy is accurately represented in the media. We help our members and supporters get and stay connected and find the resources they seek while being a strong and collective voice for homeopathy in the US. 6 HOMEOPATHY TODAY MAGAZINE ADVERTISING TERMS & CONDITIONS These terms and conditions shall govern the relationship between NCH and the Advertiser and/or Agency. NCH has not made any representations to the Advertiser or Agency that are not contained herein. Unless expressly agreed to in writing by NCH, no other terms or conditions in contracts, orders, copy, instruction, or otherwise will be. A. The National Center for (NCH) reserves the right at its absolute discretion, and at any time, to cancel any advertising order or reject any advertising copy, whether or not the same has already been acknowledged and/or previously published. In addition, NCH reserves the right to remove from selected copies of the publication advertisements containing matter that subscribers have deemed objectionable or fraudulent. In the event of such cancellation or rejection by NCH, advertising already run shall be paid for at the rate that would apply if the entire order was published. Cancellation of any portion of any advertising order or contract by or on behalf of the Advertiser automatically nullifies any rate discount, including for previously published advertisements. In such event, the Advertiser and/or Agency must reimburse NCH within 30 days of invoice. The NCH requires any Pharmaceutical companies wishing to place ads must be members of the American Association of Homeopathic Pharmacists or the American Homeopathic Pharmaceutical Association. B. Advertisements that simulate editorial content must be clearly defined and labeled ADVERTISEMENT and NCH may, at their sole discretion, so label such copy. C. In the event of errors in advertisements that have not been approved by the Advertiser or its Agency or omissions of any advertisement(s), NCH s liability shall not exceed a refund of amounts paid to NCH for the advertisement. The Advertiser is responsible for checking the accuracy of their published advertisement in the first issue in which it appears and reporting any errors immediately following publication of said issue. No compensation will be made for errors not reported immediately following publication of the first issue in which the advertisement appears. NCH is not responsible for errors in key numbers or for any error due to illegibly written copy. NCH is not liable for errors in advertisements that are submitted and/or approved by the Advertiser or its Agency. D. The Advertiser and its Agency, each represent that any advertising (including product samples) submitted complies with all applicable laws and regulations and does not violate the rights of, and is not harmful to, any person, corporation or other entity. As part of the consideration to induce NCH to publish such advertisement, the Advertiser and its Agency, each agrees jointly and severally to indemnify and save harmless NCH, together with their employees and representatives, against all liability, loss, damage, and expense of any nature, including attorney s fee, arising out of any claims for libel, invasion of privacy, copyright or trademark infringement and/or any other claim or suit that may arise out of the copying, printing, publishing, distribution or transmission of such advertisement. E. In the event an order is placed by an Agency on behalf of the Advertiser, such Agency warrants and represents that it has full right and authority to place such order on behalf of the Advertiser and that all legal obligations arising out of the placement of the advertisement will be binding on both the Advertiser and the Agency. F. The Advertiser and its Agency, agree to be jointly and severally liable for the payment of all bills and charges incurred for each advertisement placed on the Advertiser s behalf. Advertiser authorizes NCH to bill the Agency, which shall constitute due notice to the Advertiser of the bill and such manner of billing shall in no way impair or limit the joint and several liability of the Advertiser and Agency. Payment by the Advertiser to the Agency shall not discharge the Advertiser s liability to NCH. The rights of NCH shall in no way be affected by any dispute or claim between the Advertiser and the Agency. G. The Advertiser or Agency may not use any advertising space either directly or indirectly for any business, organization, enterprise, product or service other than that for which the advertising space is provided by NCH nor may the Advertiser or Agency authorize any others to use any advertising space. H. NCH reserves the right to use any of the commercially accepted printing processes. I. The Advertiser and/or Agency agrees to reimburse NCH for its attorneys fees and costs in collecting any unpaid charge or portion of the charge for any advertisement. J. The copyright in any unpublished advertisement created by NCH is owned by NCH and may not be otherwise used by the Advertiser without NCH s prior written consent. The Advertiser and/or Agency agree that any advertisements published may be included in all media, whether now in existence or hereafter developed, in which the issue containing the advertisement is published, reproduced, distributed, displayed, performed, or transmitted, in whole or in part. K. Rates: Rates and units of space are effective with the annual February issue. Announcement of any change in rate will be made 30 days in advance of the closing date for the first issue affected by such new rates. Orders for issues thereafter will be at the rates then prevailing. Rate Protection: Rate increases will be announced at least 60 days prior to taking effect. Advertisers will continue at their contract rate through the length of the contract, regardless of any rate increases during that period. L. Approval: All advertising is subject to the publisher s approval and the publisher reserves the right to reject or cancel any advertisement insertion order, space reservation, or position commitment at any time, with or without notice to the advertiser or advertising agency, and whether or not such advertising was previously acknowledged, accepted, or published. Acceptance of the advertisement by the publisher shall in no way constitute endorsement by the publisher or magazine for the contents of the advertisement or the product or service advertised. Advertisements that, in the opinion of the publisher, have the look of the magazine editorial copy will be marked Advertisement. 6

7 M. Ad Position: Exact position of advertisements, except premium cover positions, is at the discretion of Today, and will not be bound by any condition appearing on insertion orders or copy instructions that conflicts with the provisions of this contract and/or rate card. N. Materials: Written confirmation of material corrections is required by material closing date. If an advertiser fails to provide required material to meet deadlines of the issue in which space has been ordered, one of two actions will be taken: (1) the last published advertisement available will be repeated, or(2) if no advertisement is available, the space will be forfeited. In either case, the advertiser will be billed for the space reserved. Advertising materials will be stored for 12 months and will then be discarded unless otherwise requested by the advertiser. O. Payment Policies & Terms: All new advertisers must prepay their first advertisement to establish credit. Subsequent ads may be billed subject to credit approval. 1x advertisers must prepay with each insertion order and are required to submit a new contract for each ad. Today reserves the right to require pre-payment for any advertiser with past-due advertising balances. Failure on the part of advertising agencies to pay for space ordered does not release the client company from obligation to pay for all costs contracted on their behalf. Billing & Credit: Checks accepted: Make checks payable to National Center for. Credit Cards accepted: American Express, Discover, MasterCard, and Visa. Credit card number, expiration date, security code, name on card, authorized amount, billing address, and signature of cardholder are required for credit card payments. All invoices are payable net 30 days. Invoices not paid according to terms will be subject to a 5% late payment charge. Nonpayment: Ads will not be inserted for advertisers or agencies whose accounts are more than 60 days overdue, regardless of contract term. Subsequent ads will be placed once the account is brought current. P. Cancellation: All cancellations must be received in writing no later than the space closing date. After the closing date, the advertiser is responsible for 100% payment of the ad space for that issue pursuant to the contract. Q. Limits of Liability: The liability of the publisher for any error for which it may be held legally responsible will not exceed the cost of the space ordered or occupied by the error. The publisher specifically assumes no liability for errors in key numbers. The publisher will not, in any event, be liable for direct, special, incidental or consequential damages, including but not limited to loss of income or profits.
