The goal of the SynNovation 100 program is to develop first-in-class or best-in-class antibody drug candidates to 100 critically reviewed drug targets. 2 Title: Director or VP of Business Development The Vice President of Business Development will play a leadership role in developing and executing our business strategies and achieving our long-term growth objectives through our corporate alliances, partnerships and other collaborations. The incumbent will lead the Business Development team in the identification, evaluation, structuring and negotiations of potential partnerships for the company, and will lay a key role in overseeing the success of the alliances and execution of our partnered programs. The incumbent must also foster a patient-driven Biosion culture ensuring patients are the first in all business activities. This must be accomplished while continuing to deliver our commitments within budget, revenue targets and timelines, ensuring the compliance with laws, industry regulations and guidelines. Specifically, the individual will have accountability for providing strategic leadership and cross-functional direction to successfully drive the global partnerships and collaborations of our "SynNovation 100 program". 1. Enforce the development and execution of a value-creation business development strategy. 2. Identify and assess opportunities to advance the company s near- and long-term goals through corporate partnerships and alliances, as well as technology in-licensing and out-licensing. 3. Partner and collaborate with cross functional stakeholders (science, preclinical development, legal, finance) to understand and support key strategic goals associated with business development opportunities. 4. Develop and maintain relationships across a broad sphere of influence, including internal stakeholders, executives and management teams of biopharma companies, venture capitalists, and other external contacts. 5. Represent Biosion as partner of choice at external meetings, conferences and industry events. 6. Lead the Business Development team in the development of the business case, financial modeling, valuation, due diligence, deal structuring and negotiation to deliver executed deals. 7. Lead/co-lead cross-functional project deal teams that engage key internal stakeholders and external partners (legal counsel, external experts etc.) to ensure successful partnerships. 8. Directly manage a portfolio of alliances, monitoring the successful execution of our alliances and partnered programs. 9. Lead impasse resolution and serve as a direct contact for partner executives as necessary. 10. Provide strategic direction, guidance and mentorship to members of the Business Development and Alliance Management functions. 1. Ph.D./MBA with at least 5~8 year of relevant industry experience in biotech/pharma or investment banking. 2. Experience in negotiating and closing a variety of business agreements including joint ventures, licensing agreements, strategic alliances and other collaborations. 3. Strong business and financial acumen with the ability to evaluate deal alternatives. 4. Exceptional written and oral communication skills. 5. Ability to work collaboratively and strong ability to influence particularly in negotiating and closing business deals. 6. Ability to identify and prioritize risks that transactions pose to various aspects of the business. 7. Knowledge of market and competitive environment including deal activity and potential opportunities. 8. Strong leadership and management experience including strategic thinking, innovation, mentoring, scaling, collaboration, etc. 9. Strong analytical skills and ability to effectively understand and act on complex information under high time pressure situations 10. Strong understanding of the drug development and regulatory processes, and commercialization of therapeutics.

3 Title: Director of Bioanalytical/Method Development We are seeking an experienced bioanalytical professional to join this fast-growing company. As a director, you will provide strategic and managerial oversight of all bioanalytical operations including overseeing bioanalytical method development, validation, and sample analysis in support of antibody drug discovery and product development, bioanalytical project management, and bioanalytical material/instrument management. The position requires managing bioanalytical operations departments through a team of functional managers. You will direct, develop, and provide hands on technical mentoring to staff to establish operational procedures, solve scientific and technical problems, and develop protocols. You will work with senior management on the planning and development of operational policies, objectives and initiatives. Based on the incumbent s experience and skill sets, the job level and compensation will be adjusted 1. Align objectives and resources across all bioanalytical teams and projects, assuring that resources allocated to a given functional group match the workloads and priorities. In this context, close control and use of the bioanalytical resources (internal and external) to meet timelines is essential. 2. Work closely with senior management and project manager to develop project objectives, establish realistic timelines, and execute to meet customer needs. 3. As technical and scientific leader, provide guidance for method development, validation, data analysis, and presentation. Help data summary and report writing. 4. Work closely with functional managers to solve scientific and technical problems. Evaluate and decide when to use external resources and services. 5. 4 Title: Intellectual property (IP) manager We are seeking talented biologics intellectual property (IP) manager to join this fast-growing company. As a IP Professional, you will assist IP planning, implement IP operational framework, and achieve IP objectives and deliverables in line with the boarder Biosion business strategy. You will oversee and coordinate patent filing for drug lead candidates and work together with other innovation leaders to keep your project running on time and on budget. You will manage all project deliverables and external contacts as well your project costs, manage the procurement of patent rights for inventions, and communicate with senior management. You will provide feedback to senior leaders to help improve overall efficiency and performance. Key tasks include playing an important role in developing patent strategies with options, risk mitigation and contingencies; providing proactive operational oversight of all aspects of the project plan and execution; recognizing project needs and raising them appropriately in the organization. 1. Work with senior management to develop and implement IP plan and operational frameworks, achieve objectives and deliverables in line with Biosion business strategy. Work with the innovation team to ensure project delivery to timeframes and milestones. 2. Help to manage the identification and evaluation of ideas, research programs, and technologies developed through R&D team and assist in the creating impact. 3. Enhance IP capability of internal stakeholders through education and training programs, including high level IP searching skills and database use to maximize the implementation of Biosion ideas. 4. Develop an in-depth knowledge of research projects and outputs across Biosion. Provide the interface between academic, business development and innovation staff, building strong networks. 5. Help to report the outputs and impact of research projects, including preparing proposals, briefing papers and reports and developing innovative communication techniques e.g. data visualization. 1. 5 Title: Project Manager (3 positions) We are seeking talented biologics project management professional to join this fast-growing company. As a PM Professional, you will oversee the whole projects and work together with other technical leaders to keep your project running on time and on budget. You will manage all project deliverables as well your project costs and communicate with senior leadership. You will provide feedback to your team throughout its entirety to help improve overall performance. Key tasks include playing strategic role in building early discovery and development project strategy and plans with options, risk mitigation and contingencies; using drug discovery and development expertise to integrate knowledge of all line functions for project; providing proactive operational oversight of all aspects of the integrated project plan; accountable for advancement of project; recognizing project needs and raising them appropriately in the organization. Manages biologics projects across multiple phases, enables the project strategy development; responsible for generation and maintenance of project plan including identification of activities on the critical path; provides Project Management leadership in the areas of planning, tracking, problemsolving, risk management and plan execution in line with project team goals. 2. 6 Title: Sr. Principle Scientist or Director of Antibody Drug Discovery We are seeking a highly motivated candidate with an innovative mind set to lead our antibody discovery team. A main objective for this candidate will be to initiate and establish therapeutic antibody discovery and development projects using hybridoma technology and our H3 Platform. The candidate should be knowledgeable on antibody discovery and development technologies. The candidate will be expected to coordinate research activities in a multi-disciplinary setting. This is a senior level position requiring scientific expertise and vision and excellent interpersonal skills. This will involve data presentation in well-organized written and oral formats at various team, group, and project review meetings. 1. Develop and execute strategies for target identification, prioritization and validation. 2. Review, propose, initiate, and implement new pre-clinical therapeutic antibody drug discovery and development programs. 3. Represent in-house expertise in antibody drug discovery, engineering, and development, as well as one or more disease areas of immunology, oncology, and cardiovascular biology. 4. Collaborate with CRO and academic partners, employ cutting-edge in vitro and in vivo animal and human cancer models to advance drug discovery and development programs up to and including IND filing. 5. Facilitate the writing of patents and regulatory documents. Present non-proprietary results on scientific conferences and publish in peer-reviewed journals. 1. PhD in immunology or cancer biology, plus 5 ~ 10-year experience in antibody drug discovery. 2. Experience of leading a drug discovery project in biopharmaceutical company. 3. Expertise of in vitro ell-based functional assays, and complex co-culture biology assays. 4. Extensive experience in multi-color flow cytometry. 5. Knowledge in skills of cell biology and/or in vivo models is also highly desirable. 6. Fluent in English is preferred.

7 Title: Sr. Principle Scientist or Director of Antibody Engineering We are seeking a motivated and experienced Senior Principal Scientist to join our Antibody Engineering group to develop and execute innovative strategies to identify novel therapeutic antibodies with unprecedented specificity. The candidate will design and lead antibody engineering campaigns using phage display technologies for lead antibody discovery/development. The ideal candidate should be an expert on antibody engineering and possess leadership skills and intellectual curiosity for learning new techniques and approaches to drug discovery. 1. Lead Antibody Drug Discovery team to develop and implement phage display and other antibody discovery strategies to advance novel bio-therapeutic products through discovery and optimization stages. 2. Develop and execute research strategies to enable the discovery and development of therapeutic antibodies for Biosion therapeutic programs. 3. Design and execute antibody discovery and/or engineering (eg affinity maturation, humanization) campaigns using phage display technologies for lead antibody discovery/selection/development 4. Ideal candidate will have ability to collaborate with biology/pharmacology groups to develop and implement research to gain a detailed mechanistic understanding of the molecular pharmacology of therapeutic molecules 5. Working with Protein Sciences/Biochemistry groups to help design and generate antigens to support campaigns and to gain structural insights into therapeutic antibody-target interactions. 6. Generate internal and external collaborations as necessary to further program goals. 1. Ph.D. in immunology, cell biology, molecular biology, protein/antibody engineering or closely related fields with 5-10 years of relevant industry experience. 2. Significant research experience as demonstrated by track record of publications and scientific accomplishments. 3. Hands-on experience with in vitro antibody discovery display technologies (e.g., phage, yeast display). Experience in antibody engineering and optimization (e.g., humanization, Fc optimization). 4. Highly developed leadership and communication skills. 5. Excellent organization and communication skills and the ability to manage multiple projects simultaneously. 6. Fluent in English is preferred.

8 Title: Sr. Principle Scientist or Director of Pharmacology We are seeking a highly motivated candidate to lead a team of in vitro/in vivo pharmacologists developing and implementing disease models for the mechanistic characterization and evaluation of novel anticancer therapeutics. The incumbent will provide a critical role in the drug discovery and development process to ensure delivery of high quality in vitro/in vivo data that enables biologics discovery and development programs. The incumbent will provide pharmacology expertise to the senior management team, contribute to the strategic direction of Biosion therapeutic programs, and work continuously to drive improvements in operational efficiencies. The incumbent will represent pharmacology team, play a key role in project teams, and ensure effective communication and collaboration with other teams and function lines. 1. Oversee development and use of mouse models of cancer including syngeneic mouse models, cell line derived xenografts, patient derived xenograft models, GEMMs, and orthotopic models to evaluate novel anticancer therapeutics. 2. Engage staff to perform in vitro and in vivo drug efficacy studies and generate informative data package; 3. Review data and make suggestions on portfolio periodization; 4. Collaborate with partner lines to ensure project progress and transition; 5. Communicate with customers and align the development strategy 6. Facilitating staff scientific growth through education/training, quality initiatives & new model investigation/establishment. 7. Manage budget and resources to support R&D programs and make effort for cost-saving. 1. Doctoral degree (Ph.D., D.V.M or M.D.) in biochemistry, molecular biology, pharmacology or a related area; 2. At least 5 years of experiences in in vitro/in vivo pharmacology experience in a pharmaceutical or CRO company; 3. Demonstrated successful project management experience; 4. Strong research experience in molecular mechanisms and molecular biology techniques; 5. Strong verbal and written communication skills; 6. Fluent in English (oral and written).

9 Title: Sr. Principle Scientist or Director of Cell Line Development We are seeking a highly motivated candidate with an innovative mind set to lead cell line development team. A main responsibility for this candidate is to serve as a leader to develop cell lines for our preclinical programs. The candidate will be accountable for overall management of the function such as resource planning, employee engagement and workflow enhancement. The candidate will be expected to coordinate research activities in a multi-disciplinary setting. This is a senior level position requiring scientific expertise and vision and excellent interpersonal skills. This will involve data presentation in well-organized written and oral formats at various team, group, and project review meetings. 1. Responsible for establishing mammalian cell line development platform and generating high producing cell lines for the production of recombinant proteins, including fusion protein and monoclonal antibody. 2. Performing key activities associated with production cell line development including transfection, selection, single cell cloning, high throughput screening, characterization of clonal cell lines using scale-down models, cell banking, and cell line stability studies. 3. Developing and optimizing new protein expression platform including designing, constructing, and evaluating novel expression constructs and expression system. 4. Managing development projects with external partners and outsourcing activities. 5. Writing technical reports and presenting data in project and group meetings. 6. Supervising direct reports as functional team grows. 7. Fluent English is preferred. 7. PhD in Biological Sciences, Molecular Biology, Biochemical Engineering with over 6-8 years of industrial cell line development experience. 8. Extensive experience with generating high-producing mammalian production cell line. 9. Experience with DNA cloning, vector design and construction, and genetic characterization of production cell banks is required. 10. Experience with high throughput immunological assays such as Octet assay, ELISA, and FACS analysis. 11. Extensive and hands on experience with FACS Sorting. 12. In depth knowledge of antibody technology, protein expression, and regulatory guideline for recombinant protein expression.
