13 ARTICLE 1. GUARANTEED MAXIMUM PRICE (GMP) 1.1 Guaranteed Maximum Price (GMP): Design-Builder guarantees that it shall not exceed a Guaranteed Maximum Price (GMP) of Four hundred twenty thousand, seven hundred ninety-nine and 00/100 Dollars ($_420,799_) for the Project. 1.2 Basis of the GMP: Removal and replacement of underground storage tank at Melbourne Bus Compound Design Criteria Documents: The scope of Work for the GMP shall be as defined in the Design Criteria Package, prepared by _School Board of Brevard County, titled _Melbourne Bus Compound underground storage tank replacement_ and dated _April 10, Exceptions, Clarifications and Exclusions: The scope of Work defined in the Design Criteria Package shall be modified as shown in attached Exhibit C-1. ARTICLE 2. PROJECT SCHEDULE 2.1 Substantial Completion Date: Substantial Completion of the entire Project shall be achieved no later than July 4, Intermediate Milestone Dates. Intermediate schedule milestone dates for the Project, if any, shall be as listed below and shall be incorporated into the CPM schedule Design:.1 Complete Schematic Phase: 30% Design - 03/17/ Complete Design Development Phase: 75% Design - 04/07/ Complete Construction Document Phase: 100% Design 04/21/ Complete Permitting: 04/28/ Complete Bidding: 04/22/ Start Construction: 04/22/14 equipment order released; 05/12/2014 On site construction begins ARTICLE 3. LUMP SUM DESIGN FEE 3.1 Design Fee: The Design Fee for the Project shall be a Lump Sum of Sixteen thousand Dollars ($ 16,000 ) for Basic Design Services. 3.2 Design Services: Design-Builder s Architect shall provide the Architectural and Engineering Services required for the design, permitting and construction administration of the scope of work contained in the Design Criteria Package, as modified by the Exceptions, Clarifications and Exclusions listed in Article 1 of this Exhibit C. The scope and requirements of those design services are contained in the attached Exhibit C-2. ARTICLE 4. LUMP SUM CONSTRUCTION MANAGEMENT FEE 4.1 Construction Management Fee: The Construction Management Fee for the Project shall be a Lump Sum of Fifty-three thousand one hundred forty-nine Dollars ($ 53, ); Portions of the Construction Management Fee allocated to specific activities or Phases, such as Pre-Construction Services, if any, are listed below. 4.2 Construction Management Services: Design-Builder shall provide the Construction Management Services SBBC Design/Build Agreement for Minor Projects Exhibit C Page 2 of 3

14 required for the cost estimating, permitting, bidding and construction of the scope of work contained in the Design Criteria Package, as modified by the Exceptions, Clarifications and Exclusions listed in Article 1 of this Exhibit C. The Construction Management Fee shall be divided into the Phases listed below. Payment of the Construction Management Fee shall be based on the percentage of completion of the Phase Pre-Construction Phase: Thirteen thousand one hundred forty-nine_ Dollars ($_13,149.00) Construction Phase: _Forty thousand Dollars ($_40,000_). ARTICLE 5. REIMBURSABLE GENERAL CONDITIONS COSTS 5.1 General Conditions: General Conditions costs for the Project shall not exceed _ Twenty-nine thousand six hundred Dollars ($ 29, ). General Condition s costs shall be reimbursed at Design-Builder s actual cost. General Condition s costs are identified in the attached document, prepared by Design-Builder, titled Melbourne Fuel Tank Replacement CM Spreadsheet and dated _2/26/14 ARTICLE 6. LIQUIDATED DAMAGES 6.1 Substantial Completion: Design-Builder shall pay Owner One Hundred Dollars ($_100.00_) as liquidated damages for each day that Substantial Completion extends beyond the Substantial Completion Date. 6.2 Final Completion: Design-Builder shall pay Owner _Two hundred fifty Dollars ($ ) as liquidated damages for each day that Final Completion extends beyond the Final Completion Date. ARTICLE 7.
