Building belongs to the district (Hartnell), we set parameters on use and services. Hartnell maintenance and custodial services the building. Early Development Services (EDS), on a five year contract; up this Fall MOU delineates they prioritize HEP, Hartnell students and the community at large (in that order). Currently Alisal childcare center is NOT accredited by National Association for the Education of Young Children (NYAEC), accrediting body for most college childcare centers. Although not a EDS Preschool: Monday- Friday 7:30am - 6:30pm *Evening: 5:30pm - 9:15p Closer to center of campus. Buildings will belongs to EDS, essentially Hartnell gives-up control. EDS would pay a small land lease fee ($300- $500/month). EDS maintenance and custodial would service building. Early Development Services. State expects a minimum 10-year land lease contract with the district. Contract with EDS will need revision to include evening services, etc.. EDS would seek accreditation for the new modulars. 6 requirement to be accredited, it is an expectation of the USDE-CCAMPIS Grant guidelines. Center CANNOT be accredited as is. * Evening services depend on whether Hartnell allows EDS to place a fourth modular in that space. Seeking: one modular for infant care, one for toddlers, and another for preschool, in addition to playground space. Without a fourth modular we cannot offer evening care in this space. Alisal St. Salinas, CA Target Market Demographics: Priority would be given to students, staff, and faculty of Hartnell College followed by the community at large Community Need/Data: Goal 1 of the Bright Futures initiative for Monterey County Early Care and Education Early learning is key to language and social development and can impact later learning in school and life. While 56% of working parents seek early care and education, today only 47% of working families have access. We need more quality early care and education spaces and solutions for affordability. ( community goals/ ) Scope of Service (How many served Year1) : 50 children daily Projected Growth (How many served Year3) : 80 children daily Location: 15,000sq ft area on the Alisal Campus, directly across from building D. Services: Description of Services: Early Development Services is currently providing managed care services to California State University Monterey Bay, Hartnell Community College, First 5 Monterey County, Monterey and Santa Barbara County in various capacities utilizing contracts from the California Department of Education to provide sliding scale fees to qualified families as well as full cost services. The proposal is to expand the services currently offered at Hartnell Alisal Campus to full year, full day as well as increase services from 30 children to approximately 80 children ages 6 weeks

8 through 8 years (evening care only) by purchasing portable facilities available to EDS through a no interest loan by the California department of Education. Current State of Business: State Funded, Licensed Care Program Description: Early Development Services provides safe and engaging learning environments for children between the ages of 6 weeks and 5th grade at seven different locations within Monterey and Santa Barbara County. We offer high quality early education facilities that provide excellent care to the young children under our supervision. Our nationally accredited programs are renowned countywide for preparing children for their entrance into the educational system while embracing the diversity of the families we serve. Our mission is to support the endeavors of families by providing a safe and nurturing environment that promotes the physical, social/emotional, cognitive, and language development of their children ages 6 weeks to 5th grade. Funding : State, 10 year no interest loan procured by EDS from the California Department of Education. Within those 10 years of the loan, if EDS decided to pull out, we would have the option of assuming the loan at the remaining balance. Revenue: Services to the families would be paid for by CDE subsidized contracts that EDS holds and/or full cost tuition for ineligible families. Future (What will happen to the buildings after 10yrs?) : If at the end of the 10 years if EDS is no longer interested in the buildings, Hartnell main campus CDC (as state funded preschool) would have rights to the modulars, purchased from EDS for other uses, or sold to other entities. Contractor (Early Development Services): Lead/Executive Director: Shannan Watkins, MA Shannan Watkins is the Executive Director of Early Development Services. Born and raised in Salinas, she has been with the agency since its inception in Her vision has been the driving force behind the agency for years. Her creativity, knowledge, and hands on approach have helped us remain the leader in Monterey County. Mrs. Watkins has an Associate of Science Degree in Child Development from Monterey Peninsula College, a Bachelor's Degree in Human Development with minors in Developmental Education, Early Childhood Education, and Childcare from Pacific Oaks College, as well as a Master's Degree in Human Development with minors in Leadership in Human Services and College Teaching, also from Pacific Oaks College. She has been trained in RIE, PITC, and the Pikler method. She has been President and Treasurer of the local Association for the Education of Young Children as well being elected to California Association for the Education of Young Children State Board. She is currently the Chair of the Monterey County Child Care Planning Council as well as chairing various other early education committees within Monterey County (QRIS, Executive, Transitional Kindergarten, and CDE Contractors). She is a member of the Monterey County Children's Council and a Bright Futures Steering Partner. In, 2011, Mrs. Watkins selected by the California 1

9 SBA as Central California Small Business of the Year and in 2016 she was selected as Entrepreneur of the Year by KSBW/Union Bank after being nominated by the United Way. Additionally, Ms. Watkins teaches child development courses at Monterey Peninsula and Hartnell College. 21 TECHNICAL CLARIFICATIONS Affordable Structures Inc. assumes no responsibility for the design and/or installation of the below grade foundations, if applicable, including but not limited to soil bearing capacity, materials, workmanship, construction methods or the suitability thereof. Also, this proposal is based on all foundation work being completed, cured, acceptable for all intended loads and free of obstructions prior to time of delivery of modules. This proposal is based on: An assumed soil bearing capacity of 2,500 psf at existing grade. Site development including: engineering, site permit, water management approval, clearing, grubbing and grading by others unclassified excavation. staging area located adjacent to the work site. suitable and acceptable access including firm road for modules and truck to building site. multiple potable water/sanitary sewer/electrical drop through floor-utility connections to these drops and extensions finished and installed by others. Affordable Structures Inc. supplying a building that meets or exceeds the requirements for the International Building Code. Any additional requirements or directives by local inspectors, third party plan review agencies and/or other agencies shall be the responsibility of the buyer/lessee. no dewatering of subsurface water. all underground obstructions, if any, within the proposed building envelope/work area to be located and marked above grade, by others. level grade (+ - 6 ) within the proposed building envelope. fire alarm and phone systems consists of J-boxes and empty conduit only, down through floor --jacks and conductors by others. placement of module(s) to be accomplished by the use of truck. no ramps, steps, stoops, walks or canopies. piers 3 course high, single stack without mortar. painted 5/8 steel earth auger anchors (48 long) storm water management/erosion and sedimentation control by others. Affordable Structures Inc. is providing (4) sets of sealed building plans and energy calculations only. Any other drawings and/or tests required are to be supplied by customer. Proposed building does not include exterior Fire Rated assemblies. This proposal does not include relocating rerouting, reinforcing or capping off of existing underground utilities located within the building perimeter. NOTE: Others denotes not by Affordable Structures Inc. or its agents.

22 GENERAL CONDITIONS This proposal is based upon a mutually agreeable contract between Affordable Structures and the owner. This proposal is based upon the owner obtaining and paying for all permits, licenses and approvals. Affordable Structures will pay for all permits, licenses and approvals for the manufacture and transportation of the modular building. Affordable Structures will obtain all applicable state permits, state code approvals and provide any available plan support details for the owners use in obtaining local permits and licenses. Since the owner is typically better positioned to expedite the issuance of said local permits, this procedure is most conducive to a timely project completion. This proposal is subject to Affordable Structures corporate credit approval. Pricing quoted herein does not include the cost for dismantle, return freight and other demobilization services at the conclusion of the lease term. Affordable Structures shall not be held responsible for any delays resulting from causes beyond our control including, but not limited to, acts of god or the public enemy, acts of government, fire, flood, weather, failure to secure materials from the usual source of supply, permits or licenses, acts or omissions by the owner, his representatives, agents employees, strikes, material shortages, etc. Labor and material costs valid for a period of ninety days from contract execution. Any delays beyond that period (permitting, site development, etc) may result in an adjustment of contract price. Affordable Structures shall not be held responsible for incidental, consequential, special, and/or punitive damages. Affordable Structures will not be responsible for any and all environmental and/or subsurface conditions. Completion schedule to be negotiated upon award. This proposal is based upon the specifications enclosed with this proposal and supersedes any and all other specifications. Disclaimer of Warranties: Except as stated below, customer agrees that there are no warranties, expressed or implied, and all warranties of any kind, including specifically any expressed or implied warranty of merchantability or fitness for purpose, are hereby excluded both as to the equipment and as to delivery, installation, demobilization, maintenance or repair work performed by Affordable Structures on the equipment. Affordable Structures shall not be bound by any statements, agreements or representations

23 not specifically set out herein, unless the same be reduced to writing and signed by an authorized officer of ASI. Affordable Structures will warrant defects in material and workmanship for a period of one year from completion of manufacturing, and pass on all manufacture s component warranties to the extent they are assignable. Pricing provided herein is based upon the use of non-union labor at non-prevailing wages. Prices quoted herein exclude any and all taxes, if applicable. Payment terms: Progress payments to be negotiated upon award. Affordable Structures shall not be held responsible for the performance of set up labor or material not supplied by Affordable Structures including, but not limited to warranty. The owner is required to obtain and pay for all insurance required to protect building from fire, theft, windstorm, Acts of God, vandalism and liability during the term of the lease. The owner is responsible for all property damage (comprehensive coverage) and liability while building is stored at manufacturing facility or on owner s property before final acceptance. This proposal is based upon Affordable Structures performing internal electrical wiring which is brought back to individual power panels on each modular. This proposal does not include the cost for the following: * Main Distribution Panels * CT Cabinets * Transformers * Main disconnects * Meter Pans and/or weather heads * Meters * Crossovers * Final connections This proposal is based upon supplying all plumbing fixtures within the modular building. Each plumbing fixture will have a straight drop that will be stubbed to the bottom of the modular building in the crawl space. It will be the owner s responsibility to make all interconnects under the modular building and perform final connection to water and sewer lines, also supplied by owner. This proposal does not include the cost for any engineering services for foundations, i.e., test borings, plot plans, paving plans, surveys, etc. Soil bearing pressure is assumed to be 2500 psf for this proposal.

24 This proposal does not include removal of concrete parking standards, trees, signs, light posts or any other obstructions that would impede delivery of the modular building. This proposal does not include the cost of any unknown underground obstructions such as, but not limited to, water, rock, rubble, existing foundations, sand, underground utilities, etc. This proposal also does not include removal of contaminated soil. Contractor is not responsible for damage to concealed above or below grade utilities [e.g. fiber option, low voltage lines, gas, sewer, high voltage, etc) that have not been identified by owner, third party utility company, or underground locater service; if encountered during the course of construction activity. This proposal does not include the supplying of any special equipment needed by the installation contractor for erection of the building other than contractor s normal equipment. This proposal does not include the cost of landscaping as it relates to shrubbery, trees or sod. This proposal does not include the cost of any watchman or security services to be provided after normal working hours and or weekends. This proposal is based upon the owner supplying a staging area of sufficient size to accommodate the modular sections in an area adjacent to the building site. This proposal does not include the cost for re-leveling and or repairs necessary due to the settlement of building set on foundation supplied by owner of building not requested to be set on foundation. Affordable Structures will make all necessary repairs, if requested by owner, at additional cost. Site to be accessible, level within one (1) inch in ten (10) feet and have a soil bearing capacity of 2500 pounds per square foot minimum. During the lease term, lessee shall indemnify the lessor from all loss, damages, injury, expense, cost, including court cost and attorney fees, which are not the result of the negligence of the lessor, its employees and/or agents. Buyer shall indemnify the seller from all loss, damages, injury, expense, cost, including court cost and attorney fees, which are not the result of the negligence of the seller, its employees and/or agents. In the event of a default, the prevailing party shall have its reasonable attorney fees and court cost paid by the other. This proposal does not include the costs for any engineering/architectural drawings, other than those supplied by the unit manufacturer.
