9 Phase 3: Main and Second Level Renovation - Education Centre Section Saskatchewan Rivers Public School Division No. 119 INSTRUCTIONS TO BIDDERS Project No Page 1 of 7 ARTICLE 1 - PROJECT 1.1 Project Name: Phase 3: Main and Second Level Renovation Education Centre for Saskatchewan Rivers Public School Division No Project Location: th Street East, Prince Albert, Saskatchewan 1.3 Project No ARTICLE 2 - OWNER 2.1 Saskatchewan Rivers Public School Division No. 119 ARTICLE 3 - CONSULTANT 3.1 aodbt architecture + interior design ARTICLE 4 - BIDS 4.1 Bids shall be made on the Bid Form provided. 4.2 Deliver Bids to: aodbt architecture + interior design Eleventh Street East Prince Albert, Saskatchewan S6V 0Z8 4.3 Bids will be received until 14:00:00, Saskatchewan Time, on Tuesday, the 23 rd day of June, A.D Bids to be delivered as required above to be considered bona fide bids. 4.5 Electronic, fax or telephone proposals will not be accepted. However, fax modifications to official bids will be accepted if they are signed by a duly authorized representative of the Bidder and received prior to the closing of bids as set forth in Article Each bid shall be accompanied by a letter from a Surety Company authorized to transact Guarantee Insurance in the Province of Saskatchewan, agreeing to provide bonding in accordance with the General Conditions of the Contract. 4.7 All Bid Forms must be completed and signed in ink and the company seal affixed wherever signatures are required by the appropriate signing officers of such Bidder.

Bid modifications shall be addressed as set out in Article 4.2 and transmitted to "FAX" number (306) Bidders electing to use "FAX" as a means of transmitting Bid modifications shall assume the burden of proof that their communication has been received by the Owner, and that their transmission is: a) in a readable state; b) received prior to close of bidding; and c) in conformance with the requirements otherwise set forth in the Contract Documents..2 Confirmation of the Owner's receipt of the "FAX" may be obtained verbally by telephoning the Consultant at (306) ARTICLE 5 - BONDING 5.1 The Contractor shall provide bonding in accordance with the General Conditions of the Contract. 5.2 Where a Bidder elects to require separate guarantee bonds from his Subcontractors, he shall account for the payment of related costs. ARTICLE 6 - BID BOND 6.1 The Bidder shall enclose with his bid a Bid Bond endorsed "ten percent of Bid Price", or a Certified Cheque in the amount of ten percent of his Bid Price, as evidence of good faith. The bid security shall be in favour of the Owner. 6.2 The Bidder is advised that an Agreement to Bond must be executed by a Surety Company issuing the Bid Bond and must be executed in such a manner sufficient to bind the Surety Company. This document must be attached to and form part of the Bid Bond. This document must be completed regardless of whether the bid deposit is in the form of a Certified Cheque or Bid Bond. Failure to comply with the requirements of this clause may render the bid "informal" and may result in its rejection by the Owner. 6.3 Bid deposits of unsuccessful Bidders will be returned after the Contract award has been made, or previous to such time at the discretion of the Owner. 6.4 Bid Bonds shall be issued in a standard CCDC 220 Form. ARTICLE 7 - PLAN DEPOSIT 7.1 Plans and specifications held by the unsuccessful Bidders must be returned in good condition within thirty days of bid opening in order for the plan deposit (where applicable) to be returned. After this time, the plan deposit will be forfeited.

11 Phase 3: Main and Second Level Renovation - Education Centre Section Saskatchewan Rivers Public School Division No. 119 INSTRUCTIONS TO BIDDERS Project No Page 3 of 7 ARTICLE 8 SUB-CONTRACTORS 8.1 The Specification sections have been written generally in accordance with the CMS/NMS system. No attempt has been made to write the specification as per the trade definitions of the Saskatchewan Bid Depository. ARTICLE 9 - INSURANCE 9.1 Bidders should be aware that the General Conditions of the Contract provide that certain insurance must be put in place in respect of the Work and that immediately upon award of a Contract, or in any case prior to the commencement of any of the Work of the Contract, certified copies of the insurance policies obtained by each Contract and Subcontractor shall be submitted to the Owner. All such policies shall be placed with insurers and in forms acceptable to the Owner. Each policy obtained must state that it cannot be cancelled, lapsed or materially altered without at least thirty days prior written notice to the Owner. 9.2 If any Contractor or Subcontractor fails to furnish to the Owner a certified copy of each policy required to be obtained hereunder or, if after furnishing such certified copy, the policy lapses, is cancelled or is materially altered, then in every such case the Owner may obtain and maintain such insurance coverage in the name of such Contractor or Subcontractor. The cost thereof shall be payable by the Contractor or Subcontractor to the Owner on demand and the Owner may at its election deduct the cost thereof from any monies which are due to the Contractor. ARTICLE 10 - TAXES 10.1 Tender prices must include all applicable taxes at time of tendering, including Saskatchewan Provincial Revenue Tax. G.S.T. is not an applicable tax for the purposes of this tender The Bidder shall indicate on the Bid Form if he/it maintains, and for the period of twelve months preceding the closing date on which bids are opened, has maintained, a permanent place of business in Saskatchewan In the event the Bidder has not maintained a permanent place of business in Saskatchewan, the Owner may require the Bidder to deposit a sum equivalent to five percent (5%) of the total amount to be paid under the Contract, or furnish a guarantee bond, satisfactory to the Owner, in a penal sum equivalent to five percent (5%) of the said totals amount, to secure payment of the Provincial Sales Tax imposed by The Provincial Sales Tax Act amendments thereto Proof of such deposit must be provided to the Owner prior to release of any monies associated with the Contract. ARTICLE 11 - ALTERNATES/EQUALS 11.1 The Contract is based on the materials, equipment methods and products as described in the Specifications or as shown on the Drawings. The Consultant's approval, as identified hereinafter, is required before any materials, equipment, or methods may be substituted for the materials, equipment, or methods as may be described in the Specifications or shown on the Drawings Where the phrase "or equal" or "or equal as approved by the Consultant" occurs in the Specifications or on the Drawings, do not assume that any particular substitute material, equipment, or method will be approved by the Consultant. Requests for substitution(s) must be submitted in writing, and must be received by the Consultant, at least seven (7) clear working days prior to the Bid closing date, at tender@aodbt.com.

12 Section Phase 3: Main and Second Level Renovation - Education Centre INSTRUCTIONS TO BIDDERS Saskatchewan Rivers Public School Division No. 119 Page 4 of 7 Project No When a request to substitute any material, equipment, or method is made to the Consultant, the Consultant will review the request to determine whether or not it will achieve results similar to the specified material, equipment, or method. The Bidder is responsible for ensuring that all requests involving substitutions include sufficient information and details to enable the Consultant to determine if there is quality and performance equivalency or otherwise acceptability of the material, equipment, method or product. The request shall identify any and all changes required in the applicable Work, and all changes to any other works, which would become necessary to accommodate the requested substitution Bidders must ensure that all approved equivalents and alternates offered cover and include all changes necessary in other work under this Contract to accommodate the necessary changes and form a complete and finished job If the Consultant is satisfied that the requested substitution will achieve similar results to the specified material, equipment or method, the Consultant will approve the substitution as an equal, unless instructed otherwise by the Owner. All Bidders may then use that material, equipment, or method in place of the specified material, equipment, or method Approval of any equivalent or alternate by the Consultant does not in any way relieve the bidder from its obligation to ensure that all equivalents and alternates conform, both in terms of the Contract Documents and the actual product supplied or method utilized, to the criteria for the original product or method as found in the Contract Documents If the Consultant does not approve a particular material, equipment, or method as an equal, Bidders shall base their bid price(s) upon the material, equipment, or method specified. The requested substitution shall be considered an alternate. Bidders may indicate separately in the bid any change in price or time which will apply if use of an alternate is accepted No later claim may be made by the Contractor for an addition to the Contract price or Contract Time because of any other changes in the Work(s) necessitated by the use of any accepted alternate or equal The decision of the Consultant on these matters shall be final. ARTICLE 12 - INVESTIGATING THE SITE 12.1 Each Bidder must make himself personally acquainted with the location, extent and purpose of the proposed Work and must inform himself by such reasonable means as he may prefer, as to the actual conditions and requirements of the Work. For example, the Bidder is cautioned to take into consideration such matters as the presence of watermains, sewers, gas or water pipes, conduits, or railway tracks along or crossing the proposed Work, or any other obstruction whatsoever, the nature or character of the soil, the probable or possible presence of ground water, boulders, old foundations or concealed obstacles, and the depth that frost penetrates the ground. Each Bidder shall arrange with the Consultant for suitable access to the site for his investigation It is understood that any investigation made by the Owner has been or will be made entirely for the use and information of the Owner and if any information as to the character of the materials likely to be encountered in performing the Work, or any other information as to the condition of the site is given to the Bidder, it is understood that the Owner shall not be responsible if the information does not correctly set forth the facts, or if any written documents made by or for the Owner do not correctly set forth the results of any investigations made Any drawings, calculations or other documents prepared by the Owner for its own use (and so marked) and furnished to a Bidder at his request shall be accepted by the Bidder entirely at his own risk and the Owner shall assume no responsibility for the information contained therein.

13 Phase 3: Main and Second Level Renovation - Education Centre Section Saskatchewan Rivers Public School Division No. 119 INSTRUCTIONS TO BIDDERS Project No Page 5 of No claim shall be by any Bidder after the submission of his bid that there was any misunderstanding as to his responsibility in securing for himself information relative to the nature or amount of the work to be done or as to the conditions imposed by the Contract. After the awarding of the Contract no claim shall be made against the Owner by the Contractor on the grounds that the Owner or any of its officials, servants or agents had knowledge of information with respect to the site of the Work, which was not communicated to him A site meeting to tour the proposed site in conjunction with the Owner and Consultants will take place on Thursday, June 11, 2015 commencing at 14:00:00. Bidders/Contractors wishing to examine the site may do so by assembling/meeting at front entrance of the site located at Prince Albert, Saskatchewan. ARTICLE 13 - DISCREPANCIES AND OMISSIONS 13.1 Bidders finding discrepancies in, or omissions from, Drawings, Specifications, or other documents, or having any doubt as to the meaning or intent of any part thereof, shall at once notify the Consultant, who will send written instructions or information to Bidders. Oral interpretations or statements made to any Bidder shall not effect a modification of any provision of the Contract Documents Hard copies of bid documents available at the office of the consultant govern over bid documents made available digitally. ARTICLE 14 - ADDENDA 14.1 Addenda or corrections issued during the time of bidding shall become a part of the Contract Documents Neither the Owner nor the Consultant will be responsible for oral instructions or representations. All addenda, changes, corrections or modifications shall be in writing The Consultant will issue addenda during the bidding period as occasion arises. ARTICLE 15 - SASKATCHEWAN MATERIALS 15.1 Bidders are encouraged to use Saskatchewan manufactured materials and products where cost and quality of materials at the time of bid, are equal, so as to facilitate local content from Saskatchewan manufacturers, suppliers, and contractors The Owner provides equal opportunity for all Canadian Contractors, sub-contractors, suppliers, and manufacturers to bid the work. ARTICLE 16 - COMPLETION OF BID FORM 16.1 Complete and return the bid to the address as shown above in Article 4.2 herein, prior to the closing time on date for receipt of bids. The Bidder must fill in all blank spaces on the Bid Form completely. Bids shall be compiled showing a complete list of all Subcontractors which the Bidder proposes to use. No erasures or alterations will be accepted. Bids shall be signed, sealed, witnessed and dated in accordance with the legal requirements of the Department, partnership or individual submitting the Bid.

14 Section Phase 3: Main and Second Level Renovation - Education Centre INSTRUCTIONS TO BIDDERS Saskatchewan Rivers Public School Division No. 119 Page 6 of 7 Project No ARTICLE 17 - BID ACCEPTANCE/CONTRACT START-UP 17.1 The Owner reserves the right to reject all or any part of any bid and/or to waive technical defects in the bid, if in its judgment the interest of the Owner may so require Where the Contract is proposed in separate sections, or with alternates, the Owner reserves the right to award any section separately or to choose any alternate which is in its best interests Bids and bid deposits shall be valid for a period of 30 (thirty) calendar days following close of the Bidding, during which the Owner may exercise his rights pertaining to Articles 17.1 and 17.2 herein Bid submissions shall be prima facie evidence of the Bidder's preparedness and ability to commence the Work at the Site within fourteen (14) calendar days following notice of award Work at the Site shall commence regardless of the soil or weather conditions encountered, and shall continue without interruption, except as provided in the General Conditions, until the Work is complete In the event the Bidder's Bid is formally accepted, and the Bidder is unable to commence the Work in the time allotted in Article 17.3 herein, the successful Bidder's bid security shall be considered forfeited in an amount limited to the lesser of: the difference between the amount of the successful Bidder's Bid and the amount of such other bidder as the Owner may contract with for the Work; and, an amount in consideration of damages to which the Owner may be entitled by reason of the successful Bidder's failure or refusal to commence the Work in the allotted time. ARTICLE 18 - ADDITIONAL REQUIREMENTS 18.1 The successful Bidder will be required to submit a schedule of values of the various parts of the Work (Bid Price Breakdown), and a schedule of the Work showing the dates of commencement and completion of each division of the Work (construction schedule) all as set out in GC5.2.4 of the General Conditions The successful Bidder will also be required to sign, seal or witness two complete, separately bound, sets of Drawings and Specifications, which will be sent to him when he receives notification of acceptance of his bid. Both sets of bound Drawings and Specifications will be required to be returned with the construction schedule. ARTICLE 19 - QUESTIONS DURING TENDER PERIOD 19.1 All questions and requests arising during the tender period are to be submitted in writing to the Consultant. Additional or deductible taxes that may be imposed or removed subsequent to this date, and which shall be payable by or to the Owner, shall result in an adjustment to the contract price. 4.4 Once accepted in writing by the Owner, the Contractor shall commence work, and achieve Substantial Performance of the Work prior to. 4.5 The undersigned further agrees upon acceptance of this bid to execute a Contract in the prescribed form and to furnish the Bonds or other guarantee therein referred to. 4.6 The undersigned encloses herewith a Bid Bond in an amount equal to 10% of the Bid Price referred to in Article 4.3 hereof, either the said Cheque or the Bond drawn or issued in favour of the Owner. ARTICLE 5 - PERMANENT PLACE OF BUSINESS 5.1 We, the undersigned, have ( ) have not ( ) maintained a permanent place of business in Saskatchewan continuously for the twelve months immediately preceding the closing date of this Bid. 19 Phase 3: Main and Second Level Renovation - Education Centre Section Saskatchewan Rivers Public School Division No. 119 BID FORM Project No Page 3 of 9 ARTICLE 8 - EXECUTION OF CONTRACT 8.1 The undersigned agrees to sign and seal the General Contract (or have affixed its corporate seal and execute the General Contract as attested by the signatures of its proper officers in that behalf) and agrees to provide the Contract (duly executed and completed, in duplicate) to this bid, all as set out in the Instructions to Bidders. 8.2 The undersigned agrees that the Owner may accept this bid by issuing a registered Letter of Intent within 30 (thirty) calendar days following the date of closing of bids. The undersigned acknowledges the provisions of the General Conditions of the Contract, providing for forfeiture of the bid security, should the undersigned fail to commence the Work within 14 (fourteen) days of being notified of the acceptance of this Bid. 8.3 The undersigned agrees that if he/it fails to commence the Work within the time allotted by and as provided in the General Conditions of the Contract, there will be no delivery of signed Contract Documents and the bid security, limited to the lesser amount of the enclosed Certified Cheque/Bid Bond or the difference between the amount of this bid and the amount of the bid of such other bidder as the Owner may contract with for the construction of the Project, shall be forfeited in lieu of damages to which the Owner may be entitled by reason of the undersigned's failure or refusal to commence the Work of the Contract within the allotted time. 8.4 In the event the undersigned's bid is not accepted, the enclosed Certified Cheque/Bid Bond is to be returned to the undersigned 30 (thirty) days after the date of the closing of bids, unless a satisfactory arrangement is made with the undersigned for its retention for a further stated period. Smoking, consumption of alcohol, and abuse of drugs shall be considered reasonable cause for disciplinary actions for termination of employment at the Project. Products supplied to the Contractor by the Owner for inclusion into the Project shall be used only for the purpose indicated in the Contract Documents. Products shall be recorded as being received and the Contractor shall take all reasonable efforts to protect the Products from any loss or damage. The Contractor shall be liable to the Owner for any loss of or damage to the Products supplied or placed in the care or control of the Contractor. Unless otherwise specified, all materials existing at the Place of the Work at the time of execution of the Contract shall remain the property of the Owner. All Work, Products and materials pursuant to the Consultant's approval by Supplemental Instruction and delivered by the Contractor to the site to be incorporated into the Work shall be considered the property of the Owner but the Contractor shall remove all surplus or rejected materials as its property when notified by the Consultant to do so. GC Strike GC and replace it with the following: SGC The Contractor shall pay for and provide 1 electronic copy and 1 hard copy (unless otherwise instructed by Supplemental Instruction) of those shop drawings reasonably indicated by the Contract Documents and requested by the Consultant. GC Revise GC to add SGC as follows: SGC Further, until such schedule is reasonably prepared and delivered to the Consultant, no payments, as per Part 5, accruing following the Consultant's request, are due and payable. GC Strike and replace GC with SGC as follows: SGC Where the total amount claimed to date for Work performed and Products stored on site as approved by a Supplemental Instruction is less than 95%, then the amount claimed shall only be that portion of the current Contract Price equivalent to such performance and stored products, divided by the then current total Work required; while, when claiming 95% or more of this current Contract Price, the amount claimed shall be for the current Contract Price less the reasonable costs for a qualified, alternate Contractor to complete the remaining Work and delivering the remaining products together with honouring the warranties for this remainder.

GC 5.2 Amend GC 5.2 to add SGC as follows: SGC Each progress claim must include a worker's compensation progress clearance certificate authorizing direct payment to the Contractor, failing which payment of the progress claim is not due until received. GC Amend GC to add SGC as follows: SGC Should the Consultant find the Work, or the designated portion of the Work, to not be Substantially Performed, then the Contract Price is automatically reduced by an amount equivalent to the costs incurred by the Owner (not limited but inclusive of any additional administration or inspections required by the Consultant to inspect the Work). Each of GCs and are amended by striking the last sentence of each and adding to each SGC and SGC as follows: SGC SGC The Contractor shall be reimbursed by the Owner for reasonable costs incurred by the Contractor as a result of such delay or loss of performance only if the Contractor has duly delivered a Notice in Writing to each of the Owner and Consultant within ten (10) Working Days immediately after it ought to have discovered the said "act or omission or stop work order not as a result of an act or fault of the Contractor." GC is struck and replaced with SGC as follows: SGC No extension shall be made for delay unless Notice in Writing of the cause of delay is perfectly given to the Consultant not later than ten (10) Working Days after commencement of the delay; while, in the case of a continuing cause of delay, only one Notice in Writing perfectly given as above shall be made. GCs 8.2.1, 8.2.4, and are repealed. GC is struck and replaced by SGC as follows: SGC Not later than ten (10) Working Days after the date the Owner has perfectly received the Contractor's Notice in Writing as provided by GC 8.2.2, the Owner may refer the dispute to be finally resolved by arbitration under the Rules for Arbitration of Construction Disputes as provided in CCDC 40 in effect at the time of bid closing. This arbitration shall be conducted in the jurisdiction of the Place of the Work. GC is amended by SGC to add: SGC This obligation of the Contractor to protect the Work continues throughout any shutdown/stoppage period as referred to in SGC GC of GC 10.2 of the General Conditions is struck and replaced by SGC as follows: SGC The Contractor shall obtain and pay for all permits (excepting permanent easements) as required for the performance of the work. The Contractor shall obtain and pay for all licenses and certificates required for performance of the Work and to allow the Owner to occupy the building. The Contractor is responsible for determining which permits, licenses and certificates are required, but these must, at a minimum, include a building permit, environmental clearance certificates and an occupancy permit.

GC 11.2 is amended to add SGC as follows: SGC The Contractor shall not be entitled to either access to the Place of the Work or a progress payment until it has provided a performance bond amounting to 50% of the Contract price for the faithful performance of the Work, including the corrections after Substantial Performance provided for in G.C The bond shall be maintained in force for a period of 12 months after the issuance of the Certificate of Substantial Performance. GC is amended by SGC to read as follows: SGC The Contractor shall not be entitled to a progress payment until it has provided a labour and materials bond in the amount of 50% of the Contract price. Install conduit or wiring/conductors and plumbing piping not shown or indicated diagrammatically in schematic or riser diagrams to provide an operational assembly or system..3 Install components to physically conserve headroom, to minimize furring spaces, or obstructions..4 Locate devices with primary regard for convenience of operation and usage..5 Examine all discipline drawings, specifications, and schedules and related Work to ensure that Work can be satisfactorily executed. Conflicts or additional work beyond work described to be brought to attention of Consultant. 1.6 DESCRIPTION OF THE WORK.1 Work of this Contract comprises selected demolition and renovations of main and second level of existing facility located at Prince Albert, Saskatchewan; and identified as Phase 3: Main and Second Level Renovation Education Centre for Saskatchewan Rivers Public School Division No. 119, th Street East, Prince Albert, Saskatchewan and Project No Provide all materials, labour, plant and equipment, erect and maintain temporary work and all other items required under this Contract or necessary for proper and efficient erection and completion of work as shown on drawings or specified and in accordance with details supplied by and instructions given by Consultant. Every detail of work, unless otherwise stated, means and includes providing, fixing and furnishing complete in every detail, including all appurtenances. Work indicated by drawings, or properly required and customarily covered by subcontract section concerned must be included, unless explicitly excluded or covered elsewhere..3 Division of the Work among other contractors, Subcontractors, suppliers or vendors is solely the Contractor's responsibility. Neither the Owner nor Consultant assumes any responsibility to act as an arbiter to establish subcontract terms between sectors or disciplines of work. 1.7 CONTRACT METHOD.1 Construct Work under single, stipulated price contract..2 Contract Documents were prepared by the Consultant for the Owner. Any use which a third party makes of the Contract Documents, or any reliance on or decisions to be made based on them, are the responsibility of such third parties. The Consultant, Owner accepts no responsibility for damages, suffered by any third party as a result of decisions made or actions based on the Contract Documents..3 For purposes of reference in these Contract Documents, the term "Contractor" shall mean the party in contract with the Owner. 1.8 DOCUMENTS PROVIDED.1 Owner will supply the Contractor with six (6) sets of Contract Documents for construction purposes, which includes two (2) sets for record "as-built" purposes.
