The Executed Agreement, including all Bidding and Contract Requirements Documentation, Specifications Sections, applicable Drawings and Amendments are part of, and are to be read in conjunction with, this Section. PROJECT DESCRIPTION The proposed roof-replacement work is located at the Public Works Central Operations building located at 15 Massey Drive, Sydney, Nova Scotia. The proposed renovation work consists of existing-roof selective demolition; existing-roof preparation work; new mechanically-fastened insulation and fully-adhered membrane installation over the existing standing-seam metal roof; and supply and installation of new eavestrough, rain-water leaders, and concrete splashpads; as indicated by the Tender Drawings and Specifications. Time shall be of the essence in execution of the Work. Tenders for this project are being accepted by Trifos Design Consultants on behalf of the Owner, the Cape Breton Regional Municipality. The Executed Agreement, including all Bidding and Contract Requirements Documentation, Specifications Sections, applicable Drawings and Amendments are part of, and are to be read in conjunction with, this Section. PART 1 - GENERAL 1.1! General.1! The Scope of Work under this Contract includes, but shall not be limited to, the provision of all labour, material, and equipment necessary to complete the following Work in accordance with the Plans, Specifications, and General Conditions:!.1! The Scope of Work includes the installation of a new, insulated roof-membrane and new rain-eavestrough system at the Public Works Central Operations building located at 15 Massey Drive, Sydney, Nova Scotia.!.2! Substantial completion to be reached by September 25, The renovations shall be constructed in a manner so as not to interfere with the operation of the Facility. Security systems are to be maintained throughout the duration of the work.!.3! The project schedule is tight, and time is of the essence. Trades must include all associated costs required to meet the schedule as defined by the General Contractor in their tender submission and associated tender price. No claims for extra reimbursement will be considered.!.4! As a Municipal Transit Operations Centre, the first priority is the continuous operation of the facility. Directions of the Facility Administration regarding protection of Staff, Visitors, and operations on the grounds of the facility, are to be followed. The Contractor will not carry out work that may result in disruption of operations at the facility. If in doubt, the Contractor will advise the Cape Breton Regional Municipality s Project Representative, and necessary arrangements will be made. The Contractor will allow in their bid, for continuation of site operations; and no additional payment will be made to the Contractor for night and/or weekend work. The Contractor will not use Owner services and/or equipment and/or materials without prior approval of the Cape Breton Regional Municipality.

The Scope of Work under this Contract includes, but shall not be limited to, the provision of all labour, material, and equipment necessary to complete the following Work in accordance with the Plans, Specifications, and General Conditions (Cont d):!.5! It is inherently understood that the Operations Centre must be in operation seven (7) days a week, Sunday through Saturday, inclusive. Consequently, no service interruptions shall be permitted. Any overtime or shift premiums associated with work during these after hours, shall be recognized and borne by the Contractor in their tender submission. All off hours work shall be scheduled with the Cape Breton Regional Municipality s Project Representative, and shall be done at the convenience of the Cape Breton Regional Municipality. The Contractor is to be familiar with and maintain all emergency exits within the facility. The General Contractor shall be responsible for building security during all off hours work.!.6! Work under this Contract must not interrupt and/or interfere with Owner s use of the facility during regular work hours. Staff and Visitors use of the facility during regular occupancy must be kept free of noise, dust, debris, equipment, construction materials, and noxious fumes and/or irritating odours.!.7! The determining clock for authentication of date and time is the computer (network time), located in the Procurement Office, Suite 104. Tenders requiring bid deposit: If a tender requires a non- refundable bid deposit only those companies who have complied with this request will be considered for acceptance. TENDER CONTENTS: (Section Applies to: Construction Contracts, Services & Sale of Municipal Property ONLY!) Bid Security: Each tender must be accompanied by a certified cheque payable to the Cape Breton Regional Municipality or a Bid Bond on CCDC Form 220 for ten (10) percent of the tendered sum. Any withdrawal of the successful tender shall constitute forfeiture of the bid deposit. Performance Security: A Performance Bond in the amount of fifty (50) percent contract price and Labour and Material Payment Bond in the amount of fifty (50) percent of the contract price will be required upon notification of award and before the signing date of the contract or issue of the Purchase Order. Alternate Securities Acceptable: As an alternate to the Security Deposit and the Consent of Surety requirements stated herein, Contractors may submit a ten (10) percent bid security certified cheque, and subsequently upon notification of award, an additional ten (10) percent contract security certified cheque, in lieu of contract stated bonding. 2 P age

Prior to Contract Award In accordance with section nine (9) of the CBRM Procurement Policy, the successful tenderer may be required to provide an approved Commercial Property Zoning Confirmation, issued by CBRM s Development Officer, prior to award of contract. Following completion of the tendered work, letters of clearance from both organizations, dated no earlier than the final day worked on the project, must be submitted with the final invoice for the project. This will form a condition of the tender in addition to any other conditions within the contract documents and specifications. POLICY: The Agreement on Internal Trade (AIT), Atlantic Procurement Agreement (APA) and The Cape Breton Regional Municipality Procurement Policy are the governing documents used for all tenders. Copies of these documents are available on the CBRM Website or from the Financial Services Department, Procurement Section, Suite 104, 320 Esplanade Sydney, N.S. or by phoning (902) Where identical goods and/or services are available, from a Cape Breton Regional Supplier, and a supplier from outside the regional area, the following shall apply: o o Regional suppliers will be allowed a 5% pricing preference, over suppliers outside the region when the total bid price before taxes is less than $25,000 on Goods, $50,000 Services and $100,000 on Construction. Regional suppliers qualify for the 5% price preference if they are a commercial taxpayer in the Cape Breton Regional Municipality. Successful bidder will be required to follow CBRM protocol as designated by Purchasing Department for delivery and invoicing. Payment: Any supplier having an account due to the Cape Breton Regional Municipality, which is in arrears, will have such arrears deducted from payments being made to the supplier. The Cape Breton Regional Municipality reserves the right to reject any or all tenders or to accept any tender or part thereof considered to be in its best interest. The Standard Construction Document for Stipulated Price Contract, 2008 English version, consisting of the Agreement Between Owner and Contractor, Definitions, and General Conditions of the Stipulated Price Contract, Parts 1 to 12 inclusive, governing same is hereby made part of these Contract Documents, with the following amendments, additions and modifications. Where these amendments, additions, and modifications specifically reference a change to the Agreement, Definitions, or General Conditions, these amendments, additions and modifications shall govern. AGREEMENT BETWEEN OWNER AND CONTRACTOR SC 1 ARTICLE A-5 PAYMENT 1.1 Amend Paragraph 5.1.3, in the first line, by deleting the words the issuance of the and replacing them with receipt of the Consultant s ; 1.2 Delete Paragraph and replace it with the following: Should either party fail to make payments as they become due under the terms of the Contract or in an award by arbitration or a court, interest shall also become due and payable on such unpaid amounts at 2% above the prime rate. Such interest shall be compounded on a monthly basis. The prime rate shall be the rate of interest quoted by the Bank of Canada. SC 2 ARTICLE A-6 RECEIPT AND ADDRESSES FOR NOTICES IN WRITING 2.1 Delete Paragraph 6.1 and replace it with the following: 6.1 Notices in Writing between the parties or between them and the Consultant shall be considered to have been received by the addressee on the date of receipt if delivered by hand or by commercial courier or if sent during normal business hours by fax and addressed as set out below. Such Notices in Writing will be deemed to be received by the addressee on the next business day if sent by fax after normal business hours or if sent by overnight commercial courier. Such Notices in Writing will be deemed to be received by the addressee on the fifth Working Day following the date of mailing, if sent by pre-paid registered post, when addressed as set out below. An address for a party may be changed by Notice in Writing to the other party setting out the new address in accordance with this Article.

Submittals are documents or items required by the Contract Documents to be provided by the Contractor, such as: - Shop Drawings, samples, models, mock-ups to indicate details or characteristics, before the portion of the Work that they represent can be incorporated into the Work; and - Record/As-Built Drawings and manuals to provide instructions to the operation and maintenance of the Work.

59 Cape Breton Regional Municipality Page 3 of 28 Roof Replacement - Public Works Central Supplementary Conditions Massey Drive, Sydney, Nova Scotia TDC Project No May, 2015 GENERAL CONDITIONS OF THE STIPULATED PRICE CONTRACT Where a General Condition or paragraph of the General Conditions of the Stipulated Price Contract is deleted by these Supplementary Conditions, the numbering of the remaining General Conditions or paragraphs shall remain unchanged, and the numbering of the deleted item will be retained, unused. SC 4 GC 1.1 CONTRACT DOCUMENTS 4.1 Add the following to the end of Paragraph 1.1.6: The Specifications are divided into divisions and sections for convenience but shall be read as a whole and neither such division nor anything else contained in the Contract Documents will be construed to place responsibility on the Consultant to settle disputes among the Subcontractors and Suppliers in respect to such divisions. The Drawings are, in part, diagrammatic and are intended to convey the scope of the Work and indicate general and appropriate locations, arrangement and sizes of fixtures, equipment and outlets. The Contractor shall obtain more accurate information about the locations, arrangement and sizes from study and coordination of the Drawings, including Shop Drawings and shall become familiar with conditions and spaces affecting these matters before proceeding with the Work. Where site conditions require reasonable minor changes in indicated locations and arrangements, the Contractor shall make such changes at no additional cost to the Owner. Similarly, where known conditions or existing conditions interfere with new installation and require relocation, the Contractor shall arrange and install fixtures and equipment in such a way as to conserve as much headroom and space as possible. The schedules are that portion of the Contract Documents wherever located and whenever issued, compiling information of similar content and may consist of Drawings, tables and/or lists. 4.2 Amend Paragraph , with respect to Division 1, so that, as amended, it reads as follows: Division 01 shall govern over any general requirements of other divisions of the Specifications in the project manual, 4.3 Add new Paragraph as follows: In case of discrepancies, noted materials and annotations shall take precedence over graphic indications in the Contract Documents. SC 5 GC 2.2 ROLE OF THE CONSULTANT 5.1 Amend Paragraph by adding the following to the end of that paragraph: The Owner and the Contractor shall waive any claims against the Consultant arising out of the making of such interpretations and findings made in accordance with Paragraphs 2.2.7, and

In the event that the Contractor needs additional information to determine whether a Supplemental Instruction involves an adjustment of the Contract Price or the Contract Time, the Contractor may issue a written request to the Consultant seeking such additional information. The Contractor shall, within ten (10) Working Days of receipt of such additional information, provide the Consultant with a written notice if, in the opinion of the Contractor, the Supplemental Instruction involves an adjustment in the Contract Price or the Contract Time. Failure to provide written notification within the time stipulated in this Paragraph shall be deemed an acceptance of the Supplemental Instruction by the Contractor without adjustment in the Contract Price or Contract Time. 5.3 Amend Paragraph by deleting the comma after the word submittals and add the words which are provided before the words in accordance. 5.4 Add new Paragraph as follows: Neither the Contractor nor any Subcontractor, Supplier or other third party shall have any claim against the Consultant as a result of the performance or non-performance of the Consultant s services. The Contractor shall include this provision in any contracts it makes with its Subcontractors, Suppliers and others and shall require such Subcontractors, Suppliers and others to include the same term in their contracts with sub-subcontractors, subsuppliers and others. SC 6 GC 2.3 REVIEW AND INSPECTION OF THE WORK 6.1 Add a new Paragraph as follows: Where the Contractor is not prepared for a review or inspection by the Consultant after notification to the Consultant requesting a review or inspection and the Consultant is required to make a subsequent visit, the cost of any such unnecessary visit by the Consultant may be deducted from amounts payable to the Contractor.

61 Cape Breton Regional Municipality Page 5 of 28 Roof Replacement - Public Works Central Supplementary Conditions Massey Drive, Sydney, Nova Scotia TDC Project No May, 2015 SC 7 GC 2.4 DEFECTIVE WORK 7.1 Add new Paragraphs and as follows: The Contractor shall rectify, in a manner acceptable to the Owner and the Consultant, all defective Work and deficiencies throughout the Work, whether or not they are specifically identified by the Consultant The Contractor shall prioritize the correction of any defective Work which, in the sole discretion of the Owner, adversely affects the day to day operation of the Owner. 7.2 Amend Paragraph by adding the words and the Owner after the word Consultant in the first line. SC 8 GC 3.1 CONTROL OF THE WORK 8.1 Add new Paragraph as follows: Prior to commencing individual procurement, fabrication and construction activities, the Contractor shall verify, at the Place of the Work, all relevant measurements and levels necessary for proper and complete fabrication, assembly and installation of the Work and shall further carefully compare such field measurements and conditions with the requirements of the Contract Documents. Where dimensions are not included or contradictions exist, or exact locations are not apparent, the Contractor shall immediately notify the Consultant in writing and obtain written instructions from the Consultant before proceeding with any part of the affected Work. SC 9 GC 3.2 CONSTRUCTION BY OWNER OR OTHER CONTRACTORS 9.1 Delete Paragraph and replace it with the following: Coordinate and schedule the activities and work of other contractors and Owner s own forces with the Work of the Contractor and connect as specified or shown in the Contract Documents; 9.2 Amend Paragraph by adding the following to the end of that paragraph: Failure by the Contractor to so report shall invalidate any claims against the Owner by reason of the deficiencies in the work of other contractors or Owner s own forces except for those deficiencies not then reasonably discoverable; and

62 Cape Breton Regional Municipality Page 6 of 28 Roof Replacement - Public Works Central Supplementary Conditions Massey Drive, Sydney, Nova Scotia TDC Project No May, 2015 SC 9 GC 3.2 CONSTRUCTION BY OWNER OR OTHER CONTRACTORS (Cont d) 9.3 Add new Paragraphs and as follows: Subject to GC 9.4 CONSTRUCTION SAFETY, for the Owner s own forces and for other contractors, assume overall responsibility for compliance with all aspects of the applicable health and safety legislation in the Place of the Work, including all of the responsibilities of the constructor under the Occupational Health and Safety Act Where the Contractor believes that the work of other contractors or of the Owner s own forces may compromise any of the warranties to be provided pursuant to this Contract, it shall promptly give Notice in Writing to the Consultant and the Owner and include in such notice the reasons why the Contractor believes a warranty or a warranties will be compromised together with the Contractor s recommendation for avoiding such result. SC 10 GC 3.4 DOCUMENT REVIEW 10.1 Delete Paragraph in its entirety and substitute new Paragraph as follows: The Contractor shall review the Contract Documents and shall report promptly to the Consultant any error, inconsistency or omission the Contractor may discover. Such review by the Contractor shall comply with the standard of care described in GC 3.14 STANDARD OF CARE. Except for its obligation to make such review and report the result, the Contractor does not assume any responsibility to the Owner or to the Consultant for the accuracy of the Contract Documents. The Contractor shall not be liable for damage or costs resulting from such errors, inconsistencies, or omissions in the Contract Documents, which the Contractor could not reasonably have discovered. If the Contractor does discover any error, inconsistency or omission in the Contract Documents, the Contractor shall not proceed with the Work affected until the Contractor has received corrected or missing information from the Consultant Add new Paragraph as follows: If the Contractor finds discrepancies in and/or omissions from the Contract Documents or has any doubt as to the meaning or intent of any part thereof, the Contractor must immediately notify the Consultant, who will provide written instructions or explanations. Neither the Owner nor the Consultant will be responsible for oral instructions.

63 Cape Breton Regional Municipality Page 7 of 28 Roof Replacement - Public Works Central Supplementary Conditions Massey Drive, Sydney, Nova Scotia TDC Project No May, 2015 SC 11 GC 3.5 CONSTRUCTION SCHEDULE 11.1 Delete Paragraph and replace it with the following: prior to site mobilization, submit to the Owner and the Consultant for their approval a Construction Schedule indicating critical milestone dates for the Project using a scheduling program which is the most current version of MS Project or Primavera, to demonstrate that the Work will be performed in conformity with the Contract Time. The Contractor shall provide the schedule information required by this Paragraph in both electronic format and hard copy; 11.2 Delete Paragraph and replace it with the following: provide the expertise and resources, including manpower and Construction Equipment, as are necessary to maintain progress under the Construction Schedule or any successor or revised schedule approved by the Owner; 11.3 Delete Paragraph and replace it with the following: monitor the progress of the Work relative to the construction schedule, or any successor or revised schedule approved by the Owner, update the schedule on a monthly basis, and advise the Consultant by Notice in Writing of any slippage in the construction schedule or any other schedule; and 11.4 Add a new Paragraph as follows: if after applying the expertise and resources required under Paragraph , the Contractor forms the opinion that the slippage in the construction schedule or any other schedule cannot be recovered by the Contractor, it shall, in the same notice provided under Paragraph , indicate to the Consultant if the Contractor intends to apply for an extension of Contract Time Add a new Paragraph as follows: Without limiting the other obligations of the Contractor under GC 3.5, the Contractor shall not amend the construction schedule without the prior written consent of the Owner. In addition, at each site construction meeting, the Contractor shall provide to the Owner and the Consultant a two (2) week look-ahead schedule indicating the major activities to be undertaken or constructed in such two (2) week period.

64 Cape Breton Regional Municipality Page 8 of 28 Roof Replacement - Public Works Central Supplementary Conditions Massey Drive, Sydney, Nova Scotia TDC Project No May, 2015 SC 11 GC 3.5 CONSTRUCTION SCHEDULE (Cont d) 11.6 Add new Paragraph as follows: SC 12 GC 3.6 SUPERVISION If at any time it should appear to the Owner or the Consultant that the actual progress of the Work is behind schedule or is likely to become behind schedule, based on critical path methodology, or if the Contractor has given notice of such to the Owner or the Consultant pursuant to , the Contractor shall take appropriate steps to cause the actual progress of the Work to conform to the schedule and shall produce and present to the Owner and the Consultant a recovery plan demonstrating how the Contractor will achieve the recovery of the schedule. If the Contractor intends to apply for a change in the Contract Price in relation to a schedule recovery plan, the Contractor shall proceed pursuant to PART 6 - CHANGES IN THE WORK Delete Paragraph in its entirety and substitute new Paragraph 3.6.1: The Contractor shall provide all necessary supervision and appoint competent representatives who shall be in attendance at the Place of the Work while Work is being performed. The Contractor s appointed representative shall not be changed except for valid reasons, and then only where the Contractor has obtained the written consent of the Consultant (the Consultant in acting reasonably) and the Consultant has agreed to the proposed successor representative Add new Paragraph as follows: The Owner acting reasonably, shall have the right to order the Contractor to remove from the Project any representative or employee of the Contractor, Subcontractors or Suppliers who, in the opinion of the Owner, are a detriment to the Project. SC 13 GC 3.7 SUBCONTRACTORS AND SUPPLIERS 13.1 Add a new Paragraphs 3.7.7, and as follows: The division of Work among the Subcontractors is solely the responsibility of the Contractor. It is the Contractor s responsibility to establish the Subcontract limits or division of the Work. All Subcontractors are to be identified in the tender submission. The Contractor shall not sublet any of the Work, without the written approval of the Owner.

Further amend Paragraph by adding the following sentence at the end of that paragraph: The Contractor represents and warrants that the Products provided in accordance with the Contract Documents are not subject to any conditional sales contracts and are not subject to any security rights claimed or obtained by any third party which may subject any of the Products to seizure and/or removal from the Place of the Work Delete Paragraph and replace it with the following: Products provided shall be new and shall conform to all current applicable specifications of the Canadian Standards Association, Canadian Standards Board or General Standards Board, ASTM, National Building Code, Nova Scotia Building Code and all governmental authorities having jurisdiction at the Place of the Work, unless otherwise specified. Products which are not specified shall be of a quality consistent with those specified and their use acceptable to the Consultant. Products brought on to the Place of the Work by the Contractor shall be deemed to be the property of the Owner, but the Owner shall be under no liability for loss thereof or damage thereto arising from any cause whatsoever, and such Products shall be at the sole risk of the Contractor Amend Paragraph by adding the words agents, Subcontractors and Suppliers after the word employees toward the end of the first line.
