(Complete Exhibit A, Initial Information, and incorporate it into the Agreement at Section 13.2, or state below Initial Information such as details of the Project s site and program, Owner s contractors and consultants, Architect s consultants, Owner s budget for the Cost of the Work, authorized representatives, anticipated procurement method, and other information relevant to the Project.) See Owner s RFP. 1.2 The Owner s anticipated dates (subject to change) for commencement of construction and Substantial Completion of the Work are set forth below:.1 Commencement of construction date: See Owner s RFP.2 Substantial Completion date: See Owner s RFP 1.3 The Owner and Architect may rely on the Initial Information. Both parties, however, recognize that such information will likely change as the Owner s program requirements, schedule and construction budget are refined, and such changes do not entitle Architect to an adjustment in the schedule, Architect s services or Architect s compensation, except as otherwise expressly set forth in this Agreement. 3 Init. / ARTICLE 2 ARCHITECT S RESPONSIBILITIES 2.1 The Architect shall provide the professional services as set forth in this Agreement. 2.2 The Architect will follow the highest standards of the profession in performing all services under this Agreement. The Architect shall perform its services as expeditiously as is consistent with such professional skill and care and the orderly progress of the Project. 2.3 The Architect shall identify a representative authorized to act on behalf of the Architect with respect to the Project. 2.4 Except with the Owner s knowledge and written consent, the Architect shall not engage in any activity, or accept any employment, interest or contribution that would reasonably appear to compromise the Architect s professional judgment with respect to this Project. 2.5 The Architect and each of its subconsultants shall maintain the following insurance for the duration of this Agreement at no additional cost to Owner: (Identify types and limits of insurance coverage, and other insurance requirements applicable to the Agreement, if any.).1 General Liability General Liability (including premises/operations, independent contractors, products and completed operations, contractual liability and personal injury liability) coverage with a minimum of $1,000,000 per occurrence and $2,000,000 general aggregate.2 Automobile Liability Automobile and truck liability coverage with a minimum combined single limit of liability of $1,000, for each vehicle.3 Workers Compensation Workers Compensation coverage that meets or exceeds legal requirements.4 Professional Liability Architects and engineers professional liability insurance coverage with minimum limits of $2,000, per claim and/or occurrence Such insurance policies shall be procured from companies properly licensed to do business in the Commonwealth of Pennsylvania and have an A- or better, or a financial rating of IX or better with the A.M. Best s Company Key Rating Guide Latest Edition and being satisfactory to Owner. With respect to any of the insurance policies provided by the Architect or its subconsultants pursuant to this Agreement which are "claims made" policies, in the event, at any time such policies are canceled or not renewed, the Architect or its subconsultants, as applicable shall provide a substitute insurance policy(ies) with terms and conditions and in amounts which comply with the terms of this Agreement and which provides retroactive coverage to the date of cancellation or non-renewal to fill any gaps in coverage which may exist due to the cancellation or non-renewal, the Architect or its subconsultants, as applicable, shall provide coverage retroactive to the date of commencement of Work under this Agreement. All said substitute or renewed "claims made" policies shall be maintained in full force and effect for three (3) years from the date of completion of the Project. 2.6 The Architect s services shall be performed in coordination and/or conjunction with those services rendered by any Clerk of the Works, Construction Manager and/or other Project representative retained by Owner. Architect shall cooperate with the Clerk of the Works, Construction Manager and/or other Project representative to the fullest extent possible in relation to the performance of their respective contractual obligations to Owner. Owner s retention of a Clerk of the Works, Construction Manager and/or other Project representative shall not relieve the Architect of its responsibilities under this Contract or entitle Architect to an adjustment in the schedule, Architect s services or Architect s compensation. 4 2.7 ARCHITECT S REPRESENTATIONS AND WARRANTIES. Architect represents and warrants to Owner as follows:.1 The Architect may lawfully conduct its business in the Commonwealth of Pennsylvania with power and authority to enter this Agreement, to carry on its business and to incur and perform its obligations..2 The execution and delivery of this Agreement and performance by the Architect of its obligations under this Agreement do not and will not violate any provision of law and will not result in the breach of, or constitute a default under, any agreement to which the Architect is a party or by which it is bound..3 There is no action, suit or proceeding at law or in equity or by any governmental instrumentality or other agency now pending or, to the knowledge of the Architect, threatened against or affecting the Architect that, if adversely determined, would materially impair Architect s right to carry on business substantially as now conducted and as contemplated under this Agreement, or to perform its obligations under this Agreement, or would materially adversely affect its financial condition, except those previously disclosed to Owner in writing..4 Architect possesses the necessary license or licenses to perform, in the Commonwealth of Pennsylvania, the services contemplated under this Agreement and if any part of such services is to be subcontracted or subconsulted, its subcontractors and subconsultants have the necessary license or licenses to perform such services..5 The Architect possesses the expertise, experience, personnel and resources to perform the desired services and all personnel engaged to perform services hereunder shall be fully qualified and authorized or permitted under applicable law and regulations to perform such services. None of the services covered by this Agreement shall be subcontracted without the prior written permission of Owner. 2.8 ARCHITECT S CONSULTANTS The Architect, as part of Basic Services, shall provide the services of professional structural, mechanical, plumbing, electrical, civil, site, environmental, interior design, acoustical, and other engineers, architects, surveyors and/or consultants, qualified by training and experience in their respective fields, as needed, to address the requirements of the Project. Prior to entering into any formal arrangement for the performance of services regarding the Project by such engineers and/or consultants, Architect shall submit to Owner, in writing, the names of such proposed engineers and/or consultants, a description of the scope of services to be performed by such engineers and/or consultants, and such other pertinent information as Owner may reasonably request. Services relating to the Project shall not be performed by such proposed engineers and/or consultants prior to review and written approval by Owner, which approval shall not be unreasonably withheld. Architect shall not replace such engineers and/or consultants or change the scope of their responsibilities, without obtaining Owner s prior written approval thereof in each instance, which approval shall not be unreasonably withheld Nothing contained herein shall create any express or implied obligation or contractual relationship between such engineers and/or consultants and Owner. 2.9 INDEMNIFICATION. Architect shall indemnify, defend and hold harmless Owner, its directors, officers and employees, from and against any and all third party claims, losses, damages, expenses, costs or other liabilities, including reasonable attorney s fees, arising out of, or resulting from any breach of the provisions set forth in Article 1 hereof and/or the error or negligent act or omission of Architect or any of its directors, officers and/or employees. Architect shall further indemnify, defend and hold harmless Owner, its directors, officers and employees from and against any and all claims made for infringement of any copyright, trademark or patent arising out of the use of any plans, designs, drawings or specifications furnished by Architect in the performance of this Agreement. The indemnity obligations of Architect under this 2.9 shall be in addition to and not in limitation of the indemnity obligations of Architect set for in Owner s RFP. Init. / ARTICLE 3 SCOPE OF ARCHITECT S BASIC SERVICES 3.1 The Architect s Basic Services consist of those described in Article 3 and any other services identified in this Agreement as part of Basic Services, and include normal structural, mechanical, electrical, plumbing, site, AIA Document B (formerly B ). 5 Init. / environmental, interior design, acoustical, civil and other architectural, surveying and engineering services necessary to produce a complete and accurate set of Construction Documents, as described in Section The Architect shall manage the Architect s services, consult with the Owner, research applicable design criteria, attend Project meetings, communicate with members of the Project team and report progress to the Owner The Architect shall coordinate its services with those services provided by the Owner and the Owner s consultants. The Architect shall be entitled to reasonably rely on the accuracy and completeness of services and information furnished by the Owner and the Owner s consultants. The Architect shall provide prompt written notice to the Owner if the Architect becomes aware of any error, omission or inconsistency in such services or information Upon request of the Owner, the Architect shall submit, for the Owner s approval, a schedule for the performance of the Architect s services which may be adjusted in writing by mutual agreement of the parties as the Project proceeds. The schedule initially shall include anticipated dates for the commencement of construction and for Substantial Completion of the Work as set forth in the Initial Information. The schedule shall include allowances for periods of time required for the Owner s review, for the performance of the Owner s consultants, and for approval of submissions by authorities having jurisdiction over the Project. Once approved by the Owner, time limits established by the schedule shall not, except for reasonable cause, be exceeded by the Architect or Owner Intentionally omitted The Architect shall, at appropriate times, contact the governmental authorities required to approve the Construction Documents and the entities providing utility services to the Project. In designing the Project, the Architect shall respond to applicable design requirements imposed by such governmental authorities and by such entities providing utility services The Architect shall be responsible, with the assistance of the Owner, for filing documents required for the approval of governmental authorities having jurisdiction over the Project and required for the approval of entities providing utility services to the Project. The Architect shall be responsible for making such changes in the Schematic, Design Development and Construction Documents as may be suggested and/or required by said governmental authorities or utilities at Architect s expense when instructed to do so by the Owner The Architect s assistance in connection with the Project, as part of Basic Services, shall include, but not be limited to, the Architect s preparation and submission of any documentation required by the Federal government or the Commonwealth of Pennsylvania for approval of the Project and/or reimbursement for the Project, as well as Labor & Industry documentation, and filings with any and all local municipalities or other governmental authorities, if applicable. Owner shall cooperate with Architect in connection with these provisions. 3.2 SCHEMATIC DESIGN PHASE SERVICES The Architect shall review and analyze the program and other information furnished by the Owner, and shall review and analyze laws, codes, and regulations applicable to the Architect s services The Architect shall prepare a preliminary evaluation of the Owner s program, schedule, budget for the Cost of the Work, Project site, and the proposed procurement or delivery method and other Initial Information, each in terms of the other, to ascertain the requirements of the Project. The Architect shall notify the Owner of (1) any inconsistencies discovered in the information, and (2) other information or consulting services that may be reasonably needed for the Project The Architect shall present its preliminary evaluation to the Owner and shall discuss with the Owner alternative approaches to design and construction of the Project, including the feasibility of incorporating environmentally responsible design approaches. The Architect shall reach an understanding with the Owner regarding the requirements of the Project, shall commit such understanding to writing, and shall furnish a copy to the Owner for review and approval before proceeding with preliminary designs Based on the Project s requirements, schedule and budget for the Cost of the Work agreed upon with the Owner, the Architect shall prepare and present for the Owner s approval a preliminary design illustrating the scale and relationship of the Project components. 6 3.2.5 Based on the Owner s approval of the preliminary design and based on the Project s requirements, schedule and budget for the Cost of the Work agreed upon with the Owner, the Architect shall prepare Schematic Design Documents for the Owner s approval. The Schematic Design Documents shall consist of drawings and other documents including a site plan, if appropriate, and preliminary building plans, sections and elevations; and may include some combination of study models, perspective sketches, or digital modeling. Preliminary selections of major building systems and construction materials shall be noted on the drawings or described in writing. To the extent applicable, the Schematic Design Documents shall comply with all laws, statutes, ordinances, codes, orders, rules and regulation in force as of the date of the development of the documents The Architect shall consider environmentally responsible design alternatives, such as material choices and building orientation, together with other considerations based on program and aesthetics, in developing a design that is consistent with the Owner s program, schedule and budget for the Cost of the Work The Architect shall consider the value of alternative materials, building systems and equipment, together with other considerations based on program and aesthetics in developing a design for the Project that is consistent with the Owner s program, schedule and budget for the Cost of the Work The Architect, after consultation with Owner and Owner s consultant, shall submit to the Owner a detailed estimate of the Cost of the Work The Architect shall submit the Schematic Design Documents to the Owner, and request the Owner s approval. Approval by the Owner shall be deemed to be approval of the concept, though not the means, techniques or particular material recommended by the Architect. 3.3 DESIGN DEVELOPMENT PHASE SERVICES Based on the Owner s approval of the Schematic Design Documents, and on the Owner s authorization of any adjustments in the Project requirements, schedule and the budget for the Cost of the Work, the Architect shall prepare Design Development Documents for the Owner s approval. The Design Development Documents shall illustrate and describe the development of the approved Schematic Design Documents and shall consist of drawings and other documents including plans, sections, elevations, typical construction details, and diagrammatic layouts of building systems to fix and describe the size and character of the Project as to architectural, structural, mechanical and electrical systems, and such other elements as may be appropriate. The Design Development Documents shall also include outline specifications that identify major materials and systems and establish in general their quality levels. To the extent applicable, the Design Development Documents shall comply with all laws, statutes, ordinances, codes, orders, rules and regulations in force as of the date of the development of the documents The Architect, after consultation with Owner and Owner s consultant, shall update the detailed estimate of the Cost of the Work The Architect shall submit the Design Development documents to the Owner, advise the Owner of any adjustments to the estimate of the Cost of the Work, and request the Owner s approval. Approval by the Owner shall not constitute approval of the means, techniques or particular material recommended by the Architect If requested by Owner, the Architect shall submit to the Owner an analysis of the total estimated energy necessary to operate the Project properly during a normal or average year. This analysis shall include the estimated energy necessary to heat, cool and light the Project and to operate the equipment essential to both the Project and the Owner s Program. The total annual estimated energy need shall then be translated into cost estimates by type of energy based on current cost of each type of energy, i.e., electricity, oil and natural gas, for each facility of the Project. The Owner and Architect agree that the actual energy cost and the estimated energy cost may vary due to the Owner s usage and maintenance of the energy system, weather conditions and increases in energy costs At intervals mutually agreeable to the Owner and Architect, the Architect shall provide drawings and other documents which depict the current status of design development for the Owner s review. Init. / 3.4 CONSTRUCTION DOCUMENTS PHASE SERVICES Based on the Owner s approval of the Design Development Documents, and on the Owner s authorization of any adjustments in the Project requirements, schedule and the budget for the Cost of the Work, the Architect shall AIA Document B (formerly B ). 7 Init. / prepare Construction Documents for the Owner s approval. The Construction Documents shall illustrate and describe the further development of the approved Design Development Documents and shall consist of Drawings and Specifications setting forth in detail the quality levels of materials and systems and other requirements for the construction of the Work, including, but not limited to, the work required for the architectural, structural, general, mechanical, electrical, plumbing, and site work construction and the necessary general conditions of the contract. The Architect shall provide the services of professional structural, mechanical, plumbing, electrical, civil and other engineers, qualified by training and experience in their respective fields, as needed, to address the requirements of the Project, and shall require such professional engineers to place their seal, name and signature on the Drawings and Specifications prepared by them. Said Construction Documents shall comply with all applicable laws, statutes, ordinances, codes, rules and regulations. The Owner and Architect acknowledge that in order to construct the Work the Contractor will provide additional information, including Shop Drawings, Product Data, Samples and other similar submittals, which the Architect shall review in accordance with Section The Architect shall incorporate into the Construction Documents the design requirements of governmental authorities having jurisdiction over the Project and of the entities providing utility services to the Project During the development of the Construction Documents, the Architect shall assist the Owner in the development and preparation of (1) bidding and procurement information that describes the time, place and conditions of bidding, including bidding or proposal forms; (2) the form of agreement between the Owner and Contractor; and (3) the Conditions of the Contract for Construction (General, Supplementary and other Conditions). The Architect shall also compile a project manual that includes the Conditions of the Contract for Construction and Specifications and may include bidding requirements and sample forms. Bidding documents shall be subject to the review and approval of the Owner s legal counsel, and shall be provided to Owner s legal counsel in sufficient time for review and approval prior to issuance to bidders The Architect, after consultation with Owner and Owner s consultant, shall update the estimate for the Cost of the Work and prepare a final, detailed estimate of the Cost of the Work The Architect shall submit the Construction Documents to the Owner, advise the Owner of any adjustments to the estimate of the Cost of the Work and submit the final estimate of the Cost of the Work, and request the Owner s approval. Approval by the Owner shall not constitute approval of the means, techniques or particular material recommended by the Architect for the Project The Architect shall include in the bidding information, plans or specifications, a requirement that the Contractor(s) provide operation manuals and adequate training for the Owner in the operation of mechanical, electrical, and heating ventilation and air conditioning systems installed by the Contractor(s). 3.5 BIDDING OR NEGOTIATION PHASE SERVICES GENERAL The Architect shall assist the Owner in establishing a list of prospective contractors. Following the Owner s approval of the Construction Documents, the Architect shall assist the Owner in (1) obtaining either competitive bids or negotiated proposals; (2) confirming responsiveness of bids or proposals; (3) determining the successful bid or proposal, if any; and, (4) awarding and preparing contracts for construction COMPETITIVE BIDDING Bidding Documents shall consist of bidding requirements and proposed Contract Documents The Architect shall assist the Owner in bidding the Project by.1 procuring the reproduction of Bidding Documents for distribution to prospective bidders;.2 issuing and distributing the Bidding Documents to prospective bidders, requesting their return upon completion of the bidding process, and maintaining a log of distribution and retrieval and of the amounts of deposits, if any, received from and returned to prospective bidders;.3 organizing and conducting a pre-bid conference for prospective bidders;.4 preparing responses to questions from prospective bidders and providing clarifications and interpretations of the Bidding Documents to all prospective bidders in the form of addenda;.5 organizing and conducting the opening of the bids, and subsequently documenting and distributing the bidding results, as directed by the Owner; AIA Document B (formerly B ). 8 .6 assisting Owner in analyzing bids, and making recommendations to Owner with respect to the awarding of the Contract or the rejection of bids; and.7 preparing, for issuance by Owner, alternates, addenda, amendments and/or supplementary drawings required in connection with the bidding process The Architect shall consider requests for substitutions, if the Bidding Documents permit substitutions or if substitutions are permitted by law, and shall prepare and distribute addenda identifying approved substitutions to all prospective bidders In the event the lowest possible bid (or bids) exceeds either the funds appropriated for the Project or the final estimate of the Cost of the Work provided by the Architect, and approved by Owner, pursuant to Sections 3.4.4, and 6.7 of this Agreement, the Architect, in consultation with and at the direction of the Owner, shall provide such modification in the Contract Documents, which modification shall include but not be limited to a revision of the Project specifications, and drawings, as shall be necessary to bring the cost of the Project within the funds appropriated for the Project or the final estimate of the Cost of the Work provided by the Architect pursuant to Sections and 6.7 as referred to above, as the Owner shall determine. In such event, Architect shall further assist Owner in modifying and rebidding the Project. Notwithstanding anything to the contrary set forth in this Agreement, Architect shall provide all services relating to the modification and rebidding of the Project at no cost to Owner and consequently, any such modification and rebidding related services shall be part of Basic Services NEGOTIATED PROPOSALS Proposal Documents shall consist of proposal requirements and proposed Contract Documents The Architect shall assist the Owner in obtaining proposals by.1 procuring the reproduction of Proposal Documents for distribution to prospective contractors, and requesting their return upon completion of the negotiation process;.2 organizing and participating in selection interviews with prospective contractors; and.3 participating in negotiations with prospective contractors, and subsequently preparing a summary report of the negotiation results, as directed by the Owner The Architect shall consider requests for substitutions, if the Proposal Documents permit substitutions or if substitutions are permitted by law, and shall prepare and distribute addenda identifying approved substitutions to all prospective contractors. 3.6 CONSTRUCTION PHASE SERVICES GENERAL The Architect shall provide administration of the Contract between the Owner and the Contractor as set forth below and in AIA Document A , General Conditions of the Contract for Construction, as amended by Owner The Architect shall advise and consult with the Owner during the Construction Phase Services. The Architect shall have authority to act on behalf of the Owner only to the extent provided in this Agreement. The Architect shall not have control over, charge of, or responsibility for the construction means, methods, techniques, sequences or procedures, or for safety precautions and programs in connection with the Work, except to insure that the Work is in accordance with the Contract Documents all as set forth in Section hereof. Except as provided in this Agreement, the Architect shall not be responsible for the Contractor s failure to perform the Work in accordance with the requirements of the Contract Documents. The Architect shall be responsible for the Architect s negligent acts or omissions, but shall not have control over or charge of, and shall not be responsible for, acts or omissions of the Contractor or of any other persons or entities performing portions of the Work Any defective Drawings, Specifications or other Construction Documents furnished by the Architect shall be promptly corrected by the Architect at no cost to the Owner. The Owner s approval, acceptance, use or payment for all or any part of the Architect s services hereunder or the Project itself shall in no way diminish or limit the Architect s obligations and liabilities or the Owner s rights. 9 Init. / The Architect s responsibility to provide Construction Phase Services commences with the awarding of any Contract for Construction and terminates at the later of the issuance, with the Owner s approval, of the final Certificate for Payment to all Contractors, issuance of a Certificate of Occupancy, or submission of record drawings EVALUATIONS OF THE WORK The Architect shall visit the site not less than once per week while Work is in progress and as often as necessary and appropriate to the stage of construction (with particular emphasis on structural work) to observe the site and Work; to familiarize itself with the progress and quality of the Work; and to determine for the Owner s benefit and protection if the Work is proceeding in accordance with the terms and intent of the Contract Documents and Construction Schedule. The Architect shall attend all Project meetings and construction progress meetings in conjunction with or in addition to visiting the site in satisfaction of other responsibilities. The Architect shall use reasonable care to guard the Owner against defects and deficiencies in the Work and the Contractor s failure to carry out the Work in accordance with the Contract Documents and the construction schedule. On the basis of its on-site observations and inspections as an Architect, the Architect shall keep the Owner informed of the progress and quality of the Work, and shall give prompt notice to the Owner in writing of deviations from the Contract Documents in the Work and from the most recent construction schedule submitted by the Contractor. The Architect shall provide services necessary by defect or deficiencies in the Work of the Contractor(s) or their agents or employees which, through reasonable care, should have been discovered by the Architect and promptly reported to the Owner and Contractor(s), but which the Architect failed to discover and/or report The Architect shall require its mechanical and structural engineers and/or consultants to visit the site not less than once per week while mechanical or structural work, as applicable, is in progress and as often as necessary and appropriate to the stage of construction (with particular emphasis on close-in of all building systems). The Architect shall require its engineers and/or consultants to observe all building systems prior to close-in to determine for the Owner s benefit and protection if said systems are in accordance with the terms and intent of the Contract Documents The Architect has the authority to reject Work that does not conform to the Contract Documents. Whenever the Architect considers it necessary or advisable for implementation of the intent of the Contract Documents, the Architect shall have the authority to require inspection or testing of the Work in accordance with the provisions of the Contract Documents, whether or not such Work is fabricated, installed or completed. Where such additional inspection and testing is to be at additional cost to the Owner, such additional inspection and testing is to be required by the Architect only upon advance written notice and approval by the Owner. However, neither this authority of the Architect nor a decision made in good faith either to exercise or not to exercise such authority shall give rise to a duty or responsibility of the Architect to the Contractor, Subcontractors, material and equipment suppliers, their agents or employees or other persons or entities performing portions of the Work The Architect shall interpret and decide matters concerning performance under, and requirements of, the Contract Documents on written request of either the Owner or Contractor. The Architect s response to such requests shall be made in writing within any time limits agreed upon or otherwise with reasonable promptness Interpretations and decisions of the Architect shall be consistent with the intent of and reasonably inferable from the Contract Documents and shall be in writing or in the form of drawings. When making such interpretations and decisions, the Architect shall endeavor to secure faithful performance by the Contractor, and shall not be liable for results of interpretations or decisions rendered in good faith and without negligence Unless the Owner and Contractor designate another person to serve as an Initial Decision Maker, as that term is defined in AIA Document A , the Architect shall render initial decisions on Claims between the Owner and Contractor as provided in the Contract Documents. However, Owner shall have final authority on questions relating to aesthetic effect, provided such authority is exercised in a way which is consistent with the intent expressed in the Contract Documents CERTIFICATES FOR PAYMENT TO CONTRACTOR Based on the Architect s observations of the Work and evaluations of the Contractor s Applications for Payments, the Architect shall review and certify the amounts due the Contractor and shall issue certificates in such amounts. Said review and certification shall be completed within ten (10) days of the Architect s receipt of each Application for Payment. The Architect s certification for payment shall constitute a representation to the Owner, AIA Document B (formerly B ). 10 Init. / based on the Architect s evaluation of the Work and observations as provided in Section and on the data comprising the Contractor s Application for Payment, that the Work has progressed to the point indicated, that the quality of the Work is in accordance with the Contract Documents, and that the Work has been performed in a good and workmanlike fashion. The foregoing representations are subject (1) to an evaluation of the Work for conformance with the Contract Documents upon Substantial Completion, (2) to results of subsequent tests and inspections, (3) to correction of minor deviations from the Contract Documents prior to completion, and (4) to specific qualifications expressed by the Architect The issuance of a Certificate of Payment shall further constitute a representation that the Contractor is entitled to payment in the amount certified. However, the issuance of a Certificate for Payment shall not be a representation that the Architect has (1) reviewed construction means, methods, techniques, sequences or procedures, or (2) ascertained how or for what purpose the Contractor has used money previously paid on account of the Contract Sum The Architect shall maintain a record of the Applications and Certificates for Payment SUBMITTALS The Architect shall review the Contractor s submittal schedule and shall not unreasonably delay or withhold approval. The Architect s action in reviewing submittals shall be taken in accordance with the approved submittal schedule or, in the absence of an approved submittal schedule, with reasonable promptness so as to cause no delay in the Work or in the activities of the Owner, Contractor or separate contractors, while allowing sufficient time in the Architect s professional judgment to permit adequate review In accordance with the Architect-approved submittal schedule, the Architect shall review and approve or take other appropriate action upon the Contractor s submittals such as Shop Drawings, Product Data and Samples, for the limited purpose of checking for conformance with the Contract Documents and all applicable laws, statutes, ordinances, codes, rules and regulations. Review of such submittals is not for the purpose of determining the accuracy and completeness of other information such as dimensions and quantities, or for substantiating instructions for installation or performance of equipment or systems designed by the Contractor, which are the Contractor s responsibility to the extent required by the Contract Documents. The Architect s review shall not constitute approval of safety precautions or, unless otherwise specifically stated by the Architect, of any construction means, methods, techniques, sequences or procedures. The Architect s approval of a specific item shall not indicate approval of an assembly of which the item is a component If the Contract Documents specifically require the Contractor to provide professional design services or certifications by a design professional related to systems, materials or equipment, the Architect shall specify the appropriate performance and design criteria that such services must satisfy. The Architect shall review shop drawings and other submittals related to the Work designed or certified by the design professional retained by the Contractor that bear such professional s seal and signature when submitted to the Architect. The Architect shall be entitled to rely upon the adequacy, accuracy and completeness of the services, certifications and approvals performed or provided by such design professionals The Architect shall review and respond to requests for information about the Contract Documents. The Architect shall set forth in the Contract Documents the requirements for requests for information. Requests for information shall include, at a minimum, a detailed written statement that indicates the specific Drawings or Specifications in need of clarification and the nature of the clarification requested. The Architect s response to such requests shall be made in writing within any time limits agreed upon, or otherwise with reasonable promptness so as to cause no delay in the Work or in the activities of the Owner, Contractor or separate contractors. If appropriate, the Architect shall prepare and issue supplemental Drawings and Specifications in response to requests for information The Architect shall maintain a record of submittals and copies of submittals supplied by the Contractor in accordance with the requirements of the Contract Documents Architect shall not be entitled to additional compensation from Owner for reviewing Contractor s submittal out of sequence from the submittal schedule agreed to by the Architect, or for responding to the Contractor s requests for information that are not prepared in accordance with the Contract Documents or where such information is available to the Contractor from a careful study and comparison of the Contract Documents, AIA Document B (formerly B ). 11 field conditions, other Owner-provided information, Contractor-prepared coordination drawings, or prior Project correspondence or documentation CHANGES IN THE WORK The Architect may authorize minor changes in the Work that are consistent with the intent of the Contract Documents and do not involve an adjustment in the Contract Sum or an extension of the Contract Time. Such minor changes shall be effected by written orders issued through Architect. Copies of all such written orders authorizing minor changes shall be promptly sent to the Owner. The Architect shall prepare Change Orders and Construction Change Directives, with supporting documentation, drawings, specifications and other data and shall provide other services in connection with Change Orders and Construction Change Directives, including, but not limited to, reviewing and negotiating Contractor proposals and evaluating substitutions. Said Change Orders and Construction Change Directives shall be submitted for the Owner s approval and execution in accordance with the Contract Documents The Architect shall maintain records relative to changes in the Work PROJECT COMPLETION The Architect shall conduct inspections to determine the date or dates of Substantial Completion and the date of final completion; issue Certificates of Substantial Completion; receive from the Contractor and forward to the Owner, for the Owner s review and records, written warranties and related documents required by the Contract Documents and assembled by the Contractor; and issue a final Certificate for Payment based upon a final inspection indicating the Work complies with the requirements of the Contract Documents The Architect s inspections shall be conducted, with the Owner at Owner s request, to check conformance of the Work with the requirements of the Contract Documents and to verify the accuracy and completeness of the list submitted by the Contractor of Work to be completed or corrected, but the Owner s presence at such inspections shall not relieve the Architect of its responsibilities hereunder and the Owner shall have no duty of observation, inspection or investigation When the Work is found to be substantially complete, the Architect shall inform the Owner about the balance of the Contract Sum remaining to be paid the Contractor, including the amount to be retained from the Contract Sum, if any, for final completion or correction of the Work The Architect shall forward to the Owner the following information received from the Contractor: (1) consent of surety or sureties, if any, to reduction in or partial release of retainage or the making of final payment; (2) affidavits, receipts, releases and waivers of liens or bonds indemnifying the Owner against liens; and (3) any other documentation required of the Contractor under the Contract Documents Upon request of the Owner, and prior to the expiration of one year from the date of Final Completion, the Architect shall, without additional compensation, conduct a meeting with the Owner to review the facility operations and performance. ARTICLE 4 ADDITIONAL SERVICES 4.1 The services described in this Article 4 are not included in Basic Services, unless so identified below or elsewhere in this Agreement as being included in Basic Services, and they shall be paid for by the Owner as provided in this Agreement, in addition to the compensation for Basic Services. The Additional Services described under Section 4.2 and 4.4 shall only be provided if authorized in advance, in writing by the Owner. If Architect proceeds with such Additional Services without first obtaining Owner s prior written consent, Architect shall not be entitled to additional compensation. If, in the opinion of the Architect, services described under Contingent Additional Services in Section 4.3 are required due to circumstances beyond the Architect s control, the Architect shall notify the Owner of the need for those services in writing, prior to commencing such services. If the Owner deems that such services described under Section 4.3 are not required, the Owner shall give prompt written notice to the Architect. If the Owner indicates in writing that all or part of such Contingent Additional Services are not required, the Architect shall have no obligation to provide those services. If, however, services described under Section 4.3 are required due to circumstances within the control of the Architect, such services shall be provided as a part of Basic Services.
