1 Scope of Work/Deliverables Environmental Services for Project Specific High Desert Corridor Area of Los Angeles and San Bernardino Counties (District 7 & 8) Attachment 1 Page 1 of 11 A. Project Description 1. Purpose of Work The Consultant shall perform professional and technical environmental services in the preparation of Environmental Documents and Documentation (ED) and any incidental related environmental technical studies to support the development and construction of the proposed new freeway in the High Desert area of Los Angeles and San Bernardino Counties (District 7 & 8). The environmental studies will be in support of, and part of, the required environmental documentation, for project approval, under State and Federal environmental laws and regulations, for example, California Environmental Quality Act (CEQA) and National Environmental Policy Act (NEPA). The ED deliverables include Environmental Impact Reports (EIR), Environmental Impact Statements (EIS), Initial Studies (IS), Environmental Assessments (EA), Categorical Exemptions (CE), and Categorical Exclusions (CE). The Consultant shall provide support services in obtaining environmental permits from various federal, state, or local resource agencies or entities and preparing various levels of environmental documents and documentation. The Consultant shall provide short and long-term environmental mitigation monitoring prior to, during, and after construction projects as well as support for environmental public hearings, community scoping meetings, and other professional public awareness/outreach activities as required for project approval under state and federal environmental laws and regulations. The Caltrans Contract Manager will assign specific projects to the Consultant through the issuance of Task Orders. 2. Location of Work The work shall be performed under the High Desert Corridor project to construct a new, approximately 63-mile, east-west freeway/expressway linking State Route (SR) 14 in Los Angeles County with SR 18 in San Bernardino County. The work shall be performed ONLY for the High Desert Corridor project that Caltrans has planned to deliver in the Los Angeles County and the San Bernardino County for fiscal years 2011/12 through 2014/15. ALL OTHER PROJECTS ON SR-138, WHICH ARE NOT RELATED TO THE HIGH DESERT CORRIDOR PROJECT, WILL BE COMPLETED UNDER A SEPARATE CONTRACT. Caltrans intends to utilize this Agreement to complete a specific portion of environmental studies for each of the projects listed herein utilizing the services detailed in the Scope of Work. In the future, Caltrans may find it necessary to create a separate Agreement (or Agreements) that involves a project (or projects) listed herein and includes part of the Scope of Work contained in this Agreement. This Agreement does not preclude the

2 Page 2 of 11 Department from creating future procurements involving listed projects and using a multiservice, turn-key, project specific Agreement. The Consultant shall not be excluded from competing for the award of the project-specific Agreement. 3. Schedule of Performance Services and deliverables identified in a Task Order will be completed and delivered as specified in the Task Order. The Caltrans Contract Manager may designate a Department Task Order Manager to manage a specific Task Order. This is a three (3) year on-call Agreement. B. Description of Required Services 1. Required Services The Consultant is expected to perform and have the expertise and capability to perform any or all of the following reports/studies/activities: a. Environmental Impact Reports b. Environmental Impact Statements c. Community Impact Analysis d. Land use and growth studies e. Air quality studies Health risk assessment Baseline Emissions development f. Noise studies g. Water quality studies h. Floodplain and Hydrology studies including Geomorphology i. Coastal permits j. Paleontology studies k. Section 4(f) evaluations l. Cultural resource studies m. Visual impact assessment n. Community Impact Assessment o. Traffic & Transit Studies Congestion pricing Screen line survey Traffic Counts Railroad and High Speed Rail Impact Assessment p. Cumulative impact Analysis q. Public Outreach Activities related to preparation and processing of environmental documents and construction activities r. Biological studies Biological study, assessment, survey, and monitoring of existing threatened and endangered species are major components of this Agreement. These services are needed prior to, during, and after construction phase. The Consultant is expected to have a wide variety of experienced biologists to provide high quality services in the following areas: Biological assessment Wetlands Study/Delineation

3 Page 3 of 11 Resource Agency Permit Related Coordination Natural Environment Study (NES) Report U.S. Army Corps of Engineers Permit (404) U.S. Forest Service Permit(s) Coastal Development Permit(s) Department of Fish and Game 1600 Agreement(s) Department of Fish and Game CESA 2081 Incidental Take Permits U.S. Fish and Wildlife Service (Section 7) ESA Informal and Formal Consultation National Marine Fisheries Service (Section 7) Regional Water Quality Control Board (401) Permit Biological Mitigation Measures Construction Monitoring for identifying BMP lapses: Department and the construction contractor are both responsible for the identification and implementation of water quality BMPs. However, the Consultant construction monitor, during construction, is responsible for identifying any lapses in the BMPs so that they may be immediately remedied by the Resident Engineer. Wildlife corridor analysis: Consultant biologists and ecologists must be trained and qualified to conduct the tasks listed below. Personnel shall possess or obtain the necessary collecting and/or handling permits, and/or have species specific experience, in order to provide services as required for all sensitive, threatened, and endangered species. Resumes submitted to the Department shall include permit information and will be provided to resource agencies for their review and approval. Perform biological surveys for plant species and vegetation mapping Perform biological surveys for animal species including birds, mammals, fish, amphibians, reptiles, invertebrates, and general wildlife Construction monitoring for compliance with agency permits Perform CA Department of Fish and Game and Fish and Wildlife Service protocol surveys for listed birds, mammals, fish, amphibians, reptiles, invertebrates, and plant species Conduct Hydrogeomorphology studies Assessment of anadromous fish populations and fish passage per DFG code Section 5901 Wetlands habitat restoration studies and plans Habitat restoration studies and plans Delineate Wetlands and other state and federal jurisdictional waters Provide recommendations for avoidance, minimization, and mitigation of project impacts Prepare Natural Environment Study Reports per Caltrans specifications Prepare biological assessments/biological evaluations (BA/BE) per state and federal specifications 2. General Requirements Attachment 1 Page 5 of The Consultant shall carry out instructions as received from the Caltrans Contract Manager or designee(s) and shall cooperate with the Department, Federal Highway Administration (FHWA), and any other Consultants working on the project. 2. The Consultant shall maintain a complete project file for each Task Order performed under the Agreement. This file shall be made available to the Caltrans Contract Manager or designees during normal work hours and shall be transferred to the Department upon completion of work under the Task Order. 3. Caltrans will retain responsibility for all final consultation, both informal and formal, with local, state, and federal agencies regarding any regulatory issues. The Consultant shall assist Caltrans in such consultation as specified in each Task Order and as directed by the Caltrans Contract Manager. 4. The Consultant shall assist Caltrans in obtaining necessary approvals and permits. The Consultant shall identify all necessary approvals and permits, prepare signatureready permit applications, and track the status of permit applications, as specified in each Task Order. 5. All work shall be performed in conformance with all applicable occupational health and safety standards and rules established by the State of California and the U.S. Government, and safety instructions issued by the Department in the performance of Task Order work. 6. The Consultant is required to coordinate activities and work closely with multiple planners, engineers, and project managers working for the Department as well as planning, engineering and construction firms contracted by Caltrans. Projects have complex and overlapping schedules and fieldwork may be discontinuous. 7. The Consultant may not disclose any information to third parties without prior written approval of the Department s Contract or Functional Manager. D. Personnel and Performance Requirements The Consultant shall, throughout the life of the Agreement, retain within the Consultant's firm, or through subconsultants, a staff of people qualified to perform each of the tasks

6 Page 6 of 11 listed in this Scope of Work. The Consultant's personnel shall be capable of performing the types of work described with minimal instructions. 1. Project Manager The Consultant shall furnish a Project Manager, with relevant three (3) years of experience at minimum, to coordinate the Consultant's operations under the Agreement with Caltrans Contract Manager. The Project Manager shall be accessible to the Caltrans Contract Manager at all times during normal Department working hours. In addition to other specified responsibilities, the Project Manager shall be responsible for all matters related to the Consultant's personnel and operations, including: a. Supervising, reviewing, monitoring, training, and directing the Consultant's personnel. b. Assigning personnel to complete the required Task Order work as specified. c. Administering personnel actions. d. Maintaining project files. e. Developing, organizing, facilitating, and attending scheduled coordination meetings, and preparation and distribution of meeting minutes. f. Implementing and maintaining quality control procedures to manage conflicts, insure product accuracy, and identify critical reviews and milestones. g. Overseeing that all safety measures are in place. h. Reviewing invoices for accuracy and completion before billing to the Department. 2. Task Order Manager For each Task Order, the Consultant shall furnish a Task Order Manager to coordinate the Consultant's Task Order operations with the Caltrans Contract Manager and Project Coordinator. The Task Order Manager shall be accessible to the Caltrans Contract Manager and Project Coordinator at all times during the Department's normal working hours when a Task Order work is underway. 3. Consultant Personnel The Consultants biologists and ecologists must have three (3) years experience at minimum, and must be trained and qualified to perform each of the tasks listed in this Scope of Work. Personnel shall possess or obtain the necessary collecting and/or handling permits, and/or have species specific experience, in order to provide services as required for all sensitive, threatened, and endangered species. Resumes must be submitted to Caltrans prior to execution of Agreement and shall include permit information. Personnel performing public outreach/awareness activities shall possess the following qualifications: Three (3) years experience at minimum, in providing public relations services. Three (3) years experience at minimum, in development and preparation of news releases, brochures, newsletters, fact sheets, and fliers. Personnel performing field construction monitoring activities as specified in B. 1. of this Scope of Work and wildlife corridor analysis shall possess the following qualifications:

7 Page 7 of 11 Three (3) years experience, managing field services in conjunction with project construction activities and schedule Three (3) years experience, working with protected resources that are impacted. Or perform duties under direct supervision of experienced personnel. E. Other Requirements 1. Standards a. All work shall be performed in accordance with current Department s Manuals and their current revisions. Work not covered by the Manuals shall be performed in accordance with highest industry standards. b. The Caltrans Contract Manager, in cooperation with the Department s Deputy District Director for Environmental Analysis, shall decide all questions that may arise as to the quality or acceptability of deliverables furnished and work performed for this Agreement. c. The minimum standard of work quality shall be of the highest industry standards. Prior to initiating environmental analysis activities, the Consultant shall prepare and obtain approval from the Caltrans Contract Manager for a quality control plan for how the minimum standard of work quality will be achieved. The Consultant will complete the quality control plan and certify at the end that the all measures contained therein were completed. Caltrans will perform quality assurance on the quality control plan to assure that quality control was completed. 2. Availability and Work Hours a. The Consultant shall begin the required work within five (5) working days after receiving a fully executed Task Order and notification to proceed by the Caltrans Contract Manager. Once the work begins, the work shall be prosecuted diligently until all required work has been completed satisfactorily. b. Unless otherwise specified in the Task Order or directed by the Caltrans Contract Manager, the normal workweek shall consist of forty (40) hours. c. Overtime may be required. However, overtime shall be worked only when directed in writing by the Caltrans Contract Manager or specifically required by the Task Order. 3. Deliverables a. All deliverables shall be identified in each Task Order and shall be submitted to the address specified in each Task Order. b. The Consultant shall provide services in close liaison with Department. Time is of the essence. Caltrans shall exercise review and approval functions through the Department s Contract Manager and /or Task Order Manager at key points, as specified in each Task Order. Milestone reviews shall be performed for the specific products and deliverables listed in each Task Order.

If the work to be performed under the Task Order is scheduled to take six (6) months or longer to complete, the Consultant shall prepare and update a critical path method network for that Task Order, showing a deliverables schedule as well as other relevant data needed for the Consultant's work control and the Department's review of work status. The relevant data shall include a list of activities with budgeted cost and target date for completion of each. If the Task Order is scheduled to take less than six (6) months, the Consultant shall prepare a workplan with a listing of tasks, budget, and target completion date. d. The Consultant shall obtain written approval for all deliverables identified. Format and content requirements for deliverables shall be specified in each Task Order. e. Where the Consultant is required to prepare and submit studies, reports, plans to the Department as required by Task Orders and this Agreement, these shall be submitted in draft as scheduled, and the opportunity provided for Caltrans to direct revisions, prior to final submittal. Scheduling for Caltrans to review the Consultant s submittals shall be specified in each Task Order. f. The Consultant shall submit all original field notes, records, background information, reports, digital copies of text documents in unprotected Microsoft Word format, all photographs in hard and digital format, all GIS data in ESRI readable format, and maps in PDF format. The file formats shall be specified in each Task Order. Appropriate documentation shall accompany the CD indicating the contents of each file, if CDs are requested. g. Upon completion of all work for this portion of the Agreement, ownership and title to all original field notes, photographs, reports, documents, plans, data, drawings, specifications, and estimates produced will automatically be vested in the Department and no further agreement will be necessary to transfer ownership to Caltrans. The Consultant shall furnish Caltrans all necessary copies of data needed to complete the review and approval process. 4. Equipment and Materials to be provided by the Consultant The Consultant shall provide all necessary tools, instruments, and safety equipment required to perform the work identified in each Task Order accurately, efficiently, and safely. The Consultant shall provide all necessary field tools and equipment to perform field construction monitoring activities and wildlife corridor analysis. The Consultant may claim reimbursement for providing equipment or supplies which cannot be re-used, such as nets used in waterbodies containing oil. However, such claimed costs must be in compliance with 48 Code of Federal Regulation, Chapter 1, Part 31 (Federal Acquisition Regulation - FAR cost principles) and be consistent with the Consultant's company-wide allocation policies and charging practices with all clients including federal government, state governments, local agencies, and private clients.

9 Page 9 of 11 F. Materials to be provided by Caltrans 1. Appropriate and available site topographic maps, as-built drawings, and blank Caltrans plan sheet overlays, as available, for each Task Order. 2. Appropriate and available background information for each Task Order. 3. Any Encroachment Permit, which may be required for a task, will be issued to the Consultant free of charge. G. Monitoring and Review Procedure 1. The Caltrans Contract Manager shall have the right to monitor and review the progress and/or processes of the Consultant. 2. The Consultant shall meet with the Caltrans Contract Manager a minimum of once per month to review procedures and progress. H. Product Approval and Payment 1. All deliverables and documents produced by the Consultant as specified by the Task Order shall be subject to approval and acceptance by the Caltrans Contract Manager. 2. In the event of non-acceptance due to errors, omissions, or non-compliance with the current Transportation (Caltrans) Manuals and their current revisions, the Consultant shall make corrections at no cost to Caltrans. 3. Work that does not conform to the requirements specified herein and the applicable Task Order will not be paid. I. Conflict of Interest All professional and technical environmental analysis and studies deliverables produced by the Consultant shall be free of any conflict of interest and shall be subject to the approval and acceptance by the Caltrans Contract Manager. In the event of non-acceptance due to discovery of conflict of interest, the Consultant shall provide replacement deliverables free of any conflict of interest prior to payment. In the event replacement deliverables are not possible, the Consultant shall not receive compensation for the deliverables containing conflict of interest. The following is an example of conflict of interest: Preparation and review of same work on the same project, for the Department or other local agencies.
