1 SEVENTEENTH AMENDMENT TO MASTER CONTRACT FOR WASTEWATER TREATMENT PLANT ENGINEERING ENGINEERING FOR DURHAM AWWTF DEWATERING CENTRIFUGE PROJECT NO CLEAN WATER SERVICES AND CH2M HILL ENGINEERS, INC. This Amendment, dated effective September 19, 2017, is between Clean Water Services (District) and CH2M Hill Engineers, Inc. (Consultant) and amends the parties Master Contract for Wastewater Treatment Plant Engineering dated effective January 8, 2013 and any nonwork specific amendments to it (collectively, Contract). RECITALS 1. District and Consultant previously entered into the Contract. 2. The parties now wish to amend the Contract to provide wastewater treatment plant engineering services related to the Durham AWWTF Dewatering Centrifuge Project No (Project). 1. Scope of Work TERMS AND CONDITIONS Consultant will perform the services described in Exhibit A. 2. Compensation District will pay Consultant as set forth in the Contract. District's total payment to Consultant, including expense reimbursement, will not exceed $339, Schedule / Duration Consultant will complete all work by May 1, The Contract will be effective from the date written on page one and shall expire December 31, 2018 unless terminated earlier pursuant to the terms of the Contract. 4. Electronic Signature This Contract may be executed in several counterparts, each of which will be an original, all of which will constitute one and the same instrument. An electronic signature will be considered an original. The individuals signing this Contract certify that they are authorized to execute this Contract on behalf of Consultant and District, respectively. 5. Tax Law Compliance Consultant represents, warrants and covenants that Consultant has complied with, and agrees that during the term of this Contract shall comply with Oregon Tax Laws and applicable tax laws of political subdivisions of this State including, but not limited to, Seventeenth Amendment to Master Contract Page 1

2 ORS and ORS chapters 316, 317 and 318. Consultant s failure to comply with Oregon Tax Laws or the applicable tax laws of political subdivisions of this State for the six years prior to the date Consultant executes this Contract or the period of time Consultant has been in business, whichever is less, or during the term of the Contract is a default for which District may terminate the Contract and seek damages and other relief available under the terms of the Contract or under applicable law. 6. Effect of Amendment Except as amended herein, the Contract will remain in full force and effect. CH2M HILL ENGINEERS, INC. 3 EXHIBIT A SCOPE OF WORK AND SPECIAL TERMS AND CONDITIONS WASTEWATER TREATMENT PLANT ENGINEERING SERVICES FOR THE DURHAM AWWTF DEWATERING CENTRIFUGE PROJECT NO I. PROJECT DESCRIPTION District has undertaken a procurement process for replacement of existing centrifuges at the Durham and the Rock Creek AWWTF s. Centrifuges will be purchased and will need to be installed at the treatment facilities. District has retained Consultant for the design and bid phase of the Project to install the new centrifuges at the Durham AWWTF. The Project was described in a January 13, 2017 meeting with Consultant and District and in the Dewatering Centrifuges Economic Evaluation Summary DRAFT, by Consultant dated January 31, Improvements to be implemented on this Project include: 1. Removing the existing two centrifuges and associated forced oil lubrication systems, electrical panels, and control panels in the Solids Building. 2. Installing, start-up and commissioning of two new centrifuges and electrical panels, control panels, and associated piping modifications. 3. Locating new centrifuge electrical panels and control panels at the existing panel locations, reusing electrical raceways where possible and installing new conductors. 4. Replacing existing screw conveyors 3 and 4 that transfer dewatered cake from the centrifuge collection conveyors (screw conveyors 1 and 2) into the vertical conveyors (screw conveyors 5 and 6), with matching new units. 5. Adding two new automated and electric-motor actuated slide gates on screw conveyors 7 and 8, located on the Solids Building roof, to enable dewatered cake to be remotely controlled to bypass a sludge storage silo and be conveyed to the opposite sludge storage silo via the crossover conveyor (screw conveyor 9). 6. Also within the Solids Building, modifying the thickened sludge discharge for the three existing thickening centrifuges and installing electric-motor actuated diverter gates. New piping will be installed to route diverted flow from the thickened sludge chutes to plant drain during startup, shutdown and cleaning in place (bypassing the centrate tanks) and existing centrate piping may be modified accordingly. 7. Providing up to five polymer injection points in the sludge feed piping to each centrifuge. Evaluating and determining the exact number through coordination and review with District staff. Evaluating sludge feed/polymer solution mixing options at each injection through an evaluation of mixing devices such as the Koflow tubes currently in use at Rock Creek. Determining the cost effectiveness of polymer flow measurement and control to at least two injection points simultaneously. 8. Relocating the dewatering sludge feed flowmeter to an accessible location closer to grinder location. Page 3

4 II. 9. Reestablishing the single ferric chloride injection point upstream of all polymer injection points. 10. Adding dilution water to the sludge feed piping upstream of the first polymer injection point. 11. Adding two packaged polymer makedown units (Stranco, Dynablend, or equal) to the existing polymer system to make down polymer solution directly from the bulk storage tank(s) and deliver to the polymer injection points on the centrifuge feed lines. 12. Adding the ability to control both polymer and sludge feed flowrates from the centrifuge manufacturers LCP. SCOPE OF WORK Design Phase Services 1. The final design will be based on standards in effect on the effective date of the authorization to proceed. 2. A design phase duration per the attached schedule of six-months from Notice to Proceed, assuming that the District s review comments will be received by Consultant at or prior to the corresponding design review workshop scheduled three weeks after each interim design package submittal. 3. Consultant shall use Division 16 format specifications, edited from the District s current technical specifications or edited from Consultant s master specifications as applicable. 4. The District will provide Divisions 0 and 1 specifications for Consultant to edit for technical content. 5. Where deliverables are identified, ten hard copies of the deliverable shall be provided in addition to electronic versions in.pdf format and original.doc format. 6. Drawings (11-inch by 17-inch) in.pdf format for each design submittal shall be provided for District internal review. 7. Consultant shall use its standard Microstation software to produce the drawings in conformance with District drafting standards. 8. Meetings and workshops will be held at the Durham AWWTF unless noted otherwise. 9. One set of general construction contract documents will be prepared for the Project. 10. The site is free of any hazardous wastes, asbestos, lead paint or other types of contamination that might require remediation. 11. Design will facilitate phased centrifuge replacement, ensuring one working centrifuge is online except for planned shut-down periods to be established during design. 12. The new centrifuges will utilize the existing centrifuge concrete pedestals. 13. The Project will only require minor structural, mechanical and electrical retrofitting of centrifuge existing platforms. The platforms will be modified to accommodate the new centrifuge frames and new piping and conduit. Page 4

5 14. Suports for non-metallic piping less than 4-inch in diameter will be contractor designed. 15. The new centrifuges will have Allen-Bradley (A-B) ControlLogix PLCs and the existing controls for sludge, polymer and conveyors are through existing TI 505 or Allen-Bradley (A- B) ControlLogix PLC. The A-B and TI PLC systems will communicate over Ethernet. A separate Ethernet Card will be provided by District in the plant PLC Rack to isolate equipment PLC from the plant network. Hard-wired handshaking signals will be included in the design if the manufacturers require for safety or critical equipment protection. It is assumed there is sufficient space on the existing TI PLCs for the additional Input/Output (I/O) to meet the handshaking needs. PLC source code will be available with the exception of proprietary control algorithms which can be locked from viewing in the PLC Program. Allen Bradley operator interface terminals will be provided at the centrifuges or on the door of the control cabinet if the panel is located sight of centrifuge. 16. System integration programming including PLC and SCADA application programming will be performed by the District or a third-party contracted to the District. 17. Design basis and facility and process and instrumentation drawings will be based on and include drawing backgrounds pulled from the existing as-built drawings for the Durham Facility Phase 3 Expansion project by HDR dated August Services During the Bid and Award Phase 1. General Contractor selections will be by a conventional bidding process. 2. The contract for construction will be bid not more than once. 3. District will manage the bid process and distribute bidder questions to Consultant. 4. Consultant will assist the District in responding to Bidders questions and developing technical content for addenda to be issued by the District during the bid phase at the level of effort shown. Services During the Construction Phase 1. Services During Construction can be provided as an additional service. District-Provided Services 1. District will provide to Consultant all available data pertinent to Consultant s services on the Project. Consultant will reasonably rely upon the accuracy, timeliness, and completeness of the information provided by the District. 2. District will provide current and up-to-date survey and utility information for the site in AutoCAD format, if needed. 3. District will provide most recent as-built and/or expansion drawings for the Solids Building in AutoCAD format, as available. 4. District will provide equipment and field staff for potholing to locate utilities, if needed. 5. District will make its facilities accessible to Consultant as required during normal business hours for Consultant s performance of its services. Page 5

6 6. District will give prompt notice to Consultant whenever District observes or becomes aware of any development that affects the scope or timing of Consultant s services, or of any defect in the work of Consultant or the Contractor. 7. District will examine information submitted by Consultant and render in writing or otherwise provide required information, review comments, approvals and decisions in a timely manner and as shown on the schedule. 8. District will provide Consultant with standard Division 0 and 1 specifications in WORD format to edit. District-provided specifications will be suitable for use for a conventional bidding process. 9. District will pay for advertisement, reproduction, distribution and mailing costs for the bidding process. Consultant will provide the District with the design and bid phase services described herein. Consultant s scope of work consists of the following major tasks: Task 1: Project Management including Quality Management Task 2: Design Development and Contract Documents Task 3: Bid Period Services Task 4: Construction Support Services can be provided as an additional service. Task 1 - Project Management Task 1.1: Progress Meetings and Updates Consultant s project manager (PM) shall meet with District s project manager throughout the design of the Project to review Project progress and discuss upcoming work activities. The Consultant s PM will provide regular summaries of work completed, upcoming activities and unresolved issues. Task 1.2: Project Kick-off Meeting Consultant will lead a Project initiation meeting at the Durham AWWTF. The purpose of the meeting is to review Project scope and schedule, communication protocols, and confirm agreement on direction of the design. The meeting will include a walk-through of the Project site to confirm a mutual understanding of Project improvements and placement. Task 1.3: Project Management Plan The purpose of this task is to prepare the detailed Project Management Plan that will be used during the execution of this Project work. Specific elements of the plan will include: Project Instructions: Define District and Consultant Project organization, communication contacts and protocols, Project cost control procedures, document control, health and safety considerations, change management and other Project management requirements. CAD/CAE Standards: Define CAD/CAE software standards, graphic standards, file naming conventions and standards, revision/iteration control and other graphic standards. Quality Management Plan: As part of each design phase, Consultant will perform a quality assurance program (QAP). The purpose of this QAP is to monitor the quality of the Project through the use of internal quality assurance/quality control (QA/QC) reviews as described Page 6

7 herein. Consultant will manage multidiscipline internal QA/QC review activities with senior project staff during the process of the design. Formal internal QA/QC reviews will be performed by senior staff independent from Project team prior to District review at the 30%, 90% and final design phases. Consultant will prepare a Quality Management Plan (QMP) for the Project that will include procedures for engineers; detailed checks of reports, calculations, drawings, and specifications as described in Task 2.4. Task 1.4: Decision Log Consultant s PM shall prepare and keep current a decision log documenting key Project decisions. Task 1.5: Cost and Schedule Control Consultant s PM shall prepare, implement, monitor, and update the Project Management Plan as required throughout the Project. Consultant s PM will manage, administer, coordinate, and integrate work of the Consultant s team as required to deliver the Project within budget and on schedule. Consultant s PM shall prepare and submit to the District s project manager on a monthly basis, a brief cost and schedule status report and updated summary Project schedule showing actual versus projected. The report shall include a narrative description of progress to-date, actual costs for each major task, estimates of percent complete, and potential cost variances. Deliverables: Project Management Plan with Quality Management Plan; progress reports; Decision Log; Monthly status reports and invoices using District s standard templates; kick-off meeting agenda and meeting notes. Assumptions: Consultant PM will meet with District PM at District s offices monthly. Consultant PM will lead weekly project status calls with District PM and others as needed. The Project Management Plan (PMP) elements including CAD/CAE standards will be substantially similar to the PMP of the 5D1 and 5D2 Cogeneration Preliminary Solids Handling Modifications project. Task 2 Design Development and Contract Documents The purpose of this task is to utilize the conceptual decisions of the Project that were made during scoping and the Project kick-off meeting and develop the design in sufficient detail to convey the design intent to District staff. The 30 percent design level construction drawings show the final location and size of major components and systems. 2.1 Prepare 30% Design Documents Design development will include the following major work elements: Update and finalize process flow diagrams. Identify equipment selection and equipment data sheets from the centrifuge procurement process. Update and finalize Process and Instrumentation Diagrams illustrating all major instrumentation. Prepare overall loop descriptions. Prepare electrical one-line and typical control diagrams. Page 7

8 Perform line size calculations. Confirm structural systems and materials of construction. Develop layout and process mechanical drawings, presented as red-line markups of existing drawings or drafted drawings as schedule allows. Develop draft list of specifications. Identify coordination needs between Division 0 and 1 and the technical specifications. Consultant shall conduct one six-hour 30% design review workshop consisting of three sessions (general/operations, mechanical, and electrical and instrumentation) to review work products with District staff. Consultant s PM, design manager and appropriate discipline engineers will attend. Deliverables: 30% Design Development Drawings & Technical Specifications List, 30% design review workshop agenda and meeting notes; 30% progress review meeting comments resolutions document; 30% progress review meeting agenda and notes Task 2.2 Prepare 90% Design Documents The purpose of this task is to develop the final review contract drawings, specifications, and schedules for competitive bidding. The following activities will be completed under this subtask: Finalize specification Divisions 0 and 1 documents, including General Conditions, Supplementary Conditions, General Requirements, bidding documents, bonds, and Instructions to Bidders and coordinate these with the technical specifications. Prepare standard details for each required discipline. Prepare construction drawings. Prepare technical specifications. Prepare final calculations. Complete final checking and coordination review. Coordinate with District on advertising and bidding process. Upon review and consideration of District s comments hold one four-hour duration 90% interim progress review meeting with key District discipline staff and Consultant staff to concur upon the resolution of the District s 30% review comments and review the evolution of the design post- 30% design and prior to production of 90% review documents. Consultant shall conduct one six-hour 90% design review workshop to review work products with District staff per the 30% design review workshop and 90% progress review meeting. Consultant s PM, design manager and appropriate discipline engineers will attend. Deliverables: 90% interim progress review meeting comments resolutions document; 90% interim progress review meeting agenda and notes; 90% review construction documents; 90% design review workshop agenda and records of comments and responses Task 2.3: Incorporate Final Review Comments and Prepare Bid Set (100% Complete) Consultant will modify the contract documents to reflect all agreed upon final review comments from the District, applicable permitting agencies and Consultant's quality control review team. 9 Reproducible final documents will then be submitted to the District. Deliverables: Record of comments and responses, final 100% complete construction documents delivered as ten sets of hard copies of the bid documents with 11x17 drawings and an electronic version in bookmarked.pdf format. Task 2.4 Quality Management Consultant will manage multidiscipline internal QA/QC review activities with senior project staff during the progress of the design. Formal internal QA/QC reviews will be performed by senior staff independent from the Project team prior to the District review at the 30%, 90% and final design phases. Consultant will prepare a QMP for the Project to serve as guide for all phases of the Project. Key features of the QMP will include: A single point of contact responsible for all quality management. Independent quality review performed by discipline-specific quality reviewers to provide critical analysis without bias. Procedures for engineers; detailed checks of reports, calculations, drawings, and specifications. Audits by QA personnel will be conducted to verify conformance with the approved QMP and confirm that required checking and review functions are completed. Design quality review documentation will demonstrate that the quality review process is complete and review comments are acceptably addressed as a component of the overall records management system. The following documentation will be prepared, collected and properly stored in the Project records system: Quality review forms used during internal quality reviews and issue tracking forms used to document those issues. Design review forms used by the District to document their review comments. Project checklists or milestone checklists, signed by the reviewer and the appropriate Project staff. Review-related correspondence with District staff and other external agencies or entities. Audit correspondence, including results and corrective action documentation. Deliverables: Consultant shall prepare and deliver to District a Quality Management Plan and written documentation of QC reviews. Task 2.5 Construction Cost Estimate and Schedule Based upon the information presented in the 30% and 90% design documents, Consultant shall prepare an engineer s opinion of construction cost (OPCC) for the Project based upon the QC review set for each of the 30% and 90% deliverables. The Engineer s OPCC will be based on AACE guidelines Class 4 for the 30% design submittal and Class 2 for the 90% design submittal. Consultant shall prepare an estimated construction schedule for the 30 and 90 percent design packages. Page 9

10 Deliverables: Consultant shall provide District with construction cost estimates and schedules within 14 calendar days following delivery of the 30 and 90 percent review submittals. Task 3 Bid Period Services Consultant shall provide technical assistance as needed to interpret the contract documents during the construction contract bid phase. Correspondence with prospective bidders shall be documented in writing. Consultant team members shall attend the pre-bid conference and will assist in preparing technical addenda to the contract documents (if needed). Deliverables: Written documentation of correspondence with bidders. Technical addenda to the contract documents (if needed) to the Level of Effort budgeted. Production of Conformed to Bid construction documents with drawings in Autocad format and specifications in word format. Assumptions: District will prepare and distribute Project addenda during bid phase. Consultant will provide written responses to Bidder questions. Support will be up to the extent of the budget. Task 4 Construction Support Services Construction phase services can be provided as an additional service. Page 10
