1 THIRTY-FOURTH AMENDMENT TO MASTER CONTRACT FOR WASTEWATER TREATMENT PLANT ENGINEERING SERVICES ROCK CREEK AWWTF DIGESTER 1 AND 2 MODIFICATIONS PROJECT NO CLEAN WATER SERVICES AND CAROLLO ENGINEERS, INC. This Amendment, dated, 2016, is between Clean Water Services (District) and Carollo Engineers, Inc. (Consultant) and amends the parties Master Contract for Professional Services for Wastewater Treatment Plant Engineering, dated effective January 8, 2013 (Master Contract), as amended by the Twenty-Sixth Amendment to Master Contract dated effective January 8, 2016 (collectively, Master Contract). RECITALS 1. District and Consultant previously entered into the Master Contract. 2. The parties now wish to amend the Master Contract to provide final design services and construction phase engineering services for the Rock Creek AWWTF Digester 1 and 2 Modifications Project No Scope of Work TERMS AND CONDITIONS The scope of work is contained in Exhibit A, attached hereto and incorporated herein. 2. Compensation District shall pay Consultant on a time and expense basis at the rates and costs contained in the Master Contract. District s total payment to Consultant, including expense reimbursement, shall not exceed $297, Schedule and Duration Consultant shall complete all tasks by August 1, The Amendment shall expire on December 31, Electronic Signature This Amendment may be executed in several counterparts, each of which will be an original, all of which will constitute one and the same instrument. An electronic signature will be considered an original. The individuals signing this Amendment certify that they are authorized to execute this Amendment on behalf of Consultant and District, respectively. Page 1 of 11

Tax Law Compliance Consultant represents, warrants and covenants that Consultant has complied with, and agrees that during the term of this Amendment shall comply with Oregon Tax Laws and applicable tax laws of political subdivisions of this State including, but not limited to, ORS and ORS chapters 316, 317 and 318. Consultant s failure to comply with Oregon Tax Laws or the applicable tax laws of political subdivisions of this State for the six years prior to the date Consultant executes this Amendment or the period of time Consultant has been in business, whichever is less, or during the term of the Amendment is a default for which District may terminate the Master Contract and seek damages and other relief available under the terms of the Master Contract or under applicable law. 6. Effect of Amendment Except as amended herein, the Master Contract shall remain in full force and effect. CAROLLO ENGINEERS, INC. 3 EXHIBIT A Rock Creek AWWTF Digester 1 and 2 Modifications Project No Services During Construction Project Description and Narrative Scope of Work Project Description As part of the Rock Creek Advanced Wastewater Treatment Facility (AWWTF) Facilities Plan Update (Carollo, 2014) several improvements and modifications to the facility s existing digester system were recommended. These improvements include converting Digester 1 to an active digester and converting Digester 2 to a dewatering feed tank, with provisions for future digester capability. Since publication of the Facilities Plan Update, District completed the Digester 1 and 2 Predesign Report (Carollo, 2015) to better define the scope of these improvements, which included improvements required to address operation and maintenance (O&M) issues of the overall digester system. Consultant will provide services during construction (SDC) as described below. These services are intended to assist District with construction administration, monitoring the performance of the construction contractors, verifying that the contractor s work is in conformance with the contract documents, coordinating with independent testing agencies and interpreting test results to provide construction quality assurance as required by the contract documents, complying with Washington County Business Services (WCBS) and Washington County permit requirements and assist District in responding to events that occur during construction. District will provide all construction management, resident engineering, and administrative and inspection services for the duration of the project, except as outlined below. The following describes the tasks to be completed as part of this Amendment. The work outlined below will be completed by Consultant's office staff. Consultant will not provide field staff; however Consultant will make periodic site visits for inspections, field engineering, and site meetings as needed. Scope of Work TASK 1 CONSTRUCTION ADMINISTRATION Task 1.1 Construction Management The following will be completed by Consultant as part of this task: 1. Preconstruction Conference. Attend Preconstruction Conference. District will prepare conference notes and issue notes to all parties invited to attend the conference. 2. Contractor's Lump Sum Price Breakdown. Review, negotiate, and approve the construction contractor's breakdown of lump sum price for progress payment purposes. Page 3 of 11

4 3. Contractor s Schedule. Review the construction contractor s initial schedule for issues such as compliance with construction sequencing constraints, adequate time for submittal review, major and long lead time equipment deliveries, construction activity durations, and plant shutdown and startup/testing activities. Consultant shall review the aspects of the schedule that may affect plant operations with District staff. Consultant shall procure and set up EADOC construction management software according to District-provided requirements. Consultant shall enter design team responses and submittal review comments, contract clarifications, and meeting minutes into the EADOC system. District shall take primary responsibility for maintenance of the EADOC system. Task 1.2 Clarification of Contract Documents Respond to the construction contractor's requests for information (RFIs) using EADOC. As applicable, without waiting for the construction contractor's RFIs, interpret the drawings and specifications, including the preparation of elementary sketches, if required, to clarify the design details or to make revisions as a result of omissions or conflicts. Consultant shall issue up to 42 Change Orders or Work Change Directives to the construction contractor as applicable. Review written interpretations and sketches with District prior to District issuing them to the construction contractor. Task 1.3 Submittals Review shop drawings per the construction contract documents as directed by District. District will perform reviews without Consultant s input on some submittals. Consultant will review up to 53 submittals or resubmittals. Review and provide Engineer of Record Professional Engineering stamp on all deferred submittal items. Evaluate "or equal" items proposed by the construction contractor during construction. Task 1.4 Supplemental Inspection Provide up to 16 days of supplemental on-site field inspection to observe the quality and progress of the construction and assist with the following goals: 1. To observe whether the provisions of the construction contract documents are being fulfilled and report discrepancies to District. 2. To advise the construction contractor when defects and deficiencies are observed in the work. 3. To inspect the preparation, application, and final curing of the coatings for Digester 2. District shall provide primary inspection services throughout the project. Consultant shall direct its efforts toward determining that the completed Project will conform to the plans and specifications. Consultant shall not be responsible for the means, methods, techniques, or procedures of construction selected by the construction contractor or for the safety precautions and programs incident to the work of the construction contractor or for any failure of the construction contractor to comply with laws, ordinances, rules or regulations applicable to the construction work. Consultant and District recognize that the construction contractor is responsible for ensuring that construction is in accordance with the plans and specifications. Page 4 of 11

5 Task 1.5 Change Orders Prepare change order justification documents, evaluate schedule impacts, and assist District in negotiating change orders with the construction contractor, make recommendations to District concerning change orders, and process change orders after District approval. Task 1.6 Meetings Attend weekly job meetings with the construction contractor to review the progress of the work and identify and address field problems as they occur. District shall prepare notes for all weekly meetings and distribute to all attendees. Construction manager and project manager will also participate in monthly Partnering Meetings with the construction contractor and District. Task 1.7 Conformed Documents Prepare and distribute 13 sets of conformed bid documents including specifications, half size drawings and typical details and 3 full size sets of drawings for District and contractor based upon modifications addressed by addenda. Task 1.8 TABWARE Consultant shall gather and collate tagged equipment information required for TABWARE as part of the manufacturers O&M manual submittal review process. Information will be tracked in a single spreadsheet and will be transmitted to District s maintenance supervisor on a bi-weekly basis when new information becomes available. Information not provided by the contractor in the O&M submittals will be gathered by the contractor in the field and transmitted to Consultant via to include in the spreadsheet. It is anticipated that the final spreadsheet for each facility will be submitted one month prior to facility startup. District will contract directly with specialty inspection contractors. District will coordinate with and provide general direction to special inspectors and material testing services from one or more specialty subcontractors, as required to meet the requirements of the local building authorities and the contract documents. District staff will coordinate the schedule for these firms and shall coordinate the transmittal of their reports, findings, and other information to the contractor and WCBS. The contractor will achieve final completion of the project within 12 months of receiving notice to proceed. TASK 2 EIC SUPPORT The purpose of this task is to provide support to District's electrical, instrumentations and controls group verify that the contractor s work is in conformance with the contract documents. Task 2.1 Clarification of Contract Documents Respond to the construction contractor's RFIs using EADOC. As applicable, without waiting for the construction contractor's RFIs, interpret the drawings and specifications, including the preparation of elementary sketches, if required, to clarify the design details or to make revision Page 5 of 11

6 as a result of omissions or conflicts. Consultant shall issue up to two Change Orders or Work Change Directives to the construction contractor as applicable. Review written interpretations and sketches with District prior to the District issuing them to the construction contractor. District has established a budget of 64 hours for Task 2.1. Consultant will not exceed the hours established for this task without written authorization from District's Project Manager. Task 2.2 Submittals Review shop drawings per the construction contract documents as directed by District for the following: Motors Variable frequency drives VFD O&Ms Loop Diagrams and LCPs Diaphragm and annular seals Pressure Switches Pressure Indicating Transmitters Differential Pressure Indicating Transmitter Electrical portion of Wemco Pumps Electrical portion of Netzch Pump Electrical portion of Hot Water Pump Electrical portion of Grinder District will perform review without the input of Consultant any resubmittals for the items listed above and all other submittals related to requirements of Divisions 16 and 17 of the contract specifications. District has established a budget of 76 hours for Task 2.2. Consultant will not exceed the hours established for this task without written authorization from District's Project Manager. Task 2.3 Miscellaneous EIC Support Consultant shall provide up to 24 hours of supplemental consultation on EIC issues as directed by District. Consultation will not include any on-site field inspection. Page 6 of 11

7 Task 2.4 Change Orders Prepare change order justification documents, evaluate schedule impacts, assist District in negotiating change orders with the construction contractor, make recommendations to District concerning change orders, and process change orders after District approval. District has established a budget of 16 hours for Task 2.4. Consultant will not exceed the hours established for this task without written authorization from District's Project Manager. Task 2.5 System Programming & Integration Assistance Coordinate and support ORT-2 Demonstration phase, identify operational modifications, and resolve operational and/or control issues. District has established a budget of 40 hours for Task 2.5. Consultant will not exceed the hours established for this task without written authorization from District's Project Manager. TASK 3 - PROJECT CLOSE-OUT SERVICES Consultant shall assist District to achieve project performance as specified in the contract documents, including the following: Electronic Operations and Maintenance Manual Consultant shall develop content for District's Electronic Operations and Maintenance Manual (EOM) describing the operation of the project facilities and systems in accordance with District and DEQ standards. This manual will explain the various primary modes of operation that may be used, including both normal operation and initial emergency operation procedures. The manual will explain the purpose and basic concept of the various processes that are incorporated into the overall plant. Where appropriate, reference will be made to the manufacturer s detailed O&M submittals. It will include instructions for process operations and test or laboratory procedures that may be required to monitor the performance of the facilities. The manual will be suitable for use as an operational tool and to facilitate operator training. The manual will be produced in a computerized format using a District-provided template and District-provided access to the existing EOM. A draft O&M manual shall be submitted for District review prior to 50% completion of construction. Consultant shall incorporate District review comments into the final document. Permits Assist District with securing permits by coordinating final inspections, submitting documents to the governing agencies, and coordinating final inspections by the agencies. Page 7 of 11

8 Record Drawings Prepare record drawings on the basis of information provided by the construction contractor and compiled by Consultant's staff. Record drawings shall be provided within 60 days following Substantial Completion. Record drawings shall revise the contract documents where applicable and include the following deliverables: Electronic files for each set of contract documents that are required to reproduce deliverable drawings, including the plot configuration parameter files, databases, and documentation files. Complete record documents will be provided to District in AutoCAD, TIFF, and JPEG formats. Carollo CAD standards will be used as modified by District guidelines. Specifications will be provided in Microsoft Word and PDF format. One half-size set of record drawings plotted on paper for hard copy and bound copy. Provide stamped drawings to Washington County, as required. Contract Close-out Coordinate with the construction contractor for the submission of warranties, guarantees, lien releases, maintenance bond, and other documentation as required by the contract documents for contract close-out. Consultant shall advise District as to the acceptability and compliance of these documents with the contract documents. Consultant shall advise District on final payment, release of retention, and release of bonds and insurance. Provide District with a complete organized set of project documents and records for the contract documents. District will coordinate all vendor training. TASK 4 ADDITIONAL DESIGN Based on technical evaluations and review of the details of the design included in the original scope, the following changes will be included in the design: Adding sheets to the drawing set that show construction history and design criteria for all solids process equipment instead of just the equipment being modified as part of this project. Adding demolition for the centrate piping and pump system to the design. Adding design for the replacement of the HVAC system for the digester control building. In addition to the additions to the design outlined above, decisions made late in the design process require redesign of some systems. These changes include: Adding variable frequency drives to the mixers. Changing the controls on the existing dewatering feed pump. Changing control of the HVAC units. Page 8 of 11

9 TASK 5 - Digester Mixing Evaluation The objective of this task is to complete a review to determine if Anaergia Submersible Electric Mixers are a viable and feasible alternative for the vertical shaft mixer presently specified for Digester No. 2. Consultant will develop a Technical Memorandum (TM) assessing the feasibility of the proposed substitution. The TM will include the following information: Available information on the success or failures of these mixers in other similar installations. Evaluation of the permanent magnet synchronous motor (PSM) technology. Compatibility with NFPA 820. Compatibility with existing electrical and instrumentation equipment and at the Rock Creek AWWTF. Changes required to the Contract Drawings. Potential construction schedule impacts, due to delivery times. Change Order Cost estimate. If District wishes to proceed with developing a change order to implement the substitution Consultant will: Develop Change Order paperwork Modify the following impacted drawings D113, 720D150, 720D302, 720D S153, 720S M DE150, 720E150, 720E403 - I202, 720I102 Wiring Diagrams as needed Consultant is not responsible for completing any structural evaluation of the digester with respect to installing the submersible mixer. The equipment supplier will be responsible for providing design for any structural modifications required for equipment installation and providing drawings and calculations as required for permitting the installation. TASK 6 - PROJECT MANAGEMENT The objective of this task is to plan and execute the work in accordance with the schedule, budget, and quality expectations that are established in this scope of services. 10 Task Activities Consultant shall perform the following to complete this task: 1. Attend or hold teleconferences as required by District s project manager to review the status of the planning effort. Progress meetings will normally be conducted at the Rock Creek Facility or via teleconference. 2. Document meeting decisions and action items; assign the activities to team members; and follow up to ensure timely resolution. 3. Monitor project progress including work completed, work remaining, budget expended, schedule, estimated cost of work remaining, and estimated cost at completion; manage activities within total project budget and scope. 4. Monitor project activities for potential changes, anticipate changes whenever possible, and with District approval, modify project tasks, task budgets, and approach to keep the overall project within budget and on schedule. 5. Manage the quality control review of all work activities and project deliverables; note that execution of the QA/QC program will be completed under the appropriate task. 6. Prepare and submit monthly invoice to include: narrative status report using District template, invoice, project expenditure cost table by task, and a summary schedule status. Deliverables Meeting notes, as required. Monthly invoices and progress reports. SERVICES NOT INCLUDED IN THE SCOPE OF WORK The following services are not included in the scope of this Amendment: Services related to development of District's project financing and/or budget. Services related to bid protests, bid rejection, and re-bidding including redesign. Services resulting from significant changes in the general scope or extent of the project or its design including revisions to previously accepted studies, reports, and design documents. Services necessary due to default of the construction contractor. Services related to damages caused by fire, flood, earthquake, or other acts of God. Services related to District s operation and use of the completed Project other than as provided in the scope of work. Services related to warranty claims, enforcement, and inspection. Page 10 of 11

11 Services related to litigation or alternative dispute resolution or extensive investigation or an unreasonable number of claims submitted by the contractor or others in connection with the work. Preparation for and serving as a witness in connection with any public or private hearing or other forum related to the Project. Extensive services in support of District s public relations activities. Performing extensive reviews of construction contractor or District-proposed substitutions. Outside testing and specialty testing services. Page 11 of 11
