2 INVITATION TO BID The Light Board on behalf of the Middleborough Gas & Electric Department invites qualified persons to submit bids for the furnishing of all labor, supervision, equipment and materials to construct a cast-in-place CONCRETE SLAB as a base for an enclosed 2 megawatt natural-gas-fired generator for the Middleborough Gas & Electric Department (MGED) at 677 Wareham Street in Middleborough, MA. Bids will be received at the Administrative Office, 32 South Main Street, Middleborough, Massachusetts until Wednesday, May 27, 2015 at 12:00 noon at which time they will be opened and read aloud. Any bids received after this time and date specified will not be considered. Sealed bids for this project shall be submitted on the enclosed form (Form of Bid) and accompanied by a Bid Deposit in the amount of five (5) percent of the bid amount in the following form: - bid bond or cash, or a certified treasurer s or cashier s check issued by a responsible Bank or Trust company payable to the Town of Middleborough. GENERAL: Description Bidder will provide all labor, supervision, equipment and materials to construct a cast-in-place CONCRETE SLAB as a base for an enclosed 2 megawatt natural-gas-fired generator for the Middleborough Gas & Electric Department (MGED) at 677 Wareham Street in Middleborough, MA. Bids enclosed in sealed envelopes marked "Bid for Concrete Slab for Enclosed 2MW Natural-gas-fired Generator Set", will be accepted at the Middleborough Gas & Electric Department s Administration Office, 32 South Main Street, Middleborough, Massachusetts, 02346, up to 12:00 PM on Wednesday, May 27, ***The Light Board may reject any or all bids, if it is in the public interest to do so. *** Location The site is at the Town of Middleborough s natural gas gate station. Access to the existing buildings and gas equipment must be maintained at all times. There is limited space for the staging of supplies and parking of vehicles. The site is fenced and all staging of equipment, supplies and parking of vehicles shall be discussed in advance with Mr. Bernie Gosson, Gas Division Manager, (508) or his representative. Special Provisions Work Hours: Bidder shall not work evenings, weekends and Holidays (specified by the Department) unless agreed to by both parties, in writing, prior to said work. The workday shall start no earlier than 7:30 AM and end no later than 3:30 PM, or as otherwise agreed to, in writing, by both parties in advance. Security Procedures: Bidder shall comply with MGED security procedures including signing in at the start of each work day and signing out at the completion of each work day, and communicating appropriately, as specified by the Department s Representative, with MGED site staff. Site Maintenance: All debris generated during the performance of the work is to be removed from the MGED property on a daily basis at Bidder s cost. The area is to be left in a safe and clean condition. No construction debris shall be disposed of in MGED trash receptacles or dumpsters. General Requirements of Work 1. The Bidder shall perform all work diligently, carefully and in a good and workmanlike manner. The Bidder shall furnish all labor, supervision, machinery, equipment and supplies necessary for the project. 2. The Bidder shall be responsible to notify Dig Safe as required by state law prior to commencing any excavations on this project. 3. All work shall be performed in accordance with the specifications and drawings attached. 4. Subcontracting of any portion of this contract shall not be permitted without prior written pg. 4

5 approval of the Department. If permitted to subcontract, the Bidder shall be responsible for all work performed by the sub-bidder. 5. The Bidder must take all necessary precautions for the safety of the public. The provision of any required safety equipment shall be the responsibility of the Bidder. 6. The Bidder shall indemnify and hold the Middleborough Gas and Electric Department harmless from any loss, damage, cost, suit, charge or expenses caused by or arising in connection with the use by the Bidder of any equipment, materials or facilities provided by the Middleborough Gas & Electric Department. 7. Site clean-up of the area relative to this project shall be the responsibility of the Bidder. Emergency Notification 1. The Bidder shall provide the Middleborough Gas & Electric Department the name or names of the personnel who are to be notified after normal working hours or on weekends in the event of a problem with the work area. 2. It shall be the Bidders responsibility to respond and correct any problems arising from the work performed by the Bidder or any sub-bidder. Permits The Bidder shall be responsible for applying for and obtaining all necessary permits for this project. i.e.: Building permit etc. II. TAX EXEMPT STATUS The Middleborough Gas & Electric Department, as an agency of the Town of Middleborough, is exempt from Sale and Use taxes. III. PERFORMANCE BOND: The Contractor shall furnish, prior to starting any work, Performance and Payment Bonds in the amount of 100% of the contract price, issued by a Surety Company qualified to do business under the laws of the Commonwealth of Massachusetts and satisfactory to the Owner. The form of the bonds shall be subject to the approval of the Owner. IV. INSURANCE: The Contractor shall indemnify and hold harmless the Town of Middleborough, the Middleborough Gas & Electric Department, its agents and employees for any and all claims for personal injury or damage arising out of or caused by the contractor s negligence or breach of this contract. The Contractor shall furnish, prior to starting any work, certificates of the following: pg. 5

6 (1) Workman s Compensation Insurance, in accordance with the provisions of Massachusetts General Laws, Chapter 149 section 34A, and Chapter 152 as amended. (2) Contractor s Public Liability and Property Damages Liability Insurance in the following amounts: (a) Bodily Injury $ 500,000 Each Person $1,000,000 Each Occurrence (b) Property Damage $ 500,000 Each Occurrence $1,000,000 Aggregate (c) Fire Insurance and Extended Coverage (d) Stored Material Insurance (e) Vehicle Liability Insurance in an amount not less than the compulsory amounts required by Massachusetts law. V. BID REQUIREMENTS: 1) Bid price shall be firm and include all necessary labor, materials and components to complete the Scope of work herein as Structural Excavation, Earth Protection, Structural Fill, Concrete Formwork, Concrete Reinforcement and Cast-in-place Concrete. 2) The delivery point shall be the Middleborough Gas & Electric Department worksite, located at 677 Wareham Street, Middleborough, Massachusetts. 3) The contract time commences immediately from the date that the executed contract is signed and all work under this contract shall be completed within the time frame indicated in the bid proposal. The Contractor shall state in his bid proposal the completion time for this project. 4) Warranty information shall be included with the bid and shall comply with requirements stated in the Scope of work. 5) Bidder shall complete and submit the attached Bid Form including the following information: a) An indication of whether the bid meets all the requirements of these specifications and, if it does not, a description of any deviations from these specifications. b) The total firm bid price. Bid price shall be a lump sum bid including the cost of all labor, equipment, material, police details, insurance, bonds and permits as described herein and as may be required. c) Start date and completion time after award of bid and executed contract. d) Bidder's name, business address, contact person and telephone number. The undersigned agrees that if he is selected as general contractor, he will promptly confer with the awarding authority on the question of sub-bidders; and that the awarding authority may substitute for any sub-bid listed above a sub-bid filed with the awarding authority by another subbidder for the sub-trade against whose standing and ability the undersigned makes no objection; and that the undersigned will use all such finally selected sub-bidders at the amounts named in their respective sub-bids and be in every way as responsible for them and their work as if they had been originally named in this general bid, the total contract price being adjusted to conform thereto. The undersigned agrees that, if he is selected as general contractor, he will within five days, Saturdays, Sundays and legal holidays excluded, after presentation thereof by the awarding authority, execute a contract in accordance with the terms of this bid and furnish a performance bond and also a labor and materials or payment bond, each of a surety company qualified to do business under the laws of the commonwealth and satisfactory to the awarding authority and each in the sum of the contract price, the premiums for which are to be paid by the general contractor and are included in the contract price; provided, however, that if there is more than 1 surety company, the surety companies shall be jointly and severally liable. The undersigned hereby certifies that he is able to furnish labor that can work in harmony with all other elements of labor employed or to be employed on the work; that all employees to be employed at the worksite will have successfully completed a course in construction safety and health approved by the United States Occupational Safety and Health Administration that is at least 10 hours in duration at the time the employee begins work and who shall furnish documentation of successful completion of said course with the first certified payroll report for each employee; and that he will comply fully with all laws and regulations applicable to awards made subject to section 44A. pg. 9

As used in this subsection the word person shall mean any natural person, joint venture, partnership, corporation or other business or legal entity. 12 AGREEMENT - CONTRACT This Contract is made by and between the Town of Middleborough, Massachusetts acting by and through its Gas & Electric Department hereinafter called OWNER and (Name of Contractor) (Address of Contractor) hereinafter called CONTRACTOR. OWNER and CONTRACTOR, in consideration of the mutual covenants hereinafter set forth, agree as follows: ARTICLE 1. WORK 1.1 CONTRACTOR shall perform all Work as specified or indicated in the Contract Documents. The Work involves providing all necessary labor, materials and components to complete the installation of a Concrete Slab as a base for an enclosed 2 megawatt natural-gas-fired generator for the Middleborough Gas & Electric Department (MGED) at 677 Wareham Street in Middleborough, MA. Scope of work includes Structural Excavation, Earth Protection, Structural Fill, Concrete Formwork, Concrete Reinforcement and Cast-in-place Concrete as specified in the Bid Specification Package dated May 13, ARTICLE 2. CONTRACT TIME 2.1 The CONTRACT shall be completed within (xx) calendar days of the execution of the CONTRACT. 2.1 CONTRACTOR agrees that the Work shall be prosecuted regularly, diligently, and uninterruptedly, except as otherwise noted and at such rate of progress as will ensure full completion thereof within the Contract Time stated above in Article 2.1. It is expressly understood and agreed, by and between CONTRACTOR and OWNER that the Contract Time is reasonable for the completion of the Work, taking into consideration the average climatic range and usual industrial conditions prevailing in this locality. ARTICLE 3. CONTRACT PRICE and PAYMENTS 3.1 OWNER will pay CONTRACTOR for performance of the Work awarded in accordance with the Contract Documents in current funds the lump sum of $. 3.2 CONTRACTOR shall submit a single Invoice for Payment for work completed. pg. 12

13 3.3 OWNER will make payments on the account of the Contract Price on the basis of CONTRACTOR S Invoice for Payment after completion of construction. Any payment will be on the basis of the progress of the Work for work completed and material delivered. 3.4 OWNER will make payments in accordance with the applicable Massachusetts General Law. ARTICLE 4. CONTRACTOR S REPRESENTATIONS 4.1 CONTRACTOR has familiarized himself with the nature and extent of the Contract Documents, Work, locality, and with all local conditions and Federal, State and local laws, ordinances, rules and regulations that in any manner may affect cost, progress or performance or the Work. 4.2 CONTRACTOR has studied carefully the physical conditions at the site or otherwise affecting cost, progress or performance of the Work. 4.3 CONTRACTOR has made or caused to be made examinations, investigations and tests and studies as he deems necessary for the performance of the Work at the Contract Price within the Contract Time and in accordance with the other terms and conditions of the Contract Documents; and no additional examinations, investigations tests reports or similar data are or will be required by the Contractor for such purposes. 4.4 CONTRACTOR has correlated the results of all such observations, examinations, investigations, tests, reports, and data within the terms and conditions of the Contract Documents. 4.5 CONTRACTOR has given OWNER written notice of any conflict, error or discrepancy that he has discovered in the Contract Documents and the written resolution thereof by OWNER is acceptable to the CONTRACTOR CONTRACTOR agrees that the Contract Documents are sufficient in scope and detail to indicate and convey understanding of all terms and conditions for performance of the Work. ARTICLE 5. CONTRACT DOCUMENTS 5.1 This Contract and its performance shall be governed by and subject to the provisions of the following documents, which are incorporated herein as an integral part of the Contract. MISCELLANEOUS 6.1 The Work shall be carried out under the direction and subject to the approval and acceptance of the Owner s designee. The Owner s designee shall be the person so designated below or the individual or individuals duly appointed for the performance of any functions or responsibilities under the Contract. Business Manager, Luis Chukiu 6.2 Wherever in the Contract the Owner is to give or receive a notice, the person identified in Article 6.1 shall be the Owner s agent for the purpose of service. 6.3 Where State or Federal approvals are required, this Contract shall not be valid until such approval or approvals are obtained. 6.4 Neither OWNER or CONTRACTOR shall, without the prior written consent of the other, assign or sublet in whole or in part his/her interest under any of the Contract Documents; and specifically, but without limitation, CONTRACTOR shall not assign any monies due or to become due without the prior written consent of the OWNER. In case the CONTRACTOR assigns all or any part of any monies due or to become due under this CONTRACT, the instrument of assignment shall contain a clause substantially to the effect that it is agreed the right of the assignee in and to any monies due or to become due to the CONTRACTOR shall be subject to prior claims of all persons, firms and corporations for services rendered or materials supplied for the performance or the Work called for in this Contract. Except that it is agreed that the right of the assignee in and to any monies due or to become due to the CONTRACTOR shall be subject to prior claims of all persons, firms and corporations for services rendered or materials supplied for the performance of the Work called for in this Contract. 6.5 OWNER and CONTRACTOR each binds itself/himself, his partners, successors, assigns and legal representatives in respect to all covenants, agreements and obligations contained in the Contract Documents. 6.6 The Contract Documents constitute the entire agreement between OWNER and CONTRACTOR and may only be altered, amended or repealed by a Modification in writing. 6.7 CONTRACTOR agrees to comply with the Town of Middleborough Minority Business Enterprise Program. 6.8 CONTRACTOR agrees to comply with the Town of Middleborough Anti-Discrimination and Affirmative Action Program. pg. 14

15 ARTICLE All provisions of federal, state, and local law which are applicable to this Agreement and the Work hereunder shall govern this Agreement. Any provision of this Agreement which is in conflict with said law shall be controlled by said law. 7.2 All provisions of state law which are required by law to be inserted in this Agreement are incorporated herein and shall be deemed to be inserted herein as if the same were fully set forth. ARTICLE Pursuant to Massachusetts General Laws, Chapter 62C, Section 49A, the person signing this Agreement on behalf of the CONTRACTOR hereby certifies under penalties of perjury that the CONTRACTOR has complied with all state laws relating to taxes, reporting of employees and contractors, and child support. WALKER, II Secretary JEAN ZEILER Acting Director Awarding Authority: Contract Number: Description of Work: Job Location: Middleborough Gas & Electric Department City/Town: MIDDLEBOROUGH Labor, supervision, materials and equipment necessary to construct a caste-in-place concrete slab including; structural excavation and earthwork; form work; and site work as specified by contract. 677 Wareham Street, Middleborough, MA Information about Prevailing Wage Schedules for Awarding Authorities and Contractors This wage schedule applies only to the specific project referenced at the top of this page and uniquely identified by the Wage Request Number on all pages of this schedule. An Awarding Authority must request an updated wage schedule from the Department of Labor Standards ( DLS ) if it has not opened bids or selected a contractor within 90 days of the date of issuance of the wage schedule. For CM AT RISK projects (bid pursuant to G.L. c.149a), the earlier of: (a) the execution date of the GMP Amendment, or (b) the bid for the first construction scope of work must be within 90-days of the wage schedule issuance date. The wage schedule shall be incorporated in any advertisement or call for bids for the project as required by M.G.L. c. 149, 27. The wage schedule shall be made a part of the contract awarded for the project. The wage schedule must be posted in a conspicuous place at the work site for the life of the project in accordance with M.G.L. c The wages listed on the wage schedule must be paid to employees performing construction work on the project whether they are employed by the prime contractor, a filed sub-bidder, or any sub-contractor. All apprentices working on the project are required to be registered with the Massachusetts Division of Apprentice Standards (DAS). Apprentice must keep his/her apprentice identification card on his/her person during all work hours on the project. An apprentice registered with DAS may be paid the lower apprentice wage rate at the applicable step as provided on the prevailing wage schedule. If an apprentice rate is not listed on the prevailing wage schedule for the trade in which an apprentice is registered with the DAS, the apprentice must be paid the journeyworker's rate for the trade. The wage rates will remain in effect for the duration of the project, except in the case of multi-year public construction projects. For construction projects lasting longer than one year, awarding authorities must request an updated wage schedule. Awarding authorities are required to request these updates no later than two weeks before the anniversary of the date the contract was executed by the awarding authority and the general contractor. For multi-year CM AT RISK projects, awarding authority must request an annual update no later than two weeks before the anniversary date, determined as the earlier of: (a) the execution date of the GMP Amendment, or (b) the execution date of the first amendment to permit procurement of construction services. Contractors are required to obtain the wage schedules from awarding authorities, and to pay no less than these rates to covered workers. The annual update requirement is not applicable to 27F rental of equipment contracts. Every contractor or subcontractor which performs construction work on the project is required to submit weekly payroll reports and a Statement of Compliance directly to the awarding authority by mail or and keep them on file for three years. Each weekly payroll report must contain: the employee s name, address, occupational classification, hours worked, and wages paid. Do not submit weekly payroll reports to DLS. A sample of a payroll reporting form may be obtained at Contractors with questions about the wage rates or classifications included on the wage schedule have an affirmative obligation to inquire with DLS at (617) Employees not receiving the prevailing wage rate set forth on the wage schedule may report the violation to the Fair Labor Division of the office of the Attorney General at (617) Failure of a contractor or subcontractor to pay the prevailing wage rates listed on the wage schedule to all employees who perform construction work on the project is a violation of the law and subjects the contractor or subcontractor to civil and criminal penalties.
