1 In accordance with the articles 9, 10, 11, 12 and 16 of the Law on Associations and Foundations of Republic of Srpska (Official Gazette of the Republic of Srpska 52/01) Assembly of the association Nova generacija" at the meeting held on in Banja Luka, adopted: STATUTE OF ASSOCIATION "NOVA GENERACIJA BASIC PROVISIONS Article 1. This Statute shall determine the provisions of the following: name and headquarters, objectives and actions through which the goals are achieved, the process of admission and exclusion of members and their rights and obligations, internal organization, Association bodies, their composition, powers and responsibilities, process of decision making, conditions, manner of election and recall, and the terms of office of members of the Association bodies, manner of submission of financial statements and reports; Acquisition and disposal of the Association property, the method of acquiring property, the public work of the Association, Amendments and changes to the Statute of Association, the form and content of the seal of the Association, conditions and procedures for merger, separation, transformation or cessation of the Association, and manner of disposal of assets in the event of termination of the Association. Article 2. (1) Name of the Association is the Association "Nova generacija", (hereinafter referred to as the Association). (2) The Association has its headquarters in Banja Luka and its activity is performed on the territory of the Republic of Srpska in accordance with applicable laws. (3) The Association, in case of need, may establish branches, offices, clubs and other organizational and legal forms in order to develop and implement its activities. OBJECTIVES AND ACTIVITIES Article 3. The Association is a non-political, non-governmental, non-profit and humanitarian association of social workers, psychologists, educators and other professionals whose goals are: 1) development and improvement of professional education and additional education of social workers and other professionals and non-professionals engaged in social activities, in accordance with the standards and requirements of modern science and social work practice of European countries; 2) encouragement of interaction among actors in the field of social protection and social policy at home and abroad; 3) promotion of new models of work in the field of social protection of population and social work and in raising awareness about the ecology of living; 1

2 4) encouragement and training of the population (particularly the target groups) for self-help in dealing with problems and satisfying their social needs; 5) education of the population, target groups and experts in this field; 6) protection and promotion of human, women, children and environmental rights; 7) fight against poverty; 8) prevention of human trafficking, domestic violence, especially abuse, neglect and exploitation of children; 9) protection of the elderly, infirm and homeless; 10) protection, assistance and support to children, persons with reduced intellectual capacity, people with disabilities, people with behavioral problems, the elderly, infirm, poor and socially disadvantaged individuals and families, the homeless and other marginalized and socially excluded groups; 11) organizing relief convoys, supply and delivery of humanitarian aid to citizens endangerd by social conditions, war or natural disasters. Article 4. (1) To achieve these goals, the Association is continually engaged in various forms of traditional and alternative education and additional education of students, professionals and supporters, especially in the NGO sector, in cooperation with teachers and colleagues at the Universities at home and abroad, students and other non-governmental associations, and providing forms of technical assistance, including counseling and therapeutic work with target groups. (2) The Association will particularly strive for: 1) Clearly defining and profiling the profession of social workers in our country and the region, within the humanities and the "helping professions ; 2) Ongoing evaluation, review and introduction of amendments to the curricula in the education of social workers and other "helping professions"; 3) Organization of conferences, symposia and seminars for students and professionals who are motivated to participate in various forms of alternative education and involvement in educational, social and humanitarian and other activities; 4) The organization of various projects aimed at the socialization issue, resettlement, integration and reintegration into society as well as learning social skills for specific target groups and beneficiaries of social work, as well as projects in the field of human ecology; 5) The protection of children and youth through collaboration with the Centers for Social Work and other relevant institutions in the city and state level, in order to establish reception centers, day care centers and shelters for child victims of trafficking and potential victims of neglect and abuse of children without adequate parental care, street children, as well as all other categories of children at risk, persons with disabilities and persons with reduced intellectual capacity; 6) activities of daily childcare 88.91, 7) Protection of women in collaboration with the Centers for Social Work and other relevant institutions in the city and state level, in order to establish safe houses; 8) Protection, assistance and support to elderly, infirm, poor and socially disadvantaged individuals and families and the homeless through the establishment of reception centers and stations, the opening of soup kitchens and the construction of social housing. 2

3 9) Cooperation with relevant institutions in order to open the institution to work with preschool children (kindergarten); 10) Issuing and publication of written, audio and video materials that are related to basic activities, and also brochures and professional texts and journals in the field of social protection. (3) In carrying out its activities the Association will collaborate with professional, expert, governmental and non-governmental and student organizations in our and other countries, especially with those organizations and institutions that have developed forms of social work. Article 5. (1) Member of the Association can be any person who accepts the goals of the Association and the statute, who is a professional in the field of social services or any "helping professions" and the person who wants to volunteer in these areas. (2) Membership is gained by signing the application. (3) Membership is made of: 1) regular members, who actively participate in the work of the Association, 2) founders and benefactors, whose contributions and donations contribute to creating conditions for better work of the Association, 3) honorary members, who with their knowledge, reputation and otherwise contributed to increasing and preserving the reputation of the Association, and for objective reasons are not able to participate actively in the work of the Association, 4) Collective members various institutions and other organizations that decide on the collective membership in the Association and provide the Association collective support for the realization of the objectives and tasks of the Association, (4) A member may voluntarily withdraw from membership by giving written statement of withdraw. (5) The decision on termination of membership can be brought also by the Assembly, on the proposition of the Steering committee. (6) The decision on the introduction of membership fees, fixing the amount and manner of payment of membership fees will be regulated by the Steering committee. Article 6. A member has the right: 1) to be elected to any function in the Association, 2) to be regularly informed about the overall activities of the Association, 3) to sign service contract, 4) to participate in activities that ensure the execution of the objectives of the Association, 5) to improve its profession and knowledge in accordance with the Association capacities, 6) to propose a new member and to take responsibility for its proposal, 7) to elect and animate associates, 8) to use the services of the Association, 9) other rights in accordance with the Law. 3

4 Article 7. (1) A member is obligated: 1) to actively contributes to achieving the goals and tasks of the Association, 2) to act on the affirmation of the activities of the Association, 3) to keep a business secret, 4) to know the structure and mode of action of the Association, 5) to know implemented and ongoing projects of the Association, 6) to carry out the tasks entrusted by the management structures of the Association, 7) to respect the internal rules of the Association, 8) to put his skills and knowledge in the service of the Association, 9) to help to prevent the occurrence of any negative activities in the Association and timely point to them, 10) to actively participate in the popularization of the Association, 11) to protect the reputation of the Association with his behavior, 12) to, on his own initiative in consultation with management structures of the Association find resources that will contribute to the financing of the general needs of the Association, 13) to perform other duties assigned by the Director. (2) Each member is responsible for his misconduct, failure to point out the harmful phenomenon, and personally and financially responsible for the harmful consequences produced by his behavior. Article 8. (1) In the case of non-compliance with the provisions of this Statute and other acts of the Association, the following penalty measures will be imposed to the members: 1) verbal notice, 2) removal from the implementation of the project, 3) written warning before exclusion from the Association, 4) exclusion from the Association. (2) Penalty measures are imposed by the Director. Article 9. Membership in the Association shall be terminated: 1) by resignation from the Association, 2) by exclusion from membership, 3) by deleting from the register, 4) by death of a member. MANAGEMENT BODIES Article 10. (1) The bodies of management of the Association are: the Assembly, Steering committee, the Director and the Secretary. 4

5 (2) A member of the Assembly, member of the Board, Director and Secretary cannot be a person who has been a subject of security measures, who is banned from public appearances during the period of the ban, a person who is declared incapacitated, and the person who is an active member of a political party. THE ASSEMBLY Article 11. (1) The Assembly is the highest governing body of the Association. (2) The Assembly of the Association consists of 15 elected members of the Association. Article 12. (1) Assembly can be regular and extraordinary. (2) The Assembly meets regularly once a year. (3) Extraordinary Session of the Assembly may be convened at the reasoned proposal of the Steering committee, as well as the written initiative of at least one third of the members which must be approved by the Steering committee. (4) In the regular session the Assembly sessions when it discusses and decides on issues of program activities and within their competence determined by this Statute in accordance with the law. Regular meetings are convened by the Director or Secretary of the Association on its own initiative or at the written request of the Steering committee or the 10 regular members of the Association. (5) If the Director or Secretary of the Association does not convene the Assembly within 30 days of receiving the request from the proposers from paragraph (3) of this Article, the proposers will be able to convene the Assembly themselves. (6) Assembly members receive a written invitation at least 8 days prior to the session. (7) The invitation should contain information about the time and place of the meeting and the proposed agenda and materials on the issues to be discussed. (8) Chairman of the Assembly is elected by the Assembly on the suggestion of the proposers. (9) The method of voting at the meeting (public or secret) is decides by the Assembly on the proposal of the Chairman of the Assembly. (10) The Assembly decides validly if at least half of the members of the Assembly is present. (11) Assembly validly decides by majority vote of members present. (12) Decision on changing the Articles of the Association, receiving an honorary membership, issues of disposal of assets and termination of the Association Assembly should adopt with a twothirds majority vote of the present members of the Assembly. (13) Meeting in extraordinary session of the Assembly is held when demanded by special circumstances, for which the Extraordinary Assembly must be convened, by a decision of the Steering committee. For convening and work of the Assembly in an extraordinary session apply the same rules as for the convening and work of the regular session of the Assembly. Article 13. The Assembly: 1) determines the work policy of the Association, 2) adopts and changes the Statute, 3) issues and adopts working plan and program 5

6 4) reviews and approves the reports of the Association, 5) reviews and approves the financial plan, 6) appoint and dismiss members of the Steering committee Director and the Secretary, 7) gives consent to the election of honorary members of the Association, 8) give consent to legal actions taken on behalf of the Association prior to the date of registration, 9) decide on the merger, separation, transformation, closure and other status changes of the Association, 10) Decide on other matters which are not within the jurisdiction of another authority. STEERING COMMITTEE Article 14. (1) Steering committee is the governing body of the Association and it has five members who are elected by the Assembly. (2) The term of office of Steering committee members is four years and they may be again elected to the same function. Each regular and honorary member, as well as representatives of the collective members of the Association may be elected as a member of the Steering committee. (3) The Assembly elects the President of the Steering committee, none of which is Director or Secretary of the Association, at the proposal of the President of the Assembly. (4) Member of the Steering committee may be dismissed: 1) at his own request, 2) if his behavior is damaging the reputation of the Association, 3) if hi does not perform the duties that are prescribed to him by Article 15 of the Statute. (5) The dismissal of a member of the Steering committee is decided by the Assembly at the next session. (6) The Steering committee shall meet at least once every 6 months or as needed. Meetings of the Steering committee are convened and chaired by the Chairman of the Steering committee, and may be convened by the majority of members of the Steering committee. The Steering committee has rules of procedure adopted by the Assembly. (7) President of the Steering committee, in case of absence, is replaced by a member of the committee authorized by him. (8) The Steering committee shall decide validly if at least one half of the members is present, and decisions are made by majority vote of the members present. Article 15. Steering committee: 1) manages the work of Association between the two sessions of the Assembly and make decisions to achieve the objectives of the Association, 2) brings strategic plan, annual plan and budget, and submit s the same for approval to the Assembly, 3) brings policies, ordinances, procedures and similar documents of the Association, 4) provides financial resources, 5) decides to initiate the procedure for amendments to the Statute, on its own initiative or upon the recommendation of at least five members of the Association; prepares draft amendments to the Statute and passes it to the Assembly for adoption, 6

7 6) prepares the sessions of the Assembly, 7) implement policies, conclusions and other decisions adopted by the Assembly, 8) manages assets of the Association, 9) approves the establishment and operation of local or regional offices, 10) approves the establishment and operation of other legal entities to carry out various activities in order to achieve the objectives of the Association, 11) on Director s proposal appoints the coordinator local or regional offices, 12) decide on membership fees, 13) proposes to cancel a person membership in the Association, 14) proposes honorary members of the Association, 15) decide on cooperation and membership of the Association in other domestic and foreign organizations and alliances organizations (networking), 16) supervise the financial affairs and reports detected irregularities to the Assembly, 17) reports on its work to the Assembly, 18) submits a financial report and the work report of the Association to the Assembly, 19) performs other duties specified by Statute or those given to him by the Assembly. DIRECTOR Article 16. (1) Director is the person in charge of management, presentation, representation and decisionmaking. The term of office of Director is four years and the same person can be elected to the same office after the expiry of the term of office. (2) Director signs all the documents of the Association. Article 17. Director: (1) legally represents the Association and has the rights and duties of financial principal; signs all financial documents in the name of Association, (2) implements policy, conclusions and other decisions made by the Assembly and the Steering committee, (3) manages daily activities of the Association between the two sessions of the Steering committee, (4) responds for the overall work of the Association, (5) has the right to withhold the implementation of all decisions and resolutions and other acts brought by the organs of the Association and, in a goal to legally solve problems take measures to eliminate the deficiencies which kept the act from execution, (6) provides financial resources, (7) decides on financial operations revenues and expenditures of the Association, (8) proposes strategic plan, annual plan and budget to the Steering committee, (9) proposes to the Steering committee policies, regulations, procedures and personal documents, (10) proposes to the Steering committee the financial statements and the reports on the work, (11) proposes to engage employees and, if necessary, the formation of commissions, councils and other bodies, 7

8 (12) proposes decisions to initiate the procedure for amendments to the Statute, on its own initiative, or as proposed by at least five members of the Association, (13) prepares the meetings of the Assembly, (14) manages assets of the Association between the two sessions of the Steering committee, (15) convene meetings of the Steering committee and make proposals for further work, (16) performs other duties specified by Statute or given to him by the Assembly or the Steering committee of the Association. (1) In the case of absence the Director may, if necessary, transfer certain powers within its jurisdiction to the Secretary or other staff members of the Association. (2) The Work of the Director is controlled by the Steering committee, which informs the Assembly of it, and proposes measures to sanction, if necessary. SECRETARY OF THE ORGANIZATION Article 18. (1) The Association has a Secretary who is, upon the proposal of the Director, elected by the Steering committee among the members of the Association. (2) The Secretary: 1) Carry out financial and administrative services for the Association, 2) Record and issue documentation, 3) Prepares the meetings of the Steering Committee and the Assembly, 4) Prepares the employment contracts, 5) Organize and informs the membership at all levels, 6) Execute orders of Director related to financial operations, 7) Contact with international humanitarian organizations in cooperation with the Director, 8) Answers to the use of the seal of the Association, 9) Can sign all the acts of the Association, 10) Performs other tasks for which he has been authorized by the Steering committee or the Director. (3) The Secretaries work is overseen by the Director, who due to possible irregularities informs the Steering committee which implements the sanctions by order of Assembly. (4) The Secretary report for his work to the Director and the Steering committee. OTHER BODIES OF THE ASSOCIATION Article 19. Commissions Assembly, the Steering committee and the Director as bodies of the Association may form commissions to resolve specific issues or for specific tasks. 8

9 Article 20. Professional sections (1) The Board initiates and organizes professional sections and appoints the members of these sections necessary for the work of the Association. (2) Each section has a Coordinator who leads the section. (3) In case of absence or inability of the Coordinator section, the section is managed by a member appointed by the Coordinator of the section. (4) The mandates of the members of the section are valid until there is a need or in accordance with the rules of procedure adopted by the section. (5) Sections work in the meetings that are held as needed. (6) Determining the scope, modes and limits the powers of sections is governed by the Rules issued by the Coordinator of the section with the approval of the Steering committee of the Association. TRANSPARENCY Article 21. (1) Work of the Association is transparent. (2) Steering committee and the Director regularly inform the members and the public about activities of the Association, directly or through internal publications, statements and press releases. COOPERATION WITH OTHER ORGANIZATIONS Article 22. To achieve its goals the Association contacts and actively cooperates with the professional, scientific, educational, governmental, and nongovernmental and student organizations at the local, national and international level. The Association may join international associations, coalitions and foundations, on a base of a separate decision of the Assembly by a two thirds majority of members present. Accession to international organizations, coalitions or foundations is registered with the competent state authority within the time limits prescribed by law. RESOURCES AND FINANCE, FINANCIAL STATEMENTS AND ADOPTION OF REPORTS Article 23. (1) The Association raises funds for its work through membership fees, donations, implementation of projects with government organizations or foundations, their own work, as well as from other sources in accordance with the law. (2) Financial Report and the Report of work are submitted to the Assembly by the Steering Committee at each regular session of the Assembly. Reports shall be submitted in writing. (3) The Steering committee may decide that the financial report and the report on the work in full or abbreviated format is published on the official website of the Association 9

10 MERGER, SEPARATION, TRANSFORMATION AND TERMINATION OF WORK Article 24. (1) The Association can merge and split with and other organization, association or foundation, or transform itself into an organization with other goals by the Assembly upon the recommendation of at least one third members of the Assembly. Decision of merger, separation or transformation requires two-thirds vote of present members of the Assembly. (2) The Association may cease to operate by the Assembly decision when conditions for achieving the objectives of the Association seas, as in other cases required by law. Decision on dissolution of the Association requires two-thirds vote of present members of the Assembly. (3) In case of dissolution, remaining assets, which are obtained, will be returned to the donors. SEAL Article 25. "Nova generacija" has a round seal that says: The Association "Nova generacija" of Banja Luka, the Serbian language (Cyrillic) on the upper side and the "Nova generacija", in English (Latin) at the bottom of the seal, and in the middle there is a logo of "Nova generacija" which has the symbolic meaning of circuit. The logo is composed of four oval lines which are concave inward, each a different color as follows: dark pink, blue, yellow and light green. Above each line there is a circle filled with the appropriate color. AMENDMENTS TO THE STATUTE AND MAKING OTHER GENERAL DOCUMENTS Article 26. (1) The decision to initiate the procedure for amendments to the Statute, on its own initiative, upon the recommendation of at least five members of the Association is made by the Steering Committee, which prepares a proposal for amending the Statute. (2) The decision on Amendments to the Statute is passed by the Assembly and the adoption of this decision requires a two-thirds majority of members present. (3) The manner of giving authority and adopting other legal acts is foreseen in the same way as the procedure for amending the Statute. APPLICATION OF THE STATUTE Article 27. This Statute shall be applicable upon adoption by the Assembly of the Association, and shall be in use from the date of registration with the relevant authorities.
