Maharashtra Fisheries Development Corporation is implementing the scheme to set up Modern Fish Markets in the state under National Fisheries Development Board. Maharashtra Fisheries Development Corporation intends to appoint as PANEL OF EXPERT to set up Flake / Tube Ice plants and cold storage rooms from 1 to 5 MT Capacity in each modern fish markets depending on the area available and the financial provisions of each market. The expression of interest is invited for supply, erection and commissioning of machinery required for ice plant and cold storage to the beneficiary agencies for Modern Fish Market sanctioned by NFDB in Maharashtra state. The agencies involved in supply of machinery for ice plant and cold storage having an experience at least for last 3 to 4 years, are invited to submit their expression of interest along with proposal and detailed project report with in 15 days from publication of this notice. (ADF) on e-tendering website of Government of Maharashtra, by filling Demand Draft details online. Subsequently, bid has to be prepared and submitted online ONLY as per the schedule. The Tender form will be available online only. Tender forms will not be sold / issued manually from offices of MFDC. Only those Tender offers shall be accepted for evaluation for which nonrefundable Tender Fee of Rs. 500/- ( Rupees Five Hundred only), in the form of Demand Draft drawn in favour of Maharashtra Fisheries Development Corporation Ltd., Mumbai payable at par at Mumbai, is deposited in the office of Maharashtra Fisheries Development Corporation Ltd., at 3rd Floor NKM International House, B.M. TENDER FORM INSTRUCTIONS TO BIDDERS TERMS & CONDITIONS PREPARATION & SUBMISSION OF BIDS Both the Bids (Technical as well as Commercial) shall have to be prepared and subsequently submitted online only. Bids not submitted online will not be entertained. TECHNICAL BID Following documents should be uploaded in Online Technical Envelope (T1) in PDF format, if required can be Zipped as well and then uploaded. These documents need to be digitally signed by individual contractor s digital signature and uploaded during Online Bid Preparation stage. 5 2) EARNEST MONEY DEPOSIT (EMD) Bidders are required to submit the Demand Draft amounting to Rs. 17,500/- (Rupees Seventeen thousand Five Hundred Only) valid for 6 months from the date of issue, as Earnest Money Deposit. This Demand Draft must be in the favour of Maharashtra Fisheries Development Corporation Ltd., Mumbai payable at par at Mumbai, is deposited in the office of Maharashtra Fisheries Development Corporation Ltd., at 3rd Floor NKM International House, B.M. Chinoi Marg, Behind LIC (Yogekshame) Bldg., Mumbai on or before scheduled date given in NOTICE DETAILS of the tender on working days. Offers made without Earnest Money Deposit shall be rejected. The Bank Demand Draft must be of a Nationalized Bank having office or branch in Mumbai. 3) A copy of PAN and a Xerox copy of last three years income tax return statement should be enclosed with the Tender Form A 4) An attested copy of the valid VAT or Central Sales Tax registration, clearance certificate up to December, 2012, should be enclosed with the Tender Form A. Or if not applicable / concession is provided then tenderers should submit a Xerox copy of certificate issued by relates sales tax office signed by authentic officer. Tenders received without the VAT clearance certificate are liable to be rejected. 5) An experience certificate for at least 3-4 years is required from Government, semi government, reputed company s or Fisheries co-operative sector from the state. Any bidder should not quote his offer any where directly or indirectly in Technical Envelope (T1), failing which the Commercial Envelope (C1) shall not be opened and his tender shall stand rejected. INSTRUCTION TO BIDDERS FOR ONLINE BID PREPARATION & SUBMISSION During the activity of Bid Preparation, the tenderer is required to upload all the

6 documents of the technical bid by scanning the documents and uploading it in the PDF format. This activity of uploading the documents as well as preparation of commercial bid and other Annexures enclosed with the tender (if any) shall be completed within the pre-scribed schedule given for bid preparation. After Bid Preparation, the tenderer is required to complete Bid Submission activity within pre-scribed schedule without which the tender will not be submitted. Interested contractors / bidders will have to make online payment (using credit card/debit card/net banking/cash Card) of Rs. 1038/- (inclusive of all taxes) per bid per tender to online service provider of e-tendering system (Sify NexTenders) at the time of entering Online Bid Submission stage of the tender schedule. Non-payment of processing fees will result in non submission of the tender and Department will not be responsible if the tenderer is not able to submit their offer due to non- payment of processing fees to the e-tendering agency. Detailed list of different modes of online payment to e-tendering service provider (EPayment Options) has been provided under E-Tendering Toolkit For Bidder section The date and time for online submission of envelopes shall strictly apply in all cases. The tenderers should ensure that their tender is prepared online before the expiry of the scheduled date and time and then submitted online before the expiry of the scheduled date and time. No delay on account of any cause will be entertained. Offers not submitted online will not be entertained. If for any reason, any interested bidder fails to complete any of online stages during the complete tender cycle, department shall not be responsible for that and any grievance regarding that shall not be entertained. OPENING OF BIDS: The tenders that are submitted successfully online will be opened on the schedule date before the participant. Bids shall be opened either in the presence of bidders or it s duly authorised representatives. The bidder representatives who are present shall sign a register evidencing their attendance. Only one representative per applicant shall be permitted to be present at the time of opening the tender. TECHNICAL ENVELOPE (T1) : First of all, Technical Envelope of the tenderer will be opened online through e- Tendering procedure to verify its contents as per requirements. At the time of opening of technical bid the tenderer should bring all the original documents that have been uploaded in the Online Technical Envelope (T1) so that same can be verified at the time of opening of technical bid.

7 If the tenderer fails to produce the original documents at the time of opening of technical bid then the decision of the committee taken on the basis of document uploaded will be final and binding on the tenderer. If the various documents contained in this envelope do not meet the requirements, a note will be recorded accordingly by the tender opening authority and the said tenderer s Commercial Envelope will not be considered for further action but the same will be recorded. Decision of the tender opening authority shall be final in this regard. The commercial bids shall not be opened till the completion of evaluation of technical bids. The commercial Bids of only technically qualified Bidders as mentioned above will be opened. COMMERCIAL ENVELOPE (C1) : This envelope shall be opened online as per the date and time given in detailed tender schedule (if possible), through e-tendering procedure only, General Instruction I. Validity of the offer should be mentioned in Form A Tenders. Tenders with less than 180 days Validity will not be considered. II. The expression of interest is intend to appoint expert for supply of machinery of flake/ tube ice of varying capacity from 1 to 5 MT per day, depending on the area available with the beneficiary agency and also for supply of machinery of cold storage of varying capacity from 1 to 5 MT, depending on the area available with the beneficiary agency. III. The supply of the desired quality of machinery should start within 8 days from the date of receipt of order from each agency, if the supply is not started within the stipulated time period, the contract will be cancelled and Security Deposit amount will be forfeited. It is time bound programme and has to be completed with in 1 month or as per the directives of M.D. MFDC. IV. If the lowest tender, whose rates are finalised and approved, fails to supply order within stipulated time. The order can be placed next to L1 tenderer/supplier & respectively and the difference in the rate will be recovered from the defaulting tenderer either by adjusting in the deposit amount or by directly asking to pay the difference. V. If the participating tenderer tries to hide the facts or any false information is submitted by him then his tender shall be treated as cancelled and the Earnest Money Deposit shall be forfeited. VI. The schedule of uploading and timings has been given and the tenderers have to strictly follow the schedule & timings for uploading the documents. There will not be any changes in the scheduled programme. The last date for submission and opening of etender as per schedule given. It is pertinent for the tenderer or his authorised representative to attend the Tender opening.

8 VII. The Maharashtra Fisheries Development Corporation, Mumbai reserves the right to distribute the orders at acceptable rates amongst two or more tenderer or may accept or reject any tender without assigning any reasons thereto. VIII. The Maharashtra Fisheries Development Corporation reserves the right to change in number of destinations for supply of Machinery and the number of ice factories & cold storages as per the decision of the MFDC. IX. Failure to observe any of the conditions mentioned above will result in the Tenders being summarily rejected. X. The M.F.D.C. reserves the rights to accept or reject any/all tender/s without assigning any reason thereof. XI. Any legal disputes shall be restricted to MUMBAI Jurisdiction only. XII. That in the event of either party being rendered unable by "force majeure" to perform any obligation required to be performed by it under this agreement, the relative obligation of the party affected by such force majeure shall after notice under this clause be suspended for the period during which such clause lasts. The term Force Majeure as used herein shall mean act of god, war, strikes or riots, fire, floods, Cyclone and Earth Quack act or regulation of the Govt. of India / State Govt. or any of its authorised Agencies. Upon the occurrence of any force majeure cause and upon its termination, the party alleging that it has been rendered unable as aforesaid, shall notify the other party in writing within Twenty Four (24) hours of the alleged beginning and ending there of giving full particulars and satisfactory explanation in support of its claim. Time for performance of the relative obligation suspended by the force majeure shall then stand extended by the period for which such cause lasts without any economical burden on Principal. XIII. Security deposit : The successful tenderer have to be deposit security deposit of Rs. 1,05,000/- in the form of Demand draft in favour of MFDC. TENDER FORM B INSTRUCTIONS TO TENDERS - TERMS & CONDITIONS 1. The rates should be quoted separately for the supply of Machinery for ice plant and cold storage with different capacities including transportation at the requested Destination inclusive of all taxes in the prescribed tender form provided by M.F.D.C. 2. Separate tenders are required for ice plants and cold storage. One tenderer can submit both the tender separately for ice plant & cold storage. 3. Tenderer is requested to quote rate as per the destinations, Which include all types of taxes, dues and octroi. 4. The supply should be started within 8 days from the date of receipt of order. Tenderer should state the earliest delivery period necessary for completion of order, if required. The supply of Machinery should complete with in 1 month or as per directives of M.D. MFDC. 5. Validity less than 180 days of tender will be rejected. 6. More than one offer from one tenderer will be treated as invalid. 7. Conditional offer will be rejected/ not considered. 8. Consignee has the right to reject the Machinery immediately at Destination, if it is not as per specifications of given in the tender documents.

9 9. Payment shall be made by the beneficiary agency on the basis of the receipts received by them duly accepted & signed with seal by the parties to whom the Machinery are supplied. 10. Successful tenderer will be required to pay an amount of Rs Lakhs as security deposit and enter into an agreement for the due performance of the contract. In event of the order being placed against the tenderers, and the tenderers fail to supply the machinery according to the terms and conditions of the tender. The Managing Director, M.F.D.C., Mumbai in his sole discretion shall take action deemed fit as under. (i) The offer of the defaulting tenderer will be cancelled. (ii) The defaulting tenderer will be penalized to the extent of the difference of rate at which the remaining tenderer will be executed by next tol1 & respectively to complete the whole tender. 11. The payment of the bill shall be made by the beneficiary agency after receiving certificate issued by the authorized and designated officers of the beneficiary agency, which shall be duly signed by the tenderer or his representative and the members of related fisheries co-operative society. Initially 80% payment will be released after getting the receipt of certificate and panchanama. Panchanama should be signed by the beneficiary agency and satisfied about supply and balance 20% will be released after execution of all orders placed by the beneficiary agency. 12. In the case of non-delivery or delayed delivery against an order placed, the M.D., M.F.D.C. reserve its right to impose such penalty in its sole discretion as it thinks fit. 13. The M.D., M.F.D.C. may decide procurement of the Machinery, in unavailable circumstances. The decision of the M.D., M.F.D.C. will be final and binding on the supplier. 14. If the defaulting tenderer fails to pay the penalty in that case his tender will not be considered by the M.F.D.C. in future as well as the same will be informed to the Government departments. 15. The M.F.D.C. reserves the rights to accept or reject any/all tender/s without assigning any reason thereof. 16. Any legal disputes shall be restricted to MUMBAI Jurisdiction only. Arbitration: Any dispute, claims or rights arising out of or in relation to this contract shall be referred for Arbitration to an Arbitrator appointed by the secretary, Department of Animal Husbandry, Dairying and Fisheries, Ministry of A.D.F., Govt of Maharashtra. Arbitration shall be conducted in accordance with the provisions of the Arbitration and Conciliation Act 1996 and the venue for the arbitration shall be at Mumbai. Managing Director
