1 AGREEMENT OF COOPERATION BETWEEN PIMA COUNTY COMMUNITY COLLEGE DISTRICT (PCCCD) AND EL COLEGIO NACIONAL DE EDUCACION PROFESIONAL TECNICA (CONALEP) (THE NATIONAL COLLEGE FOR PROFESSIONALTECHNICAL EDUCATION) AGREEMENT OF INTERINSTITUTIONAL ACADEMIC COOPERATION BETWEEN THE NATIONAL COLLEGE FOR PROFESSIONAL TECHNICA EDUCATION, HEREUPON TO BE REFERRED AS El CONALEP", REPRESENTEO IN THIS DOCUMENT BY ITS GENERAL DIRECTOR, ING. DIODORO GUERRA RODRIGUEZ, WITH THE PARTICIPATION OF THE INTERNATIONAL RELATIONS OFFICE OF THE DEPARTMENT OF PUBLIC EDUCATION OF THE UNITED MEXICAN STATES, HEREUPON TO BE REFERRED AS "DGRI REPRESENTED BY LIC. VICTOR SOLOGAISTOA BERNARD, AS ITS GENERAL DIRECTOR; AND PIMA COUNTY, COMMUNITY COLLEGE DISTRICT, IN TUCSON, ARIZONA, UNITED STATES OF " AMERICA, HEREUPON TO BE REFERRED AS "PCCCD", REPRESENTED BY MR. STEVEN DARAK, CHAIRMAN OF THE BOARD OF GOVERNORS AND DR. JOHNAS F., HOCKADAY, AS ITS CHANCELLOR, IN ACCORDANCE WITH THE FOLLOWING STATEMENTS AND CLAUSES: I. FROM "EL CONALEP": STATEMENTS I.1 That it is a public institution, decentralized from the Federal Goverment of Mexico, having its own legal status and patrimony, whose purpose is to, contribute to national development by providing training programs for qualified professional personnel at the postsecondary level, which the country's private sector demands, and which will be in agreement with the. original Decree, published by the Diario Oficial de la Federación (Official Journal of the Federation), on December 29, I.2 Which, in order to completely satisfy the goals and objectives established under this Decree, recognizes the Importance of academic cooperation with educational institutions, national and foreign, public or private.

2 I.3 Whose Representative Mr. Diodoro Guerra Rodriguez, the General Director is authorized to sign agreements with states and institutions, public and private, in accordance with the provisions stipulated in Article 14. Sections VII and VIII of the original Decree, and accredits its legal status with his appointment by, the President of Mexico, Mr. Carlos Salinas de Gortari, on May 25, I.4 Whose address, for the legal purposes of this Agreement, is: Avenida CONALEP No.5, Municipio de Metepec, Estado de México, C.P II. FROM DGRI : II.1 II.2 II.3 That in accordance with the provisions of Articles 3 and 48 of the bylaws of the Department of Public Education of Mexico, is an administrative unit of said Department, and has, among others, the power to promote and develop activities of cooperation and scientific exchange, as well as technical, cultural, artistic and educational exchange with other countries and international organizations, and as such, represents the Secretariat in carrying out these commitments which are derived from agreements of an international nature, and in such manner is participating in formalizing this document. FROM PCCCD : III.1 III.2 That is a public education institution of post-secondary education granting certificates and degrees at the Associate level, and which recognizes the need for cooperation and exchange with other educational institutions, both domestic and foreign, to benefit its students, faculty, and general community; Which is governed by a Board of representatives elected by the people of the five districts of Pima County, Arizona, United States of America, and represented in the signing of this document by Mr. Steven Darak, Chairman of the Board of Governors, and by Dr. Johnas F. HocKaday, Chancellor, whom accredit their legal status in the signing of this document respectively by the election of his fellow members held on January, 1992, and by his appointment by this Board of Governors as chief administrative officer of PCCCD on May 15th

3 III.3 Whose address, for the purposes of this agreement, is: 200 North Stone Avenue, Tucson, Arizona , United States of America. IV. JOINT STATEMENTS: IV.1 In conformity with Articles 3 and 12.1 of the Basic Agreement of Scientific!and Technical Cooperation, endorsed by the Goverments of Mexico and, the United States of America on June 18; 1972, both parties have resolved to sign this Agreement of Interinstitutional Academic Cooperation and have, declared their approval of what is stipulated here. IV.2 Both institutions will secure, through individual contract or by means of consortia or other cooperative arrangements, the resources facilities and services necessary for fulfillment of the objectives of this agreement. In light of the preceding statements, both parties jointly grant the following: CLAUSES FIRST SECOND Both parties agree that the purpose of this document is to establish general conditions of interinstitutional academic cooperation in areas of mutual interest and benefit. A procedure will be developed jointly by both parties for the review and approval of proposals in areas of mutual interest. Such proposals for specific programs or projects will be presented in written form and will discribe in detail the activities to be developed localities involved, work calendars, profile and number of personnel involved, required budgets, the financial and physical resource participation of each party, evaluation forms, and other necessary data and documents to accurately determine the end and scope of each project. Once approved, such proposals will be considered parts of this document and will be in category of specific agreements of collaboration.

4 THIRD In order to accomplish the purposes of this agreement, both parties will agree to collaborate in the following ways: a) Support approved academic and cultural projects involving the exchange of information, experts, instructional materials. Equipment and other elements considered necessary for strengthening their respective educational capacities. In addition exchange programs for sports, cultural or social purposes will be supported. All of these exchange projects will be for the benefit of our respective communities in both Mexico and the United States of America, and will be implemented without affecting other instructional, administrative and service activities, but will enhance them. b) Organize joint programs and activities, such as pilot programs of an, experimental nature in those areas and topics that are judged of common interest and mutual benefit. c) Implement courses in specialized technical training and personnel administration, as well as a schedule, of conferences, round tables, seminars and, other academic activities for faculty. The student community and the public in general will be invited to participate in these activities as deemed appropriate. d) Conduct joint surveys and studies necessary for better understanding of problems and needs regarding technical education of interest to Mexico and the United States of America. e) Undertake joint activities that are considered useful in strengthening ties with business and industry on both sides of the border. FOURTH FIFTH SIXTH Both parties agree to abide by and institutional, national and international laws and regulations applicable to intellectual property and access to information. In order to facilitate and insure the successful development of programs and activities under this agreement, both parties will establish planning, evaluation, and follow-up procedures for each approved project. In like manner, they will periodically inform the Joint Commission created by the Basic Agreement of Scientific and Technical Cooperation, signed on June 18, 1972, of their activities.

5 SEVENTH The present agreement will be in force for an indefinite period of time beginning on the day of its signature, without affecting the power of either party to introduce, at any time, any modifications or additions that may be deemed necessary. Either party can terminate the agreement by written notification to the other party with sixty, days notice. The development and culmination of the projects that are m progress at that time will be resolved by negotiation and common consent. EIGHTH In the case of any doubt related to the interpretation or fulfillment of the present agreement, the parties will solve their differences by common consent. Both parties agree that the, present document will be subjet to regal regulation applicable at the time m both Mexlco and the United States of America. This Agreement, having been read and the participants having been informed of its content and scope, is signed in Metepec, Estado de Mexico on the twenty second day d of the month of June, nineteen hundred and ninety-two, in three copies, in Spanish and, in English, all of them being exactly alike and authentic.
