For and on behalf of Tamilnadu Tourism Development Corporation Limited, sealed Tenders are invited in the prescribed tender documents under two bid systems for franchising of operation and maintenance of Pay & Use Toilet blocks at Boat House, Ooty & Additional Boat House, Ooty. In the event of last date for submission/opening of Tender falls on a holiday, the acceptance/opening of the Tenders will be on the next working day at the same time and venue. 4 ANNEXURE II TAMILNADU TOURISM DEVELOPMENT CORPORATION LIMITED Nature of work: FRANCHISING OF OPERATION AND MAINTENACE OF THE PAY & USE TOILET BLOCKS AT BOAT HOUSE, OOTY & ADDITIONAL BOAT HOUSE, OOTY. INSTRUCTIONS AND CONDITIONS TO THE TENDERER 01. Sealed Tenders are invited from the reputed firms/persons towards franchise of Operation and maintenance of the Pay & Use Toilet Blocks at Boat House, Ooty (existing and the newly constructed hi-tech Toilet block) and Additional Boat House, Ooty by Tamilnadu Tourism Development Corporation Limited, Ooty for a period of three years from the date of issue of work order. Tenders should be in the prescribed original form obtained from the above address and sent to the Regional Manager (North), Tamilnadu Tourism Dev. Corpn. Limited, Hotel Tamilnadu, Charing Cross Road, Ooty The Tenders not in the prescribed/original form will be summarily rejected. 2. Two sealed covers containing and superscribed as Technical Bid and Price Bid separately, should be submitted along with a covering letter in a separate sealed cover. 03. The Technical Bid must be accompanied by an EARNEST MONEY DEPOSIT OF Rs. 20,000/- (RUPEES TWENTY THOUSAND ONLY) payable by crossed Demand Draft on any one of the Scheduled Banks having its Office at Ooty. The Demand Draft should be drawn in favour of the Manager, Boat House, Ooty. No other form of Earnest Money Deposit will be accepted. 04. The eligibility Criteria of the Tenderer is at Annexure I. Tenders received without Earnest Money Deposit along with the Technical Bid will not be accepted and the same will be summarily rejected. 05. The successful bidder shall be intimated on his selection for the award of contract.

5 06. The Toilet blocks which is as is where condition will be handed over to the highest bidder only after the remittance of full amount of franchise fees in one lump sum and producing the Bank Guarantee of 50% of the franchised amount for second year. The Bank Guarantee from a Nationalized Bank/Scheduled Bank should have validity for four years. The Franchisee should remit the first year franchise fee + 18 % GSTwithin 15 days from the date of issue of confirmation orders. The franchisee shall remit the second year and the third year franchise fee + GST as applicable before one month of the commencement of the second year and third year franchise respectively. 07. The Tenderer (Authorized signatory of the Company) or firm or concern should sign at the bottom space of all the pages of the tender document. 08. The Franchisee shall be responsible for the operation and maintenance of the pay & use Toilet blocks, any repair work and further improvement work shall be carried out by the franchisee only by their own cost after obtaining written permission from T.T.D.C. 09. The Technical Bids will be opened at the Office of the Regional Manager (North), T.T.D.C. Ooty. The qualified tenderer s Price Bid will be opened on a date and time which will be intimated to the technically qualified tenderers. Both the Bids will be opened in the presence of tenderers or their authorized representative who choose to be present at that time. 10. The period of Franchise is three years only. 11. The Earnest Money Deposit of the unsuccessful bidder will be refunded after decision taken on the Tender. For the successful tenderer Earnest Money Deposit will be refunded after the lease period, which is three years from the date of handing over by T.T.D.C. to the Franchisee. 12. The amount deposited as Earnest Money Deposit as required in clause 4 above will not carry any interest. 13. Successful Tenderer will be intimated about the acceptance. Hence, no enquiry in this regard need be made. 14. All columns in the Tender schedule shall be duly, properly and exhaustively filled in ink. The rate shall be entered in words also underneath the figures. No alteration in the description of the schedule shall be permitted. All corrections should be authenticated under the full signature of the tenderer. In case of variations in the rate quoted in words and figures, the rate quoted in the words only will be taken into consideration.

6 15. The interested parties can see the Pay & use Toilet blocks at Boat House, Ooty with the permission of the Manager, Boat House, Ooty. 16. The Tariff for using the Toilets should be Rs. 5/- (Rupees Five only)per head. The franchisee should not revise the rate without getting prior permission from T.T.D.C. Violation noticed in this regard will attract penal action. 17. The franchisee fee for all the three years should be quoted in the price bid by the tenderer along with 18 % GST. The second year and third year franchise fee shall have a minimum escalation of 10% over the previous year s franchise fees + GST. 18. The Electricity, water and other charges if any shall be borne by the franchisee. 19. The Tenderer will be solely responsible for any untoward incident that may occur during the franchise period. In such event the tenderer should meet the claims for compensation, insurance coverage etc. 20. The franchisee has no right to make any new improvements. For attending any alteration, they may get prior permission from TTDC Ltd., 21. All the Tender procedures shall be as per the provision of Tender Act and rule of Tamilnadu Transparency in Tender Act 1998 and Transparency in Tenders Rules 2000 and the connected rules. 22. The tenderer should execute an agreement with the Manager, Boat House, Ooty. T.T.D.C. Limited for the maintenance of Pay and Use Toilet blocks after awarding the work order. 23. The infrastructure provided by the tenderer for the issue of tokens and collection of money should be semi permanent nature only and should be easily detachable at any given time, which should be of fire resistance materials, it may be moved/removed at any time by the decision of T.T.D.C. 24. The Tenderer should provide adequate water supply facility at his own cost at the pay & use Toilet blocks in all working hours. 25. No bidder shall contact the TTDC on any matter relating to its bid from the time of bid opening till the contract is awarded.

7 26. Any effort by a bidder to influence the T.T.D.C. in the T.T.D.C s bid evaluation, bid comparison or contract award decisions may result in rejection of the bidder s bid. 27. The Tenders submitted beyond the date and time fixed shall be summarily rejected. 28. Any postal delay or loss in transit will not bind T.T.D.C. Ltd., 29. Managing Director, Tamilnadu Tourism Dev. Corpn. Ltd., reserves the right either to accept or reject any or all the tenders at any time prior to award of contract. 30. Disputes if any arises, the Arbitrator will be appointed by mutual consent of both the parties and the arbitration proceedings will be as per the Arbitration Act. The jurisdiction will be at Chennai. 31. The bidder if it is a company or individual should submit the latest annual audit report for the past three years. 32. The Tenderer should enclose a Xerox copy of the Ration Card, Voters Identity card, Aadhaar Card for proof of address. 33. The Tenderer should enclose their passport size photographs three numbers with their signature at the reverse. 34. The Pay and Use Toilet blocks should be maintained neat and clean always without any complaints from the visiting tourists. 35. The Tenderer should sign in the bottom of all the pages having read and understood the terms and conditions and abide it. NOTE: After awarding the work order, if the Tender Committee finds that, the documents submitted by the Tenderer found false/wrong, the work order issued will be cancelled immediately. New hi-tech toilet : toilets for ladies (E.W.C.) and 10 toilets for Gents (5 E.W.C. & 5 I.W.C.) numbers of urinals for gents and 2 numbers each (E.W.C.) for the Differently abled. Existing Pay & Use toilet block available at Boat House, Ooty 1. 8 Gents toilets (I.W.C.) & 10 Urinals, 2. 8 (I.W.C.) toilets for ladies No s of gents toilet (I.W.C and 2 urinals with wash basin. Apart from the above, four numbers of Bio-Toilets will be provided inside the Boat House, Ooty wherever necessary and the same should be maintained neatly without any complaints from the visiting tourists. Additional Boat House, Ooty Ladies toilet with I.W.C. and 1 No: Wash basin available in additional Boat House, Ooty. Apart from the above, six numbers of Bio-Toilets will be provided adjacent to the Pay and use toilets available in the Additional Boat House, Ooty and the same should be maintained neatly without any complaints from the visiting tourists.

The bidder having the following minimum qualification criteria only shall be considered for technical qualification The bidder should have minimum two years experience in operation and maintenance of Toilets in any Government Departments on his own (Documentary proof of evidence should be furnished) E.M.D of Rs. 20,000/- (Rupees Twenty Thousand only) shall be remitted along with the Technical Bid. 1.3 The bidder should enclose a Xerox copy of the Ration Card, Voters Identity card Aadhaar for proof of address The Tenderer should enclose their passport size photographs three numbers with their signature at the reverse PAN Card Number Xerox copy should be enclosed Income Tax returns for the year and SIGNATURE OF THE TENDERER.
