2 Introduction 1 The aim of this document is to set out the duties, roles and responsibilities of Feltonfleet Governors to the School and all people connected with the School. Feltonfleet Governors "govern" rather than "manage". They operate as a board, a corporate body with an identity separate from that of the School. They are there to give direction and focus by performing a vital strategic role whilst the day to day management of the School is the responsibility of the Head and the Staff. Feltonfleet School Governors make collective decisions as part of a governing body whose primary function is to help raise the standards and performance of the School by supporting the work of the Head and Staff. Governors support and at the same time challenge, by assessing how the School is performing, asking questions and deciding what is in the best interests of the School. Governors make important decisions on how the School will be run and are responsible for their decisions. Feltonfleet s governing body is answerable to parents and the wider community. 3 The Role of Feltonfleet Governors 2 Expectations of Governors Appoint the Head and Bursar Ensure proper support for Head and Staff Ensure proper application and protection of resources Ensure proper financial oversight Make decisions on the School's budget, expenditure and staffing With the Head and Staff, take a strategic approach to the long-term future of Feltonfleet Contribute to the development planning and effective long term planning of the School Ensure the School promotes high standards Set standards for Staff behaviour and support the Head, taking disciplinary action where necessary Support the realisation of the School s objectives Support the School s values and its commitment to The Feltonfleet Way and The 3 PLs (our educational philosophy) Contribute to how the School can encourage pupils' spiritual, moral and cultural development Make sure the School provides for all its pupils, including those with specific needs Protect and develop the assets for current pupils and future generations Attend the Annual General Meeting Attend each Full Board meeting - held once a term Be a member of at least one sub-committee Attend a number of normal School functions to get a clear understanding of the School and how it operates

4 The Role of Feltonfleet Governors 3 Governors as Directors Among other provisions on directors' duties, section 172 of the Companies Act promotes that: A director of the School must act in the way he/she considers, in good faith, would be most likely to promote the success of the School for the benefit of its members as a whole and in so doing have regard (amongst other matters) to: the likely consequences of any decision in the long term the interests of the School s employees the need to foster the School s business relationships with suppliers, customers and others the impact of the School s operations on the community and the environment the desirability of the School maintaining a reputation for high standards of business conduct and the need to act fairly with all members of the School. Governors as Trustees act together and in person and do not delegate control of the School to others (governors may delegate areas of work, but they must remain under the Trustees control); act in the School s interests only and without regard to their own private interests; manage the School s affairs prudently and take a long-term as well as a short-term view; not (without explicit authority) derive any personal benefit or gain from the School take proper professional advice on matters on which they are not competent and act on this advice.

6 5 The Finance and General Purposes Sub-Committee Objectives To review and monitor the effective and efficient use of resources and to review forward financial planning, termly accounts and the Annual Report and Accounts. To ensure compliance with legislation, including the requirements of the Companies Act, the Charities Act and to ensure governance meets best practice. Terms of reference Assist the Head and the Bursar in fulfilling their responsibilities. Finance and banking options Review medium term forward planning and annual budgets covering performance, income and operating expenditure, capital expenditure and cash. Review pupil numbers, contracts and registration process. Review annual fee increases for recommendation to the Board and other income. Ensure appropriate action is taken for the collection of fee and other debt. Review capital expenditure and ensure sufficient cash resources are available. Monitor termly financial performance and management accounts. Review the Annual Report, the Annual Accounts and audit for recommendation to the Board. Ensure adequate banking arrangements and agreements are in place. Review financial procedures and systems, including internal control. Periodically review the appointment of auditors. Ensure all legal requirements are met, including the compliance with the Companies Act, the Charities Act, employment and property law. Ensure governance meets best practice.

7 6 The Strategy Sub-Committee Terms of reference Create the strategy for the short, medium and long term development of the School. Develop a Strategic Plan to implement the strategy. Create plans for the development of the individual components within the Strategic Plan which include: Planning applications Appointment of 3 rd party specialists Prepare proposals for the components of the Strategic Plans for approval by the Finance and General Purposes sub-committee and the Full Board Review and update/amend the strategy and the Strategic Plan based on changing circumstances and priorities Liaise with local Planning Authorities re planning matters Liaise with architects and designers re Strategic Plans and planning matters

8 7 The Education Sub-Committee Terms of reference Ensure that academic, statutory and legal requirements are met Monitor academic standards and quality throughout the School Monitor policies Respond to the interests and concerns of parents, pupils and staff Take steps to be familiar with the School, its staff and its workings The committee will be particularly concerned with: The quality of education Educational experience (curriculum) Teaching and learning Achievements examination results and school destinations Welfare Innovation Staffing and staff liaison Seeing the School at work Results and recommendations of inspection reports

9 8 The Risk, Safeguarding and Health & Safety Sub-Committee Terms of reference Monitor the effectiveness of the Health and Safety Manual and the safe working practices described within it and revise and amend it, as necessary Direct the Annual Review of Fire Risk Assessments, satisfying itself that any significant changes to buildings or procedures have been reflected in revised Fire Risk Assessments Direct the annual programme of Risk Assessment updates required under the terms of the School s Risk Assessment Procedures and monitor progress against the targets set in the follow-up Action Plan Report to the Governors any risks identified which have a significant safety implication or where the cost of remedying such risks carries a significant financial liability Draw up, monitor and review School Transport Policy Liaise with local authorities for the improvement of facilities outside the School s control (ie: street lighting, road safety, local road infrastructure, transport Health and Safety etc) Assist with School bus route schemes Review reports from the Health and Safety Officer which include:- Accident, Incident, and Near Miss Reports Fire Safety Report, including reports of drills, evacuations, and training Details of visits from external authorities, such as Surrey Fire and Rescue or the Environmental Health Officer

10 9 Terms of reference The Salaries Sub-Committee Review salary levels and annual increases for all staff, together with requests for ad-hoc increases or new members of staff, whether teaching or support.
