To give you an understanding of the English Legal System and the principles of the law of contract and tort. Content outline 1) Outline of the English Legal System Nature, origin and development of common law and equity The divisions of Law civil and criminal law Case law & statute Law The Court Structure Legal Profession The doctrine of Precedent and Statutory Interpretation 2) Law of Contract Formation of contracts (offer and acceptance, consideration and intention to create legal relations)

2 Formality & Contractual capacity, Contractual terms Implied & express terms and exclusion Clauses Vitiating Factors - Mistake, Misrepresentation, Duress, Undue Influence, Illegality etc. Discharge of contracts Remedies for breach of Contract 3) Law of Tort Negligence: Duty of care, breach of duty and loss & damage Causation & remoteness Statutory & Vicarious Liability Defences and Remedies in Tort 4) Sale of Goods and Agency Implied terms Sections 12, 13,14(2) and (3) and 15 of SOGA 1977 as amended Types of Agency and contractual capacity Rights & Duties of Principal & Agent 5) Business Organisations Different types of business organisations Corporate Legal Personality and Exceptions to Corporate Legal Personality. 3 WHAT WILL I BE EXPECTED TO ACHIEVE? On successful completion of this module, you will be expected to be able to: Knowledge and understanding: Understand and apply legal principles to problem situations. Describe statute law, common law, law of contract, law relating to the tort of negligence, law relating to sale of goods and Agency as well as Corporate Legal Personality. Skills: Apply their knowledge, judgment and arguments to contractual and tortious relationship. Communicate effectively using legal principles. Adapt and apply their knowledge to case study situations. Present and argue legal problems. Apply these judgments in solving legal problems. Utilise legal information technology and specialist web-sites to answer legal problems. Values and attitudes: Understand the importance of policy in the development of the legal system Demonstrate an awareness of the importance of law in society. HOW WILL I LEARN?

4 Lectures and seminars There will be a two hour lecture every week which will be followed by tutorials or seminars in smaller groups. Whilst the lecture will deliver the main principles and cases related to the topic, the tutorials or seminars will test the students understanding of those principles and cases by looking at specific questions and scenario based problems. 5 Assessment criteria Assessment Criteria are descriptions of the skills, knowledge or attributes students need to demonstrate in order to complete an assessment successfully and Grade-Related Criteria are descriptions of the skills, knowledge or attributes students need to demonstrate to achieve a certain grade or mark in an assessment. Assessment Criteria and Grade-Related Criteria for module assessments will be made available to students prior to an assessment taking place. More information will be available from the module leader. Feedback on assessment Following an assessment, students will be given their marks and feedback in line with the Assessment Regulations and Policy. More information on the timing and type of feedback that will be provided for each assessment will be available from the module leader. Assessment Regulations The Pass mark for the module is 40%. Any minimum qualifying marks for specific assessments are listed in the table above. The weighting of the different components can also be found above.
