1 Job Description Job Title: Responsible to: Board Member Chair of Board Bristol Music Trust Launched in May 2011, Bristol Music Trust is an independent charity with two distinct aims. The first is to manage the operations of Colston Hall, Bristol s largest concert venue, where people have been enjoying music since 1867; developing a diverse musical programme, leading a major capital transformation programme and securing its commercial success. The Hall is poised to become a world-class, diverse music and arts centre, comprising a state-of-the-art, international standard concert hall, a smaller intimate hall, a purpose designed education suite and club venue and a versatile foyer space. The second aim is to drive forward music across Bristol, working in partnership with city wide organisations; leading on musical education with the ongoing development of this work through Bristol Plays Music, commissioning new works, supporting local musicians, delivering the first National Centre for Inclusive Excellence focused on disabled musicians and promoting music across all communities to build on the vibrant talent already in the city. Much more, we want the Bristol music scene to stand out with its own unique culture and internationally renowned reputation. By developing and sustaining an organisational culture that is creative, flexible, collaborative and professional, we will provide opportunities and inspiration for audiences and participants from all backgrounds with a transformed building that is a welcoming, lively music centre for the city. Transformation We re building a world-class music venue for Bristol. The transformation of Colston Hall, due to commence in June 2018, is the largest arts capital re-development project ever to take place in the South West, and is vital to the cultural future of the city. We want to provide Bristol and the South West with the concert hall it deserves. Many parts of the original Victorian building have not been updated since 1951 and aren t fit for audiences or performers any more. Our goal is to build one the best performance and music learning spaces in Europe a modern, accessible, state-of-the-art venue that will attract the best artists and generate an extra 254m for Bristol s economy. Our 48.8 million redevelopment project will: BUILD an exceptional classical and contemporary music venue for Bristol CREATE world-class spaces for education and enterprise

2 BREATHE new life into wonderful Victorian buildings by opening up and restoring the unique Bristol Byzantine colonnades and 150-year-old historic façade PROVIDE greater comfort for audiences and artists with new seating and air-conditioning IMPROVE backstage facilities for artists REVITALISE The Lantern, creating a beautiful and flexible space for use as both a performance venue and conference facility OPEN up our incredible Victorian cellars to create a third performance space CREATE a new education centre in our historic cellars to provide a new home for Bristol Plays Music, which works with 30,000 young people every year. We want to look to the future and ensure the whole city is proud of its transformed concert hall, and will be reopening with a new name that reflects our values as a progressive, forward-thinking and open arts organisation. Artistic Programme Colston Hall continues to develop as a strong, confident, creative, and artistically vibrant centre for music, with a reputation for creative excellence and diversity. As the South West s largest concert hall, we present concerts and entertainment by major names in rock, pop, jazz, folk, world and classical music, standup comedy and light entertainment, as well as acting as a hub for the community, hosting local choirs, orchestras and schools performances. The venue remains at the heart of cultural life in the city, and our programme reflects the breadth and diversity of the best national and international talent performing today. We have hosted and promoted music from the likes of Emile Sandé, John Grant, Benjamin Clementine, Robert Plant, Kamasi Washington and Bournemouth Symphony Orchestra; comedy from Russell Brand, Jimmy Carr and Sarah Millican; as well as being a key part of, or organiser of, many of Bristol s festivals including the Bristol International Jazz & Blues Festival, Slapstick Festival, River Town Americana Festival, Hoo Ha Children s Festival, Bristol New Music, Harbour Festival and Simple Things Festival. Some of the world s biggest music and comedy stars have performed on our stage, including The Beatles, David Bowie, Elton John, Ella Fitzgerald, Louis Armstrong, Motorhead and Bob Dylan. We are committed to ensuring the best talent from around the world performs in Bristol and to developing the next generation of talent through our talent development programmes. Creative Learning & Engagement Creative Learning & Engagement (CLE) is responsible for four areas of work: The National Centre for Inclusive Excellence, Artist Development, Community Engagement, and Bristol Plays Music (Bristol s music education hub). Now in its fifth year, Bristol Plays Music has made significant progress toward achieving its vision of making Bristol the UK Capital of Young People s Music. Our award-winning education programme for young people is set to expand becoming Creative Learning and Engagement (CLE) and reaching Bristolians of all ages and all backgrounds. At the heart of our work is great music making and learning. Our programme sets out to encourage participation, engender a sense of civic pride and instil a lifelong love of musical culture. With three prestigious awards in two years from the Music Education Council (MEC) and Music Teacher Awards for Excellence, including winning the Major Prize for best music education hub, our work is gaining national recognition. Over the next four years, as the transformation of the Hall comes into focus, a sharper vision for learning and engagement will be required; one that underpins the Trusts revised strategic priorities and engages all the communities of Greater Bristol and beyond. Looking ahead, CLE will work in close partnership with the Programme team to further integrate education and engagement activities into the creative output of the Hall maximising the opportunities made possible through a world-class live music programme.

3 Purpose of the Job To provide corporate governance as a Company Director and Charity Trustee. To guide and support the work of the company through determining management policy, and providing advocacy and networking To contribute expertise to the organisation and its paid staff To ensure all resources are applied for the benefit of the company and the promotion of its activities within the arts Key Responsibilities 1. To review and develop the mission, aims and policies of the company and provide a framework for realising the mission, aims and policies. 2. To be responsible for ensuring that the organisation works within company and charity law and guidance (e.g. approve annual budgets, appoint and manage paid staff), and fulfils its charitable objects. 3. To attend Board meetings and to read papers prepared for issues considered at these meetings. 4. To serve as required as a member of a subsidiary board or sub-committee of the Board and attend meetings 5. To attend occasional meetings and events on behalf of the company with other organisations in relation to aspects of the work of the company. 6. To attend events directly promoted by the company, especially the Colston Hall performance and education programme. 7. To act as an informed advocate for the company and its work, and to contribute specific expertise and give informal advice and guidance to the professional staff. 8. To assist where possible with fundraising and the development of positive external relationships, locally, regionally, nationally and internationally 9. To bring personal experience of Bristol communities to ensure that the Trust delivers equality of opportunity in its employment, business and artistic activities to all local residents. Employee Specification: Essential Board members are required to have the ability to operate as an effective member at formal meetings and to evaluate and have respect for different views. Membership of the Board entails a time commitment. Regular attendance of meetings is necessary. The main Board is likely to meet 6-8 times per year, with additional subsidiary boards or sub-committee meetings as required. Meetings are likely to be in the evenings, lasting about two hours. In addition there may be an annual full-day strategic planning meeting. Within the Board membership the Trust seeks to embrace a range of skills, knowledge, interests and experience. This will also need to reflect the demographic diversity of Bristol. Board members should possess two or more of the skills, qualities and attributes listed in the following section, to contribute to the overall balance of experience needed in the governing body.

4 Professional qualifications and/or substantial experience in: Leadership (private or public sector) Finance and accountancy Marketing and fundraising Legal affairs Education and outreach Artistic performance, programming and planning, especially in music Arts administration/management Qualities/attributes at an advanced level: Love of, and commitment to the promotion of, music in its widest definition Commitment to Bristol with influence and a network of contacts in the area Involvement with, and commitment to, education and work with young people Artistic knowledge and experience - across the arts but especially in music including a local, regional or national network of artistic contacts A network of contacts and influence in the private or public sector - at local, regional or national levels Ability to assist fundraising and development of the company Advocacy and PR experience at senior level in the public and/or private sector Understanding of, and change management experience in, the not-for-profit/charitable or business sector Recruitment Process for Board Members Board membership of the Bristol Music Trust (BMT) will be advertised for and recruited through an open and publicly accountable process in line with BMT recruitment policy. A panel drawn from BMT, will shortlist, considering written submissions against the essential criteria within the Job Description and will invite chosen candidates for interview in May. Observers may also attend. Successful applicants will be invited to join for the following four years. Terms and Conditions The Board of the Trust is made up of 12 members. All members of the Board serve in an individual capacity. Board members may have a range of other interests but are not appointed as direct representatives of any other organisation or interest group; they have a legal duty to support the work of the Trust rather than to act narrowly as representatives of a particular sector.

5 The term of office of Board members (including the Chair) is four years, renewable for one further four-year term. The Trust is established as a limited company and a registered charity. Board members are both directors of the Trust under company law and trustees of the Trust under charity law. In order to ensure that Board members can comply with their duties as company directors and charity trustees, the Trust's articles will provide a framework for the identification and management of conflicts of interest, which it is proposed will be supplemented by a policy on conflicts to be adopted by the Board. Applicants should consider carefully if they can see that a conflict of interest is likely to arise, for example, if they run or Chair an organisation that may be in negotiation with the Trust. Board members need to be able and willing to give time to the efficient administration of the Trust and the fulfilment of its mission, aims and policies. Board members are unpaid but the Trust will determine the reimbursement of any reasonable expenses for Board members. Applicants should note that the Charities Act 2011 disqualifies any person who: has an unspent conviction for an offence involving deception or dishonesty; or is an undischarged bankrupt; or has previously been removed as a trustee of a charity by the Charity Commission or the Court; or is subject to a disqualification order under the Company Directors Disqualification Act 1986 from acting as a charity trustee. By signing the application form, applicants will confirm that they are eligible to act as charity trustees. Applicants should also note that the Trust may in certain circumstances require Board members to obtain an enhanced DBS disclosure.
