2 Oldbury Academy Trust - Financial Framework and Scheme of Delegation Introduction The Academy Board (overning Body/Trustees) is accountable in law for all major decisions about the Academy Trust and its future. The delegation of tasks enables accountability and a sharing of responsibilities. A decision grid has been used to show the level at which a task can or must be actioned and, if it can be delegated, who it has been delegated to. The following guidance on delegation is summarised from our Articles of Association (source Article referenced): The Trustees (overnors) may delegate any of their powers or functions (including the power to sub-delegate) to any Trustee, committee, the Head Teacher or any other holder of an executive office. Any such delegation shall be made in writing and subject to any conditions the Trustees may impose, and may be revoked or altered (Article 105). The constitution, membership and proceedings of any committees shall be determined by the Trustees. These shall be subject to regulations made by the Trustees from time to time (Article 104) and their delegated responsibilities shall be in writing by way of this Scheme of Delegation (Article 101). The Trustees may delegate to the Head Teacher such powers and functions as they consider are required for the internal organisation, management and control of the Academies (including the implementation of all policies approved by the Trustees and for the direction of the teaching and curriculum at the Academies) (Article 107). The central purpose of the Financial Framework and Scheme of Delegation is to ensure that the roles, responsibilities and precise accountabilities are absolutely clear at all levels. All those with governance and management responsibilities must be familiar with this document so that appropriate steps can be taken to ensure there is sufficient and proper challenge of those with leadership responsibilities, to ensure that senior leaders are held to account for the performance of the Academy and that there is financial stability within the Trust. The Members The members are akin to shareholders and have ultimate control over the direction of the academy trust. They ensure the charitable company achieves its objectives, sign off the financial accounts and annual report, and appoint some of the Directors/Trustees. They hold the responsibility for: 1. Changing the Articles of Association 2. Amendments to the Funding Agreement 3. Appointing/removing some Trustees (overnors/directors - see the Articles of Association for further details] The Trustees The majority of the Trustees (also known as Directors and, in some instances, may be referred to as governors ) are appointed by the Members. They have delegated responsibility for the 3 core strategic functions: 1. Ensure clarity of vision, ethos and strategic direction 2. Holding the Head Teacher to account for the educational performance of the school and its pupils 3. Overseeing the financial performance of the school 2

3 The Trustees have overall responsibility and decision making authority for the work of Trust. This is largely exercised through strategic planning and the setting of policy. It is managed through business planning, monitoring of budgets, performance management, the setting of standards and the implementation of quality management processes. The Trustees have the power to direct change where required. The Trustees have a duty to act in the fulfilment of Trust Objects. (See the Articles of Association for details) Trustees will have regard to the interests of the Academy for which the Trust is responsible, in deciding and implementing any policy or exercising any authority. Trustees are responsible for electing their own post-holders (including the Chair). Any appointments are to be made in accordance with the relevant Policies and Procedures. Committees The establishment, terms of reference, constitution and membership shall be reviewed at least annually. The membership may include persons who are not Trustees, provided the majority of (committee) members are Trustees. No vote on any matter shall be taken at a committee meeting unless the majority present are Trustees. The membership for each of the committees is set out on page 5 of this document. Head Teacher (HT) The Head Teacher is the Accounting Officer, so has overall responsibility for the operation of the Academy Trust s financial responsibilities and must ensure its financial effectiveness and stability. The Head Teacher is responsible for the operational and strategic leadership and management of the school, including outcomes for pupils. 3

4 The Decision Planner This will be sent to: the Members of the Trust, Trustees (), Head teacher and Clerk, and will be published on the academy website. Where the word must is used in this document it means the action required has to take place. Where an * is indicated next to a task, additional information will be found at the end of the document. The document sets out the Academy Trust, governing body and school functions. For each function it sets out who has been given delegated responsibility for the task. This may be : Trust Members (TM) Decisions/actions/tasks that can only be made by the (Trust) Members Trustees/Directors/overning Body () Decisions/actions/tasks which can only be made by the Trustees/Directors/ Other = Committees - there are 5 in total: - Finance[Fin], Staffing [Staff], Curriculum and Standards [Curr/Stan], Pastoral and AEN [Past/AEN], Premises, Health and Safety [Prem/HS]). This heading may also include individuals identified by the or Head Teacher e.g. the Chief Finance Officer (Business Manager - BM), Senior Leadership Team (SLT), HR Manager [HR], Accounting Officer [AO] etc. In some instances a Panel may be established, as/when necessary, to address the issue in question e.g. pupil or staff discipline, HT performance management etc. The table shows the term or time of year when each item will generally be considered. Some issues are governed by strict timelines determined by other organisations, the remainder may offer more flexibility and will generally be determined by the relevant Chair, in liaison with the HT where appropriate, to ensure the appropriate information is made available for each meeting. The table includes when the various statutory and other documentation will be reviewed and by whom. 4

Decisions on payments of between 10,001-50,000 will be determined by the Staffing Committee. Advice will be sought where necessary and the decision will be based on this, plus best value principles and what is in the best interests of the school. The recommendation of the Staffing Committee will be referred to the Finance and Audit committee for inclusion in the budget. Information relating to payments above 50,001 will require urgent meetings of both the Staffing and Finance and Audit committees to be called. Approval must be sought from the ESFA when consideration of the payment of sums above 50,000 are required 13

Information provided to the BM by West Midlands Pension scheme is shared to enable a fair and open decision to be made. Ratification of the post and salary must be given prior to the post being advertised either internally or externally. HT to be included as a panel member when a deputy is being appointed. to ratify these appointments. Recruitment and retention awards will be deemed to be exceptional and will be based on HT recommendations.
