2 Introduction Our fundamental principles Dear Colleagues, Dear Business Partners, The invention of the wheel is not only one of the most important technical concepts in the history of inventions; it also remains a guarantee for mobility, efficiency and progress. It moves people and goods, and advances the development of our society. Better Mobility. Better Life. This is our motto. All around the world our staff take responsibility and do their utmost to carry the world a decisive step forward full of conviction and with great commitment. Our business partners value our high level of motivation, our innovative spirit and the people behind the name TENTE. The trust that others place in us depends to a great extent on the conduct of all those concerned. We therefore feel a special obligation to our customers and other business partners, as well as to our shareholders, to exercise a high standard of care. This is why we wish to raise awareness of the fact that we impose additional obligations on ourselves over and beyond as the laws that we obviously need to keep within. Bearing this is mind, our employees act with the greatest possible professionalism and integrity in their working environment in order to further strengthen the trust of our business partners in our company. As your employer and business partner, we are responsible for living out values such as trust and reliability in our daily work. 3 Code of Conduct TENTE-ROLLEN GmbH As a company that is conscious of its social responsibility and that acts in an ethically correct manner, TENTE-ROLLEN aims to keep to the standards and guidelines of the International Labour Organisation (ILO) and the universal human rights of the United Nations, including the conventions on children s rights. Individually these cover the following minimum requirements: Laws and legal standards Compliance with the law and statutes is TENTE s highest priority. Integrity drives all our actions. We follow international regulations and laws as well as the rights and minimum standards that apply to our business activities, in particular those against money laundering, corruption and granting undue advantages, for example accepting gifts that are or could be considered an illegal act of bribery. In the course of trade, representatives of our company may not demand or accept any reward in the form of an advantage for themselves or for third parties for unfair advantage in the purchase of goods or services. Both the provision and acceptance of gratuities with intent to influence a decision process are forbidden, whether in the form of money or other services. No gifts must be made to civil servants or other officials. Employees who conclude contracts with advisors, intermediaries, agents or similar third parties must ensure that these parties do not in turn offer or grant any unjustified advantage. TENTE expects all employees to treat the tools and supplies with which he or she is provided with care. Employees may not use assets for their personal benefit beyond their normal use within the scope of the employment contract. In particular, company assets may not be traded or exchanged for personal benefit, and goods and samples may not be sold for the employee s own account.

4 Discrimination No discrimination is permitted in the appointment and employment process. We encourage equal opportunity and equal treatment of employees. We will not tolerate discrimination on the grounds of gender, age, religion, descent, caste, social background, disability, ethnic or national origin, nationality, membership of a worker s organisation, including trade unions, political conviction, sexual preference or other personal characteristics. Unacceptable treatment of workers, such as psychological abuse, sexual or personal harassment or discrimination will not be tolerated. Any conduct (including gestures, language or physical contact) that is sexual, coercive, threatening, abusive or exploitive is also prohibited. Child labour and forced labour Child labour as defined in the ILO convention, the conventions of the United Nations or national law is prohibited. The strictest of the standards referred to must be followed. Any form of exploitation of children is prohibited. The rights of young employees are protected. All forms of enforcement of work performance through violence or threats are forbidden and will not be tolerated. Working hours and remuneration The working hours and remuneration for all employees, including contract workers, are in accordance with national laws and valid industrial standards. Work life balance Our company s work life balance measures aim to make it possible to take the private, social, cultural and health requirements of employees into account. It is our responsibility to look after one another, particularly regarding a balanced distribution of the volume of work and the workload. Balancing family and career is a central aspect of our fundamental outlook. Our approach at TENTE includes working hour models that are designed according to these requirements, adaptation of work organisation, working models to make the workplace more flexible, clear corporate values and management guidelines as well as other supportive and preventive healthcare services for employees.

5 Working conditions, health and safety Every employee must respect the personal dignity, privacy and moral rights of each individual. We uphold the principle of mutual esteem and trust at TENTE. TENTE offers its employees a working environment with workplaces that are safe, hygienic, fully operational and free of risks to health. Our personnel policy codifies uniform minimum requirements for all employees. These include issues such as employment policy, promotion, career development, remuneration, diversity, prohibition of forced labour and child labour and freedom of association. Our TENTE work regulations set out what we expect from employees. TENTE respects the right of all employees to join legally recognised employee organisations and undertakes to follow all legal regulations in its contact with employee representatives. Donations and sponsorship Donation and sponsorship funds may only be spent within the framework of relevant jurisdiction and in agreement with the internal regulations that apply for this. All donations and contributions must be disclosed to and decided by the management. Competition and prohibition of cartels Our participation in competition is characterised by professionalism and integrity. Thus we use only fair and lawful means to achieve our business aims. We do not participate in prohibited agreements between companies, agreements by company associations and agreed conduct with the purpose or effect of preventing, limiting or falsifying competition. Our employees and management know that we adhere to competition regulations and that violation of the prohibition on cartels can lead to considerable consequences in civil and criminal law for themselves and for TENTE. Environmental protection We follow international and national laws concerning environmental protection and corresponding regulations. Our environmental management is certified in accordance with DIN EN ISO 14001:2009. We are continually expanding our energy management system in accordance with DIN EN ISO We are always looking for ways to save energy and also to produce power ourselves and utilise waste heat.

The non-disclosure agreement is valid for the duration of the cooperation and beyond. Consequences of violation This code of conduct is a constituent part of our fundamental principles. Adherence by our employees and also our business partners is self-evident to us. Violations of these rules of conduct can be considerably detrimental to the reputation of TENTE and result in financial losses and legal disadvantages, in particular sanctions such as the issuance of fines or the loss of permits to operate business, which can endanger the existence of the company. Insofar as the misconduct of employees and management also represents a breach of their employment contract obligations, they may lead to disciplinary measures culminating in criminal sanctions and dismissal.
