1 Governance Structure The academy is a company limited by guarantee and an exempt charity. The Charitable Company and the group s Memorandum and Articles of Association are the primary governing documents of the academy. The Trustees of Cirencester Deer Park School are also the directors of the Charitable Company and the group for the purposes of company law. The Charitable Company is known as Cirencester Deer Park School. Details of the current Trustees are shown on the Register of Governors on the school s website. The Accounting Officer for the academy is the and they is supported in that role by the Director of Finance and. The school has a schedule of delegation which sets out where authority lies for each key area of decision making. This is reproduced below. The Trustees are responsible for setting general policy, adopting an annual plan and budget, monitoring the Academy by the use of budgets, audit reports and key performance indicators and making major decisions about the direction of the Academy, future capital expenditure and senior staff appointments. Trustees also sit on pupil exclusion panels and staff disciplinary panels although these are rarely required. The is the only sub-committee, with all other business conducted at the Governing Body meetings. To assist the working practices of the Board, the establishes short term working groups from time to time to address specific areas of governance but these have no decision making authority and report back to the. Every member of the governing body sits on at least one working group and the also attends every meeting along with other members of the Academy s strategic leadership team as appropriate. Reports from each of the working groups are received and discussed at the next available meeting of the full governing body and any recommendations arising out of the working groups are approved by the full governing body. Trustees undertake regular self-evaluation of their effectiveness. The governing body was awarded the externally accredited Governor Mark in 2012 and are seeking re-accreditation of this standard in The Chair of Trustees and complete two-way appraisal reviews with individual Trustees and feedback from Trustees is sought at the end of every Trustee Meeting. The governing body also carries out regular reviews of the skills contained within the governing body and believes it currently has a good spread of skills and abilities in its current membership. The is the sole subcommittee of the main governing body meeting three times per year. Its purpose is to ensure the establishment and maintenance of proper financial procedures and control including preparation of budgets and longer term financial plans, monitoring expenditure against budget, working with the internal audit function to review controls, appointing an external auditor and responding to their reports, oversight of property and asset management including capital investment schemes and development of long term site development plans, risk management and monitoring, and health and safety requirements.
