3 THE ORGANIZATION ISLAND TUG AND BARGE Island Tug and Barge ( ITB ) is the primary supplier of oil cargo transport in Western Canada, serving the coastal communities of the Pacific Northwest, the United States, and the Arctic. With proven expertise in the transportation of specialized cargoes and a state-of-the-art fleet of advanced tug boats and double-hulled barges, ITB provides bulk fuel transportation, specialty towing, marine fuel sales and marketing, and marine logistics. In September of 2017, Island Tug and Barge was acquired by Tidewater Holdings, Inc., a multi-modal transportation company and the largest terminal operator and provider of inland marine barge transportation services in the Pacific Northwest. Headquartered in Vancouver, Washington, Tidewater s operations span from the Pacific Coast to the inland port of Lewiston, Idaho, providing critical transportation services on the Columbia- Snake River system through a variety of terminals and specialty barges. 4 THE OPPORTUNITY CONTROLLER Reporting to the President and serving as a key member of the senior Island Tug and Barge (ITB) management team, the Controller manages the general accounting, financial reporting, business planning, and analysis and legal areas of the organization. The individual is a key contributor in the development of ITB s financial and operational strategies, making certain that they are developed in such a way as to be consistent with those of Tidewater Holdings, Inc. s (THI s). S/he will also provide the leadership, management, and vision necessary to ensure that the Company executes on all agreed goals and financial performance standards. Essential Functions The Controller has the following key accountabilities: Manages self and others in support of safe and incident-free operations; is responsible for knowing and abiding by safety management system policies and procedures; Manages the general accounting functions including accounts receivable, accounts payable, and payroll directly; Ensures accurate financial information, reporting, key statistics, and other business reporting metrics information while driving processes and procedures to comply with company financial standards; Develops and implements effective internal controls and financial security policies and procedures; Oversees preparation and approval of monthly, quarterly, and annual financial statements and budgets, and presents to senior management and shareholders; 2 Page

6 THE PERSON The Controller should be a refined leader who is well experienced with finance management and accounting, as well as a change manager who is able to articulate and execute a bold direction. Possessing an inclusive, collaborative leadership style, s/he will build engagement with staff, customers, vendors, and business partners by creating a true team environment, leveraging the considerable expertise and strength that exists within the organization and across its partner institutions. The Controller should also be decisive, possessing sufficient financial acumen and policy planning expertise to assist ITB and THI with complex decisions as well as guide staff through challenging initiatives. Required Qualifications, Education, and Experience: The ideal candidate will possess the following qualifications and experience: Bachelor s degree in Finance, Accounting, Business Administration, Economics, or other related field of study, plus a minimum of ten years experience managing finance and accounting functions in a mid-sized organization; Prior senior management-level experience in financial planning and analysis, audit, and/or a Controller capacity; Five to ten years of hands-on, effective management and leadership skills sufficient to coach,, and develop others, continually improve Company performance, and demonstrate an appreciation for/ understanding of operations-driven businesses; 4 Page

7 A high level of experience directing and performing in-depth financial planning and analysis for operating, decision-making, and presentations both internally and externally, including to clients; Extensive experience creating detailed, metricdriven financial forecasting and planning; Experience working with a Board of Directors; and Experience with union negotiations and management of union matters, grievances, and arbitrations. Preferred Education and Experience The following qualifications and experience, while not required for the position, are considered an asset: Master s Degree in a related field; Chartered Professional Accountant (CPA) designation; Five plus years of maritime industry experience; and Knowledge of petroleum products storage and Competencies and Personal Characteristics Leadership - Achieves desired organizational results by encouraging and supporting the contribution of others; a proactive and positive team player who acts with a sense of urgency and leads by example; sets and communicates clear goals.
