Thewo was founded by a group of professionals in the Built industry in The forma on of this company resulted from the realiza on by these professionals that the built industry was lacking representa on of the South Africa s majority. It was on this basis that our founding directors saw the need for a company in this sector that will apply its knowledge and skill in a manner that will be based on the be er understanding of the needs of our clients. Mission Satement To develop and implement solu ons that are innova ve, environmentally considerate and economically viable in a manner that will incorporate and fulfil the social needs of the communi es our solu ons will be serving. Company Values Our company is commi ed to uphold integrity in the running of our business, Providing the professional service to all our clients. We assure our clients transparency to solu ons developed. We believe in skills and technology transfer to all our staff and communi es served by our solu ons. Ownership & Structure Thewo is a black owned and managed mul - disciplinary firm in the built environment and is based in South Africa opera ng in 3 provinces, namely Free State, Gauteng & Eastern Cape. The company directors are all HDI's with various exper se in the built environment. Thewo complies with the Employment Equity Act, 55 of 1998, with the main focus being on promo ng the development of HDI's in the industry. Vision Statement To be one of the best firms in the built environment with experts in a number of aspects within the industry that will make the firm thrives amongst its compe tors. To be a firm with capability of incorpora ng infrastructure development with social development in order for solu ons to be selfsustainable or sustained by the communi es they serve for their benefit. 10 THEWO ENGINEERING COMPANY PROFILE 2017 PAGE 8 CORPORATE GOVERNANCE THEWO IS COMMITTED TO THE PRINCIPLES OF INTEGRITY, ACCOUNTABILITY AND TRANSPARENCY AS SET OUT IN THE KING REPORT ON CORPORATE GOVERNANCE IN SOUTH AFRICA, The Board The Board meets on a formal basis. It is responsible for se ng strategy, determining investment policy, reviewing quarterly performance in detail against previously approved budgets and iden fying and monitoring risk areas. Remuneration Committee The Board has established a Remunera on Commi ee, which consists of all Execu ve Directors. It is responsible for determining the remunera on packages and condi ons of employment of the Execu ve Directors and staff complement. Audit and Risk Management Committees The Audit Commi ee consists of the Execu ve Directors, head of the internal audit department and the external audit partners have unrestricted access to the Audit Commi ee. Board regularly reviews the appropriateness of its size and how best it can perform its du es. The Risk Management Commi ee consists of Directors. The Commi ee reports to the Board on a regular basis se ng out its evalua ons of the risks faced by the Company and the recommended strategies for mi ga ng the impact thereof on the Company. Responsibility for risk iden fica on, evalua on and management remains with the Board.
